                        TENDER DOCUMENT
           HOUSE KEEPING AND OTHER SUPPORTING SERVICES

                                 GENERAL INSTRUCTIONS

        Sealed tenders in two bid system i.e. (i) Technical bid and (ii) Financial bids are
invited by NIEPMD, Chennai for providing House Keeping and other services at
National Institute for Empowerment of Persons with Multiple Disabilities for a period of
one year which is extendable for a further period of one year from eligible Private
Limited Agencies of House Keeping and other supporting services with experience for
providing such services to Government and non-Government organizations, Public
Sector Undertakings and Private Sectors of repute. Tenderer shall furnish attested
copies of following documents along with tender documents:
   1.            The Tenderer would be required to submit the following particulars
        along with Technical Bid:-
                    i. Company’s Registration Certificate

                   ii. EPF, ESI and Service Tax Registration Certificate.

                   iii. Company’s up to date Balance Sheet for the last two years including filed Income
                        Tax Returns for those years.

                   iv. EPF, ESI and Service Tax Challan Certificates for atleast one year.

                   v. Company brochure showing the profile.

                   vi. A copy of registration under the Company’s Act, 1956.

                  vii. Company having its own Head Office or Branch Office locally should only apply
                        (Proof to be submitted).
                  viii. Previous credentials to the effect that agreed rate of wages has been paid by the
                        agency to their employees from Labour Enforcement Office.

                   ix. The Earnest Money Deposit (EMD) of Rs15,000/- (Rupees Five Thousand only)
                       (Refundable) as Demand Draft payable to Director, NIEPMD, Chennai should be
                       attached with the Technical Bid; failing which Tender will be rejected.

                   x.   The cost of the Tender Document is Rs.200/- (Non-Refundable).

                        (The tender form may be obtained from the Institute or may also be down loaded
                        from the Institute’s website: www.niepmd.tn.nic.in. In case the tender document
                        is downloaded from the Institute’s website, the cost of Tender document i.e.
                        Rs.200/- (non-refundable) should be enclosed with the Technical Bids in form of
                        Demand Draft payable to Director, NIEPMD, Chennai failing which tender shall
                        not be considered by the Institute.)

                   xi. A copy of individual salary slip issued to House Keeping or other personnel,
                       showing skill/unskilled etc. of individual concerned (one copy of each category
                       which is latest should be attached with technical bid).

 2.   Last date for selling the tender documents is 14.12.2009 up to 12.00am. The
      tender documents completed in all respects along with EMD deposit must be
      submitted by 3.00pm on 14.12.09. The Technical Bid will be opened on
      14.12.2009 at 03.30pm in the presence of Tenderer or their authorized
      representatives, who may like to be present. If this date is declared as holiday,
      the tenders will be opened on next working day at 03.30 PM.
 3.   The technical bid and price bid should be submitted in separate covers, duly
      super scribed and sealed and again put in an envelope duly sealed and super
      scribed as “Tender for House keeping Services”. The Technical bids shall be
      opened on the specified date and time. The price bids of the technically
      qualified tenderers will be opened later while intimating by phone to the qualified
      technical bidders only.
 4. Tenders not complying to any of the conditions are liable to be ignored without
     any further reference.

.5.   The agreement that will be met with shall be deemed to be an Agreement between
      two Principal Employers. The Agreement shall be one for services and not of
      services.

6. The Director, NIEPMD reserves the right to accept or reject any application for
   issue of tender document without assigning any reasons.


7. The EMD shall be forfeited if successful bidder fails to undertake the work or fails
   to comply with any of the terms and conditions of the contract.

8. The bid shall be valid and open for acceptance of the Competent Authority of
   NIEPMD for a period of 90 days from the date of opening of the tenders and no
   request for any variation in quoted rates and/ withdrawal of tender on any ground
   by successful bidder shall be entertained.

9. To assist in the analysis, evaluation and computation of the bids, the Authority may
   ask bidders individually for clarification of their bids. The request for clarification
   and the response shall be in writing but no change in the price or substance of the
   bid offered shall be permitted.

10. After evaluation, the work shall be awarded normally to the Agency fulfilling all the
    conditions and who has quoted the lowest rate after complying with the provisions of
    Minimum Wages Act. In case two or more agencies are found to have quoted the same
    rates, the Competent Officer authorized by NIEPMD shall decide about the agency to which
    the offer shall be granted based on the report on the past performance of the firm, and
    length of experience etc. The decision of the Competent Authority shall be final.


11. The quoted rates shall not be less than the minimum wages of Govt. of Tamilnadu
    and shall include all statutory obligations. The rate quoted should be consolidated
    and inclusive of Income Tax, Employer EPF contributions, ESI contribution etc.,
    insurance, leaves salary etc.

                                     DRAFT AGREEMENT

This agreement is made on ____________________ day of _________________ Two thousand
and nine between NATIONAL INSTITUTE FOR EMPOWERMENT OF PERSONS WITH
MULTIPLE DISABILITIES, Muttukadu, Kovalam, Chennai, as one part, hereinafter called
“Institute” and M/s________________________,             having its registered office at
____________________________________________________ hereinafter called the ‘Agency’
for providing House keeping and other Services on the other part.



WHEREAS the Institute is desirous to engage the Agency for providing House Keeping and other
services for NATIONAL INSTITUTE FOR EMPOWERMENT OF PERSONS WITH MULTIPLE
DISABILITIES on the terms and conditions stated below:

   1. The Agency shall be solely responsible for compliance to provisions of various labour,
      Industrial and any other laws applicable and all statutory obligations, such as, wages,
      allowances, compensations, EPF, Bonus, Gratuity, ESI, etc. relating to the personnel
      deployed in the institute. The institute shall have no liability in this regard.


   2. This Agency shall be solely responsible for any accident/medical/health related
      liability/compensation for the personnel deployed by it at the institute. The institute shall
      have no liability in this regard.


   3. Any violation of instruction/agreement of suppression of facts will attract cancellation of
      agreement without any reference or any notice period.


   4. The contract can be terminated by giving one month notice on either side.


   5. In case of non-compliance with the contract, the institute reserves its right to:
          a) Cancel/revoke the contract, and/or
          b) Impose penalty up to 10% of the total annual value of contract.


   6. Security deposit equal to 5% of the Annual contract value (refundable without interest
      after two months of termination of contract) in the form of Demand Draft shall be
      furnished at the time of signing of the Agreement.


   7. The Agency shall be fully responsible for timely monthly payment of wages and any other
      dues to the personnel deployed in the institute.



   8. The personnel provided by the Agency will not claim to become the employees of the
      institute and there will be no Employee and Employer relationship between the personnel
      engaged by the Agency and the institute.

         9. There would be no increase in rates payable to the Agency during the contract period
            except reimbursement of the statutory wages revised by the Govt.


         10. The Agency also agrees to comply with annexed Terms and Conditions and Agreement
             shall be final and binding on the Agency.


         11. Decision of the institute in regard to interpretation of the Terms and Conditions and the
             Agreement shall be final and binding on the Agency.


         12. In case of any dispute between the Agency and the institute. The institute shall have the
             right to decide. However, all matters of jurisdiction shall be at the local courts located at
             Chennai.


         13. The institute shall pay to the Agency as consideration for the satisfactory performance of
             above described security services at as per following rate schedule;

                                       ANNEXTURE
                             TERMS & CONDITIONs OF CONTRACT
                                 (Annexure to Agreement)
1. The Agency will be required to sign in on a written Agreement before the initiation of
the contract.

2. The agency shall be fully responsible for the House keeping and other allied works of
entire campus of the Institute.

3. The agency shall also be fully responsible for any loss, of material and property of
Institute attributable to the negligence or failure of the House keeping and other personnel
in complying with the prescribed procedure. All losses suffered by Institute on this account
shall be compensated in full by the tenderer. The decision of Director of the Institute in this
regard shall be final and binding on the agency.

4. The agency shall deploy House keeping personnel preferably below the age of 45 only
for the purpose of this contract. The agency shall have all documentary proof for the
identity and residential address of persons employed. The fact shall be verified by
Institute’s Authority and only those personnel shall be deployed by the agency on duty in
whose case documentary proof has been rendered to the Institute’s satisfaction. In addition
to this, if any of the House keeping or other personnel engaged is found to be
unsatisfactory, he/she shall have to be withdrawn by the agency within 24 hours from the
campus. A complete list of the House Keeping and other personnel engaged by the
agency for engaging in the Institute should be furnished along with complete addresses
and other antecedents. The agency shall engage only those, whose antecedents have
been verified by the police or any authorities. Further, for safety and security reasons the
agency should ensure engaging of such personnel only who are not residing in the
proximity/close vicinity of the Institute.

5. The rates payable to the agency which will be agreed for House keeping and other
personnel to be engaged viz. Driver, Gardener, Electrician etc.are required to be quoted
separately. Minimum wages for the Driver, Plumper and Electrician will be treated as those
for skilled category. The wages payable for office assistant shall be treated as semi-skilled
and for Cleaning Personnel and Gardener shall be treated as unskilled within the meaning
of Minimum Wages Act, 1948 and will be based on the current rates laid down by the State
Labour Department under the Minimum Wages Act (MWA), 1948. EPF & ESI will be paid
and deposited by agency. It shall be the responsibility of the agency who will have to
ensure that the House Keeping and other Personnel engaged by him, at no point of time,
will be paid less than the minimum rates of wages as prescribed and revised from time to
time for the respective categories. In case of revision/increase of rate of Minimum wages
by the Government only the excess amount pertaining to Minimum wages, EPF & ESI will
be paid by the Institute. The agency is required to quote Service Tax (Government Levy)
separately at the rates applicable in the Tamil Nadu State.

6. The Institute may check and ensure that the personnel engaged by the agency, at no
point of time, will be paid less than the minimum rates of wages as prescribed and revised
from time to time by State Labour Department under Minimum Wages Act, 1948, for the
respective categories.

7. The agency will be paid on monthly basis. Bill shall be raised by the agency in
accordance with these rates on every 1st day of the succeeding month and bills will be
submitted to the Institute’s authority for payment along with the EPF and ESI deposition
and details of service tax paid. The payment shall be released after statutory deduction of
TDS at prevailing rates.

8. The agency shall submit the list of personnel engaged by him.

9. The agency may replace/transfer the house Keeping or other personnel with the prior
knowledge of the Institute’s authority and full particulars of the personnel so engaged shall
be given to Institute’s Authority. In case any of the House keeping personnel is found to be
engaged without the previous knowledge of the Institute’s Authority, Institute’s Authority
shall not be liable to pay for such personnel.

10. No leave of any kind to the House Keeping or other personnel shall be sanctioned by
Institute’s authority. The agency shall be liable to make substitute arrangements in case of
the absence of the House Keeping and other personnel.

11. The Agency shall arrange to dress all the House Keeping and other personnel on duty
smartly and neatly and ensure their good behavior with the Institute establishment and
visitors. They shall abstain from taking part in any staff union and association activities.

12. The Institute shall not be liable to provide any residential accommodation to the House
Keeping personnel. No cooking or lodging shall be allowed to the personnel at any place
inside the campus.

13. Institute’s authority reserves the right to ask for replacement of a particular House
Keeping or other personnel employed by the agency if the services of the individual are
found unsatisfactory. But in case such a request for replacement is made, the agency will
ensure the compliance of the required legal formality.

14. The House keeping or other personnel engaged by the agency will be bound to
observe all instructions issued by Institute’s authority concerning general discipline and
behavior.

15. For all purposes the agency will be the "Employer" within the meaning of different
Labour legislations in respect of the House keeping and other personnel so employed
and engaged by him.

16. The agency shall be responsible for recruitment and engaging of House keeping or
other personnel and the personnel engaged by him shall be under his direct
control/supervision. The agency shall exercise total superintendence, control and
supervision over the personnel so engaged including their working.
17. In case the House Keeping or other personnel engaged by the agency commit any act
of omission or commission constituting mis-conduct or indiscipline, the agency shall be
liable and responsible to take disciplinary action against the personnel/staff , including
suspension, dismissal from service etc. or removal from Institute’s premises /campus.

18.The agency shall be solely responsible for compliance to the provisions of various
labour and industrial laws, such as, wages, allowances, compensations, EPF, Bonus,
Gratuity, ESI etc. relating to personnel deployed by it at the institute or for any accident
caused to them and the institute shall not be liable to bear any expenses in this regard.
The agency shall also be responsible for the insurance of its personnel. The agency
shall specifically ensure compliance of various Laws/Acts, including but not limited to
with the following and their re-enactments/amendments/modifications.

            I. The payment of Wages Act 1936
           II. The Employees Provident Fund Act, 1952
          III. The Factory Act, 1948
          IV. The Contract Labour (Regulation) Act, 1970
           V. The Payment of Bonus Act, 1965
          VI. The Payment of Gratuity Act, 1972
         VII. The Employees State Insurance Act, 1948
       VIII. The Employment of Children Act, 1938
          IX. The Motor Vehicle Act, 1988
           X. Minimum Wages Act, 1948
19. Institute shall not be responsible financially or otherwise for any injury/ accident to
the House keeping or other personnel caused in the course of their duty for payment of
any compensation.

20. The agency shall not be permitted to transfer or assign his rights and obligations under
the contract to any other organization or otherwise.

21. Time shall be the essence of the agency and the duration of this contract shall be for a
period of twelve months which is extendable for a further period of one year at the
discretion of the Institute, except in the event of earlier termination under the terms and
conditions. The contract shall automatically expire after completion of twelve months,
unless extended further by mutual consent of the parties in writing.

22. The Institute has the absolute right to terminate the contract at any time before the due
date of expiry without assigning any reason by giving one month's notice in advance to the
agency in writing or by making equivalent payment thereof. The Institute shall also have
the right to extend the contract in writing on the same terms and conditions or with some
addition/deletion/modification for a further period of one year or for a shorter period until
such time as a new agency takes over in the event of Institute resorting to the process of
appointing a fresh contractor/Agency.

23. The agency shall be bound by the details and documents as furnished by him to the
Institute while submitting the tender or at any other time. In case any of the details of such
documents furnished by him, are found to be false at any stage, this would be deemed to
be a breach of the terms of Contract making him liable for action.

24. In case of breach of any of the terms of Agreement, the performance security deposit of
the agency shall be liable to be forfeited by the Institute. In addition, the Contract/
Agreement will also be liable to be terminated. Any sum of money due or payable to the
Institute including the security deposit refundable to him under the contract can be

appropriated by the Institute against any amount which the agency may owe to the
Institute.

25. In the event of any mal practice on the part of the agency or his employees vis-a vis any
staff of the Institute or otherwise, the right to terminate the Contract will vest with the
Institute.

26. The performance of House Keeping or other personnel under the contract will be
reviewed by the Director of the Institute at 3.00 p.m. in the first week of every month and
the representative of the agency will remain present.

27. TDS will be deducted as per prevailing Income Tax Laws and certificate to this effect
shall be provided to the agency by Institute. The responsibility of paying the Service Tax
as per prevailing rates and as claimed in the bill amount, will be of the agency. The
agency will be required to furnish proof of such deposit to the Institute every month.

28. As a guarantee towards due performance and compliance of the contract work, the
successful bidder (agency) will deposit an amount equal to 5% of Annual Contract value
towards Security Deposit by way of demand draft in favour of DIRECTOR, NIEPMD,
Chennai drawn on any Nationalized Bank / Scheduled Bank and payable at Chennai.
The EMD deposited by successful agency will be adjusted towards Security deposit as
demanded above. If the successful bidder fails to furnish the difference amount between
Security Deposit and EMD within 15(fifteen) days after the issue of Letter of Award of
/work, his bid security (EMD) shall be forfeited unless time extension has been granted
by the institute.

29. In case of the termination of this contract/agreement on its expiry or otherwise, the staff,
or personnel engaged and deployed/deputed by the agency, will not be entitled to and will
not claim any absorption in the Regular or otherwise services of the Institute. The personnel
of the agency will not claim and will not be entitled to pay, perks or otherwise any facilities
as admissible to the regular/ confirmed employees of the Institute during the subsistence of
the contract/agreement and even after the expiry of the Contract/Agreement.

30. In case of any difference of opinion or dispute arising between the Parties, regarding
interpretation or implementation of any of the terms and conditions of the Contract
/Agreement then the same shall be referred to the sole arbitration of the Director of the
Institute whose decision shall be final and binding upon both the parties. However, all
matters of jurisdiction shall be at the local courts located at Chennai.



31. Uniform: The Agency shall bear full responsibility for providing uniform to the entire
House keeping and other personnel (except drivers, for whom the institute shall provide
uniform) in accordance with their nature of duties and after consultation with the institute
authorities.

                   Notes:

               (1) Estimated number of personnel is subject to reasonable change at the
               discretion of the competent authority at the institute.

               (2) However, the above number and arrangement of deployment of the
               House Keeping and other personnel is without prejudice to the right of the
               institute to deploy the personnel in any other number or manner
               considered to be more suitable by the institute in the interest of the
               institute.

33.   The EMD shall be forfeited if successful bidder fails to undertake the work or fails
to comply with any of the terms and conditions of the contract.

34.    The bid shall be valid and open for acceptance of the Competent Authority of
NIEPMD for a period of 90 days from the date of opening of the tenders and no request
for any variation in quoted rates and/ withdrawal of tender on any ground by successful
bidder shall be entertained.


35.     To assist in the analysis, evaluation and computation of the bids, the Authority
may ask bidders individually for clarification of their bids. The request for clarification and
the response shall be in writing but no change in the price or substance of the bid
offered shall be permitted.


36.     After evaluation, the work shall be awarded normally to the Agency fulfilling all
the conditions and who has quoted the lowest rate after complying with the provisions of
Minimum Wages Act. In case two or more agencies are found to have quoted the same
rates, the Competent Officer authorized by NIEPMD shall decide about the agency to
which the offer shall be granted based on the report on the past performance of the firm,
and length of experience etc. The decision of the Competent Authority shall be final.

37.     The quoted rates shall not be less than the minimum wages of Govt. of
Tamilnadu and shall include all statutory obligations. The rate quoted should be
consolidated and inclusive of Income Tax, Employer EPF contributions, ESI contribution
etc., bonus, insurance, leave salary etc.

 38. As and when the institute requires additional House keeping or other personnel
 on temporary or emergent basis, the agency will depute such personnel under the
 same terms and conditions. For the same, a notice of two days will be given by the
 institute. Similarly, if the personnel deployed by the agency at any time are found
 absent from duty or sleeping or found engaged in irregular activities, the institute shall
 deduct the requisite amount at the pro-rata rates from the bill of the agency besides
 imposition of penalty for non-observance of the terms of contract


 39. NIEPMD reserves the right to accept or reject any or all bids without assigning
 any reasons, NIEPMD also reserves the right to reject any bid which in its opinion is
 non responsive or violating any of the conditions/specifications without any liability to
 any loss whatsoever it may cause to the bidder in the process.

Note: These terms and conditions are part of the Contract / Agreement as indicated in
the Agreement between the institute and the Agency and any non-compliance shall be
deemed as breach of the Contract /Agreement.
