FOREIGN-TRADE ZONE NO. 75 ZONE SCHEDULE January 1, 2009 SITE DESCRIPTION Phoenix Foreign-Trade Zone No. 75 consists of four general purpose zone sites and nine subzone sites. General Purpose Zone Sites The Foreign-Trade Zone No. 75 general purpose zone is comprised of four sites: Site 1, owned by the Grantee, the City of Phoenix, Arizona, consists of approximately 278 acres located at Phoenix Sky Harbor Center, a business park adjacent to Phoenix Sky Harbor International Airport and approximately 60 acres within the air cargo area of Phoenix Sky Harbor International Airport. Site 2, approximately 15 acres, is located within the CC&F South Valley Industrial Center, a multi-owner business park at Seventh Street and Elwood Street, in an industrial area immediately south of downtown in central Phoenix. Site 3 is the Riverside Industrial Center, approximately 74 acres, located at 4747 W. Buckeye Road. Site 4 is the Santa Fe Business Park, approximately 18 acres, located between 45th Avenue and 47th Avenue, at Campbell Avenue. Subzone Sites Foreign-Trade Zone No. 75 also includes nine subzones operated by the following companies: 75A - Conair Corporation, Glendale, Arizona 75B - Wal-Mart Stores, Inc., Buckeye, Arizona (currently deactivated) 75C - Intel Corporation, Chandler, Arizona 75D - STMicroelectronics, Inc., Phoenix, Arizona 75E - Abbott Laboratories, Casa Grande, Arizona 75F - PETsMART, Phoenix, Arizona 75G - SUMCO Southwest, Phoenix, Arizona 75H - Microchip Technology, Inc., Chandler, Arizona 75I - American Italian Pasta Co., Tolleson, Arizona

FOREIGN-TRADE ZONE NO. 75 ZONE SCHEDULE January 1, 2009 FEE SCHEDULE I. SUBZONE FEES A. Subzone Application Sponsorship Fee. This fee is for Grantee’s expenses incurred in processing the Subzone request, obtaining all required approvals, submitting the Subzone Application to the FTZ Board, any other necessary Grantee activities associated with the Subzone Application and preparing and processing the Operations Agreement. The fee does not include preparation of the actual Subzone Application. Fee Amount: As provided in Subzone Operations Agreement

Deposit payable within 10 days after Phoenix City Council approval of Subzone Application submission. Balance due within 10 days after the Subzone Application is filed with the FTZ Board. B. Subzone Activation Fee. This fee is for Grantee’s expenses associated with providing the Grantee concurrence letter to the U.S. Customs Service. Fee Amount: $2,000

Due to Grantee within 10 days after filing of Activation Request with U.S. Customs Service C. Annual Fee for Subzones. This fee is for Grantee’s expenses associated with oversight of the Subzone and submission of the Annual Report to the FTZ Board. For a non-activated Subzone, the Annual Fee is due within 10 days after FTZ Board Order establishing the Subzone, prorated from the date of the Board’s Order through December 31 of that year. Thereafter, payable annually on January 1 of each year. Within 10 days after Activation, the difference between the Non-Activated fee paid for the remaining months in the calendar year and the Activated fee amount for that period will be due. II. GENERAL PURPOSE ZONE FEES A. Activation Fee. This fee is for Grantee’s expenses associated with assisting with the activation and providing the Grantee concurrence letter to the U.S. Customs Service. This fee does not include preparation of actual Activation Request. Fee Amount: $ 2,000

Due to Grantee prior to filing the Activation Request with the U.S. Customs Service. B. Annual Fee for General Purpose Zone Operator. This fee is for Grantee’s expenses associated with oversight of the Zone and submission of the Annual Report to the FTZ Board. Fee Amount: General Purpose Zone within City of Phoenix General Purpose Zone within Maricopa County General Purpose Zone within State of Arizona $ 7,000 $ 8,000 $11,000

Due within 10 days after initial Activation, prorated from the Activation date through December 31 of that year. Thereafter, payable annually on January 1 of each year. C. Annual Fee for Owner of Property within Non-Activated General Purpose Zone. This fee is for Grantee’s expenses associated with oversight of the Zone and submission of the Annual Report to the FTZ Board. Fee Amount: $ 1,000

Due within 90 days after inclusion of site in General Purpose Zone unless activated or within 10 days after deactivation, prorated from date of designation or deactivation through December 31 of that year. Thereafter, payable annually on January 1 every year that the site remains non-activated or becomes deactivated.

III. ADDITIONAL FEES* A. Manufacturing/Processing Authorization Request (Existing General Purpose Zone or Subzone Site). This fee is for Grantee’s expenses associated with processing the Request, obtaining all required approvals, submitting the Request to the FTZ Board and any other necessary Grantee activities associated with the Request. This fee does not include preparation of the actual Manufacturing/Processing Authorization Request. Fee Amount: As Provided in Operator Agreement

Deposit payable prior to submission of Manufacturing/Processing Authorization Request to the FTZ Board. Balance due within 10 days after Request is filed with the FTZ Board. B. Expansion or Major Boundary Modification Request (Existing General Purpose Zone or Subzone Site). This fee is for Grantee’s expenses associated with processing the request, obtaining all required approvals, submitting the Request to the FTZ Board and any other necessary Grantee activities associated with the Request. The fee does not include preparation of the actual Expansion or Major Boundary Modification Request. Fee Amount: Subzone or General Purpose Zone within City of Phoenix Subzone or General Purpose Zone within Maricopa County Subzone or General Purpose Zone within State of Arizona $ 5,000 $ 5,500 $ 8,000

Deposit payable within 10 days after Phoenix City Council approval of Request submission. Balance due within 10 days after Request is filed with the FTZ Board.

This fee is for Grantee’s expenses incurred in processing the Request, submitting the Request to the FTZ Board and any other Grantee activities associated with the Request. The fee does not include preparation of the actual Boundary Modification Request. Fee Amount: Subzone or General Purpose Zone within City of Phoenix Subzone or General Purpose Zone within Maricopa County Subzone or General Purpose Zone within State of Arizona Payable prior to filing the Request with the FTZ Board. D. Late Fee $100 per day $ 3,000 $ 3,500 $ 5,000

An additional fee of $100 per day will be added to the amount of any late payment from the date due until all fees have been paid in full. In the event that sufficient data for the Grantee to compile its Annual Report to the FTZ Board, which is required to be provided to the Grantee annually within 60 days after the close of the federal government fiscal year (October 1 through September 30) to allow the Grantee to timely file its Report, is not been received by January 1, a late fee in the amount of $100 per day will be charged beginning on January 1 until the necessary information has been received by the Grantee and all accrued late charges have been paid in full. The late fee charged pursuant to this paragraph is apart from and in addition to the obligation to reimburse the Grantee for any fine imposed upon Grantee for a late or incomplete Annual Report. *Notes: 1) In the event Grantee’s staff time or out-of-pocket costs exceed what is normal and customary
to process similar requests, the Grantee reserves the right to charge the applicant, upon reasonable notice, an additional amount in addition to the applicable fees identified in this Schedule in consideration of such excess administrative or out-of-pocket costs.

2) In addition to Grantee fees identified in this Schedule, other fees or costs associated with submitting an application may be applicable (i.e. FTZ Board fees, fees by other agencies, consultant services). 7
