    NEW VISION AND NEW MISSION STATEMENT
MEMBERSHIP APPROVAL REQUIRED FOR THE FOLLOWING CHANGE:

Current Mission Statement:
To provide leadership and coordination in promoting and marketing the Niagara Falls Tourism
Sector/Product/Industry, resulting in increased tourism revenues.

Recommended that the current mission become the new “Vision
Statement” for NFT as follows:
To provide exceptional marketing and management leadership and coordination for Niagara Falls
Tourism and its Sector/Industry/Product, raising world awareness in producing more travelers to
assure that the City of Niagara Falls maintains its preeminent position as Canada’s number one
leisure travel destination.


Recommended Niagara Falls Tourism Mission Statement:
Niagara Falls Tourism is the official tourism marketing organization of the Community,
responsible for developing public and private sector programs that produce incremental visitor
business resulting in economic development returns for the City, it’s residents and the business
community.

REQUIRE MOTION BY THE MEMBERSHIP:

THAT THE RECOMMENDED NEW VISION AND NEW MISSION BE
ACCEPTED AS NIAGARA FALLS TOURISM’S NEW VISION AND MISSION
BY THE MEMBERSHIP OF NIAGARA FALLS TOURISM.
ITEM B)




        MEMBERSHIP FEE COLLECTION POLICY
Objective: To collect all membership fee dues associated with the organization in a timely
fashion.

Implementation Outline:

   All membership invoices are e-mailed to the entire Niagara Falls Tourism membership 30
    days prior to the fiscal year end – October 31.
   All invoices are prepared by the Membership Services Department with the assistance of the
    Finance Department.
   All invoices will contain the following information:
                  Date of Invoice
                  It will be addressed to the organization’s main contact
                  It will show all properties listed as a member of the organization.
                  Breakdown of membership formula
                  All applicable taxes/service fees
                  Total of membership fee
                  Reference to Destination Marketing Fee (DMF)
                  Due date in which fee is required to be paid
   A letter will accompany the invoice notifying the membership that the membership fee is due
    upon receipt and unpaid invoices after 30 days may result in removal of all marketing
    programs and possible membership removal. . Members that are revoked, will be unable to
    be reinstated until the next membership year.
   Any requests regarding extension or submission of post dated cheques for payment must be
    made in writing to the Executive Committee for approval upon receipt of invoice. Requests
    will only be considered if there are extenuating circumstances.
   An ongoing monthly summary of payment report will be prepared for the Executive
    Committee on a monthly basis for their review.

MOTION REQUIRED BY THE MEMBERSHIP:

THAT THE RECOMMENDED NIAGARA FALLS TOURISM MEMBERSHIP FEE
COLLECTION POLICY BE ACCEPTED BY THE MEMBERSHIP OF NIAGARA
FALLS TOURISM AS PRESENTED

CHANGES TO THE CORPORATION’S BY-LAW #1
Current By-Law:

     The Directors shall appoint from within their number a Chairman of the
     Board, a Secretary, a Treasurer and other officers as required who shall
     hold office for a period of one year.

Proposed Change:

     The Directors shall appoint from within their number a Chairman of the
     Board, a Secretary, a Treasurer and other officers as required. The
     Chairman of the Board shall hold office annually and serve no more than
     three-one-year terms. All other officers appointed to a position shall hold
     office for a one-year term.

REQUIRED MOTION BY MEMBERSHIP:

     THAT THE PROPOSED CHANGE TO THE CORPORATION’S BY-LAW
     #1 AS IT PERTAINS TO THE CHAIRMAN’S TERM IN OFFICE BE
     CHANGED FROM “A ONE YEAR TERM” TO “THE CHAIRMAN OF THE
     BOARD SHALL HOLD OFFICE ANNUALLY AND SERVE NO MORE
     THAN THREE-ONE YEAR TERMS” BE APPROVED BY THE
     MEMBERSHIP OF NIAGARA FALLS TOURISM AS PRESENTED.

    CHANGES TO CORPORATION’S BY-LAW # 1
Current By-Law – Section 4a.

      Board of Directors – to act as the central governing tourism agency for
      Niagara Falls providing oversight for the following functions:

      1)    Marketing
      2)    Visitor Services
      3)    Major Tourism Events
      4)    Special Projects, and
      5)    Central Administration

      Board of Directors – to act as the central governing tourism agency for

MOTION REQUIRED BY MEMBERSHIP

THAT THE PROPOSED CHANGE TO THE CORPORATION’S BY-LAW #1 –
SECTION 4A BE ADOPTED BY THE MEMBERSHIP OF NIAGARA FALLS
TOURISM AS PRESENTED.

    CHANGES TO CORPORATION’S BY-LAW #1
Current By-Law – Section 4c

     Winter Festival of Lights – operating as a division of the corporation to
     conduct/operate this annual major event. The Festival division will have a
     separate volunteer Board of Directors to coordinate the event

Proposed Change to By-Law – Section 4c

     That this item be removed from the Corporation’s By-Law #1

REQUIRED MOTION BY MEMBERSHIP

THAT THE PROPOSED REMOVAL E FROM THE CORPORATION’S BY-LAW
#1 – SECTION 4C BE ADOPTED BY THE MEMBERSHIP OF NIAGARA
FALLS TOURISM AS PRESENTED.

    CHANGES TO CORPORATION’S BY-LAW #1
Current By-Law #1 - Section 13 – Fiscal Year

The Fiscal Year of the Foundation shall end on the 31st Day of December
annually

Proposed Change – Section 13 – Fiscal Year

The Fiscal Year of the Corporation shall end on the 31st Day of October annually

REQUIRED MOTION BY THE MEMBERSHIP

THAT THE PROPOSED CHANGE TO SECTION 13 OF BY-LAW #1 FROM
“FOUNDATION” TO “CORPORATION” AND FROM “31ST DAY OF
DECEMBER” TO “31ST DAY OF OCTOBER” BE ADOPTED BY THE
MEMBERSHIP OF NIAGARA FALLS TOURISM AS PRESENTED.

          NOTICE OF MEETINGS OF MEMBERS
Current By-Law – Section #7

  Notice of the Annual Meeting shall not be required but shall be posted by the
  Secretary in a prominent location in the Head Office of the Corporation. In
  addition to the posted notice above-mentioned, the Secretary shall send
  written notices to all current members at their last known address at least ten
  days in advance of the date of such meeting. Failure to notify all members by
  post for any reason will not invalidate an Annual Meeting providing that the
  notice above mentioned has been posted as hereinbefore set out.

Proposed Change to By-Law
