                   1        The Company
                   COWI Uganda Ltd., Uganda (the Company) is a subsidiary of COWI A/S,
                   Denmark and a member of the COWI Group.


                   2        Organisation
                   The Managing Director is overall responsible for the management of COWI
                   Uganda Ltd.. He reports to the Vice President of the COWI Africa region.


                   3        Duties
                   The Managing Director shall operate the Company in accordance with statutory
                   law, company regulations and COWI Group Corporate Guidelines as well as
                   the decisions of the Vice President of COWI Africa. It is his/her duty to operate
                   the Company as a sound business and in accordance with the strategy for the
                   Africa Region. He shall ensure that client relations, marketing, project imple-
                   mentation are fully coordinated with the pertinent service clusters and COWI
                   Group members.

                                      Interest of the entire COWI Group shall always take precedence over that of the
                                      Company.


                                      4             Responsibilities
                                      Strategy
                                      The Managing Director shall operate the Company in accordance with the
                                      strategy and the Business plan. The Business plan is to be updated annually and
                                      the Company shall continue to develop new services complying with the cli-
                                      ents' needs and develop and maintain professional and managerial competence.

                                      Reporting
                                      The Managing Director shall ensure that all reporting such as financial report-
                                      ing follows the COWI Group requirements.

                                      Clients
                                      The Managing Director shall in cooperation with the sales responsible staff co-
                                      ordinate and develop the market within COWI's service clusters. This will in-
                                      clude proactive sales meetings with clients, building relations with selected cli-
                                      ents and partners.

                                      Staff
                                      The Managing Director shall ensure that the staff of the Company develop its
                                      capabilities in accordance with staff policies, agreements and the future busi-
                                      ness requirements. The Managing Director shall encourage a positive atmos-
                                      phere in the office; take the necessary actions and supporting activities.

                                      Budgets and Business plans
                                      The Managing Director shall propose budgets and Business plans for the Com-
                                      pany. It is his/her duty to meet the budgets and Business plans as approved by
                                      the Vice President of COWI Africa.

                                      Communication and knowledge sharing
                                      The Managing Director shall represent the Company and the entire COWI
                                      Group loyally towards external partners and through-out the organisation.

                                      The Managing Director shall ensure that suitable information is communicated
                                      to staff of the Company and to relevant key employees of the COWI Group.
                                      This shall include reporting on performance parameters and key indicators.


                                      5             Co-operation
                                      The Managing Director shall ensure that the Business plan and the activities of
                                      the Company are coordinated with other companies of the COWI Group.

                                      The Managing Director shall contribute to a constructive atmosphere of coop-
                                      eration in the management teams he takes part in.

                                      6             General Performance
                                      It is the Managing Director's responsibility to create and visualize the possibili-
                                      ties for and the framework of making results for each employee. The possibili-
                                      ties are defined through a clear, communicated and accepted strategy for the
                                      operations of the Company, and in accordance with COWI's overall strategy,
                                      basic values, general policies, as well as corporate management and quality
                                      principles.

                                      The Managing Director shall demonstrate career opportunities for the employ-
                                      ees. The opportunities shall be described in general for the entire group of em-
                                      ployees and in clear terms for each individual.


                                      7             Performance Evaluation/Critical Achievement Factors
                                      Once a year The Managing Director's performance will be evaluated as follows:

                                      1     Financial Position
                                             • Profit of the company
                                             • Appropriate growth of the company consistent with quality.

                                      2     Building Relations
                                            • Client satisfaction
                                            • Satisfaction/motivation of staff
                                            • Co-operation between COWI and other relevant business units of the
                                                 COWI Group.

                                      3     Strategic Development
                                             • Development of new business
                                             • Competence development
                                             • Quality.


                                      8             Professional and Personal Development
                                      The Managing Director is required to develop his professional and managerial
                                      skills. The development can be through participation in internal COWI Group
                                      activities or external education/training activities.
