                                                     for the supply of Permanent or Contract Staff

I) DEFINITIONS

“Introduction” means
(i) "The Client’s" interview of "The Applicant" either in person, by telephone, or webcam following
 "The Client’s" instruction to “The Agency” to search for “an Applicant”; or
(i.i) submitting "The Applicants" details to "The Client" with a view to employ “The Applicant(s)”;

“The Applicant” means
(ii) all individuals introduced by "The Agency" to "The Client" for "Contract/Engagement/Employment";

 “The Client” means
(iii) the family or Employer, firm or corporate body together with any subsidiary or associated
Company;

 “The Agency” means
(iv) Nannies-Now Limited;

"The Parties" means
(v) either "The Agency" and "The Client", or "The Agency” and "The Applicant";

“Contract/Employment” means
(vi) the Engagement, Employment or Contracting with "The Applicant" by "The Client" or any third
party on a permanent or temporary basis.


II) THE CONTRACT

Clause (ii/i)
These Terms constitute "The Contract" between "The Agency" and "The Client" and are deemed to be
accepted by "The Client" by virtue of an "Introduction" to, or the Employment of "The Applicant" or
the passing of any information about "The Applicant" to any third party following "The Introduction";
Clause (ii/ii)
These “Terms of Business” contain the entire agreement between "The parties" and unless otherwise
agreed in writing by a Director of NANNIES-NOW Ltd, these "Terms of Business" prevail over any
other “Terms of Business”;

III) NOTIFICATION AND FEES

Clause (iii/i)
"The Client" agrees to notify "The Agency" immediately of any offer of an Engagement which it makes
 to "The Applicant" and to pay "The Agency’s" fee within 7 days of the date of invoice;
Clause (iii/ii)
"The Agency" reserves the right to charge the client a TEN PERCENT (10%) surcharge on all outstanding
monies not settled within this period;
Clause (iii/iii)
The fee payable to "The Agency" by "The Client" for an Introduction resulting in an Engagement is
calculated in accordance with "The Agency’s" Fees Structure as detailed per "The Agency's" website;
Clause (iii/iv)
If "The Client" subsequently engages or re-engages "The Applicant" within the period of TWELVE (12)
calendar months from the date of termination of the Engagement or withdrawal of the offer, a full fee
calculated in accordance with clause (iii/iii) above becomes due and payable;

IV) REPLACEMENT GUARANTEE
Clause (iv/i)
Introduction fees for Applicants are non-refundable;
Clause (iv/ii)
If the engagement lawfully terminates before the expiry of EIGHT (8) weeks from the commencement
of "The Employment Contract" then "The Client" will be entitled to our NANNIES-NOW LTD replacement
guarantee which may be used at any time in the future. The NANNIES NOW LTD replacement guarantee
means that every effort will be made to provide a suitable replacement without any further charges being
levied, on the proviso that:-
Clause (iv/iii)
(a) "The Agency" is informed in writing within THREE (3) days/SEVENTY-TWO HOURS (72hrs) of the
termination
(b) The relevant fee has been settled within 7 days of the date of invoice
(c) The employment has not been terminated due to unreasonable demands by "The Client" or there has
been changes in job description, hours, rate of pay or job location;

V) CANCELLATION FEE
Clause (v/i)
If after an offer of Engagement has been made to "The Applicant" and accepted and "The Client" decides
for any reason to withdraw from the agreement "The Client" shall be liable as follows, if:
(a) The commencement date is FOURTEEN (14) days or less from date of cancellation the full fee is payable
plus one week's wage to "The Applicant"
(b) The commencement date is FIFTEEN (15) days or over from the start date, then a cancellation fee of
ONE HUNDRED & FIFTY GBP (£150) ($, Euro & Dhs equivalent) administration charge is due and
payable;

VI) INTRODUCTIONS

Clause (vi/i)
Introductions of Applicants are confidential. The disclosure by "The Client" to a third party of any details
regarding an Applicant introduced by "The Agency" which results in an Engagement with that third party
within TWELVE (12) months of "The Introduction" renders "The Client" liable to payment of "The Agency"
Fee in accordance with our current Fees Structure;

VII) SUITABILITY AND REFERENCES

Clause (vii/i)
Whilst "The Agency" endeavours to ensure the suitability of any Applicant introduced to "The Client",
 "The Client" must satisfy themselves to the overall suitability of any Applicant introduced. "The Agency"
only acts as an introduction and booking agent and advises "The Client" to take up references provided by
"The Applicant", check and retain copies of "The Applicant's" ID and necessary certificates and if
applicable to check "The Applicant's" driving licence on a quarterly basis;
Clause (vii/ii)
"The Agency" endeavours to take all such steps as are reasonably practicable to ensure that "The Client"
and "The Applicant" are aware of any requirements imposed by law or any professional body to enable
"The Applicant" to work in the position which "The Client" has offered;
Clause (vii/iii)
"The Client" is responsible for obtaining work permits and/or such other permission to work as may be
required, for the arrangement of medical
examinations and/or investigations into the medical history of "The Applicant", and satisfying any
medical and other requirements, qualifications or permission required by law of the country in which

"The Applicant" is being engaged to work;


VII) SUITABILITY AND REFERENCES continued

Clause (vii/iv)
"The Client" as "The Employer" is responsible for the issuing of an employment contract, wage slips and
the payment of all other statutory contributions as required by the local authorities of their jurisdiction.
"The Agency" acts only as an introduction and booking agent therefore holds no employer responsibility
for any Applicant, whether introduced on a permanent, contract or temporary basis;
Clause (vii/v)
“The Agency” undertakes to perform the following:-
(i) Verify the identity of each maternity nurse and nanny against her driving licence, passport or birth
certificate;
(ii) Query & check where possible reasons for any gaps in “The Applicant’s” employment history;


(iii) Request to view original certificates of qualification, in the absence of an original certificate we verify
the qualification with the relevant awarding body or college;


(iv) Check the validity of “The Applicant’s” Police Disclosure (Criminal Record Bureau) of “The Applicant”,
and supply the serial number to “The Client”;


(v) Telephonically check at least two (2) references to confirm the competence and suitability of “The
Applicant”;


VIII) LIABILITY

Clause (viii/i)
"The Agency" shall not be liable under any circumstances for any loss, expense, damage, delay, costs or
compensation (whether direct, indirect or consequential) which may be suffered or incurred by "The
Client" arising from or in any way connected with "The Agency" seeking an Applicant for "The Client" or
from the Introduction to or Engagement of any Applicant by "The Client" or from the failure of "The
Agency" to introduce any Applicant. For the avoidance of doubt, "The Agency" does not exclude liability for
death or personal injury arising from its own negligence;

IX) LAW

Clause (ix/i)
These "Terms of Business" are governed by International Agency Law and are enforceable in the
jurisdiction of the "The Client's" domicilium citandi et executandi.

Placements between one (1) & sixteen (16) weeks are considered Temporary
Placements exceeding sixteen (16) weeks will be subject to Permanent Fees.

Permanent (16 wks - 1yr): 15% of annual salary

Maternity Costs:
Maternity Nurses are self-employed and therefore are responsible for their own statutory contributions such
as personal tax & NI (where applicable)

15% of annual salary

Au Pair costs:
