					This is an agreement between a landlord and a tenant whereby both parties mutually
agree for the premature termination of an office lease. For this termination to be valid,
both parties must voluntarily agree to terminate the lease early. In addition, the tenant
agrees to indemnify the landlord against any losses the landlord sustains in connection
with the tenant's occupancy. This agreement can be used by individuals or entities that
want to terminate an office lease before its term expires.
                           TERMINATION OF OFFICE LEASE
This Termination of Office Lease Agreement (“Termination Agreement”) is made on this ____
day of ___, ______ by and between ___________________ (“Landlord”) and
__________________ (“Tenant”).

WHEREAS Landlord entered into an Agreement to Lease with Tenant dated the _____ day of
_______________, ______ (the “Lease Agreement”) for the premises located at
__________________________________ (the “Premises”);

WHEREAS Tenant has been in possession of the Premises since on or about that date;

AND WHEREAS Tenant and Landlord desire to end their relationship and mutually agree to
terminate the Lease Agreement forthwith;

NOW THEREFORE, in consideration of the mutual covenants and recitals herein, Landlord and
Tenant hereby acknowledge that the Agreement Lease in favor of Tenant is terminated effective
the ______ day of ________________, 20_____ conditional upon the following:

1.    The Premises must be return to Landlord in a good state of repair and condition in
accordance with paragraph _________ of the Lease Agreement;

2.     Tenant will indemnify and save harmless Landlord after termination of the Agreement
Lease in accordance with Paragraph ________ of same and, in addition thereto, from any and all
losses, costs, legal costs, fees, expenses, demands, liabilities, penalties, suits, claims, actions,
damages, of any nature or kind whatsoever that may be made or brought against Landlord by any
party, either directly or indirectly, arising from any liability that Tenant has or may have with
respect to any matter related to Tenant’s use of the Premises; and

3.    The parties acknowledge and agree that a facsimile signature from any party executing
this Termination Agreement shall be binding upon that party and that this Agreement may be
executed in any number of counterparts, each of which shall be deemed to be an original and all
of which shall constitute one instrument.
