CALIFORNIA STATE UNIVERSITY, LONG BEACH EMERITUS AND RETIRED FACULTY ASSOCIATION An Affiliate of the California State University Emeritus and Retired Faculty Association BYLAWS Article I. Dues and Assessments. The Affiliate is currently funded by rebates of membership dues paid by Affiliate members to the California State University Emeritus and Retired Faculty Association. Article II. Terms and Duties of Officers. Section 1. The officers of the Affiliate shall be the President, Immediate Past President, Vice-President, Secretary, and Treasurer. Section 2. The President and Vice-President shall serve one-year terms. The Secretary and Treasurer shall serve two-year terms. Section 3. The President shall preside at the meetings of the Affiliate and the Executive Committee, shall exercise general supervision over the affairs of the Affiliate and shall serve as ex-officio member of all committees with the exception of the Nominating Committee. The President shall, in consultation with the Executive Committee, appoint members of approved committees subject to confirmation by a majority vote of Affiliate members attending a scheduled Affiliate meeting. Section 4. The Vice-President shall assume the duties and responsibilities of the President in the absence of the latter and shall perform such other duties as assigned by the President. The Vice-President shall serve as Program Chair at Affiliate meetings. Section 5. The Secretary shall keep the minutes of the Affiliate and Executive Committee meetings, and shall be the custodian of all Affiliate records. The Secretary shall duplicate and distribute Affiliate meetings minutes for approval by Affiliate members. Section 6. The Treasurer shall be the custodian of all Affiliate funds and shall make a report on the financial standing of the Affiliate at each Affiliate meeting. Article III. Affiliate Committees. Section 1. Executive Committee: The Committee shall advise and consult with the President and shall have such duties as assigned by the Affiliate or by the President. All decisions of the Executive Committee shall be subject to confirmation by the Affiliate. The members shall be composed of the officers of the Affiliate and three elected members-at-large who serve staggered two-year terms. The committee shall hold regularly scheduled meetings. Section 2. Membership Committee: The Committee shall be composed of a chair and two (2) members. The chair and other committee members shall be nominated annually by the President and confirmed by the Affiliate. This committee shall maintain up-to-date lists of retired California State University, Long Beach, faculty members and shall undertake the recruitment of new members and the retention of existing members. Section 3. Publication Committee: The Committee shall be composed of a chair and two members. The chair and other committee members shall be nominated annually by the President and confirmed by the Affiliate. The committee shall be responsible for providing items of interest on Affiliate activities, member professional activities and personal events, and other relevant information to the Editor of the CSU-ERFA Reporter and/or to the Editor of University Publications on campus. Section 4. Legislative Committee: The Committee shall be composed of a chair and two members. The chair and other committee members shall be nominated annually by the President and confirmed by the Affiliate. The committee shall follow California and National legislation, Public Employees’ Retirement System Board decisions, and other political actions that affect the welfare of Affiliate members and report them at Affiliate meetings. Section 5. Courtesy Committee: The Committee shall be composed of a chair and two members. The chair and other committee members shall be nominated by the President and confirmed by the Affiliate. The committee, with the cooperation of other Affiliate members, shall be responsible for sending sympathy cards to CSULB-ERFA members who have been hospitalized or to the surviving family of a deceased member. Whenever possible, the chair shall be responsible for notifying the Editor of University Publications on campus and the CSU-ERFA office of the death of a member. Section 6. Ad hoc Committees: The President, in consultation with the Executive Committee, may establish ad hoc committees as the need arises. Section 7. Vacancies: The President, in consultation with the Executive Committee, shall have the authority to fill committee vacancies. Section 8. Quorum: A quorum for all committee meetings shall consist of a majority of the committee. Article IV. Nomination and Election of Officers. Section 1. Nomination: The Executive Committee shall appoint a Nominating Committee of three Affiliate members prior to the second Affiliate meeting in the fall. The Nominating Committee shall prepare a list of nominees for the elective offices for the following year. This list shall be made available to Affiliate members at least three weeks prior to the election meeting, together with a notation that nominations from the floor may be made at the election meeting. Section 2. Election: Election shall be by majority vote of Affiliate members attending a scheduled Affiliate meeting. Voting shall be by secret ballot for contested offices; a voice vote shall be in order for those offices not contested. Article V. Affiliate Meetings. Section 1. The Affiliate shall meet at least twice a year at times determined by the Executive Committee. Section 2. The Affiliate shall meet at other times as determined by the Executive Committee, or as petitioned by at least ten (10) members of the Affiliate. Article VI. Amendments to the Bylaws. Amendments to the Bylaws may be proposed at a meeting of the Affiliate or by the Executive Committee or by a petition signed by at least seven (7) members of the Affiliate, who are not members of the Executive Committee, at least three weeks prior to the next meeting of the Affiliate. Action on the proposed amendment shall take place at that time. The amendment shall be ratified upon a favorable vote of the majority of the Affiliate members present and voting. Article VII. Parliamentary Authority. Robert’s Rules of Order, Newly Revised, latest edition, shall be the parliamentary authority for this Affiliate.
