Travel Agent Agreement
This Travel Agent Agreement is between a travel agency and a client that wants to use
the agency’s services to assist with travel plans. Under this agreement, the agency
agrees to book all flights, hotels, transportation, and make destination recommendations
to the client. In return for the agency’s services, the client agrees to pay the agency a
flat fee per person traveling. This agreement is ideal for individuals or small businesses
that want to provide or receive travel agent services.
TRAVEL AGENT AGREEMENT
THIS TRAVEL AGENT AGREEMENT (hereinafter referred to as the “Agreement”), is made

WHEREAS, Client desires to engage a travel agency to assist Client with Client’s travel plans;
WHEREAS, Agency is a travel agency, with experience assisting Clients with their travel plans;
WHEREAS, Client desires to engage Agency to assist Client with Client’s travel plans; and,
subject to the terms and conditions contained herein, Agency desires to accept such engagement.
NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth
below, it is hereby covenanted and agreed by the parties as follows:
1. AGENCY’S ENGAGEMENT
Client hereby engages Agency to represent Client in selecting and booking Client’s travel
accommodations. Agency agrees to exercise Agency’s best efforts and due diligence to assist
Client in selecting and booking travel accommodations which meet Client’s requirements.
Agency’s duties shall include, without limitation: (a) conversing with Customer to determine
destination, mode of transportation, travel dates, financial considerations and accommodations
required; (b) providing Client with travel information about selected travel destinations; (c)
planning, arranging, and discussing travel plans with Client; (d) computing cost of travel and
accommodations for Client; and (e) booking transportation and making hotel reservations for
2. AGENCY’S BOOKING OF CLIENT’S TRAVEL
a. Agency shall provide Client with a proposal (the “Proposal”), which includes a
complete travel itinerary and the purchase price for all desired transportation and travel
accommodations (the “Purchase Price”).
b. In the event that Client desires to book the proposed travel, Client shall sign
Agency’s Proposal and pay Agency __________ percent (__%) [Instructions: Insert the
percentage of the purchase price Client must pay upfront] of the Purchase Price. The date
that Client signs the Proposal and makes partial payment thereunder shall henceforth be referred
to as the “Booking Date.” The remainder of the Purchase Price shall be due and payable

of the purchase price is due] days prior to commencement of travel pursuant to the Proposal.

c. All requests for rescheduling and/or cancellation shall be subject to the policy of
the applicable airline, hotel, car rental company and/or other travel carrier booked (collectively,
the “Travel Carriers”). Client agrees to look only to the Travel Carriers for reimbursement or
return of travel fares paid for such rescheduled or cancelled travel, and expressly agrees to
indemnify and hold Agency harmless from all claims regarding rescheduled or cancelled travel.
Notwithstanding the foregoing, Agency agrees to use best efforts to assist Client with
rescheduling all such travel.
3. AGENCY’S COMPENSATION
a. In consideration of the service rendered by Agency hereunder, Agency requires a
service fee of __________ Dollars ($____) [Instructions: Insert the service fee Agency will
charge per person] per person, per travel destination (the “Fee”). The Fee shall be payable
upon the Booking Date.
b. Client understands that, in addition to the foregoing compensation, Agency may
also receive commission from Travel Carriers, for travel accommodations booked for Client

Client understands that Agency represents other Clients and may present such other Clients the
same or similar travel accommodations that Client is considering. Client is aware that supply of
certain travel accommodations is limited. Client consents to Agency’s representation of such
5. DISCLAIMER OF WARRANTY
Client expressly agrees that Agency’s services are provided at Client's sole risk. Agency’s
services are provided on an “as is” and “as available” basis. Agency expressly disclaims all
warranties of any kind, whether express or implied. Agency makes no warranty that the
Agency’s services will meet Client’s requirements, or that the Agency’s services will be
uninterrupted or error-free. Client understands and agrees that all of Agency’s services are
performed at Client’s own discretion and risk and that Client will be solely responsible for any
damages or losses that results from Agency’s services. No advice or information, whether oral or
written, obtained by Client from Agency shall create any warranty not expressly made herein.
6. LIMITATION OF LIABILITY
Agency shall not be liable for any direct, indirect, incidental, special or consequential damages,
resulting from the use or the inability to use Agency’s services. Agency shall not be liable for
the cost of procurement of substitute services or resulting from any services purchased or
obtained in connection with Agency’s services. Client hereby expressly waives any right to
direct, indirect, incidental, special or consequential damages for claims disputes and other
matters arising out of or relating to this Agreement and/or Agency’s services hereunder.

Notwithstanding anything to the contrary contained herein, Agency’s maximum liability to
Client arising hereunder shall be limited to the Fee paid by Client to Agency hereunder.
a. This Agreement constitutes the entire agreement between the parties hereto with
respect to the specific subject matter hereof and supersedes all prior agreements or
understandings of any kind with respect to the specific subject matter hereof.
b. In the event that any provision or part of this Agreement shall be deemed void or
invalid by a court of competent jurisdiction, the remaining provisions or parts shall be and
remain in full force and effect.
c. Any and all additions, deletions, or modification to this Agreement must be in
writing and signed by the parties or it shall have no effect and shall be void.
d. This Agreement is binding upon and shall inure to the benefit of the respective
successors, licensees and/or assigns of the parties hereto. Notwithstanding the foregoing, neither
party may assign or transfer its rights or delegate its obligations under this Agreement without
the other party's prior written consent, which consent will not be unreasonably withheld.
e. No failure by either party to pursue any remedy resulting from any breach of any
provision of this Agreement by the other party shall be construed as a waiver of that breach or as
a waiver of any subsequent or other breach unless such waiver is in writing and signed by the
