POWER OF ATTORNEY Jovany Miliano (“the Grantor”) hereby grants to Aaron Valley (“the Agent”) a general power of attorney. As the Grantor’s attorney in fact, the Agent shall have full power and authority to undertake and perform the following on behalf of the Grantor including but not limited to the right: 1. To demand, sue for, collect, and receive all money, debts, accounts, legacies, bequest, interest, dividends, annuities, and demands as are now or shall hereafter become due, payable, or belonging to principal, and take all lawful means, for the recovery thereof and to compromise the same and give discharges for the same; To execute, accept, and negotiate, in the name of the Grantor, contracts, contracts of sale, deeds, leases and assignments of leases, covenants, agreements and assignments of agreements, to secure indebtedness or other obligations, and assign the beneficial interest there under, subordinations of liens or encumbrances, receipts, evidences of debt, releases, bills, partial or full judgments, and any other debts, and other written instruments of whatever kind and nature, all upon such terms and conditions as said attorney shall approve; To inquire, investigate, initiate, defend, and/or settle legal actions and tax matters on behalf of the Grantor; To retain an accountant, attorney at law or other advisor deemed by the Agent to be necessary to protect the interests of the Grantor in relation to such powers.
Giving and granting to said attorney full power and authority to do all and every act and thing whatsoever requisite and necessary to be done relative to any of the foregoing as fully to all intents and purposes as principal might or could do if personally present. By accepting this grant, the Agent agrees to act in a fiduciary capacity with the reasonable best interests of the Grantor. This power of attorney may be revoked by the Grantor at any time; however, any person dealing with the Agent as attorney in fact may rely on this appointment until receipt of actual notice of termination.
