A.I.S.E. Save Energy & Water Project
LETTER OF PARTICIPATION / COMMITMENT FOR COMPANIES TO THE A.I.S.E. SAVE ENERGY & WATER PROJECT

A COMMITMENT by ___________________________________(“the Company”) with a principal place of business at __________________ _____________________________(“Address Headquarters”) to the A.I.S.E. Save Energy & Water Project (“the Project”) of the Association Internationale de la Savonnerie, de la Détergence et des Produits d’Entretien AISBL, with its legal seat at 15A, Avenue Herrmann Debroux, 1160 Brussels, Belgium (“A.I.S.E.”), dated ___________________________, 2007. WHEREAS The aim of the Project is to encourage Automatic Dish Washing (ADW) consumers in European Union countries to optimise energy and water use in their choice of ADW machine wash programs / cycles, through the appropriate use / communication of the Save Energy and Water Icon (the “Project Trade Mark”); Further details on the principles and aim of the Project are set out in the Project Description, which will be published on A.I.S.E’s website at www.aise-net.org / the Project Website at www.saveenergyandwater.com; It is a fundamental part of A.I.S.E. policy, and as such this Project, to act always in compliance with all applicable laws, in particular with competition law, in pursuing its goals. In pursuing this project A.I.S.E. and the Company shall endeavour to always act in strict compliance with competition law and shall specifically observe the current A.I.S.E. Competition Law Compliance Guidelines (currently date 22 Sept 2005). The Company has applied to the A.I.S.E. to be recognized as being a participant to the Project and has agreed to make the commitments set out below; The A.I.S.E. is satisfied that the Company manufactures Automactic Dish Washing Detergent Products (“ADWPs”) and/or places them on the market in European (EU 27 + Norway, Iceland, Switzerland) countries (“Producer”), and as such meets the Eligibility Requirements of the Project; The Company HEREBY COMMITS (“Commitment”) to the Project in respect of its ADWPs (“ADW Operations”) placed onto the European market (EU 27 + Norway, Iceland, Switzerland) – 1 and in any other countries where it may make use of the Project Trade Mark – as set in Annex 1. WHEREBY the Company shall  Strive to meet the aim of the Project, support the continual improvement of the sustainability of the soap, detergent and maintenance sector and in particular strive to do nothing that may

be detrimental to the aims of the Project or that may bring the Project, fellow Project participants, A.I.S.E. or its members into disrepute;  Endeavour to always act in strict compliance with competition law Comply with the terms of the Project Trade Mark Licence Agreement, regarding the use of the Project Trade Mark, granted as part of this Commitment to the Project; Each Company adhering to the Project will commit to take concrete and specific steps towards achieving the objectives of the Project, which means communicating the message to consumers. In particular automatic dishwashing detergent companies participating in the Project will commit to encourage consumers to “Save Energy and Water”; this will be done by Using the Project Trade Mark on packaging of ADW detergent products, referring to the Project website address “www.saveenergyandwater.com” (“Project Website”) as specified in the Trade Mark Licence Agreement; Organising other appropriate consumer communication based on materials provided by A.I.S.E. in the context of a defined industry communication plan and which may -but is not necessarily required to on an individual Company/country basis - include activities aiming to promote the Project through various communication means, such as the use of a Project "tag on" on ADWP's TV advertising, or the use of the project’s logo in Company sustainability/corporate responsibility communication materials. Promotion of the Project through information displayed on Company/brand websites shall use the exact same wording as the one provided on the Project website. It shall also be indicated that the company/brand supports the Industry campaign “Save Energy & Water, but no reference shall be made to the product/brand performance. In addition a link shall point to the Project Website. Costs associated to those will be borne by the company.; Ensuring that its ADWP’s which bear the Project Trade Mark will perform satisfactorily under the Project Trade Mark defined energy saving programs (i.e. 50°/55°/auto programs)




Submit to A.I.S.E. on an annual basis and in a timely manner such reasonably accurate data regarding the extent to which the Project Trade Mark is being used on ADW detergent products (i.e.- per calendar year 2 and per country3 - total number of SKUs placed on the market and number of SKUs carrying the Trademark in EU 27 + Norway, Iceland, Switzerland), to allow the A.I.S.E to monitor and report on the extent of compliance with the conditions of and implementation of the Project (although it is recognised that the extent to which individual Project participants use / communicate the Project Trade Mark shall remain a matter of their individual choice). A.I.S.E. acknowledges that the data and information provided by the Company may be commercially sensitive and agrees to maintain and keep such data and information in the strictest confidence, and shall regardless only communicate such data and information externally after it has been collated to provide cross-company information. For the avoidance of doubt, the A.I.S.E. shall not reveal individual-company data and information in isolation.

This Commitment shall remain in full force and effect until either terminated a) by the Company at any time serving not less than six (6) months’ written notice upon the A.I.S.E. of its withdrawing its subscription to the Project or b) by A.I.S.E. serving not less than 6 months prior written notice upon the Company following the Company’s failure to meet material requirements under the Project and/or this Commitment and/or being in a material breach of the terms of the Trade Mark Licence, provided, however, that A.I.S.E. must provide the Company with written notice to the Address Headquarters specifying the Company’s material failure or material breach. If such failure and/or breach is cured by the Company within sixty (60) business days from receipt of such notice the termination by A.I.S.E. for the respective failure or breach shall be null and void.

Any Company dissatisfied with any decision of A.I.S.E. in relation to the Project which may prejudice its interests may refer the matter to the A.I.S.E. Board who will render a decision, after considering the Company's representations. This Commitment and the rights, duties and responsibilities of the Company and A.I.S.E. under the Charter shall continue in full force and effect during any notice period.
