                                   Minutes of Meeting

                             Scranton Cemetery Association

                                    Board of Directors

                                  2 p.m., March 3, 2007


Present: David Boland, Ann Etta Dunning, Robert Gattis, Sarah Matthews, Norris Starr
and Robert Shrader.

1. Minutes from previous meeting: Approved

2. Financial Report: David Boland distributed the Scranton Cemetery Association Account
Balances January 24, 2007 (see attachment A) and the Scranton Cemetery Association
Statement of Cash Receipts and Cash Disbursement April 24, 2006 to January 24, 2007
(see attachment B). David explained the CD at the American National Bank at Cisco had
matured, and that amount was shown on the report as part of the checking account total at
the bank. The Washington Mutual CD matures in March of 2011. Approved.

3. New Investments: With the maturity of the American National Bank CD and the cash on
hand in our Merrill Lynch account, the cemetery association now has an excess of cash. David
had checked with American National Bank of Cisco and Merrill Lynch for a comparison of
CD rates, and Merrill Lynch rates provided the best return. David recommended issuance of a
check in the amount of $27,500 to Merrill Lynch to be combined with money from the
cemetery association cash account with that firm for a total investment of $35,000 in a high
quality Certificate of Deposit with a term of no more than four years at the highest interest rate
available. The board approved that strategy and a letter to Merrill Lynch signed by the board
president, vice president and secretary with the investment instructions (see attachment C).

4. Cemetery Deed Status: David Boland reported he had made three attempts to reach
Lavada Starr by telephone for additional discussion concerning the status of ownership of the
cemetery. She did not return his calls. Sarah Matthews said after additional consideration
following the last meeting of the cemetery board, she decided not to consult her daughter-in-law
for additional legal advice on cemetery ownership. Robert Shrader presented a resolution
authorizing the board president to retain counsel for filing a Claim of Adverse Possession or any
other legal remedy recommended by counsel to get title of the land transferred to the Scranton
Cemetery Association (see attachment D). The resolution was approved unanimously.

5.Historical Cemetery Marker: Sarah Matthews reported the application paperwork
had been completed and it will be submitted to the Eastland County committee
responsible for application review.

6. Fire Ants: David Boland said he had treated the cemetery for fire ants after our last meeting.
7. Lane Cemetery: The Lane Cemetery, the first generally-used cemetery in the
immediate Scranton area, is on private property owned by Robert Gattis. Robert G. said
no additional progress has been made cleaning up the cemetery since our last meeting, but
he hopes to retain some teenage workers during spring break to continue the cleanup. He
said the cemetery is in much better shape than it has been in a long time. David Boland
asked for discussion on the possibility of the Scranton Cemetery Association assuming
financial responsibility for the cost of maintaining that cemetery. There was some
discussion about what degree of financial committment was correct and whether the
bylaws would have to be changed. Ann Etta Dunning suggested her son Ricky might be
able to use prisoners to do the work. Robert G. indicates he wants to oversee the
remaining brush clearing that occurs. The board decided that for now, Robert G. will
present receipts for cleanup expenses at cemetery board meetings.

8.Texas Uniform Unincorporated Nonprofit Association Act (TUUNAA): Per
suggestion of Sarah Matthews, David will discuss requirements of TUUNAA that may apply
to the cemetery association with Tommy Wofford, the attorney to be approached about
doing the legal work on the land title.

9.Meeting and Mailout: The next annual meeting of the Scranton Cemetery Association is
scheduled for 7 p.m. Thursday, May 3rd at the Scranton Community Center. Robert Shrader
will handle the production and mailout of the letters. The letter will contain notification of the
meeting, a request for contributions and a notation that contributions are tax deductable. At
the beginning of the meeting, Robert S. distributed an updated copy of the mailing list. He
asked other board members to review the list and send corrections to him as soon as
possible by email. David Boland supplied some printed contribution envelopes, which can be
used by putting labels over the address. David also indicated he may have some window
envelopes that could be used as part of the mailout.

10. Next Board Meeting: Thursday, May 3, 2007, following the annual meeting of
the association.

Attachment D

                      Resolution Regarding Cemetery Ownership
Whereas, under the Bylaws of the Scranton Cemetery Association, a non-profit
      association, the Board of Directors is responsible for overseeing the affairs of
      the Scranton Cemetery located in Scranton, Eastland County, Texas;

Whereas, Joseph Jackson Ray and his wife Sarah Frances Morgan Ray donated land for
      a church and cemetery as indicated in the deed on file (Vol 31, Page 153) with
      the County Clerk of Eastland County;
Whereas, the deed specified ownership reverted to heirs of Joseph Jackson Ray and
      Sarah Frances Morgan Ray if the property ceased to be used for a church and
      cemetery;
Whereas, the deed on file with the County Clerk of Eastland County is the only
     objective indication of intent of the original owners of the land;

Whereas, the Scranton Baptist Church has ceased to exist, creating questions about
      administration of the property;

Whereas, Scranton Cemetery Association has been responsible for the cemetery
     for more than 25 years;

Whereas, the intent of the Scranton Cemetery Association is to guarantee the
     future security of the land as a cemetery -- the final resting place for
     relatives, ancestors and friends;

Therefore, be it resolved the Board of Directors of the Scranton Cemetery
      Association hereby authorizes the President of the Scranton Cemetery
      Association to retain legal counsel for the purpose of filing a Claim of
      Adverse Possession, or any other legal remedies as may be
      recommended by such legal counsel, seeking transfer of the title of the
      land to the Scranton Cemetery Association. Furthermore, the Board of
      Directors authorizes the President to serve as agent and file any
      necessary documents with the Texas Secretary of State authorizing the
      Scranton Cemetery Association to own assets.
