Interesting, you even stumped Microsoft on this one. Thanks for the feedback.

So far their response has been on the level of.... If it's working, then there is really nothing we
        can check.
They did recommend I upgrade the Forest/domain to 2003 native, which I went ahead and
        did.
        I then ran(again):
        setup /ps
        setup /p
        setup /pd
to make sure AD had everything it needed.

Still no errors that I can report.

The Tech did some research, they have never seen this before. I am the first that this person
knows of.....so I asked the tech if I win a prize. Unfortunately no.

Please let me know what the final outcome is, I am very curious. Thanks.

I opened a case with MSFT support on this.

So far they have no clue, and are doing some research on the
                     issue.
Since I am not reporting any problems, they are not sure
                     what to look for.

Wow, as for the Exchange Setup log, do a
Find search in the log for "errors" or "error"
to see if anything relevant pops out. Again, I
have not seen this happen in any upgrade I
have completed so you may have to get
Microsoft involved directly if this is indeed
the case as your AD may need to be cleaned
up before performing any other operations as
you have stated already. If you do perform
any operations I would definitely take a
System State backup before doing so. You
might also try posting the Active Directory
Newsgroup to see if they might have any
ideas why and how this happened before
                             calling Microsoft PSS.

                                  reported in the AD tools.

                                  huge...is there anything in
