					Freelance Writer Agreement
This Freelance Writer Agreement creates a working relationship between a freelance
writer, and a company that wants to use the writer’s services. This agreement sets out
a payment structure for work submitted by the writer. This agreement contains both
standard clauses as well as opportunities for customization to ensure that the
understandings of the parties are properly set forth. This agreement is ideal for small
businesses looking to hire freelance writers or for freelance writers that want to use a
written agreement for their services.
                       FREELANCE WRITER AGREEMENT

THIS FREELANCE WRITER AGREEMENT (hereinafter referred to as the “Agreement”),
made as of _______________, [Instructions: Insert the date of this agreement] by and
between _______________________ [Instructions: Insert the Writer’s name] (hereinafter
referred to as the “Writer”), of _____________________________ [Instructions: Insert the
Writer’s address] and _______________________ [Instructions: Insert the Company’s

WHEREAS, Company wishes to retain Writer to perform certain writing services (hereinafter
referred to as the “Services”) and Writer wishes to provide such Services to Company on the
terms and conditions provided for herein.

NOW THEREFORE in consideration of the mutual promises and covenants contained in this
Agreement, and other good and valuable consideration, the parties agree as follows:

1.00   SERVICES

1.01 Company and Writer hereby agree that Company retains Writer to perform certain
writing Services in respect of _____________________________ [Instructions: Insert a
description of the writing services to be performed] (hereinafter referred to as the “Project”).

1.02 Company and Writer hereby agree that Services shall include the preparation and
delivery by Writer to Company of the following:

1.03 Company and Writer hereby agree that Writer shall be responsible for the following
specific Services; all interviews, research (as needed), documented fact-checking, market
research, generating drafts for review and markup, redrafting of the Services as required, and a
final rendering of a commercially viable and excellently written piece that meets the relevant
industry standards.

2.00   DELIVERY DATES
2.01 Company and Writer hereby agree that Writer shall provide to the Company for review
and approval, a first draft of the Project by the ______ day of __________, 2______.

2.02 Company and Writer hereby agree that Writer, upon request of Company, shall make any
and all revisions to the first draft of the Project and will submit such amended first draft to the
Company for review and approval by __________ [Instructions: Insert the length of time
Writer has to make revisions] days after Writer receives such request for revisions to the first
draft of the Project by Company.

2.03 Company and Writer hereby agree that Writer shall submit to the Company for review
any Services being worked on by Writer, even if such Services are not complete or in their final
form.

2.04 Company and Writer hereby agree that the anticipated completion date for the Project is
the ______ day of __________, 2______ [Instructions: Insert the completion date of the
Project] (hereinafter referred to as the “Completion Date”) or such other date as Company and
Writer in writing may agree.

2.05 Writer hereby agrees that he/she will provide the completed Project to Company by the
Completion Date, in final, good copy form. Writer hereby further agrees to make any and all
amendments to the final Project delivered to the Company, upon request by Company within the
time frame as Company and Writer hereto may agree.

3.00   PAYMENT FOR SERVICES

3.01 Company and Writer hereby agree that Company shall pay to Writer the sum of

the Writer] Dollars for the creation of the Project.

3.02 Company and Writer hereby agree that fees will be remitted by the Company to the
Writer on or before the ______ day of __________, 2______. [Instructions: Insert when the
Company will pay the Writer]

4.00   USE OF SERVICES BY COMPANY

4.01 Company and Writer hereby agree that Company may, in its sole discretion use the
Services, or any portion thereof, and may make any amendments, additions or deletions from the
Services as Company sees fit.

5.00   PERFORMANCE STANDARDS
5.01 Writer hereby agrees that all of the Services to be performed for and on behalf of
Company shall be completed in a professional and timely manner and in accordance with all
instructions from Company, and under control of the Company.

6.00   REPRESENTATIONS AND WARRANTIES

6.01 Writer hereby represents and warrants to Company that all of the Services to be
performed for and on behalf of Company shall be original work of Writer, save and except for
any information or matters that are within the public domain and any and all material or
information inserted by Writer pursuant to instructions received from Company.

6.02 All of the Services to be performed for and on behalf of Company by Writer, shall not
infringe upon or violate any rights of privacy of any third party and shall not contain any
defamation against, or violate any common law or any other rights of any third party.

7.00   INDEMNIFICATION BY WRITER AND PRODUCER

7.01 Writer hereby undertakes and agrees to indemnify and hold Company harmless from any
and all liabilities and claims that may arise out of any breach of Writer’s representations and
warranties. This indemnification shall apply only to the Services and material created or
furnished by Writer and shall not extend to any amendments or additions made to the Services or
materials by the Company or by any other third party.

7.02 Company hereby undertakes and agrees to indemnify and hold the Writer harmless from
any and all liabilities and claims that may arise out of any material supplied by the Company to
the Writer for incorporation into the Services.

7.03 Company and the Writer hereby agree to notify the other party, should they receive a
notice of any claim or action subject to any indemnity contained hereunder.

8.00   OWNERSHIP OF SERVICES

8.01 Writer hereby agrees to assign to Company the sole and exclusive ownership of the
Services and all right, title and interest of every kind and nature, including but not limited to
copyright and the right to create derivative works based on the Services, and hereby waives
his/her moral rights in and to the Services.

9.00   ASSIGNMENT

9.01 Company and Writer hereby agree not to assign all or any part of this Agreement to any
other party, unless Company and Writer agree to such assignment in writing.

10.00 CONFIDENTIALITY
10.01 Except as may be necessary in the performance under this Agreement, Writer shall not at
any time or in any manner make or cause to be made any copies, pictures, duplicates, facsimiles
or other reproduction or recordings of any type, or any abstracts or summaries of any reports,
studies, memoranda, correspondence, manuals, records, plans or other written, printed or
otherwise recorded material of the Company. Writer shall have no interest in any of this material
and agrees to surrender any of the material which may be in its possession to the Company
immediately upon the request of the Company.

10.02 Writer shall not at any time except under legal process divulge any matters relating to the
Services or the Project which may become known and shall be true to Company in all dealings
and transactions relating to the Services and Project contemplated by this Agreement.
Furthermore, Writer shall not use at any time (whether during the continuance of this Agreement
or after its termination) for his/her own benefit or purposes or for the benefit or purposes of any
other person, firm, corporation, association or other business entity, information belonging to or
relating to the affairs of Company, including knowledge relating to clients or employees of the
Company.

11.00 GENERAL

11.01 This Agreement shall inure to and be binding upon Writer’s and Company’s heirs,
executors, administrators, successors and assigns.

11.02 This Agreement constitutes all of the agreements between Company and Writer
pertaining to the subject matter of it and supersedes all prior agreements, undertakings,
negotiations and discussions, whether oral or written, of the parties to it and there are no
warranties, representations or other agreements between the parties to it in connection with the
subject matter of it except as specifically set forth or referred to in this Agreement. No
supplementation, modification, waiver or termination of this Agreement shall be binding unless
executed in writing by the party hereto to be bound thereby. No waiver of any other provisions
of this Agreement shall be deemed or shall constitute a continuing waiver unless expressly
provided.

11.03 Headings are not to be considered part of this Agreement, and are included solely for
convenience of reference and are not intended to be full or accurate descriptions of the contents
of any section.

11.04 The invalidity or unenforceability of any provision of this Agreement or any covenant in
it shall not affect the validity or enforceability of any other provision or covenant in it and the
invalid provision or covenant shall be deemed to be severed.

11.05 Time shall be deemed to be of the essence of this Agreement; provided from time to time
for completing any Services, which have been or is likely to be delayed by reason of force
majeure or other cause beyond the reasonable control of Writer, shall be extended by a period
equal to the length of the delay so caused, provided that prompt notice in writing of the
occurrence causing of likely to cause such delay is given to the Company.

11.06 Writer shall advise Company in writing of any occurrence causing or likely to cause
delays in the completion of his/her responsibilities under this Agreement.

11.07 This Agreement shall be governed by and construed in accordance with the laws of State
