December 3, 2008

Doug Johnson and Brad Gilmore Presidents, called the special meeting to order at
7:05PM.

Members Present:

USD #433: Doug Johnson, Thomas Albers, Miriam Scholz, Mary Becker, and Galen
Weiland, Tom Halling (7:07PM) and Al Fuhrman.

USD #425: Brad Gilmore, Michelle Saunders, Rod Carwell, Scott Twombly and Ron
Schneider. Absent: Tim Nuzum and Bill Hargis.

Others Present: Rex Bollinger, Superintendent, Joann Karn, USD 425 Clerk, Janelle
Wohletz, USD 433 Clerk, Cathy Gunderson, USD 425 Principal and Chris Lackey, USD
425 Assistant Principal.

Visitors: Paul Stewart, Tammi Rauch, Lane Saunders, Marti Leach, Jennifer Gatz, Vicki
Winchester, Juliann Franken, Amy Joyce, Brad Holzhey, Elizabeth Robinson, Shelly
Cluck, Lee Fritch, Carrie Blevins, Esther Gormley, Amanda Kooser, Lisa Parson, Kinda
Lambert, Kim Simpson, Mark Martin, Nancy Martin, Marcia Twombly, Travis
Twombly, Nikia Weber, Rachel Gibson and Dennis Hanlan.

Contracting Issues:
Doniphan West High School: There were none.

Doniphan West Middle School: Mr. Bollinger explained the heating problem.

Possible Consolidation/Long Term Outlook: Mr. Bollinger reviewed and updated the
boards on current state and local finances, and pros and cons of consolidation. If both
boards could reach an agreement on the proposed lists, Mr. Bollinger recommended both
boards proceed with consolidation. Mr. Bollinger read the proposals. (See attached)
Following discussion, each board agreed to hold an open caucus for 30 minutes from
8:15PM to 8:45PM. Midway 433 remained in the band room while Highland 425 moved
to the commons.

Midway 433 agrees to #1, #2, and #3. 1) Doniphan West High School and Doniphan
West Middle School will stay in current locations. If consolidation were to occur with
another district in the future those two buildings would stay in their current locations with
the high school staying in the current Doniphan West High School location and the
middle school staying in current Doniphan West Middle School location 2) Grade
locations proposed to be located as follows: Grades K-2 at the current Highland
Elementary; Grades 3-8 at the current Midway Elementary School and the Doniphan
West Middle School; grades 9-12 at the current Doniphan West High School. If a pre-
school is added to the overall scope it would be placed at the current Highland
Elementary School 3) Provide for a consolidation election as soon as legally possible
with a full educational campaign for the voters in both districts. With both districts
Splitting the cost of promotion of a special election and the total cost for a special
election. Highland USD 425 proposed that the election encompass each district separately
with approval for consolidation a majority in each school district 4) Midway 433
proposed each district select 3 members to serve on the temporary board and the 7th
member selected with Midway selecting one (1) member from the Highland 425 board
and Highland selecting one (1) member from the Midway 433 board and vote until one
(1) is selected 5) Play football at the school owned facility and middle school track at the
south facility 6) a tow (2) board member districts with a representation of three board
members from each district and one at-large member to be elected at the next general
election following consolidation and 7) voting plan C as the method to vote for board
members. Voting plan C allows for voters to vote on members in their own board
member districts.

An open caucus was held for 15 minutes from 8:50PM to 9:05PM. Midway 433 remained
in the band room while Highland 425 moved to the commons. Highland 425 agreed to
#1, #2, #3, #6 and #7. Highland 425 is okay with #4 but wishes to add a statement on
the selecting of the 7th board member,… following three(3) tie votes, the 7th member
selected will be from Highland 425. Highland 425 wishes to table and allow the
temporary board to select the location for the playing of the high school football games
which would allow patron input at the public forums.

An open caucus was held for 10 minutes from 9:20PM to 9:30PM. Midway 433 remained
in the band room while Highland 425 moved to the commons.

Midway 433 also agreed to #1, #2, #3, #6 and #7. Midway 433 is okay with #4 but
wishes the 7th board member to be selected by a flip of a coin following three (3) tie
votes. Midway 433 wishes the football be played at the new district’s south facility.

Highland 425 counters with agreeing to play football at the south location for a temporary
board composed of a 4-3 membership with four (4) members from the Highland Board of
Education. The 4th Highland member will be selected by the Midway 433 Board of
Education.

A five (5) minute break was taken from 9:45PM to 9:50PM. An open caucus was held
for 5 minutes from 9:50PM to 9:55PM. Midway 433 remained in the band room while
Highland 425 moved to the commons. Midway 433 accepts the last Highland 425
proposal with additional language to #4 . . . The 4th Highland member selected by the
Midway 433 Board of Education agrees to serve.

Consolidation Motions: Tom Halling moved to adopt the consolidation resolution and
authorize the board president to sign. Thomas Albers seconded. Motion carried. (7-0)

Scott Twombly moved to adopt the consolidation resolution and authorize the board
president to sign. Michelle Saunders seconded. Motion Carried. (5-0)

Executive Session: At 10:12PM, Rod Carwell (USD 425) moved to go into executive
session to discuss personnel matters of non-elected personnel in order to protect the
privacy interests of the individual(s) to be discussed and that we return to the open
meeting at10:17PM. Michelle Saunders seconded. Motion carried. (5-0)
 USD 433 Board Members, Rex Bollinger, Superintendent, Catherine Gunderson,
Highland Principal and Chris Lackey, Highland Assistant Principal were asked to stay.
The regular session resumed at 10:17PM.

Executive Session: At 10:17PM, Rod Carwell (USD 425) moved to go into executive
session to discuss personnel matters of non-elected personnel in order to protect the
privacy interests of the individual(s) to be discussed and that we return to the open
meeting at10:40PM. Michelle Saunders seconded. Motion carried. (5-0)
 USD 433 Board Members, Rex Bollinger, Superintendent, Catherine Gunderson,
Highland Principal and Chris Lackey, Highland Assistant Principal were asked to stay.

The regular session resumed at 10:40PM.

The meeting was adjourned at 10:41PM.

USD 425 Proposals
  4)  Provide for a temporary board composed of a 4‐3 membership with four members from 
     the Highland Board of Education.  Highland USD 425 believes that  by utilizing census 
     population data that this matches  the actual population base of the proposed new 
     district.  Newly apportioned districts  would still need to be implemented during the 
     transition year of the new district or as agreed upon by both boards of education. 
      
      
  5) Highland USD 425 proposes high school football games are to be played at Highland 
     Community College. 
   
      



USD 433 Proposals
  4)  Provide for a temporary board composed of a 4‐3 membership with four members from 
     the Midway Board of Education.  Midway USD 433 believes that by utilizing assessed 
     valuation of each current district would offset the actual population base of the 
     proposed new district.  The Midway school district will see an increase in mill levy with 
     Highland USD 425 seeing a significantly lower mill levy.  Newly apportioned districts 
     would still need to be implemented during the transition year of the new district or as 
     agreed upon by both boards of education. 
      
      
  5) High school football games are to be played at the Doniphan West Middle School 
     facility. Consideration of high school track meets to be held at the current Doniphan 
     West Middle School facility.
