SECTION I.         NAMING & ESTABLISHMENT OF THE ORGANIZATION

     Article 1.    As of January 2010, the name of this organization shall be the Red Oak Soccer Referees
                   Association.

     Article 2.    On all official association documents, including this document, Red Oak Soccer Referees
                   Association may also be referred to as “ROSRA”.

     Article 3.    The Red Oak Soccer Referees Association is a non-profit organization.

     Article 4.    The website, www.rosra.org, is the official website of ROSRA. The suffix “@rosra.org” is
                   the official e-mail address of ROSRA. The official website may also be accessed from
                   www.rosra.net and/or www.rosra.info.

SECTION II.        MISSION STATEMENT/ROSRA GOALS

     Article 1.    It is the mission of the Red Oak Soccer Referees Association to: create ways to find new
                   prospective referees, grow our association by continuing to mentor our youth by giving
                   them opportunities to learn from professionals, and strengthen our organization by
                   continuing to build on our relationship with CAL-SOUTH and the central coast soccer
                   community by offering strong, informed referees.

              A.   To provide a competent, professional refereeing service to soccer leagues on the Central
                   Coast

              B.   To promote among ROSRA members, attitudes of courtesy, professionalism, service,
                   improvement, mutual respect, and assistance.

              C.   To provide standard interpretation of the Laws of the Game and mechanics of
                   refereeing.

              D.   To Promote soccer in accordance with The Spirit of the Game and in line with
                   FIFA/USSF/CYSA Cal-South/AYSO/OTHER decisions.

              E.   To especially develop youth referees in an effort to sustain professional refereeing for
                   future generations

SECTION III.       MEMBERSHIP:

Article 1.   Eligibility
        A.   Voting membership shall be available to any person subject to the following. Any Person
             who is in compliance with all five (5) of these steps shall be considered a “Member in
             Good Standing”.
             1.        Registration through USSF
             2.        Payment of established membership dues.
             3.        Approval of board of directors.
             4.        Compliance with USSF code of ethics
             5.        Attendance to at least 50% of meetings since joining ROSRA.

Article 2.   Classification
        A.   Members of ROSRA shall be classified as follows.
             1.       FIFA International referee.
             2.       USSF National referee.
             3.       USSF State referee/AYSO National Referee.
             4.       USSF referee 07/AYSO Advanced referee.
             5.       USSF referee 08/AYSO Intermediate referee.
             6.       USSF referee 09-Recreational /AYSO Regional referee.
             7.       Non-Affiliated.
             8.       Honorary membership.

Article 3.   Forfeiture of Membership:
        A.   Members will perform their referee functions and conduct themselves in a professional
             manner at all times. The USSF Code of Ethics for Referees will be followed. Problems of
             deportment will be brought before the Board of Directors for appropriate action.

        B.   Membership may be forfeited for unprofessional conduct, failure to pay dues, and/or
             conduct detrimental to the welfare of ROSRA.

        C.   Forfeiture of membership shall be determined by a hearing before the Board of
             Directors. A four-fifths (4/5) vote by the Board of Directors is required for revoking of
             membership.

        D.   Any ROSRA officer found in violation of this article shall be subject to removal from
             office by two-thirds (2/3) vote of the membership at a regularly scheduled meeting
             leaving his/her position vacant until the next AGM.

Article 4.   Reinstatement of Membership:
        A.   Persons seeking reinstatement must submit a request by mail or e-mail.

        B.   Approval of reinstatement shall be determined by a four-fifths (4/5) vote of the Board of
             Directors no later than two (2) regular meetings after the submission of the request for
             reinstatement.

     Article 5.    Honorary Membership
             A.    The BOD may designate any person as an Honorary Member. Such person(s) shall not
                   be required to pay the annual membership fee.

SECTION IV.        GAME ASSIGNMENTS:

     Article 1.    Procedure for Assignment
             A.    The Director of Assessment, Director of Instruction, Director of Assignment, or a Board
                   designee will evaluate new members in an effort to determine their qualification to be
                   assigned games.

              B.   On an annual basis all members must take the written USSF examination and/or physical
                   examination for the purpose of upgrading or maintaining USSF ranking.

              C.   At least on a two (2) year basis, a USSF Assessor or an appointed referee (for the
                   purpose of maintaining eligibility for game assignments) will evaluate all members.

              D.   Game assignments through ROSRA for leagues shall be made by the Assignor or
                   designee and are subject to referee availability.

              E.   Game assignments for State Cup will be made from the Assignor subject to approval by
                   the board of directors.

              F.   The Director of Assignment shall be allowed to use non-members for assignments if no
                   member of ROSRA is available or long distance travel would be required provided they
                   are also USSF certified.

              G.   The referee is responsible for the timely and accurate completion of required post-game
                   report to the league served. Failure to complete game reports in a timely manner may
                   result in disciplinary action.

              H.   Failure to show-up for assigned games without notifying the Director of Assignment may
                   result in disciplinary action agreed upon by the Board of Directors.

              I.   Only ROSRA youth and lived scanned adult members will be permitted to work youth
                   games

SECTION V.         OFFICERS

     Article 1.    The ROSRA Board of Directors shall consist of the following elected positions:
             A.    President
             B.    Vice President

        C.   Assignor
        D.   Treasurer
        E.   Secretary

Article 2.   The Board of Directors can appoint and approve by a three-fifths (3/5) vote the
             following ROSRA officials:
        A.   Director of Instruction.
        B.   Director of Assessment.
        C.   Lead Referees
        D.   Webmaster

Article 3.   Board Voting Procedure:
        A.   At least four (4) Board Members must be present in order to conduct an official board
             decision
        B.   In the event of a tie, the fifth board member can submit a vote by proxy or delegate the
             vote to a ROSRA official.
        C.   The Directors(s) of Instruction and Assessment may be delegated to vote in place of any
             Board Member with his/her consent for a stated amount of time
        D.   An official record of Board Votes is to be kept by the Secretary
        E.   All ROSRA Board Members will be given an official ROSRA e-mail account.
             (name@rosra.org) ROSRA officials can be given an official ROSRA e-mail account at
             their request subject to availability.

Article 4.   Term:
        A.   The board of Directors shall be elected at the Annual General Meeting and serve for a
             period of two (2) years.
        B.   This will take place starting in March 2012 and repeat for all following consecutive even-
             numbered years.


Article 5.   Eligibility:
        A.   In order to be nominated for a board position, the nominee must be a member in good
             standing. He/She will have a history of financial responsibility with ROSRA and have all
             dues, fees, and other financial obligations to ROSRA paid up to date at the time of the
             nomination.
        B.   To be a member in good standing, a nominee will not have had any disciplinary action
             against him/her during the previous twelve (12) months prior to the nomination. That
             period can be extended by a majority vote of the Board of Directors. Any violation of
             the USSF Code of Ethics for Referees is cause for disciplinary action. Disciplinary actions
             include, but are not limited to, forfeiture/suspension of membership, temporary or
             permanent removal from referee duties, and written or verbal sanctions or reprimands.

SECTION VI.         DUTIES AND RESPONSIBILITIES OF BOARD OFFICIERS

     Preface        Any duty and/or responsibility of a Board Member or ROSRA official may be shared
                    amongst the entire Board of Directors (with Board Approval) or ROSRA official at his/her
                    request-provided that it does not interfere with the day-to-day operation of ROSRA.

     Article 1.     Duties of the President:

               A.   Preside at meetings.

               B.   Appoint all necessary committees.

               C.   Call special meetings when necessary.

               D.   Promote the development and sustainment of ROSRA.

               E.   Act as an honorable member of all projects and committees.

               F.   Assume the role or appoint a board officer until elections can be held to fill the
                    vacancies or until the indisposed officer can resume the duties of office.

     Article 2.     Duties of the Vice President:

               A.   Perform all the President’s duties in his/her absence.

               B.   Negotiate contracts with soccer leagues in the region.

               C.   Attend League meetings as required and speak on behalf of ROSRA. (Or his/her
                    designated representative.)

     Article 3.     Duties of the Treasurer:

               A.   Develop a budget for ROSRA.

               B.   Collect all dues and pay all bills.

               C.   Deposit or hold all moneys belonging to ROSRA on behalf of the membership.

               D.   Keep a current statement for ROSRA.

               E.   Submit a financial statement to ROSRA at the February meeting.

     Article 4.     Duties of the Secretary:

        A.   Keep a record of all business transacted by ROSRA.

        B.   Give at least ten (10) -calendar day’s notices of meetings to all members.

        C.   Keep a current membership roster.

Article 5.   Duties of the Assignor:

        A.   Be a “Certified” USSF Assignor or obtain such “Certification” at the Next Certification
             Opportunity.

        B.   Assign all referees to games in ROSRA served leagues, or appoint assistants as
             necessary.

        C.   Maintain a record of all officials assigned.

        D.   Assist in evaluation of referees as part of ROSRA goals.

Article 6.   Duties of the Director of Instruction:

        A.   Be a “Certified” USSF Instructor or obtain such “Certification” at the Next Certification
             Opportunity.

        B.   Establish a training program for all Association members that will meet the
             requirements for recertification and lead to upgrade.

        C.   Establish and direct clinics for entry-level certification of officials.

        D.   Assign certified instructors to conduct training sessions whenever possible/practical.

        E.   Insure that all association members are afforded the opportunity to take the USSF
             recertification testing at least once a year.

        F.   Assist in evaluation of referees’ goals as part of ROSRA goals.

Article 7.   Duties of the Director of Assessment:

        A.   Be a “Certified” USSF Assessor or obtain such “Certification” at the Next Certification
             Opportunity.

        B.   Establish and supervise the assessment and evaluation program for all Association
             members that meet the requirements for assignment or recertification or upgrade.

             C.    Maintain correspondence/communication with the SDA to ensure that ROSRA is kept
                   informed of changes/developments.

             D.    Assign certified assessors to conduct evaluations whenever possible/practical.

     Article 8.    Duties of ROSRA Lead Referees:

             A.    Manage a particular venue in an effort to keep games running smoothly and on time.

             B.    Instruct and Mentor less experienced referees in an effort to improve their skills as
                   referees.

     Article 9.    Duties of the Webmaster:

             A.    Maintain and update the website on a regular basis.

     Article 10.   Common duties for all officers:

             A.    All officers shall be prepared to pass along records of business that transpired during
                   their terms to the succeeding officers at the end of the elected term.

             B.    All officers shall maintain records that can be made available to the membership at large
                   upon request.

             C.    All officers with ROSRA official e-mail accounts (name@rosra.org) are expected to keep
                   track of e-mails sent to those accounts in the interest of ROSRA.

SECTION VII.       ELECTIONS

     Article 1.    Procedure for election:
             A.    Board of Director positions shall be voted on at the Annual General Meeting, held in
                   March.

             B.    Officers shall be elected in the following order:
                   1.      President.
                   2.      Vice President
                   3.      Treasurer
                   4.      Secretary
                   5.      Assignor

             C.    The President will appoint a nominating committee at the January meeting. They shall
                   be responsible for nominations and running the Elections.

             D.   The nominee for the position receiving a simple majority of quorum votes from the
                  membership shall be elected to that position.
                  1.     Candidates must be in attendance at the election meeting or be prior excused by
                         a board member. Excused candidate is to have contacted board member prior to
                         the start of the meeting. Board member is to contact nominating committee
                         prior to beginning of election with name or names of the persons excused.
                  2.     If no candidate receives a majority of the votes because more than two (2)
                         candidates are running for that position, the candidate receiving the fewest
                         number of votes shall be dropped from the first ballot and a second vote shall be
                         taken. This procedure shall be repeated until one (1) candidate receives a
                         majority of the votes.
                  3.     E-mail will be an option for members who are in good standing yet unable to
                         attend the AGM. Members should contact a member of the nomination
                         committee for approval and an email ballot. The nomination committee will
                         select a committee member to receive e-mail votes.
                  4.     After the nomination, no new candidates will be allowed for nomination in the
                         period of time ten (10) days before the vote, unless there is no candidate
                         running for the position in question. (All candidates must be on the ballot prior to
                         issue with the above exception.)
             E.   All newly elected officers shall assume office on April 1st.

             F.   All vacancies that occur on the board during the year shall be filled by presidential
                  appointment with the Board of Directors’ approval.

SECTION VIII.     DUES

     Article 1.   Dues to ROSRA shall be established by the newly elected board and presented for
                  approval by the membership (majority vote) at the monthly meeting following the
                  Annual General Meeting.

     Article 2.   Dues may not be lowered or raised for the period of one (1) fiscal year that runs
                  January through December.

     Article 3.   One (1) year’s dues are required even though a prospective member may join at any
                  time during the year.

     Article 4.   Game assignment, assessment, and other fees will be established by the board and
                  approved by the general membership.

     Article 5.   Dues are $25 a year (unless amended in compliance with “Section X” and the above
                  requirements).

       Article 6.      Referees who are not members of ROSRA, but work more than eight (8) games per year
                       must pay $25 in dues each year they work eight (8) or more games. This number can
                       be increased in certain instances with Board approval.

SECTION IX.            MEETINGS

       Article 1.      BOD Meetings shall be held at least twice (2) every three (3) months at a time and place
                       to be determined by the board.

               A.      No more than one (1) Board meeting may be skipped throughout the course of a year.

       Article 2.      Meetings may be re-scheduled because of holidays or special circumstances.

       Article 3.      The annual general meeting (AGM) shall be held in March.

       Article 4.      Quorum at meetings

               A.      A quorum shall consist of ten (10) members with at least 3 Board Members present.

               B.      A quorum shall be required to amend By-laws and/or hold elections.

       Article 5.      Attendance at meetings

               A.      Members will strive to attend all meetings.

               B.      Members who do not attend regular meetings without excuse will be considered “not in
                       good standing” and may not be eligible to work games.

SECTION X.             AMENDMENT PROCEDURE

       Article 1.      These By-laws and Operating Policies may be amended at any regularly scheduled
                       meeting by a two-thirds (2/3) vote of the membership present. Provided:

               A.      A quorum of the members present.

               B.      The Board of Directors agrees with ai three-fifths (3/5) majority on the change(s).
