                                    CITY OF TOWN AND COUNTRY
                                          November 28, 2011

                                            WORK SESSION

         The work session meeting of the Board of Aldermen of the City of Town and Country
         was held at 6:00 PM on November 28, 2011.

         Present were: Aldermen Behnen, Benigas, Fons, Gerber, Meyland-Smith, Welby and
         Wright. Alderman Avioli was absent (out of town).

         Mayor Dalton presided.

         Attorney Steve Garrett represented the City.

         1.    Longview Parking
               Skip Mange, Chairman of the Longview Farm Park Ad-Hoc Committee, made a
               PowerPoint presentation reviewing the Committee's report and
               recommendations. A copy of the report was distributed to the Mayor and Board
               of Aldermen and may be viewed in its entirety in the Office of the City Clerk or on
               the City's website.

         2.     Dog Park
                Due to time constraints, the subject of a Dog Park in the City was not discussed.

         3.    Fire & EMS Report
               Tim Dorsey, Assistant Fire Chief, West Co. EMS and Fire Protection District,
               gave an update on the district's past year's activities including number of calls,
               major incidents around the St. Louis area in which emergency personnel
               participated, including the devastating tornadoes in North St. Louis County and
               Joplin, Missouri. Assistant Chief Dorsey also updated the Board on the
               construction of the new training center, known as the Advanced Center of
               Excellence, the most advanced fire and EMS service education facility in the
               nation.

                Terry DeGuentz, Fire Marshal, discussed the benefits of the electronic permitting
                system currently being utilized by the district and being developed for the City's
                building permits use, in conjunction with the fire district.

         4.     Discussion   - RegularMeeting Agenda Items
                The Board discussed the 7:00 PM meeting agenda items.

         No votes were taken.

                                           REGULAR MEETING

         The regular meeting of the Board of Aldermen of the City of Town and Country was
         held at 7:00 P.M. on Monday, November 14, 2011, at the Municipal Center, 1011
         Municipal Center Drive.

         PLEDGE OF ALLEGIANCE
         City of Ladue Mayor Tony Bommarito led the Pledge of Allegiance.

         ROLL CALL
         The 7:00 PM roll call indicated Aldermen Behnen, Benigas, Fons, Gerber, Meyland-
         Smith, Welby and Wright to be present. Alderman Avioli was absent (out of town).

         Mayor Dalton presided.

         In the absence of Attorney Steve Garrett, Attorney Lee Curtis represented the City.

         MINUTES - 11/14/11
         Alderman Fons moved for approval, seconded by Alderman Wright.

         Mayor Dalton called for any corrections or amendments.

         On motion of Alderman Welby, seconded by Alderman Behnen, the minutes were
         unanimously amended by voice vote, as follows:

                  1.    Page 3, Bill No. 11-53, the minutes should reflect that Alderman Fons
                        voted "NAY" in lieu of "AYE."
                  2.    Page 3, Bill No. 11-54, the minutes should reflect that the sponsor was
                        Alderman Gerber, not Alderman Welby.

         Hearing no additional amendments, the minutes of 11/14/11, as amended, were
         unanimously approved by voice vote.

         HEARING FROM CITIZENS

         Barbara Ann Hughes, 101 Hawthorne Estates, presented a written records request
         regarding the City's deer management program. A copy of Mrs. Hughes' request is
         attached.

         PUBLIC HEARINGS

              .   A public hearing to consider a request for a Conditional      Use Permit (CUP)
                  for a roof mounted solar array system on a .67 acre lot at 990 Kingscove
                  Ct. (Lot 5, Kingscove Subdivision), in the Suburban Estate (SE) Zoning
                  District, by Becky Shelton, owner.

         Mayor Dalton opened the public hearing.

         The city clerk entered the following exhibits:

         1.       Affidavit of Publication of Notice of Hearing published in the St. Louis Countian
                  on November 12, 2011.

         2.       Typewritten notice of hearing posted at the Municipal Center and on the subject
                  property, and mailed to property owners within 300 ft. of subject property, with a
                  list of property owners attached.

         3.       Bill No. 11-69

         Dane Glueck, President, Straight Up Solar, made a PowerPoint presentation and
         displayed information on the proposed solar panels including energy production, size,
         electrical diagram, etc. An aerial photo of the property and surrounding lots was
         displayed and discussed. Mr. Glueck noted that because the neighboring homes are
         located to the front of the subject house, the panels would not be visible.

         Following discussion, Mayor Dalton called for public comments.

         Dorothy Cooke, 962 Delvin Drive, spoke in support of the applicant's request and said
         she's glad to see more residents putting up the roof-mounted solar panels in lieu of
         ground-mounted.


         Tom Schmidt, 983 Kingscove Court, neighbor to the west of the subject property,
         spoke in opposition to the request. Mr. Schmidt said he would be able to see the
         panels; asked about the City's public hearing and notification process; and questioned
         the validity of certain statements contained within the letter written by the applicant,
         dated September 22. Mr. Schmidt said he has not given his written approval nor have
         all three trustees approved the project in writing.

         Margie Middleburg, 972 Kingscove Court, spoke in support of the request and said that
         while she cannot see the applicant's backyard, she would support any roof-mounted
         solar array system in the neighborhood as long as it met the City's criteria. Mrs.
         Middleburg added that she does not believe something of this nature would cause
         home values to decline.

         Becky Shelton, 990 Kingscove Court, applicant, said that after speaking to all of the
         trustees, a verbal agreement was received from all three. Once the proposal from
         StraightUp Solar was received, two of the trustees presented the plan to neighbors for
         approval. At that time, one of the trustees was out of town on a family emergency.
         Once presented to the neighbors, Mr. Schmidt was the only one who opposed the plan.
         Dr. Shelton said she does not believe any of the neighbors will be able to see the solar
         panels, as shown in the aerial photo.

         Discussion and questions followed. Alderman Meyland-Smith briefly reviewed the
         information that had been presented to the Planning & Zoning Commission and said
         that it may not have been reported accurately.

         Mayor Dalton called for any additional discussion and public comments.

         Hearing none, the public hearing was closed.

              .   A public hearing to consider a request for a Conditional Use Permit (CUP)
                  for John H. and Renee Berra, owners, for an accessory structure/stable on
                  a lot of approximately 5.54 acres at 908 Terra Bella Drive (Lot 5, Terra Bella
                  Subdivision), in the Suburban Estate (SE) Zoning District.

         Mayor Dalton opened the public hearing.

         The city clerk entered the following exhibits:

         1.       Affidavit of Publication of Notice of Hearing published in the St. Louis Countian
                  on November 12,2011.

         Present on behalf of the applicant, John H. Berra, Jr., were Mike Falkner, The Sterling

         After reporting the favorable recommendation by the Planning & Zoning Commission,
         Mr. Goss presented the request and displayed/reviewed aerial photos of the property
         and surrounding lots, elevation renderings, the site plan and photos taken from the
         adjacent residential lot to the north, the Fleming property.

         Mr. Falkner reviewed the location of the proposed stable and pointed out that the
         existing, thick, natural woodlands, already in place, will screen the stable from Mr.
         Fleming's property. In addition, Mr. Falkner indicated that following several meetings
         with Mr. Fleming, the proposed location of the stable was actually moved to further
         mitigate any visibility he may have had.

         With regard to construction materials to be used, Mr. Falkner noted that since approval
         by the Planning & Zoning Commission on October 26, Mr. Berra has committed to
         change the roofing material to architectural shingles. The siding material has also been
         changed from steel to stone wainscoting and stucco on the left and right side elevations
         and stone on the front and rear side elevations of the proposed stable.

         Following discussion, Mayor Dalton called for public comments.   Hearing none, the
         public hearing was closed.

         APPOINTMENTS
         As discussed in the work session, Mayor Dalton continued the commission
         reappointments to the meeting of December 12.

         Mayor Dalton appointed Fazil Sutcu to the Architectural Review Board.

         On motion of Alderman Wright, seconded by Alderman Fons, a voice vote was taken
         and carried unanimously.

         COMMUNICATIONS AND REPORTS

         Alderman WriQht
         Alderman Wright announced the next Public Art Commission meeting to be held on
         Wednesday, December 7, 11:30 AM at the Longview Farm House.

         The Parks & Trails Commission meeting has been cancelled for the month of
         December.

         Alderman Welbv
         Alderman Welby announced that the Public Works & Stormwater Commission meeting
         would meet on Monday, December 19, 7 PM at the Longview Farm House.

         Alderman Gerber
         Alderman Gerber announced the next Conservation and Historic Preservation
         Commission meeting to be held on Monday, December 5,6:30 PM at the Longview
         Farm House.

         Mavor Dalton
         Mayor Dalton reported that he attended the November 25 Turkey Trot at Longview
         Farm Park and commented on the large crowd of 170 participants and the success of
         the event. The weather was perfect and a great time was had by all.

                                        UNFINISHED BUSINESS

         BILL NO. 11-54, AN ORDINANCE AMENDING THE CITY OF TOWN AND COUNTRY
         MUNICIPAL CODE RELATING TO THE COMPOSITION OF THE CONSERVATION
         AND HISTORICAL PRESERVATION COMMISSION (sponsored by Alderman Gerber)
         (1st reading 10/10/11) (continued from 10/24/11 and 11/14/11)

         Mayor Dalton called for a second reading, without objection. Without objection, Bill No.
         11-54 was read for the second time and placed upon its final passage.

         Alderman Fons moved for approval, seconded by Alderman Welby.

         Alderman Gerber moved to amend Section 125.150: COMPOSITION, Paragraph "A" to
         read as follows:

            A.     The Conservation and Historic Preservation Commission shall consist of
                   eight (8) regular members, a member of the Board of Aldermen who shall
                   serve as Chairman of the Commission and two (2) at large members
                   appointed from the general population of the City, one (1) of which shall be
                   a member of the Town and Country Historical Society. A citizen member
                   shall be elected by the Commission as Vice Chairman to chair the
                   Commission in the absence of the Chairman. The regular members of the
                   Commission shall include two (2) members from each City Ward.

         Alderman Fons seconded the motion. Following brief discussion, a voice vote was
         taken and carried unanimously.

         The roll call vote was: AYE, Aldermen Behnen, Benigas, Fons, Gerber, Meyland-Smith,
         Welby and Wright; NAY, none; ABSTAIN, none; ABSENT, Alderman Avioli.

         The motion carried unanimously and Bill No. 11-54 became Ordinance No. 3633.

         BILL NO. 11-64 AN ORDINANCE APPROVING THE BUDGET AND AUTHORIZING
         BUDGETED EXPENDITURES FOR THE BUDGET YEAR BEGINNING JANUARY 1,
         2012 (sponsored by the Board as a Whole) (1st reading 11/14/11)

         Mayor Dalton called for a second reading, without objection. Without objection, Bill No.
         11-64 was read for the second time and placed upon its final passage.

         Alderman Welby moved for approval, seconded by Alderman Behnen.

         The roll call vote was: AYE, Aldermen Behnen, Benigas, Fons, Gerber, Meyland-Smith,
         Welby and Wright; NAY, none; ABSTAIN, none; ABSENT, Alderman Avioli.

         LANDSCAPE MAINTENANCE FOR THE 2012 GROUNDS CARE PROGRAM AT

         FOR RIGHT-OF-WAY MOWING AT VARIOUS AREAS THROUGHOUT THE CITY

         Alderman Fons. A voice vote was taken and carried unanimously. The meeting

 As per Missouri State Statute RSMO,Chapter 610 I am making this Sunshine Law request to obtain answers to the
 questions contained in this document. Iwould appreciate receiving said answers by the close of business December 7,
 2011.

 What is the date that the baiting of deer is to occur?

 What are the addresses/locations   of the bait sites?

 What are the names/addresses of the individuals that are allowing killingon their property?

What correspondence was sent to residents to secure their participation in the killingof deer on their property?
(I am also requesting a copy of said letter.)

What correspondence was sent to residents alerting them as to the dates/times of the killing?
(I am also requesting a copy of said letter.)

What residents said "no" to the City denying access to their property for the killingof deer?
(I am also requesting copies of said letters, correspondence, emails, etc.)

Who will be monitoring the killingof deer on behalf of the City?
       Name of the member of the Police Department responsible for monitoring?
       Name of the elected official responsible for monitoring?
       Name of representative from Missouri Department of Conservation responsible for monitoring?
      Name of representative from City administration responsible for monitoring?

How will trespassing incidents be handled and documented?

It is my understanding that poaching does occur within the City limits of the City of Town and Country.
         Where the sites are that poaching has occurred?
         How have poachers been dealt with? Officiallyand unofficially?

What is the latest deer census?
