                              OFFICE SUBLEASE AGREEMENT

THIS OFFICE SUBLEASE AGREEMENT (hereinafter referred to as the “Sublease”) is
entered into as of this __________ day of __________, _____ [Instructions: Insert the date of
this agreement] by and between __________________________ [Instructions: Insert the
name of the Sublessor, the party that will be leasing out part of an office] with an address of
_____________________________________ [Instructions: Insert the address of the
Sublessor] (hereinafter referred to as the “Sublessor”) and ______________________________
[Instructions: Insert the name of the Sublessee] with an address of
_____________________________________ [Instructions: Insert the address of the
Sublessee, the party that will be leasing part of the office from the Sublessor] (hereinafter
referred to as the “Sublessee”).

WHEREAS, Sublessor is the lessee of a portion of a building located at
_________________________________________ [Instructions: Insert the address of the
office subject to this sublease agreement] (hereinafter referred to as the “Leased Premises”);

WHEREAS, The Leased Premises are leased pursuant to a lease thereof between
___________________________ [Instructions: Insert the name of the Sublessor’s Landlord]
(hereinafter referred to as the “Landlord”) and Sublessor dated the day of __________ day of
__________, _____ [Instructions: Insert the date of lease agreement between the Landlord
and Sublessor] (hereinafter referred to as the “Master Lease”), a copy of which is attached
hereto as Exhibit A.

NOW THEREFORE, Sublessor desires to sublease to Sublessee and Sublessee desires to
sublease from Sublessor a portion of the Leased Premises described below.

1. PREMISES

Sublessor hereby subleases to Sublessee and Sublessee hereby subleases from Sublessor a
portion of the Leased Premises consisting of an office of approximately ____________
[Instructions: Insert the amount of square feet Sublessee will receive] square feet of floor
space (hereinafter referred to as the “Subleased Premises”). This Sublease of the Subleased
Premises shall entitle Sublessee to non-exclusive use with Sublessor and other sublessees of the
common areas of the Leased Premises, such use to be in accordance with such rules and
regulations as Sublessor may establish from time to time.

2. TERM

The term of this Sublease shall commence on the __________ day of __________, _____

The term of this Sublease shall commence on the __________ day of __________, _____
[Instructions: Insert the date the sublease will begin] and continue month-to-month until
either party terminates the sublease by providing at least thirty (30) days written notice to the
other party.

be for a specific length of time, use the first clause. If the sublease will be month-to-month,
use the second clause]

3. MASTER LEASE

  (a) All of the covenants, conditions and obligations assumed by Sublessor as tenant under the
      Master Lease, together with any addenda, modifications or exhibits thereto, except the
      provisions dealing with rent to be paid by Sublessor thereunder, are hereby incorporated as
      a part of this Sublease, and Sublessee assumes and agrees to be bound by the provisions
      thereof. All references to "Landlord" or "Lessor" in the Master Lease shall be deemed to
      apply to Sublessor, and all references in the Master Sublease to "Tenant" or "Lessee" shall
      be deemed to apply to Sublessee. All references to "Lease" in the Master Lease shall be
      deemed to mean this Sublease. Sublessor shall be authorized to enforce any and all of the
      obligations assumed by Sublessee hereunder. Sublessor shall be responsible to Sublessee
      for the performance of any and all obligations due the Sublessee by Sublessor according to
      the terms and provisions of this Sublease and the Master Lease.

  (b) All references to rent or rental in the Master Lease shall mean the rental payable pursuant
      to Article 4 hereof.

  (c) Sublessor shall maintain and keep all of its obligations as tenant under the Master Lease,
      and shall not permit said Master Lease to be in default.

  (d) In the event Sublessor is in default under the rental obligation of the Master Lease,
      Sublessee may pay such obligation directly to landlord and deduct the amount of any such
      payment from the rental due under this Sublease.

4. RENT

  (a) Basic Rent. Sublessee agrees to pay Sublessor, for the use and occupancy of the Subleased
      Premises, the sum of ____________ ($_________) [Instructions: Insert the monthly rent
      amount] per month, which shall be payable in advance on the _____ [Instructions: Insert
      the day of the month the rent is due] day of each and every month commencing on the
      date hereof at ________________________________ [Instructions: Insert the address
      where the Sublessee will deliver rental payments to the Sublesssor] or such other place
      or places as Sublessor may from time to time designate by written notice to Sublessee.
      Such rent shall include both rent for the Subleased Premises and Sublessee's proportionate
      share of common area space. Any adjustment in the basic rent under the Master Lease
      through Consumer Price Index adjustments or otherwise shall result in a similar adjustment
      in the basic rent hereunder.

  (b) Additional Rent. In addition to the basic rent stated above, Sublessee shall pay to
      Sublessor its pro rata portion of the sums, if any, payable by Sublessor as additional rent or
      for other services or expenses under the Master Lease. Sublessee's pro rata share of such
      additional expenses shall be equal ________%. [Instructions: Insert the percentage of
      the additional rent the Sublessee will be responsible for] Sublessee shall also pay its pro
      rata share of the cost of utilities, office supplies, telephones and other miscellaneous items
      acquired or paid for by Sublessor in connection with the conduct of business from the

5. PERMITTED USE

The Subleased Premises shall be used by Sublessee for the purpose of conducting a

business and for no other use or uses without the express written consent of Sublessor.

6. ALTERATIONS

  (a) Sublessee agrees to accept the Subleased Premises in an “as is” condition.

  (b) Sublessee shall not make or permit any other person to make any alterations to Subleased
      Premises without Landlord's and Sublessor's prior written consent which may be withheld
      at Sublessor's sole and absolute discretion.

7. SIGNS

Sublessee may not place its signs on or near the building or the Subleased Premises without first
obtaining Sublessor's and Landlord's written consent therefore.

8. ASSIGNMENT OR SUBLEASING

Sublessee shall not encumber, assign or otherwise transfer this Sublease, any right or interest in
this Sublease or any right or interest in the Subleased Premises without the express prior written
consent of Sublessor, which Sublessor may withhold at its sole discretion. Any encumbrance,
assignment, transfer or subletting without the prior written consent of Sublessor, whether it be
voluntary or involuntary, by operation of law or otherwise, is void and shall, at the option of
Sublessor, terminate this Sublease.

9. NOTICES

Notices shall be given in the manner set forth in the Master Lease to the parties hereto at the
following addresses:

10. COUNTERPARTS

This Sublease may be executed in several counterparts, each of which shall be deemed to be an
original, and all counterparts shall constitute one and the same instrument.

11. ATTORNEYS' FEES

In the event of any dispute concerning the subject matter hereof, the prevailing party shall be
entitled to recover its costs and reasonable attorneys' fees.

12. BINDING ON HEIRS AND SUCCESSORS

This Sublease shall be binding on and shall inure to the benefit of the heirs, executors,
administrators, successors and assigns of the parties, Sublessor and Sublessee hereto, but nothing
in this section shall be construed as consent by Sublessor to any assignment of this Sublease or
any interest therein by Sublessee.

13. TIME OF ESSENCE

Time is expressly declared to be the essence of this Sublease.

14. WAIVER

The waiver of any breach of any of the provisions of this Sublease by Sublessor shall not
constitute a continuing waiver or a waiver of any subsequent breach by Sublessee either of the
same or of another provision of this Sublease.

15. ENTIRE AGREEMENT

This instrument constitutes the sole and only agreement between Sublessor and Sublessee
respecting the Subleased Premises or the subleasing of the Subleased Premises to Sublessee and
correctly sets forth the obligations of Sublessor and Sublessee to each other as of its date. Any
agreements or representations respecting the Subleased Premises or their subleasing by Sublessor
to Sublessee not expressly set forth in this instrument are null and void. Any modification of this
Sublease must be in writing and signed by the parties hereto.

16. SEVERABILITY

Any provision of this Sublease which shall prove to be invalid, void or illegal shall in no way
affect, impair or invalidate any other provision hereof and such remaining provisions shall
remain in full force and effect.

17. REAL ESTATE BROKERS OF FINDERS

Each party represents that it has not had dealings with any real estate broker, finder, or other
person, with respect to this Sublease in any manner. Each party shall hold harmless the other
person from all damages resulting from any claim which may be asserted against the other party
by any broker, finder or other person with whom the other party has or purportedly has dealt,
including reasonable attorneys' fees and costs of litigation, if any.

IN WITNESS WHEREOF, the parties hereby execute this Agreement on the date specified in
the first paragraph of this Sublease.
