Photography Services Contract Letterhead and date
This Agreement is entered into this day of August 15 2007, by and between and ----------------------(“the client”).

IN CONSIDERATION of the mutual promises set forth herein, and for other good and valuable consideration, the receipt of which is hereby acknowledged, the client hereby engages the freelancer to provide assigned images for the set date. The photographer will provide all images from the shoot of August 23 2007 on the same day. The photographer will assist the client with initial color correction that is to take no more than 30 minutes. All post-production of images is responcibility of client. Security. Both parties shall not be held responsible for any danger or injury encountered by the photographer or client before, during, or after their respective assignment for the client. Cancellation. The obligation of the Parties shall be excused for scheduled photo shoots and deadlines by detention of key personnel by sickness, accident, riot, strike, epidemic, act of God, Force Major or any other legitimate condition beyond the control of the obliged Parties. If such circumstances arise in the case of the freelancer, the freelancer shall, at the discretion of both parties, agree to appear at a substitute date that is mentioned in the schedule set forth by both parties. If such circumstances arise in the case of the client, the client shall, at its discretion, set forth a substitute date for the appearance as set in the schedule for the client. If the freelancer cannot be accommodated by either date, the client will either negotiate a separate date, or terminate the freelancer’s scheduled employment with the client. Neither Party shall be liable for indirect, special or consequential damages arising from any breach of this Agreement.
General. This Agreement will be governed by, and construed in accordance with the laws of the States of New York and Massachusetts, without giving effect to the principles of its conflict of law provisions. The Parties to this Agreement agree and consent to the jurisdiction of and venue in the state or federal courts in New York, NY and Cambridge, MA in all disputes arising out of or relating to this Agreement. In the event that any provision of this Agreement is declared invalid or void by statute or judicial decision, such action shall not invalidate the entire Agreement. It is the express intention of the Parties that all other provisions not declared invalid or void shall remain in full force and effect. The failure by either Party to act with respect to a breach by the other shall not constitute a waiver of the right to act with respect to subsequent or similar breaches. This Agreement constitutes the entire Agreement between the Parties.
