This Editor Agreement is an agreement with an editor on an independent contractor
basis who is engaged to provide editorial services for a book manuscript. The editor
can be hired by an author or a publisher. The main provisions of the agreement include
work for hire provisions, ownership of the final product, sole right of author/publisher to
accept or reject the work done by the editor, compensation details, confidentiality, and
warranty of the editor's services. It contains numerous standard provisions, but can be
customized to fit the specific needs of the contracting parties. This document should be
used by authors, publishers and editors when entering into an agreement for editorial

A. Publisher is the author [publisher] of an original book-length manuscript (the “Manuscript”)
of approximately ________ words in length, with a working title of “________________” (the

NOW THEREFORE THIS AGREEMENT WITNESSES that in consideration of the mutual
covenants and agreements contained in this Agreement, the parties hereby agree as follows:
1. RELATIONSHIP OF PARTIES
The parties expressly agree and acknowledge that the relationship created by this Agreement is
one of independent contractor. The Editor is not, and will not be treated as, an employee of the
Publisher for federal tax purposes, or any other purpose.
2. STATEMENT OF WORK
A. Editor agrees to perform the Statement of Work as set forth in Schedule A attached and
made a part of the Agreement, (the “Statement of Work”), according to the deliverables,
timeframes and payment provisions set forth therein. Editor herein is defined as the
individual performing the Statement of Work. The completion of the manuscript of
articles and/or columns shall follow the schedule as set forth in the Schedule A attached.
B. Notwithstanding anything to the contrary herein, Editor acknowledges and agrees that
Publisher has ultimate responsibility for its publications and that Publisher retains the
right to make changes to, delete from, add to or modify the Manuscript in any manner
Publisher may deem desirable.
3. EDITING METHOD
The Editor agrees to perform the work in the following manner: Changes will be suggested to
Publisher, and Publisher will be free to choose whether or not to incorporate any or all of the
