Box 690032 Houston, TX 77269 Head Coach’s Contract CONTRACT: This contract is made and entered into this first day of September, 1994, by and between Cypress Fairbanks Swim Club, Incorporated, whose address is P.O. Box 690032, Houston, TX 77269, hereinafter referred to as “CFSC” and , hereinafter referred to as “Coach . CFSC hereby agrees to employ Coach XXXXXX and Coach XXXXXX hereby agrees to work for CFSC in a full-time capacity. His responsibilities include, but are not limited to the following:  Membership in USA Swimming and successful completion of all required and approved USA Swimming safety training for swim coaches (First Aid, CPR and Safety Training for Swim Coaches). CFSC will reimburse Coach XXXXXX for the costs of the USA Swimming membership and the required safety courses. The cost of membership in the American Swimming Coaches Association (ASCA) will also be included. Working with the Head Age Group Coach and Board of Directors Program Committee, coordinate the setting of entry guidelines, and planning and scheduling of all CFSC programs. Working with the Head Age Group Coach and satellite pool coaches, coordinate the technical direction and planning of workouts by all coaches for all CFSC programs, as approved by the Board of Directors. Attendance at regularly scheduled Board meetings. Working with the Head Age Group Coach and Board of Directors Personnel Director, evaluate CFSC coaches and programs seasonally, to be reported to the CFSC Board at the April (Short Course) and September (Long Course) Board meetings. Working with the CFSC coaches and Board of Directors Personnel Director, make recommendations on training (seminars, conventions, workshops, etc.) for CFSC coaches. Conducting monthly coaches meetings and submitting a report to the Board of Directors. Planning, scheduling and conducting practices for the CFSC Elite Program as established by the Board of Directors. Assisting and/or participating in all CFSC activities or special projects, unless excused by the CFSC Board.





 











Working with the Personnel Director, coordinate the recruiting of potential candidates for CFSC coaching positions. Attending scheduled USA Swimming meets at which CFSC swimmers are competing, unless specifically excused by the Board. As much as possible, Coach XXXXXX seasonal schedule for meets and other scheduled activities will be submitted for Board approval at the September (Short Course) and April (Long Course) Board meetings. Assuring that accurate daily attendance records for each Elite Program workout are maintained and mailed to the CFSC Registration Chairman as has been established by the Board of Directors. Assuring that in the CFSC Elite Program, a properly completed and signed Application form, together with appropriate payment is received prior to the first workout by any participant, unless specific authorization is given, in advance, by the Board of Directors of CFSC. If such permission has been given, it shall be so explained on the Attendance sheet. Stroke clinics will be conducted periodically by the CFSC. The schedule, entry fees and selection of coaches for such clinics will be approved in advance by the CFSC Board. In those cases when Coach XXXXXX conducts the clinic, entry fees will be split with the coach on an 80% (Coach XXXXXX) – 20% (CFSC) basis, after any facilities or janitorial costs have been covered. Supervision of swimmers in accordance with Board guidelines regarding travel procedures and Code of Conduct, as outlined in the “Fleet” (CFSC) Handbook.











Coach XXXXXX will operate under guidelines as established by the Board and will conduct himself in a professional manner while performing his duties for CFSC. He will perform no services for parties other than CFSC, except local speaking engagements, without prior approval of the Board of Directors. CFSC, subject to budget and schedule constraints, will attempt to provide expense money for coaching seminars or conventions during the year, as requested by Coach XXXXXX. SALARY: CFSC agrees to pay Coach XXXXXX the amount of $XXXX.XX per month, for services rendered under this Contract, which shall be paid in equal increments on the fifteenth (15) and last day of each month. All salary payments shall be subject to the customary payroll deductions as required by law. Additionally, Coach XXXXXX’s salary will be subject to review or re-negotiation for the second year of this contract (i.e., on or before August 1, 1995). It is mutually understood that Coach XXXXXX will receive his full salary for a period of up to thirty (30) days in the event of a disabling illness or accident. If said illness or results of an accident exceeds a period of sixty (60) days during the term of this contract to the extent that he is unable to perform his duties as a coach, CFSC may, at its election, terminate the contract. Time off for emergencies, such as serious accidents or illness involving the immediate family, or death in the family, may be arranged with the Board of Directors.

INSURANCE: Because CFSC has been unable to obtain group medical insurance at an affordable rate, partly due to the small number of employees, both parties agree that in lieu of insurance coverage Coach XXXXXX will be reimbursed for family coverage obtained through the spouse’s employer as if CFSC were actually paying the premiums (See Medical Coverage Contract). VACATION: During the twelve (12) months of September 1 through August 31, Coach XXXXXX shall be entitled to ten (10) days of vacation, exclusive of holidays. Holidays during the same period include Labor Day, Thanksgiving Day, Christmas Day, New Year’s Day, Memorial Day and five (5) “floating holidays” which may be taken at the choosing of the Coach. Vacation days and “floating holidays” may be taken at the choosing of the Coach so long as appropriate “coaching coverage” of practices or meets is arranged and authorization is obtained from the Board of Directors. “Down time”, should it occur, following the Short or Long Course Seasons and during the Christmas break, is not considered vacation. Coach XXXXXX may be asked to perform Club related activities during the “down time” unless it is requested as vacation time. These activities could include, but not be limited to, preparations for the following swim season, such as setting practice schedules and helping with registration details. “Down time” may also be used for educational clinics or seminars offered to swim coaches through such organizations as ASCA or USA Swimming, subject to mutual agreement with the Board of Directors. EXPENSES: CFSC shall pay all reasonable expenses, including personal car mileage, of Coach XXXXXX for swim club functions and meets, local and out-of-town meets or functions, and other applicable activities, as approved by the Board. Detailed expense accounts shall be submitted prior to reimbursement and supported by appropriate receipts customary to business accounts, which are accepted by the I.R.S. Travel expenses shall include a reasonable room rate and meal allowance and the current I.R.S. standard for use of his personal vehicle for CFSC business, other than routine travel to and from his scheduled practices or other CFSC scheduled functions. The CFSC issued American Express Card shall be used to the maximum extent possible to pay for club related expenses. Cash advances for CFSC expenses must be arranged with the Treasurer in instances where the American Express Card cannot be used. Coach XXXXXX shall have the authority to purchase CFSC items, which include but is not limited to team practice equipment and other needed items to help with training procedures. These items must fit within the budget as set forth by the Board. PERFORMANCE OF DUTIES: Coach XXXXXX shall conduct himself in a manner commensurate with the responsibility of his position within CFSC. He may be discharged by CFSC with no further liability to CFSC in the event of a final conviction of a felony offense under the law of any state of the United States. If, at any time, the Board is of the opinion that Coach XXXXXX is unfit, by unanimous quorum vote, unable or is not satisfactorily performing his duties, for specific reasons detailed in writing, CFSC may terminate this Contract by giving thirty (30) days written notice which will include the detailed description of grievances. Likewise, Coach XXXXXX may terminate this

Contract by giving thirty (30) days written notice. This notice shall become effective upon receipt and all portions of this Contract will remain in effect until the notice period expires or mutual waiver of the Contract is reached. TERM OF CONTRACT: This Contract shall be in effect from September 1, 1994 until August 31, 1996, whereupon there shall be no liability of either party. CFSC and Coach XXXXXX agree to determine, as early as possible, preferably prior to July 15, 1996, that this Contract be renegotiated for the next appropriate years. It shall be the responsibility of CFSC to prepare its proposal of a new Contract by June 20, 1996. If no progress of commitment is reached within a reasonable period of time, then CFSC may commence to make other coaching arrangements.

Assuring the planning, scheduling and conducting of practices and implementation of CFSC programs in accordance with schedules and times as approved by the Board of Directors. If not available for scheduled practices during the period of the Contract, except for vacation periods o extenuating circumstances, commensurate reductions in salaries for any absent time may be made at the recommendation of the Head Coach or at the direction of the Board of Directors. Assisting and/or participating in all CFSC activities whenever possible, as required by the Board of Directors. Attendance at regularly scheduled Board meetings, coaches meetings, practice or meet schedule permitting. Attending scheduled USA Swimming meets at which swimmers within his programs are competing unless specifically excused by the Board of Director. As much as possible, Coach XXXXXX seasonal schedule for

meets and other scheduled activities will be submitted for Board approval at the September (Short Course) and April (Long Course) Board meetings.  Assuring that accurate daily attendance records for each practice are maintained and submitted as has been established by the Board of Directors.



Evaluate the Age Group programs and coaches, seasonally and submit a report following each summer session. Supervision of swimmers at the practice pool venue, meets and during travel in accordance with Board guidelines regarding travel procedures and Code of Conduct (outlined in the “Fleet” (CFSC) Handbook).


