					       CONNECTICUT MILITARY CORVETTE CLUB CONSTITUTION AND BYLAWS


                               ARTICLE I- NAME

THE NAME OF THE ORGANIZATION SHALL BE CONNECTICUT MILITARY CORVETTE
CLUB (CMCC) AND SHALL BE REFERRED TO AS THE ORGANIZATION


                             ARTICLE II - PURPOSE

THIS SHALL BE A NON-PROFIT ORGANIZATION, INTERESTED IN THE RESTORATION,
PRESERVATION, ENJOYMENT OF CORVETTES AND SERVICE TO THE
MILITARY/VETERAN COMMUNITY.


                           ARTICLE III - MEMBERSHIP

MEMBERSHIP SHALL BE OPEN TO CURRENT/RETIRED OR FORMER MILITARY
PERSONS IN POSSESSION OF A VALID DRIVERS LICENSE WITH A GENUINE INTEREST
IN CORVETTES AND ARE SEEKING THE ENJOYMENT OF SAID VEHICLES AND TO
SERVE THE MILITARY COMMUNITY. ENROLLMENT WILL REQUIRE AN ANNUAL
MEMBERSHIP FEE WHICH IS SET BY MAJORITY OF THE MEMBERSHIP. THE FAMILY OF
EACH MEMBER SHALL FALL UNDER HIS/HER MEMBERSHIP IF THEY RESIDE IN THE SAME
HOUSEHOLD.

FOR MEMBERSHIP, CANDIDATES MUST: 1) FILL OUT THE APPLICATION FOR MEMBERSHIP
FORM, 2) SIGN THE ACKNOWLEDGEMENT OF RISK AND HOLD HARMLESS AGREEMENT, 3)
ATTEND AT LEAST THREE (3) BUSINESS MEETINGS, AND 4) ATTEND TWO (2) EVENTS
WITHIN A SIX (6) MONTH PERIOD. AFTER FULFILLING ALL FOUR MEMBERSHIP
REQUIREMENTS LISTED ABOVE, HE/SHE WILL BE VOTED ON IF HE/SHE DESIRES. VOTING
WILL BE BY SECRET BALLOT, OR A SHOW OF HANDS, AS DETERMINED BY THE DIRECTOR
OF MEMBERSHIP. IF A BALLOT IS USED THE BALLOT WILL BE PREPARED BY THE
DIRECTOR OF MEMBERSHIP. IF HE/SHE RECEIVES ONE THIRD (1/3) OR MORE
NEGATIVE VOTES HE/SHE MAY REAPPLY FOR MEMBERSHIP AFTER 6 MONTHS TIME HAS
ELAPSED. (EVENTS ARE DEFINED AS CMCC SPONSORED OR ENDORSED CAR SHOWS,
ROAD TRIPS, CRUISE NIGHTS, SOCIALS AND PARADES.)


                            ARTICLE IV – OFFICERS

THE OFFICERS OF THE ORGANIZATION SHALL CONSIST OF A PRESIDENT, VICE PRESIDENT,
SECRETARY, TREASURER, DIRECTOR OF MEMBERSHIP, DIRECTOR OF AUTOMOTIVE
EVENTS AND DIRECTOR OF SOCIAL EVENTS. THE OFFICES WILL COMPRISE THE BOARD OF
DIRECTORS, WITH THE PRESIDENT ACTING AS THE CHAIRMAN OF THE BOARD.
ANY MEMBER IN GOOD STANDING AND DUES CURRENT SHALL BE ELIGIBLE TO HOLD
ONE OF THE OFFICES. THE OFFICERS OF THIS ORGANIZATION SHALL BE ELECTED
ANNUALLY BY THE MEMBERSHIP OF THIS SAME ORGANIZATION AND SHALL SERVE FOR
A PERIOD OF ONE (1) YEAR. ANY OFFICER WITH THE EXCEPTION OF THE PRESIDENT MAY
SERVE MORE THAN TWO CONSECUTIVE TERMS IF HE IS RE-ELECTED TO DO SO. THE
PRESIDENT MAY NOT SERVE MORE THAN TWO CONSECUTIVE TERMS. ANY OFFICER MAY
BE ELECTED OR REMOVED FROM OFFICE BY A MAJORITY VOTE OF THE MEMBERSHIP
PRESENT. REFERENCE QUORUM AS DEFINED IN ARTICLE VII.
THE PRESIDENT SHALL BE THE CHIEF OFFICER OF THIS ORGANIZATION AND SHALL
PRESIDE AT ALL MEETINGS OF ITS MEMBERSHIP. THE PRESIDENT SHALL SUPERVISE ALL
AFFAIRS OF THE ORGANIZATION. THE PRESIDENT MAY ORGANIZE COMMITTEES AND
APPOINT CHAIRPERSONS OTHER THAN THOSE LISTED IN ARTICLE V. THE PRESIDENT
WILL APPOINT A NEWSLETTER EDITOR, A CHARITY COMMITTEE CHAIRPERSON
AND PROVIDE AN ARTICLE FOR THE MONTHLY NEWSLETTER.



THE VICE PRESIDENT SHALL ACT AS THE PRESIDENT OF THIS ORGANIZATION,
WHEN AND IF THE OFFICE BECOMES VACANT. THE VICE PRESIDENT SHALL FINISH
OUT THE UNEXPIRED TERM OF THE PREVIOUS UNTIL A MEETING AT WHICH
MEMBERSHIP ELECTS A SUCCESSOR. THE VICE PRESIDENT MAY AT THE PRESIDENTS
DISCRETION, HEAD COMMITTEES AND REPORT THEIR PERFORMANCE TO THE PRESIDENT.


THE SECRETARY SHALL RECORD ALL PROCEEDINGS OF THE ORGANIZATION AND
SHALL BE EMPOWERED TO CERTIFY JOINTLY WITH THE PRESIDENT AS TO SUCH
PROCEEDINGS. THE SECRETARY SHALL ALSO HANDLE ALL CORRESPONDENCE AND
MAINTAIN AN ATTENDANCE RECORD FOR THE ORGANIZATION.

THE TREASURER SHALL HAVE CUSTODY OF ALL THE FUNDS AND SECURITIES OF
THE ORGANIZATION AND SHALL KEEP RECORDS BELONGING TO THE
ORGANIZATION WITH FULL AND ACCURATE ACCOUNTS OF ALL RECEIPTS AND
DISBURSEMENTS. HE/SHE SHALL DEPOSIT ALL MONEY SECURITIES AND OTHER
VALUABLE EFFECTS IN THE NAME OF THE ORGANIZATION IN SUCH DEPOSITORIES
AS MAY BE DESIGNATED FOR THAT PURPOSE BY THE MEMBERSHIP. HE/SHE
SHALL DISPURSE THE FUNDS OF THE ORGANIZATION AS MAY BE DIRECTED BY A
MAJORITY OF THE OFFICERS AND/OR MEMBERSHIP. THE OFFICERS WILL NOT BE
RESTRICTED, HOWEVER, IN THOSE ORDINARY AND CUSTOMARY EXPENDITURES
IN THE RECOGNIZED DAY TO DAY OPERATION OF THE CLUB FUNCTIONS. ANY
EXPENSES WHICH ARE NOT ORDINARY OR CUSTOMARY AND ARE IN EXCESS OF
$250.00 SHALL BE VOTED ON BY THE MEMBERSHIP PRESENT. THE TREASURER
SHALL TAKE PROPER VOUCHERS FOR SUCH DISBURSEMENTS AND SHALL RENDER
TO THE OFFICERS AND MEMBERSHIP, AT THE REGULAR MONTHLY BUSINESS
MEETING AND WHENEVER REQUESTED BY THEM, AN ACCOUNT OF HIS/HER
TRANSACTIONS AS TREASURE OF THE FINANCIAL CONDITION OF THE
ORGANIZATION.

 THE DIRECTOR OF MEMBERSHIP WILL PROMOTE CLUB MEMBERSHIP TO OTHER
CORVETTE OWNERS. RECEIVE ALL RETURNED APPLICATIONS AND INSURE SUCH
APPLICATIONS HAVE BEEN PROPERLY COMPLETED. ACQUAINT HIMSELF/HERSELF WITH
PROSPECTIVE MEMBERS AND RECOMMEND THESE INDIVIDUALS TO THE MEMBERSHIP.
IN ASSOCIATION WITH THE TREASURER, MAINTAIN A CURRENT LISTING OF ALL CLUB
MEMBERS AND CHAIR THE MEMBERSHIP COMMITTEE.

THE DIRECTOR OF AUTOMOTIVE EVENTS SHALL BE THAT OF MEMBERSHIP LIAISON
BETWEEN ANY CLUB SPONSORS AND THE CLUB, PLUS ADVERTISING CLUB ACTIVITIES
AND PROMOTIONS. COORDINATE MEMBER PARTICIPATION IN EVENTS PROMOTING THE
CLUB. ORGANIZE AUTOMOTIVE EVENTS THAT BENEFIT THE CHARITY FUND.

THE DIRECTOR OF SOCIAL EVENTS WILL ORGANIZE THE SOCIAL EVENTS FOR THE CLUB.
ORGANIZE THE ANNUAL AWARDS BANQUET AND CHAIR THE SOCIAL COMMITTEE.
                          ARTICLE V – COMMITTEES

THE FOLLOWING SHALL BE STANDING COMMITTEES OF THE ORGANIZATION:

SOCIAL
MEMBERSHIP
FINANCE
CHARITY
EACH BOARD MEMBER HAS THE AUTHORITY TO FORM COMMITTEES TO ASSIST THEM IN
PERFORMING THEIR DUTIES AS NEEDED.

DUTIES OF THE COMMITTEES:
THE SOCIAL COMMITTEE WILL ASSIST SOCIAL DIRECTOR IN PLANNING AND HOSTING
MONTHLY MEETINGS AND SET UP SUB-COMMITTEES FOR HOSTING ALL CLUB
FUNCTIONS.

THE MEMBERSHIP COMMITTEE WILL SET UP A TABLE FOR PROSPECTIVE MEMBERS TO
SIGN IN, SEND MEETING NOTICES TO PROSPECTIVE MEMBERS, DEVELOP AND MAINTAIN
A HANDOUT FOR PROSPECTIVE MEMBERS, DEVELOP AND MAINTAIN A CLUB HANDBOOK
FOR ALL MEMBERS AND PROVIDE A MENTOR FOR NEW MEMBERS FOR 4 MONTHS.

THE CHARITY COMMITTEE WILL SUPERVISE ALL CHARITY ACTIVITIES AND DONATIONS
AND FORM A COMMITTEE TO RESEARCH CHARITIES THAT WOULD QUALIFY TO BE
SPONSORED BY THE CLUB. PROVIDE A DESCRIPTION OF EACH CHARITY RECOMMENDED
TO THE CLUB MEMBERSHIP. CLUB VOTE WILL DETERMINE WHICH CHARITIES WILL BE
SPONSORED AND THE AMOUNT OF ANY FINANCIAL DONATIONS. THE CHARITY
COMMITTEE WILL REVIEW ALL REQUESTS INVOLVING CHARITY DONATIONS OR EVENTS
RECEIVED FROM THE MEMBERS OR FROM OUTSIDE THE CLUB BEFORE THEY ARE
PRESENTED TO THE MEMBERSHIP FOR APPROVAL.

THE FINANCE COMMITTEE AND THE TREASURER WILL WORK WITH THE BALANCE OF
THE BOARD TO DEVELOP AN ANNUAL BUDGET FOR THE CLUB WHICH WILL BE VOTED ON
BY THE MEMBERSHIP AND PRODUCE AN ANNUAL REVIEW OF ALL CLUB ACCOUNTS.


                      ARTICLE VI – ELECTION OF OFFICERS

OFFICERS WILL BE ELECTED WHEN THE CLUB MEMBERSHIP HAS GROWN TO
TWENTY (20) PAID MEMBERS, UNTIL SUCH TIME THE CLUB SHALL ACT AS A
COMMISSION WITH ALL MEMBERS HAVING AN EQUAL VOTE.

EACH NOVEMBER A NOMINATING COMMITTEE CHAIRED BY THE IMMEDIATE PAST
PRESIDENT AND COMPRISED OF THE OFFICERS OF THE CURRENT YEAR AND ANY
PAST PRESIDENTS IN THE LOCAL AREA SHALL SEEK, RECEIVE, AND CONSIDER
NOMINATIONS FOR OFFICERS TO SERVE DURING THE UPCOMING CLUB
CALANDAR YEAR THAT BEGINS EACH JANUARY. THE NOMINATING COMMITTEE
WILL PRESENT THE SLATE OF CANDIDATES AT THE DECEMBER MEETING AND THE
MEMBERSHIP SHALL VOTE BY A SHOW OF HANDS. WHERE THERE EXISTS TWO OR
MORE CANDIDATES FOR AN OFFICE THAT OFFICE WILL BE VOTED ON BY THE
GENERAL MEMBERSHIP VIA A PRINTED BALLOT. THOSE CANDIDATES THAT ARE
ELECTED SHALL BEGIN THEIR TERM JANUARY 1ST OF THE CURRENT YEAR.
                   ARTICLE VII – RESIGNATION AND EXPULSION

ANY OFFICER OR MEMBER MAY RESIGN BY WRITTEN NOTICE TO THE SECRETARY
OR TREASURER. HIS/HER RESIGNATION SHALL BECOME EFFECTIVE UPON RECEIPT
AND UPON PAYMENT OF ANY INDEBTEDNESS OWED TO THE ORGANIZATION.
EXPULSION AND/OR OTHER DISCIPLINARY MEASURES TAKEN WITH REGARD TO
FAILURE TO PAY DUES, FEES, INFRACTIONS OF THE ORGANIZATIONS
RULES/REGULATIONS, AND/OR OTHER CAUSES SHALL BE DETERMINED BY THE
MAJORITY OF THE VOTING MEMBERS. THE MEMBER (S) UNDER ACTION SHALL
HAVE BEEN PROVIDED WRITTEN NOTICE AT HIS LAST KNOWN PHYSICAL
ADDRESS/E-MAIL OF HIS RIGHT TO SUBMIT HIS POSITION TO THE VOTING MEMBERSHI


                            ARTICLE VIII - MEETINGS

A MONTHLY MEETING OF THE ORGANIZATION SHALL BE HELD ON THE FIRST
TUESDAY OF EACH MONTH. THE LOCATION OF SAID MEETING SHALL BE THE
HARTFORD ARMORY OR ANY OTHER LOCATION DETERMINED BY A MAJORITY VOTE
OF THE MEMBERSHIP.

THE AGENDA FOR ALL MEETINGS WILL INCLUDE READING OF THE PREVIOUS
MEETING MINUTES, TREASURYS REPORT, AND A REVIEW/UPDATE OF THE EVENTS
CALANDER, COMMITTEE REPORTS AND ANY OLD/NEW BUSINESS.

SPECIAL MEETINGS MAY BE CALLED AT THE DISCRETION OF THE PRESIDENT
AND/OR AT THE REQUEST OF FIVE (5) OR MORE MEMBERS. A QUORUM SHALL BE
DEFINED AS A MAJORITY OF THE TOTAL MEMBERSHIP OF THE ORGANIZATION.


            ARTICLE IV - AMENDMENTS TO CONSTITUTION AND BY-LAWS

ANY MEMBER IN GOOD STANDING MAY PROPOSE BY WRITTEN INSTRUMENT TO
THE OFFICERS OF THE ORGANIZATION AT ANY REGULARLY SCHEDULED MEETING
ANY ADDITIONS, IRREGULARITIES, CHANGES, DELETIONS, NONCONFORMITIES,
AMENDMENTS AND/OR CORRECTIONS THAT NEED TO BE MADE IN OR TO THE
CONSTITUTION AND BY-LAWS. THE WRITTEN PROPOSAL (S) SHALL THEN BE
SUBMITTED TO THE VOTING MEMBERSHIP PRESENT. IF A QUORUM EXISTS A
VOTE ON CONSIDERATION BY THE ENTIRE VOTING MEMBERSHIP PRESENT SHALL
TAKE PLACE. IF SAID PROPOSAL(S) PASSES BY A PLURALITY OF THE VOTES THEN
CAST, AFTER DISCUSSION, SAID PROPOSAL (S) THEN SHALL BE SUBMITTED TO THE
ENTIRE MEMBERSHIP VIA MEETING MINUTES AND SUBSEQUENTLY VOTED ON AT
NEXT BUSINESS MEETING.
THIS CONSTITUTION AND BY-LAWS WERE APPROVED AND ADOPTED BY TWO-
THIRDS (2/3) VOTE OF THE MEMBERSHIP OF THIS ORGANIZATION PRESENT AT A
MEETING HELD ON THE _____ DAY OF ______, 2012.
