					CHIPPENHAM NETBALL CLUB CONSTITUTION

1 Name The club will be called Chippenham Netball Club and will be affiliated to the England Netball through Wiltshire County netball Association 2 Aims and objectives The aims of the club will be:  to offer coaching and competitive opportunities in netball to all ages and abilities  to encourage players, coaches and umpires to strive to do their best and achieve higher standards  to promote the club within the local community and netball  to ensure a duty of care to all members of the club  to provide all its services in a way that is fair to everyone  to ensure that all present and future members receive fair and equal treatment.  To be a friendly and welcoming club open to all The objectives of the club are to further the growth and development of the sport of netball by promoting activities which encourage players, coaches and umpires to attain higher standards. In particular the club encourages and introduces young players to the sport. The club places great emphasis on the junior group which supports players age 11 – 16. 3 Membership Membership is open to all and should consist of officers and member of the club. All members will be subject to the regulations of the constitution and by joining the club will be deemed to accept these regulations and codes of conduct that the club has adopted. Members will be enrolled in one of the following categories:  Adult team member  Adult non team member  Junior team member  Junior member. 4 Membership Fees/Weekly Subscriptions Membership fees and weekly subscriptions will be set annually and agreed at the Annual General Meeting. Membership Fees will be paid annually by 30th September each year. At the discretion of the committee a player whose fees remain unpaid after this date may not take part in club matches. Weekly subscriptions shall be paid three times a year in September January and April.

5 Officers of the club The officers of the club will be:  Chair  Vice Chair  Secretary  Treasurer  Fixtures Secretary  Social Secretary  School Club Link  Coaching Secretary  Umpiring Secretary  Under 18 rep Officers will be elected annually at the Annual General Meeting. All officers will retire each year but will be eligible for re-appointment. 6 Committee The club will be managed through the Committee consisting of the elected officers as above and up to two other committee members. One member of each team shall also be part of the committee. Committee meetings shall be called as and when required but shall not be less than four per season. At all meetings a quorum for business to be agreed shall consist of six attendees. The Committee will be responsible for  adopting new policy, codes of conduct and rules that affect the organisation of the club.  Functions that are required to fulfil the objectives of the club  Correspondence with outside organisations  Management of the club’s financial affairs  Raising funds to allow the club’s objectives to be fulfilled The Committee will have powers to appoint sub-committees as necessary and appoint advisers to the Committee as necessary to fulfil its business. The Committee will be responsible for disciplinary hearings of members who infringe the club rules/regulations/constitution. The Committee will be responsible for taking any action of suspension or discipline following such hearings. The committee’s decision is final. However, in any matter that may contravene the rules applied by the county, appeal may be made by any registered participant to those organisations. 7 Rules of Play The rules of Play shall be in accordance with England Netball. 8 Finance All club monies will be banked in an account held in the name of the club. The Club Treasurer will be responsible for the finances of the club. The financial year of the club will end on 31st May each year. An audited statement of annual accounts will be presented by the Treasurer at the Annual General Meeting.

Any cheques drawn against club funds should hold the signatures of the Treasurer plus up to two other officers. All officers, members of the committee shall be indemnified by the club against all costs and losses which may be incurred by reason of any duty performed for, or with the authority of, the club 9 Annual General Meetings

The club shall hold an Annual General meeting at the end of each season, at which all club members shall have the right to attend.
Notice of the Annual General Meeting (AGM) will be given by the Club Secretary. Not less than 21 clear days’ notice to be given to all members. The AGM will receive a report from officers of the Management Committee and a statement of the audited accounts. Nominations for officers of the Management Committee will be sent to the Secretary prior to the AGM. Elections of officers are to take place at the AGM. All members have the right to vote at the AGM. Voting shall be by a show of hands, unless a request is made foe a secret ballot. A quorum shall consist of one quarter of all senior members entitled to vote. In the event of a tie, the Chairman shall have the casting vote. The Club Constitution and Rules may only be altered at an AGM. All proposed amendments must be submitted in writing to the secretary at least one week prior to the AGM. The Committee has the right to call Extraordinary General Meetings (EGMs) outside the AGM. Procedures for EGMs will be the same as for the AGM.

Business of the Annual General Meeting shall be transacted in the following order: Apologies for absence Minutes of the previous meeting Matters arising Chairman's report Secretary's report Treasurer’s report Election of officers Amendments to Constitution/Rules

Subscriptions Any other Business

9 Discipline and appeals All complaints regarding the behaviour of members should be submitted in writing to the Secretary. The Committee will meet to hear complaints within 7 days of a complaint being lodged. The committee has the power to take appropriate disciplinary action including the termination of membership. The outcome of a disciplinary hearing should be notified in writing to the person who lodged the complaint and the member against whom the complaint was made within 7 days of the hearing. There will be the right of appeal to the Management Committee following disciplinary action being announced. The committee should consider the appeal within 7 days of the Secretary receiving the appeal. 10 Dissolution A resolution to dissolve the club can only be passed at an AGM or EGM through a majority vote of the membership. Should there be a dissolution of the club, all property remaining, after payment of club debts, shall be devoted to a society with similar aims to those of the club as decided by the committee and NOT distributed amongst members of the club. 11 Amendments to the constitution The constitution will only be changed through agreement by majority vote at an AGM or EGM. 12 Declaration Chippenham netball club hereby adopts and accepts this constitution as a current operating guide regulating the actions of members.
