CUSTOMER HAS READ AND AGREES TO THE E LOGIX ITS COMMERCIAL SERVICE AGREEMENT TERMS AND CONDITIONS OF E LOGIX IT SERVICE SPECIFICATIONS. ACKNOWLEDGEMENT AND ACCEPTANCE OF THIS AGREEMENT BY CUSTOMER SHALL CONSTITUTE AN ORDER FOR SERVICE. COMMENCEMENT OF INSTALLATION OF THE SERVICE BY E LOGIX ITS SHALL CONSTITUTE ACCEPTANCE OF CUSTOMER’S ORDER SUBJECT TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. E Logix IT Service Agreement

Service Provided E Logix ITs agrees, for the term of this Agreement, to provide maintenance services on inoperable Equipment which are necessary to return Equipment to a good operation condition. All such maintenance shall be performed during the hours of 9:00 A.M. to 5:00 P.M. Monday Through Friday, Excluding E Logix IT Holidays (the “Principal Period of Maintenance”). E Logix ITs will at no additional charge, provide new or equivalent used replacement parts for the Equipment on an exchange basis required as a result of normal use. Parts removed become the property of E Logix ITs. Service or parts required for the Equipment as a result of other than normal use (e.g. accident, fire, Lighting, water damage, negligence, misuse or repairs, alterations or modifications performed by persons not authorized by E Logix ITs) are no included hereunder and shall be subject to E Logix ITs personnel availability and charged at E Logix IT’s prevailing rates on the date such service or repairs are performed. Service requested by Customer to be performed at times other than during the Principal Period of Maintenance shall be subject to E Logix IT’s personnel availability and charged to Customer at E Logix IT’s overtime rate on the date such service is performed E Logix ITs will also provide assistance by telephone to answer urgent and immediate questions at best effort during the Principal Period of Maintenance. When, in E Logix IT’s opinion, a factory refurbishment is necessary because normal repair and parts replacement cannot keep a unit of Equipment in satisfactory operating condition, E Logix IT will submit a cost estimate of needed repairs which will be in addition to the charges hereunder. If Customer does not authorize such work E Logix ITs may cancel or refuse to renew this Agreement of the unit of Equipment. All services to be performed hereunder may be performed by E Logix ITs or by third parties designated by E Logix ITs. Services Response Time Unless otherwise specified E Logix ITs aggress to respond to any request for service by agreed upon time by both customer and E Logix ITs. To repair any single user (stand-alone) computer, if the site has only one such within two (2) working days after the request, to repair a workstation connected to a network, a tape backup unit or one of several printers. Force Majeure E Logix ITs Shall not be liable to Customer for any delay or failure by E Logix ITs to perform its obligations under this agreement if such delay or failure arises from any cause or causes beyond the reasonable control of E Logix ITs. Excluded Services The maintenance service to be provided by E Logix ITs under this Agreement shall not include the following:(a) Performing services in connection with the use of the Equipment in conjunction with order equipment or software the relocation of the Equipment, the rewiring or rerouting of cables, or the addition or removal of accessories, attachments, features, or other devices:(b) Electrical work external the Equipment (C Maintenance of accessories, attachments, features, or devices other then the Equipment: (d) Maintenance of Equipment from which the original identification marks have been removed or altered. (e) Repair of Damage resulting from (i) accident, transportation, neglect, or misuse by Customer. Customer’s failure to provide the necessary facilities or specified operating supplies, or failure by Customer to meet site specifications applicable to the Equipment; (ii) cause external to the equipment such as, but not limited to, unusual physical stress, failure or fluctuation of electrical power, air conditioning, or humidity control; of (iii) any cause other that ordinary use (e.g. accident, fire, lighting, water damage, negligence, misuse or repairs, alterations or modification performed by persons not authorized by E Logix ITs):(f) Furnishing expendable or consumable supplies, equipment or accessories for the equipment.(g) Maintenance of the equipment or portions thereof which Customer has modified or repaired as set forth in Section 3 hereof or portions of the Equipment affected by such Customer modifications or repairs;(h) Reconditioning required when repair and parts replacement cannot keep the equipment in operating condition;(i) Back-up or restoration of Customer Data, information or computer programs, weather or not used in conjunction with the Equipment;(j) Except with respect to computer software covered by a separate software maintenance agreement , any computer software included as part of the Equipment shall not be the responsibility of E Logix ITs, except that E Logix ITs agrees to use reasonable efforts to coordinate any material problems in such software with the manufacturer or distributor of the Equipment to alleviate the problem; and(k) Specific request by Customer for maintenance outside the scope of this agreement. Additional Charges With respect to (i) maintenance of the Equipment which E Logix IT provides in response to a request by Customer for maintenance and which E Logix ITs in not obligated to provide under this Agreement, or (ii) corrections for difficulties or defects traceable to Customer’s unauthorized acts, errors or system changes, Customer shall pay $50.00 an hour for all efforts toward such services, corrections or remedies at E Logix IT’s then current standard time and materials charges. With respect to any repair which are excluded from this agreement and which are required for the Equipment to be in proper working order, E Logix IT’s will submit a description of the work which is necessary to restore the Equipment to proper working order and the charges therefore and will request permission to perform such restoration at customer’s expense, E Logix ITs shall have the rights to terminate all its obligations under this Agreement with respect to such damaged Equipment. Exclusions: The customer hereby acknowledges that with enrolling in the SOS Maintenance program and allowing E Logix ITs to back up your data, and access to your computer(s), E Logix ITs hold no liability or responsibility for content of data. You hereby agree to hold E Logix ITs harmless for any lost of data. You also hereby acknowledge that by taking part in the SOS Maintenance Program, E Logix ITs technicians, contractor, subcontractor and /or any and all employees may require access to personal information. I hereby allow E Logix ITs technicians, contractor, subcontractor and /or any and all employees permission to view if necessary, any written, financial, pictures music, personal, email, passwords etc document saved by customer to my documents folder or any specified folder to back up. I hereby acknowledge and understand the S.O.S plan does not prevent or guarantee the system from software errors, applications errors, system crashes, hardware failure (Hard drive, CDROM, DVD, CDRW Drives, Modems, Processor, Power Supplies, Motherboards, components, wires etc) virus or spyware infections. E Logix ITs accept no liability for loss or damage to the Customer’s own software or data, as a result of hardware failure or during maintenance process or repair by E Logix ITs representatives. It is Customer’s responsibility to maintain an up-to-date back up of their own software and data, as any work carried out which may affect software and/or data, either directly or indirectly, is performed at the customer’s own risk. Rights E Logix ITs reserve the right to refuse service at anytime.
