SUBCONTRACT
with

This Agreement is made and entered into by and between XXXXXXXXX STATE UNIVERSITY/XXXXXX
CAMPUS COMPACT, located at ADDRESS, CITY, STATE, ZIP [hereinafter referred to as the
Subcontractor] and WESTERN WASHINGTON UNIVERSITY/WASHINGTON CAMPUS COMPACT,
located at 516 High St., Bellingham, WA 98225, an agency of the State of Washington [hereinafter
referred to as WWU/WACC].
WHEREAS, WWU/WACC has entered into a contractual agreement (10EDHWA001,CFDAxx.xxx) with the
Corporation for National & Community Service [hereinafter referred to as “CNCS”] for the purpose of
operating an Education Award AmeriCorps Program called the Students in Service AmeriCorps Program
[hereinafter referred to as “SIS”]; it is the intention of WWU/WACC to subcontract with Subcontractor to
administer the SIS program in their state.
1. TERM OF SUBCONTRACT
The term of this Agreement shall be from AUGUST 1, 2010 through JULY 31, 2011. Pending CNCS
funding and Subcontractor’s performance, extensions beyond this term may be possible.
2. SLOT ALLOCATION
The Subcontractor is awarded the following slots:
Total slots: xxx .

450-hour slots: xxx (Value: .265 MSY)
900-hour slots: xx (Value: .5 MSY)
Once the above allotted slots have been enrolled (or the allotted MSY has been achieved), the
Subcontractor must seek permission from the Grant Manager of the Students in Service (SIS)
Program to enroll more than the above allotment. If additional slots or MSY are not approved by the
Grant Manager of the SIS program then the Subcontractor will need to start a member wait list. No
additional slots or MSY are guaranteed over the above allotment and all subcontractors relinquish un-

enrolled slots after April 1 at which time all un-enrolled slots will be available system-wide and the
enrollment of available SIS slots are approved by the Grant Manager or designee on a first-come, first-
served basis.
Benchmarks: If Subcontractor meets the enrollment benchmark goals outlined below, the
Subcontractor is eligible to request additional slots and corresponding administrative funds for those
slots. If Subcontractor falls below the benchmark goals, Subcontractor will need to submit a plan of
action to bring enrollment up and/or Subcontractor’s slot allocation may be reduced.
November 1, 2010: 60% slots enrolled
February 1, 2011: 80% slots enrolled
April 1, 2011: 100% slots enrolled

3. ENROLLMENT PERIOD
The Subcontractor may enroll AmeriCorps members into the program beginning August 1, 2010
through July 31, 2011. However, any slots not filled by April 1, 2011 may be relinquished.
4. SUBCONTRACT AMOUNT: $00,000 (based on meeting 100% Enrollment)
Should the Subcontractor enroll 100% of the slots allocated, Subcontractor is eligible to receive
$00,000. WWU/WACC shall reimburse the Subcontractor an amount not to exceed $550 per
enrolled MSY. If slots are relinquished or Subcontractor fails to meet 100% enrollment, Subcontractor
is only eligible to receive $550 per enrolled standard slot MSY. Subcontractor will not be
compensated for refill slots, non-administrative funded slots, or additional slots allocated beyond the
above slot allocation.
5. IDENTIFICATION OF PROGRAM
The Students in Service AmeriCorps Program is an Education Award Program available to Campus
Compact member institutions as detailed in our grant proposal and/or on our program web site.
Higher education students enroll as part-time, quarter-time, or minimum time AmeriCorps members
and participate in service-learning and volunteer programs on their campuses and in their
communities. Once they successfully complete their term of service, they are eligible to receive an
education award.
Program Objectives
The Students in Service AmeriCorps Program has the following program objectives:
A. Increase the number of college/university student volunteers and service-learners
B. Help eliminate the barriers to school success to improve the academic success and advancement
of disadvantaged youth
C. Develop members’ and students’ civic and workforce skills through service
D. Engage more Veterans (college students at participating campuses) in serving their local
communities
E. Build organizational capacity at local non-profit, government, and educational institutions
6. SCOPE OF WORK
SUBCONTRACTOR
Administration
A. Administer the SIS program in the Subcontractors state
B. Issue a Memorandum of Understanding (MOU) to each campus partner
C. All campuses that are participating in the SIS program must be a campus compact member
D. Send copies of MOUs to state CNCS office
E. Provide training and technical assistance to campus partners, site supervisors, prospective
members, and members as needed
F. Assure state SIS program is administered within program compliance standards:
<1% out of compliance enrollments
<5% out of compliance exits
>85% retention of members thru completion of their term of service
Administration of the SIS program below the above standards may subject campus compact to
loss of slots or in a worst case scenario, loss of the program.
G. Ensure campus partners administer an In-Person Orientation to all prospective members and
maintain a record of attendance
H. Ensure all members have had a criminal and sex offender registry check completed and reviewed
on prospective member, before their official enrollment date
I. Maintain original member records in the standard member file format as detailed on the program
web site
J. Ensure campus partners have all members complete Site Agreements for each service site they
serve
K. Ensure the management and maintenance of member information in the eGrants portal and time
log database
L. Participate in all program assessment efforts
M. Write year-end progress report (WACC will provide guidelines)

N. Attend Continuums of Service conference and encourage campus partners to attend
Marketing/Branding/Public Relations
(WACC will provide templates or items and training/technical assistance. All press releases must
credit Campus Compact and the CNCS AmeriCorps Education Award Program for funding.)
A. Use SIS, Campus Compact, and AmeriCorps logos and names in marketing materials including
website, Certificates of Completion, brochures, etc.
B. Provide link to SIS website on state Compact website (http://www.studentsinservice.org)
C. Distribute program marketing materials to program participants
D. Write a press release at the start of the program year announcing program and at the end of the
year to report impacts in the state
E. Provide training and technical assistance to campus partners in support of providing written press
releases throughout the program year
The Subcontractor shall furnish the necessary personnel, supplies, and services not provided by
WWU/WACC and otherwise do all things necessary for or incidental to the performance of the
objectives set forth above in accordance with the Subcontract Amount.
The Subcontractor will cooperate with WWU/WACC and the CNCS to develop community networks
among national service providers, and cooperate with evaluations and continuous improvement
efforts.

Administration
A. Provide overall fiscal, contractual, and programmatic oversight for the SIS program
B. Develop all program materials
C. Maintain program website which will include program information, logos, training materials, forms,
and assessment tools.
D. Provide training and technical assistance to Subcontractor as needed
E. Conduct periodic program audits to ensure compliance with program policies and procedures
F. Oversee program assessment and compile regional assessment data
G. Write program year-end progress report
H. Write grant proposals and grant renewal proposals
I. Serve as intermediary agency with the CNCS
Marketing/Branding/Public Relations
A. Provide program logos to Subcontractor
B. Develop and disseminate program marketing materials and identity gear
C. Provide press releases templates
7. SUBCONTRACT MANAGEMENT
Washington Campus Compact’s Executive Director, Jennifer Dorr, or her designee or successor, shall
provide the Subcontractor with overall assistance and guidance necessary for the performance of this
Subcontract. The Executive Director shall be responsible for the review and acceptance of the
Subcontractor’s invoice requests and progress reports. Staff responsible for carrying out the scope of
work outlined in this Subcontract are:

8. INVOICING PROCEDURE
This Subcontract is a performance based subcontract. Invoices are based on the number of MSY
enrolled during the Grant Year multiplied by the agreed upon rate (see Article 2 of this subcontract).
Up to two invoices may be made during the Grant Year: first invoice (optional) can be mailed to us by
the end of January and the final invoice can be sent once the Campus Compact has enrolled all of

their MSY, by the end of the Grant Year (July 31 ), or once the SIS program has 100% enrollment,
whichever is first.
The Subcontractor shall submit an Inter-Agency Invoice Voucher (Form A-19) or an official
college/university invoice. NOTE: Details of expenses incurred do not need to be detailed since
this fixed amount grant is performance-based and the invoice amount is determined by the
number of MSY enrolled.
The submitted invoice must include the signature of an authorized fiscal agent.
All invoices submitted for payment shall clearly indicate that they are “FOR SERVICES RENDERED

9. RETENTION OF RECORDS
The Subcontractor must retain and make available all financial records, supporting documentation,
statistical records, evaluation and program performance data, member information and personnel
records for three (3) years (federal requirement) from the closing date of the contract between
WWU/WACC and CNCS. If an audit is started prior to the expiration of the three-year period, the
records must be retained until the audit findings involving the records have been resolved and final
action taken. Estimated closing date is July 31, 2016.
10. CONFIDENTIALITY
The Subcontractor must maintain the confidentiality of information regarding program participants. The
Subcontractor must obtain the prior written consent of all program participants before using their
names, photographs, and other identifying information for publicity, promotional, or other purposes.
Parental or legal guardian consent must be obtained for program participants under 18 years of age.
11. REASONABLE ACCOMODATIONS
Programs and activities must be accessible to persons with disabilities, and the Subcontractor must
provide reasonable accommodation to the known mental or physical disabilities of otherwise qualified
program participants, service recipients, applicants, and program staff. All selections and project

assignments must be made without regard to the need to provide reasonable accommodation. The
Office of Disability Employment Policy operates a toll-free, confidential, free resource for employers on
reasonable accommodation requirements and options for accommodating employees at (866) 633-
7365 (V) or (877) 889-5627 (TTY) or website at www.dol.gov/odep.
12. SUBCONTRACT DOCUMENTS
This Subcontract, except for Modifications issued after execution of the Agreement, is the sole
document for this Agreement.
13. WHOLE AGREEMENT
This Agreement, and the Subcontract documents delineated in Section 13 above (none), is the
complete and exclusive statement of the Agreement between the parties relevant to the purpose
described above and supersedes all prior agreements or proposals, oral or written, and all other
communications between the parties related to the subject matter of this Agreement. No modification
of this Agreement will be binding on either party except as a written addendum signed by an
authorized agent of both parties.
14. TERMINATION OF SUBCONTRACT
This Agreement may be canceled under the following conditions:
A. By mutual written agreement of both parties. Cancellation of this provision may be immediate.
B. Upon ninety [90] calendar days written notice by either party to the other of intent to cancel.
15. FORCE MAJEURE
The obligations of the parties shall be suspended and excused if the performance of either is
prevented or delayed by acts of nature, earthquakes, fire, flood, or the elements, malicious mischief,
insurrection, riots, strikes, lockouts, boycotts, picketing, labor disturbances, war, compliances with any
directive, order or regulation of any governmental authority or representative thereof made under claim
or color of authority; or for any reason beyond the control of the Subcontractor or WWU/WACC
whether or not similar to the foregoing.
16. PUBLICITY
Subcontractor shall not use in its external advertising, marketing programs, or other promotional
efforts, any data, pictures, or other representation of the WWU/WACC except on the specific, written
authorization in advance of WWU/WACC management. All publications or presentations
disseminating project information funded all, or in part, by WWU/WACC must credit Campus Compact
and the CNCS AmeriCorps Education Award Program for funding.
17. CONFIDENTIAL INFORMATION
The Subcontractor acknowledges that all information obtained during the term of this Agreement
remains confidential in nature and shall not be disclosed or transferred without the prior written
approval of WWU/WACC.
18. PROHIBITION AGAINST ASSIGNMENT
Neither this Agreement nor any interest therein may be assigned by either party without first obtaining
the written consent of the other party.
19. MINORITY AND WOMEN'S BUSINESS ENTERPRISES
In accordance with the legislative findings and policies set forth in Chapter 39.19 RCW, the State of
Washington encourages participation in all of its contracts by MWBE firms certified by the Office of
Minority and Women’s Business Enterprises (OMWBE). Participation may be either on a direct basis
or as a subcontractor to the contractor.
However, unless required by federal statutes, regulations, grants, or contract terms referenced in the
contract documents, no preference shall be included in evaluation of bids/proposals, no minimum level
of MWBE participation shall be required as a condition for receiving an award, and bids/proposals will
not be rejected or considered non-responsive on that basis. Any affirmative action requirements set
forth in federal regulations or statutes included or referenced in the contract documents will apply.

20. INSURANCE REQUIREMENTS
Upon request from WWU/WACC, Subcontractor must provide proof of standard certificate(s) of
insurance for Commercial General Liability (CGL), Business Auto Liability, Worker’s Compensation
and (if applicable) Professional Liability.
The insurers shall provide WACC/WWU with 45 days advance written notice before cancellation, non-
renewal or material change in coverage of insurance required herein.
Subcontractor shall waive all rights against WWU/WACC for recovery of damages to the extent these
damages are covered by insurance policies maintained by the Subcontractor pursuant to this
Agreement. This provision shall not apply to Worker’s Compensation or Professional Liability
Insurance.
All insurance provided in compliance with this agreement shall be primary and shall not contribute to
any other insurance or self-insurance programs afforded to or maintained by WWU/WACC, and shall
contain a Separation of Insureds Clause (Cross Liability).
AmeriCorps members serving as service-learners or volunteers through a program or project
supported fully, or in part, by CNCS funds, must be covered under a Liability Insurance Policy. The
SIS program requires that either the campus partner and/or the service site carry liability insurance for
the members enrolled in the SIS program. It is the responsibility of the Subcontractor to include this
requirement in its Memorandum of Understanding with the campus partners. It should also be noted
that the service sites agree to carry liability insurance when they sign the Site Agreement, a required
form for every service site where members serve.
21. EQUAL OPPORTUNITY/NON-DISCRIMINATION
Equal Opportunity and Non-discrimination
Discrimination on the basis of race, color, religion, national origin, sex, age, status as a Vietnam Era
veteran or disabled veteran, and disability is prohibited by federal statute. In addition to the above
prohibitions, except religion, Washington State law prohibits discrimination based on marital status,
creed and the use of a trained dog guide or service animal by a disabled person. A Western
Washington University policy prohibits discrimination based on sexual orientation. WWU/WACC is
committed to providing equal employment opportunity and prohibiting illegal discrimination in the
recruitment and admission of students, the employment of faculty and staff and the operation of
WWU/WACC programs, activities and services.
The Subcontractor agrees not to discriminate against any student, AmeriCorps or VISTA members,
employee, or applicant for employment or services in administering personnel actions such as
employment, upgrading, demotion, transfer, recruitment, layoff, termination, compensation and training
opportunities, on the basis of race, color, religion, creed, national origin, sex, age, status as a Vietnam-
era veteran or disabled veteran, marital status, disability and the use of a trained dog guide or service
animal by a disabled person.
Affirmative Action
Western Washington University develops and implements an effective and defensible affirmative
action compliance program for the following affected groups: American Indians and Alaska Natives,
Asians and Pacific Islanders, Blacks, Hispanics women, persons 40 and older, individuals with
disabilities, special disabled veterans and Vietnam Era veterans.
Any Subcontractor who also contracts with the federal government will comply with the affirmative
action requirement as mandated by the Office of Federal Contract Compliance Programs.
Sexual Harassment
Western Washington University policy prohibits sexual harassment. Sexual harassment is a form of
sex discrimination prohibited by federal and state laws. When WACC/WWU becomes aware of
allegations of sexual harassment, it must investigate those allegations, stop the harassment if it is
found to exist, and take measures to ensure a working and learning environment that is free of sexual
harassment.

Acts of sexual harassment by the Subcontractor’s personnel or agents may result in actions by
WWU/WACC to suspend the Subcontract until such time as acts are remedied, or to terminate the
Subcontract.
Violation
Any Subcontractor who is in violation of this equal opportunity and nondiscrimination clause shall be
barred from receiving awards of any Subcontract or purchase order from WWU/WACC unless a
satisfactory showing is made that discrimination practices have terminated and that a recurrence of
such acts is unlikely. Any violation of this provision shall be considered a material violation of this
Agreement and shall be grounds for cancellation or suspension, in whole or in part, of this Agreement
by WWU/WACC.
22. SUBCONTRACTOR EMPLOYEES
All persons employed by the Subcontractor to furnish services hereunder are employees of the
Subcontractor and not of WWU/WACC.
Further, WWU/WACC shall not be liable for any of the Subcontractor's acts or omissions performed
under this or other Agreements to which Subcontractor is a party.
23. WAIVER AND SEVERABILITY
No provision of this Agreement, or the right to receive reasonable performance of any act called for by
its terms, shall be deemed waived by a waiver or a breach thereof as to a particular transaction or
occurrence. If any term or condition of this Agreement or application thereof to any person or
circumstance is held invalid, such invalidity shall not affect other terms, conditions, or applications of
the Agreement which can be given effect without the invalid term, condition, or application; to this end,
the terms and conditions of this Agreement are declared severable.
24. INDEMNIFICATION AND HOLD HARMLESS
To the extent permitted by law, each party shall be responsible for its negligent acts or omissions and
those of its officers, employees, agents, or, if applicable, students.
Funds for this Subcontract have been provided by the CNCS. By accepting funds under this Agreement,
the Subcontractor agrees to comply with CNCS AmeriCorps Education Awards program provisions and all
applicable federal statutes, regulations and guidelines.
