UTAH YOUTH SOCCER ASSOCIATION
BYLAWS
Bylaw 2:01 AFFILIATION
Bylaw 2:01:01 This Association recognizes two categories of membership:
A. Voting members:
1. Elected officers of the Board of Directors, (i.e., President,
Vice-President, Director of Development, Secretary, Treasurer,
Director for Competition Boys, Director for Competition Girls,
District Chairpersons) and SYRA. Other State Officers who
have one (1) vote on the State Council, (i.e., Registrar, Director
of Tournaments, Olympic Development Program
Administrator, Utah Youth State Cup Chairperson).
2. Presidents of At-Large Leagues, League Presidents and Club
Presidents have a weighted vote on the State Council.
B. Associate members who shall have no vote:
1. Parents and Players.
2. Coaches
3. Referees
4. Other State Officers who have no vote on the State Council,
(i.e., State Judicial Officer, State Referee Director,
Communications Director, Risk Management Director and
Marketing Director).
5. Other volunteers assisting with the administration of State
Programs and Committees.
All UYSA Districts/Leagues/Clubs shall have their own Not-For-
Profit Corporation status filed with the State of Utah and tax exempt
status as granted by Federal and State Codes unless otherwise
provided. Copies of all documents will be filed with UYSA. Also,
Districts/Leagues/Clubs must submit copies of their Constitution,
Bylaws and Rules and financial statements to UYSA annually for
review by the Rules Committee and the Treasurer of UYSA to ensure
that those submissions are consistent with state and national rules and
are following approved accounting principles. They must also submit
changes to those documents to UYSA no later than 60 days after their
adoption for review by the Rules Committee and must make copies of
those documents available to its’ members. Failure to comply with
this rule will result in a District/League/Club being placed in bad
standing. (1-03)
C. MEMBERSHIP
Membership in this Association shall be open to all Leagues and Clubs
desiring to affiliate, which meet the requirements of “members in good
standing” as defined in the Bylaws. Individual players, coaches, referees
and administrators are members of this Association through their
registered affiliation with a League or other official body of this
Association and are subject to the Constitution, Bylaws and Rules of this
Association.
Membership and participation in the activities of this Association and its
affiliated Leagues or Clubs shall be open to any soccer player, coach,
trainer, manager, administrator and official, provided such person is not
suspended or barred from participation by UYSA, USYSA or USSF.
This Association shall, subject to the approval of the Board of Directors,
admit to membership Leagues, Districts, At-Large Leagues and Clubs and
shall provide management and technical assistance as required by the new
member. Such action must be ratified by the State Council.
Each member of an affiliated League, District, At-Large League, Club or
other official body of this Association will adhere to the Constitution,
Bylaws and Rules of this Association and will always act in a manner to
protect the interests of this association. (1-03)
Bylaw 2:01:02 MANDATORY REGISTRATION. All clubs, leagues, and
associations or organizations affiliated with Utah Youth Soccer
Association must register every soccer player, every coach, and every
soccer team that is sponsored, financed, coached, or administered by the
club, league, association or organization whether they be male or female,
members of traveling teams, competitive teams, intramural programs,
recreation programs, or house programs. ALL volunteers (administrators,
team managers, etc.) must be registered with Utah Youth Soccer
Association (UYSA) by completing the Disclosure Form within 30 days of
appointment. (1-03)
Bylaw 2:01:03 UNAFFILIATED ORGANIZATION/TEAMS. All non-member
teams or leagues who are not a part of an organization recognized by the
United States Soccer Federation, within the territorial jurisdiction of this
Association, shall be deemed as an “Unaffiliated Organization.” Any
registered team or affiliated league playing games with an unaffiliated
organization, without written consent of UYSA’s Board of Directors, shall
face disciplinary action and/or suspension by the Board of Directors.
Teams and individuals not members of a league affiliated with UYSA may
be allowed to participate in UYSA events upon complying with UYSA’s
Board of Director’s requirements. Permission will normally be granted for
occasional friendship games but not where it is deemed that such games
bestow the benefits of UYSA membership to non-affiliated teams without
acceptance of the related obligations.
Bylaw 2:01:04 REQUEST FOR AFFILIATION. Non-affiliated Districts,
Leagues, Clubs, organizations or groups may request affiliation in writing
at any time. Such affiliation is subject its members’ and officers’ stated
willingness to adhere to the Constitution, Bylaws and Rules of UYSA,
USYSA and USSF. The League’s, Clubs or organization’s requests for
affiliation should be submitted to the Board of Directors for approval.
Non-affiliated groups must affiliate with the League or District within
their geographical boundary. The written application for affiliation must
include identification of officers, geographic area intended to serve (if a
League), programs offered, submitted documentation of or commitment to
obtain their own Not-For-Profit Corporation status filed with the State of
Utah within 90 days and submitted documentation of or the commitment
to make application for a tax exempt status as granted by Federal and State
Codes within 90 days.
Voting credentials of newly affiliated Districts, Leagues or Clubs must be
ratified by the State Council at the Annual General Meeting following
affiliation.
Bylaw 2:01:05 NON PARTICIPATION BECAUSE OF BAD STANDING.
Any Team, Club, League, At-Large League, District, or official body of
this Association or individual member thereof determined to be in bad
standing will not be allowed to participate in any UYSA activities
(tournaments, games, travel, etc.). This includes participating and voting at
any and all meetings.
Reasons for bad standing include but are not limited to -
non-payment of fees
non-compliance of rules and policies
Bylaw 2:02 BOARD OF DIRECTORS
Bylaw 2:02:01 At the AGM the following State Officers shall be elected for a two-
year (2) term of office (except as noted below).
Voting shall be done in the following order:
1. Odd number years: President, Treasurer and Director of Recreation
2. Even number years: Vice President, Secretary and Director of
Competition
No Officer of the State Board shall hold more than one (1) Board-voting
position at the same time. An incumbent officer may be removed prior to
completion of his/her term of office by a two-thirds vote of the body that
elected him/her.
A. PRESIDENT: The President shall preside at and conduct
meetings of the Board of Directors, Executive Committee and
State Council. The President shall be an ex-officio member of all
committees and shall supervise all activities of the UYSA. The
responsibilities of the President shall include, but not be limited to
the following:
1. Interpreting and enforcing the Constitution, Bylaws and
Rules of the Association under the direction of the Board
of Directors;
2. Appoint, at the beginning of each seasonal year, additional
state officers and standing committee chairs as described in
section 2:05:1 of these bylaws;
3. Be responsible for overseeing of office procedures and
personnel, which responsibility may be delegated;
4. Representing UYSA at all necessary regional, USYSA and
USSF meetings and/or functions;
5. Be the general representative of UYSA particularly as
regards to public relations, which responsibility may be
delegated;
6. Oversee State Cup and tournament programs and directors;
7. Oversee referee development; and
8. Oversee risk management development; and
9. Sign orders on the Treasury.
B. VICE PRESIDENT: The Vice President shall temporarily have
the authorities and responsibilities of the President during his/her
absence. If the office of President becomes vacant during the term
of office, for any reason, the Vice President will resume the duties
of President until such time as the Board of Directors shall meet as
per 2:02:04. The responsibilities of the Vice President shall
include but not be limited to the following:
1. Registration: oversee continued development of this
process to include automating data processing needs and
provide assistance for the state registrar;
2. Rules and Revision: Overseeing all facets of this area of
the program to include making sure changes are noticed in
a timely manner, working with the R & R committee
chairperson to assure all procedures are done in a correct
and timely manner, forwarding copies of revised changes
to USYSA within the allotted time;
3. Protest and Appeals: Overseeing all facets of this area of
the program to include working with the P & A committee
chairperson to assure process is done in a correct and
timely manner;
4. Publicity/Newsletter: Overseeing publicity of UYSA to
include working with the Executive Director or designated
office staff in developing this area;
5. Marketing: Developing, implementing and coordinating
plans to market UYSA within the State;
6. Preparing for the selection and presentation of Volunteer of
the Year Awards, Youth Referee of the Year Awards,
Coach of the Year Awards, Administrator of the Year
Award, and Parent of the Year Award;
7. Sign orders on the treasury;
8. Other duties as assigned by the President.
9. Utah Soccer Hall of Fame: work towards planning,
developing, and implementing this program in Utah.
C. DIRECTOR OF RECREATION The Director of Recreation
shall temporarily have the authorities and responsibilities of the
President during the absence of both the President and Vice
President. If, for any reason the offices of both President and Vice
President become vacant, he/she will resume the duties of
President until such time as the Board of Directors shall meet as
per 2:02:04. The responsibilities of the Director of Recreation
shall include but not be limited to the following:
1. Direct the implementation of development programs for
both recreation players and coaches programs within all
Leagues and Districts affiliated with the Association;
2. Oversee the Recreation Committee, which shall meet no
less than once a quarter.
3. Select or develop training materials;
4. Top Soccer Program: Assist the Top Soccer Director in
developing, implementing and coordinating the Top
Soccer program;
5. Assist Districts in developing, implementing and
coordinating the Soccer Start Program in their
communities;
6. Encourage and assist the outlying communities to provide
guidance in developing new recreation programs across the
State of Utah;
7. Provide a liaison between UYSA, Districts/Leagues and the
State Technical Director in “Developmental” matters;
8. Other duties as assigned by the President.
D. SECRETARY: The responsibilities of the secretary shall include,
but not be limited to the following:
1. Keep and maintain an accurate record of all State Council
meetings, State Board meetings, and Executive Committee
meetings;
2. Supervise the taking of minutes at all other state meetings;
3. Handle all correspondence as requested by the State Board
of Directors;
4. Give notice of State Council meetings;
5. Preside over and conduct the AGM organizing committee,
which responsibilities may be delegated;
6. Preparation of the Annual Report;
7. Credentials at the AGM;
8. Compile and publish UYSA Directory annually and
9. Develop and maintain UYSA history scrapbook.
E. TREASURER: The responsibilities of the Treasurer shall include,
but not be limited to the following:
1. Shall give a receipt for all monies which shall be deposited
in a federally insured financial institution in the name of
this Association. All accounts shall be paid by check and
shall bear any two authorized signatures as recommended
by the Executive Committee.
2. May establish a petty cash fund. Purchases are not to
exceed $100.00 and should be used only when a check
payment may not be practical. All expenditures from the
petty cash fund will be supported by receipts or statements
arid will be reconciled not less than once a month.
3. Any purchases exceeding $500.00 not included in the
approved budget shall require approval by the Board of
Directors.
4. The receipt book and vouchers shall be produced when
required by the Board of Directors, properly balanced
according to the bankbook and/or statement.
5. Shall also arrange for periodic audits or reviews of
Association League and District financial records and
procedures.
6. Direct the UYSA Executive Director in the preparation of
financial reports;
7. Direct the UYSA Executive Director in the preparation of a
proposed budget for each fiscal year with the input from
other Executive Board members and Committee
Chairpersons;
8. Submit an annual budget for approval by the Board of
Directors no later than the May Board of Directors
Meeting of the preceding fiscal year it becomes effective;
9. Shall be bondable by a reputable Bonding Agency;
10. Shall be a certified CPA and/or have knowledge of
experience in the field of accounting;
11. Shall be responsible for maintaining the 501 C 3 Tax
Exemption Status of this Association and;
12. Sign orders on the treasury.
13. Develop a reporting system with proper controls and
accountability for use of Association credit cards.
F. DIRECTOR OF COMPETITION: The Director of Competition
shall include, but not be limited to, the following:
1. Preside and conduct meetings of the State Competition
Committee, which shall meet no less than once a quarter;
2. Provide liaison between the UYSA Board of Directors and
the State Competition Committee in all competition
matters;
3. Oversee development and supervision of all the
competition programs within UYSA;
4. Direct and assist the UYSA State Administrator in the
scheduling of all state level games;
5. Develop alignment of all registered teams for state play;
6. Be responsible for the day-to-day operations of the State
level competition program and provide support for the
district level programs;
7. Assist State Youth Referee Administrator (SYRA) in
actively recruiting new referees and;
8. Certify the standings of state teams within the State
Computer Program.
H. STATE YOUTH REFEREE ADMINISTRATOR: The State
Youth Referee Administrator (SYRA) shall be appointed in
accordance with USSF Rules to serve as the nationally recognized
State Official authorized to certify referees at appropriate USSF
levels. The SYRA shall exercise such other responsibilities as
established in USSF Rules or directives. The SYRA shall work
closely with the youth referees/Referees Association to develop
programs for the recruitment, training, assessment and upgrading
of UYSA referees.
I. DISTRICT CHAIRPERSONS: District Chairpersons shall be
elected by League Presidents (with a weighted vote established by
District rules), Club Presidents, (with a single vote) and other
elected members of the district committee (with a single vote) at
District Meetings held on a date specified in their District bylaws
or at the first District meeting held in January if not so designated.
Even numbered Districts will hold elections in even numbered
years, odd-numbered Districts will hold elections in odd numbered
years. District Chairpersons shall preside and conduct meetings of
their District boards. The responsibilities of the District
Chairperson shall include, but not be limited to, the following:
1. Understanding, implementing and enforcing the UYSA
Constitution, Bylaws, Rules and policies within their
Districts;
2. Report on their District to the Board of Directors at each
BOD meeting;
3. Be present at all BOD, planning and council meetings of
this Association or have a representative with signed proxy
in their behalf unless otherwise excused;
4. Provide liaison between UYSA Board of Directors and
District committee;
5. Provide current Bylaws to the Board of Directors on an
annual basis;
6. Provide administrative support to leagues and programs in
the District;
7. Ensure all district players and volunteers are properly
registered with UYSA;
8. Remit all fees to UYSA in a timely manner;
9. Acquiring and maintaining 501 C 3 status for the District
unless provided for by others;
10. Act in behalf of the District when so designated by the
District Committee; and
11. Supervise public relations in his/her District. (1-02)
J. PRESIDENTS OF AT-LARGE LEAGUES: Presidents of At-
Large Leagues shall be elected in accordance with their League
Constitutions and/or Bylaws and shall exercise the responsibilities
of their office as set forth therein. Presidents of At Large Leagues
are elected in accordance with 2:07:02 and 2:09:01.
K. IMMEDIATE PAST PRESIDENT: The immediate past
president shall serve a term not to exceed one year and will be a
non-voting member.
Bylaw 2:02:02 Each member of the Board of Directors, other than District
Chairpersons and Presidents of At-Large Leagues, shall be entitled
to one vote except that the President (and Vice President or person
conducting the meeting according to 1:07:04 when acting in the
absence of the President) shall cast a vote only when the vote is by
ballot and in all other cases where the vote would change the
result. District Chairpersons will be entitled to exercise two (2)
votes and Presidents of At-Large Leagues shall have no votes
except at the State Council where they shall have a weighted vote
in accordance with the number of registered players within the
league.
Bylaw 2:02:03 The Board of Directors shall meet as frequently as it deems
necessary, but not less than once every three (3) months. Fifty (50)
percent of the voting members of the Board of Directors shall
constitute a quorum for the transaction of business. Except as
provided in Section 2:02:03(A), a majority of the quorum present
at the meeting shall be required to decide an issue.
A. Any item of business not included on the agenda sent out at least
10 days prior to the State Board Meeting requires a two thirds
(2/3) vote for passage by the Board of Directors.
B. Any new policy or policy change, whenever possible, should be
submitted to UYSA Board members for consideration at least one
board meeting before a vote is taken by said Board.
C. POLICY: ELECTRONIC VOTING
Section 1. At the discretion of the President, issues brought
forth by members of the Board of Directors may be
addressed by the use of electronic means.
Section 2. Cyber Voting (Internet)
(a) A member of the Board of Directors may present to the
President, in written form, a motion for consideration. The
motion must include the name of the person making the motion,
the name of the person seconding the motion, the text of the
motion, and the reason that the motion can not be held until the
next scheduled meeting of the Board of Directors;
(b) Each member of the Board of Directors must have the
opportunity to vote on the motion. The electronic mail address
that is on file with the UYSA Secretary will be used. It is the
responsibility of each member of the Board of Directors to keep
their current contact information with the Secretary. Each
member of the Board of Directors will be given the minimum of
48 hours (excluding weekends) to reply with their vote;
(c) Each member of the Board of Directors must be given the same
information regarding the motion;
(d) The time allotted to administer the electronic vote will not
exceed 72 hours (excluding weekends). If a quorum of voters
has not responded within the time allotted, the vote will be
designated "out of order" and removed from the table. Any
member not responding in the allotted time of a vote that is
deemed "in order" will be acknowledged as an abstention;
(e) The President or a designee of the President will administer the
electronic vote.
D. Proposed minutes from meetings of the Board of Directors shall
be mailed to the State Council and made available on the
Association’s website no later than ten business days after the
meeting.
Bylaw 2:02:04 The Board of Directors shall be responsible for the operation of
the Association and the conducting of the business and affairs of
the Association, including, but not limited to, the following:
A. Enforcing and interpreting the Constitution, Bylaws and Rules of
the Association.
B. Establishing and/or modifying League and District Boundaries
with the approval of the affected District(s) and League(s).
C. Approving all Inter-State play, and all Inter-District play other
than regularly scheduled season games.
D. Reviewing District and League rules and procedures to ensure
consistency with UYSA and USSF Constitution, Bylaws and
Rules.
E. Directing and supervising the operation and administration of the
State Office.
F. Supervising the financial affairs of the Association to include
establishing or approving appropriate fees to provide the necessary
financial support for implementation of UYSA programs, and
arranging for an annual independent CPA audit of UYSA financial
records and procedures. Annual expenditures may not exceed
annual receipts except as approved by the Board of Directors.
G. Appointing or approving the appointment of all State Officers,
and, in the event a member of the Board of Directors is unable to
complete his/her term of office, appoint, approving the
appointment, or providing for the election of an individual to
complete the term of office of the outgoing Officer.
H. Suspending, barring completely or otherwise disciplining any
player, coach, manager, team assistant, parent or referee, or State,
District or League Officer. Such action shall be subject to any
restrictions in Section 2:12 of these Bylaws.
I. Making from time to time temporary rules or regulations for
specific cases or occasions not provided for in the Constitution,
Bylaws and Rules, but which are deemed necessary, by the Board
of Directors, to carry out the objectives of this Association. Such
rules must be approved at the next Annual General Meeting.
Bylaw 2:05 STANDING COMMITTEES
Bylaw 2:05:01 Subject to the approval of the Board of Directors, the President
shall appoint annually the following Chairpersons of Standing
Committees and such others as are needed, with the exception of
the AGM Committee (2:02:01-D-5), the Recreation and
Competition Committees and the Registration Committee. The
Recreation and Competition Committee Chairpersons are the
elected Recreation and Competition Directors, respectively and the
Registration Chairperson is the State Registrar. Appointed
Chairperson makes recommendations for his/her committee to
President subject to ratification of the Board of Directors. Each
District shall provide at least one but no more than three committee
members for each committee pool to represent their geographical
district on each committee.

Bylaw 2:06 STATE COUNCIL
Bylaw 2:06:01 The State Council as established in the Constitution section
1:07:02 shall be the governing body of this Association and shall
meet annually at the Annual General Meeting:
A. to approve changes to the Constitution, Bylaws and Rules of the
Association,
B. to conduct the business of this Association, and
C. to elect members of the Board of Directors as herein provided.
Bylaw 2:06:02 Members of the Board of Directors and other State Officers as
specified in Article 2:04:01 of these bylaws shall each be entitled
to one (1) vote except that the President (or Vice President if acting
in the absence of the President) shall vote only when the vote is by
ballot and in all other cases where the vote would change the
result. League Presidents, Presidents of At-Large Leagues and
Club Presidents shall have a weighted vote in accordance with the
number of registered players within the League or Club as
registered during the 12 months preceding the AGM with the
league still affiliated with Utah Youth Soccer as follows:
250 or less 1 vote
251 – 500 2 votes
501 – 750 3 votes
751 – 1,000 4 votes
1,001 – 1,250 5 votes
1,251 – 1,500 6 votes
1,501 – 1,750 7 votes
1,751 – 2,000 8 votes
1 vote will be added for each 250 players after 2,000.
A League’s, At-Large League’s or Club’s weighted vote may be cast by
one person, but in no case may a person represent more than one voting
entity. Any person holding more than one position that is entitled to vote
at any meetings of the State shall refer to section 1:08:03 for voting rules.
Members of the State Council must be in good standing with the
Association, to include being in compliance with the Constitution, Bylaws
and Rules and current in payment of fees, in order to exercise their vote.

Bylaw 2:07 DISTRICT ORGANIZATION AND RESPONSIBILITIES
Bylaw 2:07:01 The governing authority in each District shall be vested in a District
Committee. The Committee shall be composed of the District
Chairperson, Presidents of Leagues within the District, Club
Presidents registered through the District and such other District
officers as shall be approved by the District Committee. (1-03)
Bylaw 2:07:02 District meetings shall be held not less than monthly during the
playing season and as needed during the rest of the year. Each
member of the Committee shall have one vote except that the
Chairperson shall cast a vote only when the vote is by ballot and in
all other cases where the vote would change the result. A majority
of the members must be present in order for a quorum to exist and a
majority of the quorum votes shall be cast before approval.
Bylaw 2:07:03 Members must be present in order to vote. In the event a League
President cannot attend, an official alternate delegate may represent
and vote for that League.
Bylaw 2:07:04 It is recommended that Districts shall elect, as appropriate, District
counterparts to State Officers and Committees to facilitate
communication and coordination between the State and Leagues.
Such positions include:
A. Competition Director for Boys
B. Competition Director for Girls
C. Coaching Director
D. Recreation/Developmental Director
E. Director of Referees
Districts should also elect or appoint as appropriate the following
positions:
F. Registrar
G. Disciplinary Committee
H. Risk Management Director.
I. Marketing Directors.
Bylaw 2:07:05 Each District shall appoint, before the start of the seasonal year, a
minimum of at least one (1) certified and registered referee
instructor and one (1) referee assessment instructor to be certified by
the State Director of Assessment. The District Referee Instructor
shall be directed by the State Director of Instruction (SDI) and the
District Assessment Instructor shall be directed by the State Director
of Assessment (SDA). Funds for both of these positions would
come from the UYSA Referee Development Fund.
Bylaw 2:08 UYSA LEAGUE ORGANIZATION AND
RESPONSIBILITIES
Bylaw 2:08:01 A League is the basic administrative unit of this Association which
schedules play for recreation/developmental teams in any defined
bracket or age level and is responsible for providing a
recreational/developmental soccer program for youth residing
within its boundaries.
The governing authority in each UYSA League shall be vested in a
League Board which should be composed of the following:
A. LEAGUE PRESIDENT: League Presidents shall preside at and
conduct meetings of the League Board and shall be responsible for
establishing and staffing a League organization in all areas
necessary to provide a complete soccer program within the
League. League Presidents shall be responsible for implementing
and enforcing the UYSA Constitution, Bylaws and Rules as well
as District Rules within the League. League Presidents have the
authority to make decisions without having to call a league board
meeting. Such decisions are subject to ratification by their league
boards.
B. VICE-PRESIDENT FOR
RECREATION/DEVELOPMENTAL: TheVice-President for
Recreation/Developmental shall supervise the administration of
the Recreation/Developmental program within the league to
include the purchase and distribution of uniforms, scheduling of
games, administration of the various divisions by Age-Group
Directors.
C. VICE-PRESIDENT FOR COMPETITION: The Vice-President
for Competition shall supervise the administration of the
Competition Program within the League and shall serve as a
voting member of the District and State Competition Boards. The
Vice-President for Competition shall also chair meetings of the
League Competition Committee which includes all competition
coaches within the League.
D. SECRETARY: The Secretary shall keep an accurate record of all
meetings, handle all correspondence, give notice of meetings and
maintain the files of the League.
E. TREASURER: The Treasurer shall give a receipt for all monies
which shall be deposited in a federally insured financial institution
in the name of the UYSA League. All accounts shall be paid by
check and shall bear two (2) signatures; the League Treasurer’s
and/or the League President, Vice-President or Secretary.
F. COACHING DIRECTOR: The Coaching Director shall be
responsible for providing coaching training and support for all
recreation/developmental coaches within the League and shall
assist in recruiting coaches.
G. REFEREE COORDINATOR: The Referee Coordinator shall be
responsible for providing referee training, testing and certification
at the Recreation level within the League and shall assist in
recruiting referees. The Referee Coordinator may be tasked with
assigning referees to officiate at games.
H. REGISTRAR: The Registrar shall be responsible for the annual
or semi-annual registration of players in the League to include
making prior arrangements for the sign-up, supervising the event,
and coordinating with the League Treasurer in accounting for all
registrations.
The League President, subject to the approval of the League Board, shall
add such other positions as deemed necessary.
Bylaw 2:08:02 Insofar as is practicable, League Board Members shall be elected
by registered coaches, referees, administrators and parents of
players in the League for a two (2) year term of office. Elections
will be held in either even-numbered years or odd-numbered years
as established by the State Board of Directors.
Bylaw 2:08:03 League Board Meetings shall be held not less than monthly during
the playing season and as needed during the rest of the year. Each
member of the Board shall have one (1) vote except that the
President (or senior Vice President when acting as President) shall
cast a vote only when the vote is by ballot and in all other cases
where the vote would change the result. Fifty (50) percent of the
members must be present in order for a quorum to exist and a
majority of the eligible votes cast shall be required to decide an
issue. Members must be present in order to vote.
Bylaw 2:08:04 Individual Leagues shall have the authority to set their fee structure
subject to the approval of the governing District Committee and
shall be subject to an independent periodic audit.
Bylaw 2:08:05 The League President, subject to the approval of the League Board.
may appoint additional officers to assist in the administration of
the League to include such officers as:
A. FIELDS DIRECTOR:
The Fields Director shall be responsible for securing and
arranging for proper marking of fields for use of the League and
shall arrange for placement of permanent, temporary or portable
goals as permitted and see that nets are provided for goals at all
fields. The Field Director shall coordinate League efforts to
maintain fields in good condition.
B. EQUIPMENT CHAIRPERSON:
The Equipment Chairperson shall be responsible for purchasing,
issuing, collecting, inventorying and accounting for all League
equipment to include team equipment issued to coaches.
C. SCHOOL COORDINATORS:
A School Coordinator should be appointed for each school within
the League. The School Coordinator shall be responsible for
publicizing and promoting soccer in school neighborhoods,
assisting in registering players, assigning players to neighborhood
recreation/developmental teams, recruiting volunteers to serve as
coaches, assistant coaches, team parents, and referees, and shall
maintain good rapport with school and neighborhood officials.
D. AGE-GROUP DIRECTORS:
Age-Group Directors shall be responsible for supervising the
scheduling and assignment of teams in an age-group division and
shall assure that teams adhere to UYSA, District and League
Rules and exhibit good sportsmanship.
Bylaw 2:09 AT-LARGE LEAGUES
Bylaw 2:0:01 At-Large Leagues/ shall function autonomously in accordance with
their approved Constitution, Bylaws, and Rules. Newly
affiliated At-Large Leagues whose number of registered players
and whose geographic identity is equivalent to a UYSA District
may be granted “At-Large League” status by the Board of
Directors, subject to the approval of the State Council at the
following Annual General Meeting. Voting rights are designated in
accordance with 2:02:02.
Bylaw 2:10 CLUBS:
Bylaw 2:10:01 A Club must include at least 5 teams with a common name that
may be organized without geographic boundaries:
A Club must:
1. Elect a volunteer Board of Directors,
2. Agree to comply and assure that their membership will
comply with the Utah Youth Soccer Association’s US
Youth Soccer Association’s and US Soccer Federation’s
Constitution, Bylaws, Rules and Policies,
3. Submit copies of the Club’s Constitution, Bylaws, Rules
and Policies to Utah Youth Soccer’s State Office,
4. Submit financial information as requested by Utah Youth
Soccer to Utah Youth Soccer and their District or League,
5. Possess a non-profit Utah Sate Corporate Charter,
6. Possess its Utah State and Federal IRS tax exempt status,
7. Register all of club players, coaches and administrators
with Utah Youth Soccer,
8. Notify Utah Youth Soccer of changes in their Constitution,
Bylaws, Rules and Policies no later than 60 days after their
adoption. (1-03)
Bylaw 2:11 ELECTIONS
Bylaw 2:11:01 It is the responsibility of governing bodies of Leagues, Leagues-at-
large, Clubs and Districts and the State to ensure that elections of
their respective officers are held in a timely manner and at
appropriate intervals as set forth in these Bylaws. An opportunity
shall be afforded to interested individuals to announce their
candidacy for office. The Leagues, Leagues at large, Clubs,
Districts and or State as applicable, will distribute and publicize
appropriate notice of elections. Newly elected officers shall take
office immediately upon election. The State Office must be
notified within fourteen (14) days of the result of the election.
Bylaw 2:12 REMOVAL AND REPLACEMENT OF OFFICERS
Bylaw 2:12:01 A hearing for the removal of any officer will be held upon
presentation to the governing body over that officer of a petition for
removal signed by a number of eligible voters equivalent to at least
one-third (1/3) of the eligible voters in attendance at the meeting at
which the officer was elected. A two-thirds (2/3) vote of the
eligible voters at the hearing shall be required to remove the officer.
In addition to the above, petitions for the removal of a League
President must be signed by at least 5% of the voting members of
the League.
Bylaw 2:12:02 When any office becomes vacant because of the removal or
resignation of the incumbent, an election will take place by the
State Council at either the next State Council Meeting or Special
Council meeting within one hundred twenty 120 days of the
vacancy. The body having jurisdiction over the vacant office shall
appoint an individual to fill this position on an interim basis. When
a special council meeting is called for the purpose of filling a
vacant position and a quorum does not exist, those members present
with valid voting rights will vote on a replacement to fill the vacant
position until the next UYSA AGM where a vote of the State
Council members will be taken. This does not apply when
someone vacates his or her position less than 120 days before the
scheduled UYSA AGM. No other items may be considered at this
special council meeting.
Bylaw 2:13 RULES OF ORDER
Bylaw 2:13:01 Meetings of this Association shall be conducted in accordance with
parliamentary procedures, with Robert’s Rules of Order being the
standard reference in the event of dispute.
Bylaw 2:14 AMENDMENTS
Bylaw 2:14:01 Amendments to these Bylaws shall be made at the Annual General
Meeting or at a special meeting called for that purpose pursuant to
Article 1:09:02 of the Constitution of this Association.
Amendments shall be adopted in accordance with Article 1:09:03
of the Constitution of this Association.
Bylaw 2:15 FINANCIAL RESPONSIBILITIES
Bylaw 2:15:01 Utah Youth Soccer Association specifically disclaims financial
responsibility for, and shall not assume nor be held liable for, debts,
contracts, or other financial obligations, either expressed, or
implied, of any affiliated district, League, club or team or any of the
coaches, managers, officers, officials or any associate member of
any affiliated District, League, club or team.
Bylaw 2:16 BUSINESS CONFLICT OF INTEREST
Bylaw 2:16:01 No member of UYSA shall engage in any position or function of
UYSA in an effort to gain advantage for their personal or business
gain. Any potential conflict of interest shall be declared in a
disclosure statement to the UYSA Board of directors. The statement
may be submitted voluntarily or upon request of the President. The
Board of Directors will investigate and, if necessary, take action for
removal of the individual from their position in UYSA.
POLICY: CONFLICT OF INTEREST
No member of the UYSA Board of Directors or State Officer as defined in
Bylaw 2:02:01, 2:04:01, and 2:05:01 may receive remuneration (except
for reimbursement of approved expenses) for the performance of services
as an officer or director of the Association. Members of the Board of
Directors and State Officers must disclose any affiliation that might create
an actual or perceived conflict of interest. Members subject to this policy
shall be considered to have a conflict of interest if:
(a) the Member has existing or potential financial or other interest that
impairs or might reasonably appear to impair that Member’s
independent, unbiased judgment in the discharge of his or her
responsibilities to the Association; or,
(b) the Member is aware that a member of his or her family, or any
organization
in the Member (or member of his or her family) is an officer, director,
employee, member, partner, trustee or controlling stockholder, has
existing or potential financial or other interest that impairs or might
reasonably appear to impair that Member’s independent, unbiased
judgment in the discharge of his or her responsibility to the
Association. For the purposes of this provision, a family member is
defined as a spouse, parent, sibling, child, and any other person that
resides in the same household as the Member.
Members shall disclose to the Board of Directors any possible conflict of
interest at the earliest practical time. Each Member shall complete and
sign a disclosure form provided annually by the Secretary. Furthermore,
a Member who has disclosed a conflict of interest shall not participate in
discussions of, and shall abstain from voting on, any pertinent matter
under consideration by the Board of Directors. The minutes of these
meetings shall reflect that a disclosure was made and that the Member
having a conflict or possible conflict of interest abstained from voting.
Any Member who is uncertain whether a conflict of interest may exist in
any matter may request that the Board of Directors resolve the question in
his or her absence by majority vote.
Bylaw 2:17 SEXUAL AND PHYSICAL ABUSE
Bylaw 2:17:01 This Association opposes sexual and physical abuse. To the extent
permissible under applicable law, the Board of Directors and
members shall adopt policies consistent with the criteria established
by USSF.
