Questions and Answers:
1. How many hard/paper copies of the proposal should a potential candidate
Answer: Please provide 5 copies (one being the original).
2. Question on filling out the Declaration of the Conflict of Interest form - what
should a potential candidate fill in related to Questions 3, 4, and 5 - what should
a potential candidate fill in related to 'Solicitation or Bilateral Type':
3. [FIRM NAME] agrees that as a condition of entering into a Master
Agreement, Scope of Work, or Purchase Order with PG&E under which
[FIRM NAME] would act as Independent Evaluator in the contemplated
[SOLICITATION OR BILATERAL TYPE], it, through its duly authorized
representative, will be required to sign this Declaration. [FIRM NAME] also
agrees that each of its agents, employees and subcontractors who will or
might perform substantive work for PG&E will also sign a duplicate original
Declaration in his or her individual capacity.
4. Neither my family nor I have a financial interest in any of the
potential bidders in the [SOLICITATION OR BILATERAL TYPE] or in the
outcome of the [SOLICITATION OR BILATERAL TYPE] process. For
purposes of this document, family is defined as related to by direct current
marriage, spouse, children, legal guardian, or adoption.
5. If at any time I become aware of any financial interest (as described
in paragraph 5) in any of the potential bidders in the [SOLICITATION OR
BILATERAL TYPE] or in the outcome of the [SOLICITATION OR
BILATERAL TYPE] process or in any of the potential bidders in any future
Procurement Activities or in the outcome of the process of such future
Procurement Activities, I shall promptly notify PG&E of such financial
interest and PG&E may (but is not required to) exercise any or all of the
rights and remedies under any Purchase Order entered between PG&E
and [FIRM], including without limitation Section 22.1 of the Terms and
Conditions that would be attached to such Purchase Order.

3. How many Independent Evaluators (I.E.s) are currently in the pool and who
Answer: We provided the organizational names of the three I.E.s currently in
PG&E's pool. PG&E did ask Energy Division who was on the telephone line, if it
was acceptable to provide that information. They responded: Yes, it is
acceptable to provide that information. (NOTE: PG&E did not provide the
names of the specific I.E.s, only the companies' that they represent.)
4. How does PG&E wish to have an electronic copy of the bid sent?
Answer: Please include it with your hard copies and place your electronic
files/bid on a CD.
