In order to avoid over-duplication, only the foods listed on the original
application and approved by the Festival staff may be sold at the festival.

HOLD HARMLESS AGREEMENT

Through submission of application materials and Vendor’s signing of this
Agreement, Vendor agrees to hold Another Way Out, Inc. / Southwest
Community Festival, its Board of Directors, staff, volunteers harmless for any and
all losses, expenses, demands, and claims against Another Way Out, Inc. /
Southwest Community Festival sustained or alleged to have been in any way
related or connected to the 16th Annual Southwest Community Festival. Vendor

also agrees and acknowledges that hold Another Way Out, Inc. / Southwest
Community Festival, its Board of Directors, staff, volunteers are not responsible
in any way for any personal injury, illness, property damage or loss of property
that may occur during the 16th Annual Southwest Community Festival. Vendor
agrees, acknowledges, and further certifies that Vendor and Vendor’s property,
equipment, and vehicles are properly insured for any and all losses incurred, and
or damages caused, by Vendor or any other party.

INCORPORATION AND MODIFICATION

This document includes all components of the agreement of the parties and is
fully incorporated herein. The Application materials provided by the Vendor to
Another Way Out, Inc. / Southwest Community Festival shall be incorporated
herein by reference. No other promises made prior to the execution of this
agreement have been omitted from this document. The parties may mutually
agree to modify this agreement; however such modification shall only be binding
upon the parties by signed written agreement. No oral modification or agreement
outside the scope of this agreement shall be binding upon either party.

NO AGENCY, PARTNERSHIP, OR JOINT VENTURE CREATED

The Vendor is an independent operator, and through this agreement no agency,
partnership, or joint venture relationship is created with Another Way Out, Inc. /
Southwest Community Festival. The Vendor, its owners, employees, or other
agents shall not represent themselves as representatives of Another Way Out,
Inc. / Southwest Community Festival. Vendor shall not enter into any contract or
other agreement that would cause Another Way Out, Inc. / Southwest
Community Festival to be liable in any way with any other party including, but not
limited to, manufacturers, Vendors, or other suppliers, etc. Vendor shall hold
Another Way Out, Inc. / Southwest Community Festival harmless from any cost
or any other liability it may incur with the production of merchandise.

Another Way Out, Inc./ Southwest Community Festival makes neither
representation nor guarantees regarding actual festival attendance, nor makes
any representation of potential financial success or failure.

              16th Annual Southwest Community Festival
                          EVENT POLICIES
SET UP:

Friday, September 8, 6:00 pm – 10:00 pm
Saturday, September 9, 6:00 am – 10:30 am
Sunday, September 10, 6:00 am – 11:30 am
No set up will be allowed before 6:00pm on Friday, September 8.

Each vendor will be directed to their designated location upon arrival. Each
vendor space is pre-assigned by Another Way Out, Inc. / Southwest Community
Festival staff and a logistics team and all decisions are final. Vendor will receive
a booth assignment approximately 30 days prior to the festival. Due to limited
space, vendors will not be allowed to exceed their allocated space(s).

Vendors are expected to provide their own booth(s) and equipment.

BREAKDOWN:

Sunday, September 10, 8:00 pm - 12:00 midnight
Monday, September 11, 8:00 am - Noon

All Vendors must complete a mandatory check-out process with the designated
food committee chair(s) before leaving Cascade Field on Sunday night.

PARKING AND TRAFFIC:

Vendors will receive a parking pass approximately 30 days prior to the festival.

No vehicles or golf carts will be permitted on the festival grounds during festival
operation hours, unless approved by Another Way Out, Inc. /Southwest
Community Festival staff.

Driving on the grass or mulched areas off the paved roadway surface on the
festival grounds is strictly prohibited.

Any Vendor violating these guidelines will forfeit their deposit and not be allowed
to participate in future events.

MANDATORY MEETING:

All food Vendors, their staff and drivers must attend a mandatory meeting on
Saturday, August 12, 2006 and/or Saturday, August 26, 2006. Starting in July,

Vendors whose applications are accepted will receive an Entrance Packet which
will have information about the time and place of this meeting.

ELECTRICITY:

Another Way Out, Inc. / Southwest Community Festival will provide one (1) outlet
up to 15 amps for vendors needed electricity.

FOOD:

A complete menu of all food and/or drinks, including prices, to be sold during the
festival MUST be provided with the application. Only the foods listed on the
original application and approved by the Another Way Out, Inc. / Southwest
Community Festival may be sold at the festival. Vendors are expected to restock
booths during festival hours by hand truck only. No vehicles or golf carts will be
permitted on the festival grounds during festival operation hours.

BEVERAGE SALES:

Beverage sales are limited to certain brands! Please refer to your approved
vendor application for further direction.

WATER:

There is no water hookup available on-site in the park. Be prepared and bring
enough water for all your water needs.

ICE:

Ice will be sold on-site for vendor use. Vendor is responsible for transporting their
ice to their booth location by carrying the bags by hand or hand truck only

TRASH:

Vendors are responsible for keeping their area neat and clean and free of loose
trash, wrappers, napkins, flyers, or other refuse generated by their operation.
Vendors are expected to provide trash receptacles and plastic bags. Another
Way Out, Inc. /Southwest Community Festival Staff personnel will collect trash
and recyclables periodically during festival hours. Vendors are responsible for
removing any trash left over including food, boxes, bread crates, pallets and
grease. Any Vendor violating these guidelines will forfeit their deposit and not be
allowed to participate in future events.

GREASE AND GRAY WATER DISPOSAL:

Vendors are responsible for the removal of grease from their booth area to the

grease barrels provided by Another Way Out, Inc/Southwest Community Festival
Staff. Another Way Out, Inc. /Southwest Community Festival Staff is not
responsible for the removal of Vendors’ grease. All food Vendors must come
prepared with oil dry, which can be purchased at any automotive store. If a
Vendor cooks with grease, the Vendor must have a ground cover in the Vendor’s
booth.

Pouring grease, gray water, or trash down drains, on grass or any ground
is prohibited. Letting water run off go down drains, on grass or any ground
is prohibited. Vendors are expected to cooperate with the Another Way Out,
Inc./Southwest Community Festival staff, designated food committee chair(s) and
park personnel as the park must remain clean at all times. Any Vendor violating
these guidelines will forfeit their deposit, be closed down and ejected from
the event, not be allowed to participate in future events, and may be
subject to possible criminal prosecution.

HEALTH REGULATIONS:

The food committee chair(s) reserve the right to stop food sales of any Vendor he
deems not to be operating in a safe manner.

DEADLINE FOR APPLICATION:

All applications must be postmarked on or before Thursday, August 31, 2006.
Mailing on the due date does not assure that your submission will be postmarked
on the same date. Please make sure that your envelope is hand canceled by the
Post Office if mailing near or on the deadline.

VENDING FEES:

Due to numerous insufficient funds in the past, the Another Way Out, Inc. /
Southwest Community Festival will no longer accept any personal checks. All
fees MUST be paid in full by valid Money Order or Cash and be included with the
application. If an applicant is accepted to participate in this event, all fees will be
deposited immediately. If an applicant is not accepted to participate in this event,
all fees will be returned.

  DEADLINE FOR ALL FEES - Postmarked on or before August 31, 2006:

$300.00 per Non-Food booth
$400.00 per Low-Risk Food booth (Pre-packaged items)
$500.00 per High-Risk Food booth (Anything prepared on site)
$250.00 additional per Premium booth

SECURITY DEPOSITS:

      A non-refundable security deposit of $150 will be assessed for every
       vendor, upon submission and approval of vendor application.

REFUNDS:

Cancellations MUST be submitted in writing by U.S. Mail or email to
awoinc@mindspring.com. A partial refund will be issued to Vendors canceling
prior to Saturday, July 1, 2006. No refunds will be issued after Saturday, July 1,
2006. A food Vendor who is unable to attend this event cannot allow another
food Vendor or individual to take his/her place or run his/her operation in his/her
absence.

APPLICATION REVIEW AND ACCEPTANCE POLICY

All applications will be considered on a first come, first serve basis. Consideration
will be given to returning Vendors who have a history of compliance with Another
Way Out, Inc. / Southwest Community Festival policies, but all applications will
be reviewed for suitability for the particular event with additional consideration
given to experience and menu offerings.

All applications are subject to final review and approval by the Event/Festival
management. Another Way Out, Inc. / Southwest Community Festival reserves
the right to refuse any application.
