                                                          Statement of Work
THIS STATEMENT OF WORK (this “Agreement”) is made and effective July 1, 2011.

Between:                                                                    International-Web Design, LLC “Independent Contractor”, a
                                                                            company organized and existing under the laws of the State of
                                                                            Utah of The United States of America.


And:                                                                        Reyners-Tay, Willem (RBI - AUS) (the “Company”)


THIS STATEMENT OF WORK (this “SOW”) is entered into by and between the Company and the Independent Contractor pursuant to the
Project Services Agreement (the “Agreement”) governing the following Project:


                                      Project Name: Showcase Application
All capitalized terms not defined in this SOW have the meanings given to such terms in the Agreement, unless the context requires otherwise. The
information in this SOW shall be considered Confidential Information under the terms of the Agreement.

1. Project Description & Included Elements

The purpose of this project is to establish a web presence for choosing from different projects, allowing users to see galleries associated with this
project, and also to see the products needed for this project. The admin interface will allow the user to easily add new projects, as well as new
products, product categories, and more. The full scope of this project can be found in the attached document “Functional+Specification.docx” and
also on the final pages of this contract.

2. Key Assumptions

  Design Requirements:
    •   The Company is required to provide all design materials to the Independent Contractor.

  Web Company Requirements:
   •   Microsoft Internet Explorer 7.0+
   •   Mozilla Firefox 3.0+
   •   Google Chrome (Latest)
   •   Safari (Latest)
   •   Opera (Latest)

   Web Infrastructure Requirements:
    •   Linux or Unix running on an Apache Web Server
    •   Up-to-Date PHP installation on server.
    •   The domain must be setup as a TLD (Top Level Domain) and the files for this contract must be located in the root directory of the site.

   Database Requirements:
    •   Up-to-Date MySql Installation

3. Scope of Services
The web application will be hosted in the [Company] environment as per any existing technical standards and guidelines followed by [Company]
internal staff. The Company or the Independent Contractor will not be (currently) required to maintain the web application software or hardware
directly related to the web application (on site) unless agreed upon in writing by the Parties involved.

The web application will be responsible for centralizing and servicing [Company] staff with several key entry forms which reference several stored
pieces of data in the database server.

The web application will be required to function / present data across all browsers described in “2. Web Company Requirements”, and is currently
focused on ensuring a proper interface for mobile use (such as Blackberry, iPhone / iPad or Android).

The web application must be used in several different countries and/or regions.

4. Duration of Services
The project will begin within 5 days of receiving the first milestone payment for this contract.

Under the current project scope, development efforts will require a minimum of 45      Days. All durations are with full client availability as needed
during development for questions, or problems.

5. Change Control
All changes to the site must be requested within 30 days of completion of site and must meet beginning requirements by customer's initial request.

6. Compensation
    6.1 Fees

    •     $1575.00 required to begin project.
    •     $1575.00 upon completion of back-end tools and front end displaying of database details.
    •     $1575.00 upon final completion of the project.


    6.2 Expenses
    Any additional expenses related to the development of the Project which are incurred by the Independent Contractor will need to be negotiated on
    a per-item basis with the Company to determine the Party responsible. If the Company agrees to reimburse the Independent Contractor, then the
    Company must provide the means to the Independent Contractor to make a submission.

    6.3 Remittance
    Unless specified by the Company, the Independent Contractor will be entering and submitting a invoice using PayPal.

    Payment to the Independent Contractor must be made within net plus 30 days of invoice submission or an alternative payment schedule may be
    used providing it's in writing and agreed upon by both the Independent Contractor and the Company.

    After 30 days (Unless an Alternative is agreed upon between the Independent Contractor and the Company), a late fee of 2% or 25$ a day,
    whichever is greater, for every day past due, not to exceed what is acceptable by law in the Country/Region of the Company.

    The Company will be responsible for all expenses incurred by the Independent Contractor in collection of Late Payment, including, but not
    limited to, Legal Fees, Collection Fees, and Payment Processing fees.

    6.4 Default by the Independent Contractor
    In the event that the Independent Contractor defaults on work done, and does not complete the contract as stated in this SOW, the Company will
    be issued a check within 120 days of the default. The Independent Contractor does not provide any interest, additional payments and the refund
    will not exceed what was.

    In the event that work has already been released to the Company but was not a full completion of the SOW, the Company will be issued a check
    for the remaining balance after paying for the work prior released to the Company.

    In the event that any design work was shown to the Company, the costs of the design work are non-refundable due to the nature of the work, and
    upon request the Independent Contractor can provide the original design files to the client, if all design fees have been paid in full, if the
    Company's paid balance is not enough to cover the currently completed design work, an invoice will be sent to the company to request the
    remaining balance owed on the design work.

    In the event that the Independent Contractor attempts to make good on the default and requests an additional time frame, two weeks will be
    extended upon the SOW to complete the project, if after that time the SOW is still incomplete, the SOW is in default and the Company must be
    re-reimbursed as described above.

    7.1 Retained rights of the Independent Contractor.
    The Independent Contractor retains all rights to re-use, modify, and extract code from the developed software to the extent that none of the
    Company's confidential information is transferred into any competitors hands. All code, work, processes and procedures used to develop this
    software that remain as confidential information can be used for development only when explicitly requested by the 3 rd party that has hired or
    otherwise agreed to work with the Independent Contractor, and the Independent Contractor cannot provide the 3 rd party with any confidential
    information.

    7.2 Confidential Information
     Confidential information is described as being information that the competitor would not have had access to prior to working with the
    Independent Contractor. The Independent Contractor is under no requirement to protect information that is freely available to the 3 rd party in
    question. If the 3rd party retrieved information from another source outside of the Independent Contractor, or if the information is readily
    available to sources not required to sign a non-Disclosure agreement (features disclosed upon a web page or feature list), the Independent
    Contractor cannot be reasonably asked to protect this information as confidential as it is available to anyone.

8. Releases
The Company shall indemnify the Independent Contractor against all claims and expenses, including attorney’s fees, due to the uses for which no
release was requested in writing or for uses that exceed authority granted by a release.

9. Modifications
Modifications of the terms of this contract must be written and authorized by both parties, involving the implementation of a new version of the
contract as a whole following standard procedures of documentation and approval.

10. Uniform commercial code
The above terms incorporate Article 2 of the Uniform Commercial Code.

11. Code of fair practice
The Company and the Independent Contractor agree to comply with the provisions of the Code of Fair Practice (which is in the Ethical Standards
section of chapter 1, Professional Relationships).

12. Code of fair practice
The Independent Contractor warrants and represents that, to the best of his/her knowledge, the work assigned hereunder is original and has not been
previously published, or that consent to use has been obtained on an unlimited basis; that all work or portions thereof obtained through the
undersigned form third parties is original or, if previously published, that consent to use has been obtained on an unlimited basis; that the
Independent Contractor has full authority to make this agreement; and that the work prepared by the Independent Contractor does not contain any
scandalous, libelous, or unlawful matter. This warranty does not extend to any uses that the Company or others may make of the Independent
Contractor’s product that may infringe on the rights of others. Company expressly agrees that it will hold the Independent Contractor harmless for all
liability caused by the Company’s use of the Independent Contractor’s product to the extent such use infringes on the rights of others.

13. Limitation of liability
Company agrees that it shall not hold the Independent Contractor or his/her agents or employees liable for any incidental or consequential damages
that arise from the Independent Contractor’s failure to perform any aspect of the project in a timely manner, regardless of whether such failure was
caused by intentional or negligent acts or omissions of the Independent Contractor or Company, any Company representatives or employees, or a
third party.

14. Dispute Resolution
Any disputes in excess of the maximum limit for small-claims court arising out of this Agreement shall be submitted to binding arbitration before a
mutually agreed-upon arbitrator pursuant to the rules of the American Arbitration Association. The Arbitrator’s award shall be final, and judgment
may be entered in any court having jurisdiction thereof. The Company shall pay all arbitration and court cost, reasonable attorney’s fees, and legal
interest on any award of judgment in favor of the Independent Contractor. All actions, whether brought by Company or by Independent Contractor
will be filed in the Independent Contractor’s state/county of business/residence.

15. Changes
The Company must assume that all additions, alterations, changes in content, layout or process changes requested by the Company will alter the time
and cost. The Company shall offer the Independent Contractor the first opportunity to make any changes.
16. Non-Disclosure Agreement
The Company may, or may not disclose information to the Independent Contractor that is understood that any information, code, statistics, charts,
documents, or anything confidential transferred between the two parties, whether from the independent contractor to the Company, or from the
Company to the Independent Contractor, the information is to be kept in the strictest confidentiality and is not to be shared with anyone that is not

bound by this contract as well to prevent a leak of information. Any information shared by either party while knowing it was confidential information
will leave that party subject to the applicable laws covering this loss by the state and country of the Independent Contractor.

17. This Agreement
This agreement constitutes the sole agreement between the Independent Contractor and the Company regarding this Project. Any additional work not
specified in this contract or any other amendment or modification to this contract must be authorized by a written request signed by both the
Company and the Independent Contractor.
The undersigned hereby agree to the terms, conditions and stipulations of this agreement on behalf of his or her organization or business.

This Agreement constitutes the entire understanding of the parties.
Any changes or modifications thereto must be in writing and signed by both parties.

Functional Specifications – Project showcase
                application

Purpose and Scope

The purpose of the mobile website is to be a companion to The Book magazine project. The mobile site should
allow’s users to easily access detailed information about building projects and the products used to construct
those projects.
    • It is assumed that the vendor will provide a CMS backend to input project and product information.
    • Mobile users should be automatically redirected to a mobile version (through alternate CSS files).
    • We will provide web hosting and the appropriate domain name.
    • We will provide the CSS styling, logos and other graphic design work as necessary.
    • The vendor shall include setup of html and website to our web host, except for the CSS styling


Requirements

   •   If this could be built on top of an existing open source CMS such as Wordpress or Drupal would be
       preferable.
   •   The site should detect header information and switch between Mobile and Web layouts.
   •   In this case we would provide the CSS styling, however we would need help with implementing the
       switching process.
   •   All clicks should be easily trackable, including the ability to export to .csv or excel spreadsheet. This is
       especially true of click to call and email function.

    Navigation should be achieved via a back button taking the user to the previous page and a jump to menu
                 which allows users to jump to Project Categories, Product Categories, or home.
This menu should sit at the top of every page except for the home page.

The gallery page will be a showcase of images associated with the project.
Users will be able to swipe left/right or use arrow buttons.
Below the images will be the linked products to each image. There will be up to three, but probably only one
per image.
The linked products will display an icon matching the product category (to match icon placed in image) and the
product name, to link to the product detail page.
