									Bobcards Ltd is a wholly owned subsidiary of Bank of Baroda. The company is in the business of
Credit cards, Merchant acquiring & managing Debit card support service for Bank of Baroda. It
is the first Non-banking financial Company (NBFC) in India issuing credit cards.

Bobcards is serving the country with its large network of 33 Area offices spreading across the
country with wide range of credit cards since last 17 years as an independent Credit card

To add further strength to our core management team, we require an Assistant Vice President
(Legal) for our Mumbai Corporate office that shall be responsible to independently handling
legal cases having Civil/Criminal Jurisdiction, Customer complaints, Compliance and Corporate
governance matters besides handling other day to day management functions of the Company.
The Detailed job description is mentioned below.

Candidates fulfilling the following criteria are requested to send their resume as per enclosed

Essential Qualification: LLB

Age as on 01.01.2013: Minimum 28 years & Maximum 35 years

Added Advantage: LLM/Diploma in Labour Law/Company Secretary

Experience: Preference to candidates having experience of 5 years in handling legal cases
having Civil/Criminal Jurisdiction and/or in handling legal matters in Public/Private sector
Organisation like NBFC/Banking/Credit Card Industry

JOB Description:

Legal and others

 Support legal opinion from Legal Counsel, contract negotiation with various external entities,
 auditors for the legal & secretarial compliances
 Provide and interpret legal information, disseminate appropriate legal requirements.
 Review and advise management on legal implications of internal policies and procedures,
  including policy formulations and implementation.
 Review and draft contracts, agreements and internal policies and ensure that they are in compliance
  with all statutory or legal requirements.
 Insurance Management (including selection of insurer through competitive bidding, bid evaluation,
  scope finalization in consultation with other departments etc.)
 Representing the Company before various governments, judicial, quasi-judicial authorities
 Statutory Compliance under Companies Act 1956, rules and regulations
 Handling Board meeting, EGM, AGM, Preparation of agenda, Drafting of Minutes, Resolutions,
 pre / post meetings compliances, filing of returns with ROC, RBI etc.
 Finalization of notes to Accounts and statutory Audit, C&AG Audit, Tax Audit.
 Preparation of Annual Report of the Company

 To ensure the compliance with all the laws applicable to the company
 To ensure RBI guidelines/circulars applicable to NBFCs
 To ensure timely filing of all forms, returns whether periodic or otherwise of ROC
 To comply with all the local laws of the offices of the company viz. shops and establishments
 To ensure compliance with forms returns pertaining to IT, Service Tax, PF, Gratuity etc.


 Corporate Tax Management (Direct Taxation).

 Calculation & Payment of advance Tax, MAT
 Attending assessment proceedings, Appeals before appellate authorities

 Filing of annual return, AIR and other returns declarations as may be required from time to time.
Selection Process: Short listed candidates shall be called for personal interview. In case need is
felt, the Company may at its discretion conduct a written test.


Selected candidate will be on probation for a period of one year from the date of joining.
After completion of probation period, if found suitable, will be considered for confirmation in
the Company’s service in regular grade of Assistant Vice President.

Note: Mere fulfilling the eligibility criteria shall not give right to the candidate to be called for
the written test and interview. The Company reserves the right modify/vary the eligibility criteria
at its discretion at any point of selection process.
