An endorsement of a certificated security (i.e., a security that is represented by a certificate) in registered form is made when an appropriate person signs on it, or on a separate document, an assignment or transfer of the security or a power to assign or transfer it, or the appropriate person's signature is written alone on the back of the security. To transfer the certificate(s) to the name of the assignee on the Books of the Corporation, the assignee or assignor must mail the certificate(s) to the transfer agent of the Corporation. The certificates must be appropriately signed by all registered holders, exactly as the name(s) appear on the face of the certificate(s) or must be accompanied by a Stock Power bearing the appropriate signature(s). In either case, the signature(s) must be guaranteed by an institution participating in an officially recognized Medallion Signature Guarantee Program.
