Thank you so much for considering doing business with D.R.E.C. I wanted to take a moment and give you a little bit of
information regarding the company, and what services we provide.

D.R.E.C. was founded on one simple principle: Helping people. In the state of the real estate market, we are finding it
more and more necessary to reach out and help those people who cannot obtain proper mortgage financing. Many of
these people, like yourself, will face foreclosure if someone does not step up and help them. We are just one company,
but for every family whose home we can help save, our real estate market will get that much stronger. Hopefully, through
a collective effort with D.R.E.C. and other professionals in our field, we can turn this country's real estate market around.

Loan Modification
By far the most popular loss mitigation program offered today. A loan modification is a restructuring of the terms of your
current loan with your lender. Loan modifications include interest rate reductions, loan program changes, deferment
and/or forgiveness of arrearages, and fixing your interest rate if it’s adjustable. DREC handles all negotiations to get you
as close to your goals as possible.

Short Sale
A short sale is the action of selling a property for less than the amount owed to the lenders and other lien holders. DREC
will have the property listed by one of our affiliated realtors and have them market the property as a short sale. DREC will
present all offers to your lenders and negotiate the terms of acceptance. This will include making sure you do not have
any tax liabilities and no deficiency judgements are brought against you, allowing you to be free of any debt owed.

Deed in Lieu of Foreclosure
In some situations, we will recommend a deed in lieu of foreclosure. The homeowner signs a deed, transferring
ownership of the property over to the lender. They are done when all other options have been exhausted or when a
hardship prevents the homeowner from being able to follow through with a different option. As with a short sale, DREC
handles all negotiations to get the deed in lieu handled as quickly as possible. We make sure you will have no tax
liabilities and that no deficiency judgements are brought against you.

Repayment Plan or Forbearance
Repayment Plans and Forbearance agreements are when the lender allows you to repay any arrearages over a set
period of time. If this is what our client wants, then we will pursue this option. However, generally this option is not the
most beneficial option for the client.

Short Refinances and Short Payoffs
Some of our clients are in a situation where they can qualify for a Short Refinance. DREC will negotiate a Short Payoff on
your accounts with your lenders. As part of this process, we will have one of our affiliated mortgage professionals pre-
approve you for a new loan. DREC will handle all of the negotiations to complete your transaction, leaving you with a
much more manageable loan balance and monthly payment. Also, if you are going to pay off a loan in full using your own
funds, we can negotiate a much lower payoff for you. As with all our programs, we will make sure you have no tax
liabilities and no deficiency judgements are brought against you.

discuss Borrower request for payment assistance with Diversified Real Estate Consultants, a National Neighborhood Housing
Counseling Service, that the Borrower has identified as the Borrower’s designated agent(s) (hereinafter DREC). Further,
Lender is hereby authorized to negotiate the terms of a workout agreement and/or payoff settlement with DREC and to
deliver documents and release additional information to DREC, which concerns the Borrower request for payment assistance.

The Borrower will be fully responsible for reviewing any information that is sent by Lender to DREC. This Authorization will
remain effective until the Borrower specifically notifies the Lender in writing that this Authorization is of no further force and
effect. This is in accordance with Title 24 of the CFR 203.500 (HUD) were applicable.

                                                   SERVICE AGREEMENT

This Agreement made this,                     day of                     , 20____ by and between Diversified Real Estate
Consultants, hereinafter referred to as DREC, and undersigned client(s), hereinafter referred to as client(s),


Client(s) hereby employs DREC to act as its agent in assisting with certain problems resulting from Client(s) mortgage payment
increase, mortgage delinquency and/or foreclosure situations. DREC hereby agrees to act as such agent faithfully and to the best of its
ability while performing services for the Client(s) using analysis of the situation, assessment of the specific options and
implementation of a solution in a timely manner. DREC cannot and will not guarantee success of its efforts to avoid the loss of
possession of Clients real property, which may depend upon information not made known to DREC, or upon decisions of the specific
Lender, VA, FHA, FNMA, FRMC, or other governmental organization, which are not controlled by DREC.

1. APPLICATION: Client(s) represent that the information given to DREC relative to the mortgage delinquency and/or foreclosure
situation is complete and accurate including, but not limited to, such facts as Mortgagee’s name, mortgage account number as well as
the terms and status of the mortgage indebtedness and arrearages. Client(s) has fully represented and disclosed the existence of any
and all mortgages (deeds of trust, mortgages and promissory notes), liens, bankruptcies, or judgments against client(s) and/or said
clients property, past or present, as well as, clients personal employment, household income, assets and expenditures and any pertinent
information that may affect DREC’s ability to perform services hereunder. Client(s) understand the importance of his/her/their full
cooperation and full disclosure to prevent the loss of said property.

2. CHARGES: Client(s) shall pay to DREC a start up fee of $7985.55 per 1st mortgage lien and $6768.00 per additional mortgage
lien, due on contract. When DREC obtains a favorable outcome for Client(s), an additional success fee of $6574.00 per 1st mortgage
lien and $6756.00 per additional mortgage lien will be assessed. Client(s) agrees that if a payment plan is offered by DREC,
surcharges may apply. Client(s) understands that client(s) will be responsible for any third party fees associated with their situation.
This includes, but is not limited to appraisals, BPO reports and any new mortgage fees and costs.

3. GUARANTEE: DREC offers all clients a 100% Money Back Guarantee based on performance. Within 30 days of the contract
date signed between DREC and Client, if Client can prove that DREC has not been actively working on their case, then DREC will
refund 100% of all monies collected from the Client. This is not a results oriented guarantee. DREC makes no guarantees pertaining
to the results of its efforts. Client must present documented proof that DREC has not been actively working on Client’s behalf.

4. LIABILITY: Monetary liability for damages shall be limited to the monies received by DREC for the services to be performed.

5. AUTHORIZATION: Client(s) hereby authorizes DREC and its authorized representatives to obtain a credit report and to furnish
and/or release any and all information concerning Client(s) current and future financial condition to any agencies or individuals or
their representatives connected to Client(s) mortgage to assist DREC, its employees and its representatives in representing Client(s)

6. COLLECTION: Client(s) understand that once their account is transferred for collection, client(s) may be responsible for
attorney’s fees, collection fees, and court costs incurred during the collection process.

7. LEGAL EXPENSES: Client(s) understand that if client(s) bring suit against DREC and/or any of its employees and
representatives, and judgment is found in favor of DREC its employees and/or representatives, the clients will be responsible for all
legal costs and expenses associated with defending such suit. Client(s) further agrees that any litigation arising out of this Agreement
involving DREC, its employees, and/or representatives shall be commenced and heard in the courts closest in proximity to Canton, in
the State of Ohio. Whereby the Agreement shall be governed by, and construed according to, the laws of the Commonwealth of Ohio.
8. DOCUMENTS: All work papers will be owned and retained by DREC and/or its representatives. Original documents furnished
by the client(s) will be returned on request once case is officially finished and closed.

9. GENERAL: Client(s) hereby agrees to provide documentation, cooperation and/or aid to DREC and its representatives, as it
deems reasonably necessary. If Client(s) fails or refuses to provide such documentation, cooperation and/or aid to DREC and its
representatives, and DREC and its representatives deems it necessary to terminate said Agreement, Client(s) shall still be held liable
for any owed monies. Client(s) understands that DREC undertakes only to perform services to attempt to alleviate the aforementioned
problems and that DREC is a counseling office, and any and all advice given is not to be construed as legal advice. Should other
services be recommended by DREC, it is the sole responsibility of the client(s) to pursue such services as well as to provide for any
underlying or additional cost of doing so. Furthermore, Client(s) understands that DREC and its representatives are not a government
agency and its employees are not government employees.

10. NO WAIVER OF RIGHTS: DREC’s failure to exercise or enforce any right or provision of this Agreement will not constitute
a waiver of such rights or provision.

11. SEVERABILITY: If any part of this Agreement is legally declared invalid or unenforceable, all other parts of this Agreement
will remain valid and enforceable. Such invalidity or non-enforceability will not invalidate or render unenforceable any other part of
this Agreement.

12. TIME IS OF THE ESSENCE: The parties agree that time is of the essence in the completion of the work called for under this
Agreement. Client(s) agree to submit all requested documents in their entirety in a timely manner as requested by DREC. DREC
agrees that all work shall be prosecuted regularly and diligently at such a rate of progress to ensure proper processing in a timely

13. AMENDMENT: This Agreement shall not be altered, changed or amended except by instrument in writing executed by the
parties hereto.

ENTIRE AGREEMENT: This Agreement contains the entire understanding between all parties hereto with respect to the subjects
contained herein. No prior or contemporaneous oral or written communication shall alter or amend this Agreement. All subsequent
changes must be in writing and signed by the Client(s) and DREC in order to be valid.

ACKNOWLEDGMENT: By signing below, Client(s) acknowledges paragraphs 1 through 13 and “Entire Agreement” statements
have been read, understood and agreed to.
