Business Ethics and Disclosure Statement BUSINESS ETHICS AND DISCLOSURE STATEMENT BUSINESS ETHICS AND DISCLOSURE STATEMENT FOR ____________________________________ (the “Company”) BUSINESS ETHICS The purpose and intent of this Business Ethics and Disclosure Statement (the “Statement”) is to illustrate the business ethics expected of the officers, directors, (shareholders), members and employees (the “Key Persons or Key Person”) of the Company. The Key Persons of the Company must and will adhere to the provisions of this Statement and all laws, rules and regulations applicable to the business activities and conduct of the Company. The Key Persons must and will use to the best of their ability, high judgment standards in respect to integrity and ethical judgment. It is the intent of this Statement that each Key Person will conduct the Company’s business with integrity and in compliance with all applicable laws and regulations, in a manner that exceeds personal gain or advantage. Any Key Person who violates and does not comply with the provisions of this Statement, or knowingly permits any other Key Person to violate the provisions of this Statement, such violation will result in disciplinary action by the Company, including but not limited to, reprimand, demotion, suspension or discharge. This Statement will be applicable to immediate family members of the Key Persons. The Company hereby acknowledges that actions by any other person may not be in the control of a Key Person. A Key Person will immediately and fully disclose any action to the Company that may violate the terms of this Statement. The provisions contained herein, will not and do not govern all events or matters that are possible to occur within the Company. LEGAL COMPLIANCE The Company will at all times, comply with all applicable governmental laws, rules and regulations in all business activities.
