A Business Ethics and Disclosure Statement provides information to employees about
the business standards and ethics of a particular business. This form contains standard
terms and conditions that are used for this type of document, however, additional
language and conditions may be added to it, ensuring that the needs of business using
this document are met. Use this Statement to ensure that employees at a particular
business are upfront about ethical violations within a business.
BUSINESS ETHICS AND DISCLOSURE STATEMENT
1. BUSINESS ETHICS
The purpose and intent of this Business Ethics and Disclosure Statement (the “Statement”) is
to define the business ethics expected of the officers, directors, members and employees (the
“Key Persons or Key Person”) of the Company. The Key Persons of the Company shall
comply with the provisions of this Statement and all laws, rules and regulations applicable to
the business activities and conduct of the Company. The Key Persons shall use, to the best
of their ability, high judgment standards in respect to integrity and ethical judgment. It is the
intent of this Statement that each Key Person will conduct the Company’s business with
integrity and in compliance with all applicable laws and regulations.
Any Key Person who violates the provisions of this Statement, or knowingly permits any
other Key Person to violate the provisions of this Statement, n will be subject to disciplinary
action by the Company, including reprimand, demotion, suspension or discharge. This
Statement will also be applicable to immediate family members of the Key Persons.
The Company acknowledges that actions by any other person may not be in the control of a
Key Person. A Key Person will immediately and fully disclose to the Company any action
that may violate the terms of this Statement.
2. LEGAL COMPLIANCE
The Company will at all times comply with all applicable governmental laws, rules and
regulations in all business activities. The Key Persons will refrain from any activity or
activities that would be deemed unlawful practice.
It is the responsibility of all Key Persons to familiarize themselves with all legal standards
and restrictions applicable to their duties and responsibilities, and to conduct their actions
accordingly. Violations of laws can results in civil damages, criminal charges and fines for

manner that is in accordance with general accepted accounting principles as well as
maintaining accurate records to ensure a good understanding of the Company’s affairs.

6. BUSINESS RELATIONS
The Key Persons of the Company shall treat all the Company’s clients, employees and
suppliers with high professional ethic standards. All details of business dealings or
consultations will be held in complete confidence. All Key Persons of the Company will
take all measures necessary to prevent any disclosure of such business dealings or
consultations, unless with the client’s, employees or supplier’s prior written consent.
Protection of client’s, employee’s or supplier’s information is vital to the Company to ensure
continued success and future business relations. All of the Company’s information in respect
of business dealings or consultations will be kept in strict confidence by the Company’s Key
Persons and will not be disclosed to any outside sources.
7. DISCLOSURE OF INFORMATION
The Company will only disclose information or confidential information on a-need-to-know
basis to any party and the Company will disclose information or confidential information
when required to by the laws of the applicable jurisdiction or when required by a court of

The Key Persons of the Company shall avoid any personal relationships that would affect
their ability to act in the best interests of the Company. The Company defines a conflict or
conflict of interest as any occasion where a Key Person or Key Persons’ private interest
interferes with the best interests of the Company or when a Key Person or Key Persons’
family receives improper personal benefit(s) as a result of the Key Person or Key Persons’
position in the Company. All Key Persons shall not have any other relationships with clients,
employees or suppliers, including financial relationships which could or would impair their
judgment when making decisions on behalf of the Company.
The Key Persons of the Company will disclose to the Company any financial or other
relationships with any of the Company’s clients, employees or suppliers. The Key Persons
shall not, for personal gain, perform any services to any client or supplier without prior
disclosure to the Company. Once such a disclosure is made to the Company by any Key

shall not obtain an interest in any outside business entity except for a publicly held entity.
10. COMPANY PROPERTY
All Key Persons of the Company will use the Company’s property for legitimate business
purposes only and the borrowing or removal of the Company’s property is strictly prohibited
without proper written authorization by the Company. All Key Persons of the Company will
ensure that all records and reports in respect to the Company will be kept safe from loss or
destruction and retained for the appropriate time periods.
11. REPORTING OF UNETHICAL OR ILLEGAL BEHAVIOR

All Key Persons of the Company are required to report any and all violations of laws, rules

The Company shall and will maintain a safe working environment free from discrimination,
intimidation and harassment. The Company will ensure and is committed to fair employment

terms and conditions of employment. Each Key Person or potential Key Person will be
judged on their own merits without regard to race, religion, color, gender, age, marital status,
sexual orientation or physical or mental disabilities or other status protected by the laws of
the applicable jurisdiction.
All Key Persons will report any unsafe work conditions and any and all accidents. The
Company prohibits the use of illegal drugs and alcohol while working on Company property.
The Company prohibits the possession of any weapons by any Key Persons while on
Company property or on duty elsewhere.
13. INTERNET AND EMAIL
The use by any Key Persons of the Company’s internet and email services will be for the
conduct of Company business only.
Key Persons of the Company may use the Company’s internet, email and telephone services
for limited personal use, provided that such personal use is not abused by the Key Persons.
The Company reserves the right to monitor and disclose emails, in its sole discretion, and
without the prior consent of the Key Person or Key Persons. The Company strictly prohibits
the copying of any software programs or other copyrighted materials of the Company. The
use by Key Persons of the Company’s internet, email and telephone services may not be used
for harassment directed to any individual(s) or group(s) or for any threatening nature or for
any purpose that is illegal, including the distribution of the Company’s confidential
