SIRS Board Meeting
November 17, 2009

Board Members Absent: Donald “Ike” Schorr, Marlin Weisheit, Marla Hendrickson, Dean Bromm
Staff /Guests in Attendance: Kelly Mitchell, CEO; Larry Waninger, CFO.
Item: Pam Franzman, as acting Chair, invited guests to begin dining at 5:30pm and opened by
reminding Board members to review meeting material.
Item: Pam Franzman, Vice-Chair, called the meeting to order at 5:32pm.
Item: Minutes of 11-17-2009 were reviewed as distributed with spelling of first name of Vicky
Item: October-November 2009 Financial Report--Larry Waninger, CFO, presented financial reports
for YTD through November 2009. The organization is reporting an operational profit and small net
profit after 5 months. Services continue to be the largest percentage of revenue. (See attached)
Community services are doing quite well in quality and financial performance. Currently, Industries
and Bright Beginnings Daycare are a significant drain of financial resources. SIRS Industries revenue
was slightly stronger in November due to plastic sales at Boonville plant. No significant issues are
reported. Larry reviewed the various income and expense categories. The balance sheet remains strong.
The Endowment fund is performing much better than last year due to improved market conditions.
Larry advised the Board that the December financial position will be a bit weaker due to impact of
holidays, a holiday gift to employees, and an adjustment.
Item: Management Report—No written report was presented. Ms. Mitchell noted that she would
provide a more detailed report on Bright Beginnings financial performance at the February 2010
Brenda Stoffel made a motion to approve the Consent Calendar. Ryan Kempf seconded. Motion
Orientation -- Philosophy, History, and Societal Perceptions
Kelly Mitchell, CEO, provided a 45 minute orientation utilizing PowerPoint presentation. (See
Board Objectives 2009-2010- After review of prior year Board objectives and discussion, the Board
of Directors established the following objectives:
1. Improved Board Recruitment Process
2. Review, and Revise As Determined, SIRS Investment Policies
3. Review, and Revise As Determined, SIRS ENDS statements
Jeff Hagedorn made a motion to adopt the Board objectives noted above. Vicky Lutgring seconded the
motion. Motion carried.
Item: Retirement Plan Amendment (403b)
Kelly Mitchell, CEO, reviewed written material regarding amendment to SIRS’ retirement plan.
Amendments are made as required by certain provisions of the Pension Protection Act of 2006. (See
Larry May made a motion to approve the amendment and Board resolution. Ryan Kempf seconded.
Item: Annual Board Calendar
Members reviewed the final draft as prepared by the CEO/President. All Board members approved as
presented (See attached)
Item: Accessibility Plan Update
Kelly Mitchell, CEO, verbally reviewed the written update presented to the Board of Directors prior to
meeting. Ms. Mitchell noted that all modifications to SIRS’ physical facilities that were recommended
in the Spring 2009 review have been completed and/or placed on a maintenance schedule. This
includes, ramps, thresholds, signage, and latches for bathroom stalls. In addition, the management team
made changes in the Goals established under the accessibility plan. A new focus will be placed on
“going above and beyond” that which is required. Additional focus will be placed on utilizing SIRS
website for those with visual impairments and hearing impairments. The management team is also
looking at revising the customer satisfaction survey to improve return rate. (See attached)
Item: Board Training Survey:
The Board referred the development and implementation of a Board Training Survey to the Recruitment
and Development Committee.
Item: Chair’s Message: Pam Franzman noted a special she had viewed on ABC television that showed
an individual with CP benefitting from dance instruction/movement. She commented on the therapeutic
effectiveness of the program.
Item: Meeting Adjournment: Ryan Kempf made a motion to adjourn the meeting at 7:30pm
CDST/8:30pm EDST. Jeff Hagedorn seconded the motion. Motion carried.
