CONSTITUTION

Name:
The name of the club shall be the City of Glasgow Gymnastics Club
Objective:
The objects of the club shall be to develop all aspects of the sport of gymnastics within the City of
Glasgow and to optimise the opportunities and the standard of performance of the membership through
education, training and promotion.
1 Membership
Membership of the club shall be open to all people who are interested in the promotion of gymnastics.
Members will be categorised as follows:
Ordinary member – Any person wishing to participate in any branch of gymnastics as
promoted by the club. Such members shall be required to pay to the club the annual fee or
subscription as determined by the AGM.
Honorary Member – Any person who has a connection within the club, but does not wish
to participate in any branch of gymnastics as promoted by the club can apply annually for
Honorary Membership. Such membership shall not carry any annual fee or subscription
liability.
Honorary Life Member – Honorary Life Membership will be conferred upon individuals
for long and/or distinguished service to either the Club, the Governing Body(ies) of Sport,
or the sport of gymnastics. Honorary Life Members will be honoured by invitation of the
Club at an AGM or EGM.
2 Voting Rights and Powers
A parent or guardian who is entitled by proxy on behalf of a child under 17 may in turn
appoint a representative to vote by proxy on his/her behalf.
A member over 17 who is entitled to vote may appoint a representative to vote by proxy
on his/her behalf.
The appointed representative may either vote specially as instructed or at his/her
discretion as instructed by any motion or resolution.
Written evidence of said instruction must be presented to the secretary before the start of
any General Meeting.
No voting member may exercise more than one proxy vote.
3 The Management Committee shall have the power to suspend members guilty of misconduct
whilst engaged in activities in connection with the Club.

4 Annual General Meeting
The Annual General Meeting shall be held before the end of December annually. Notice
of the Annual General Meeting shall be sent out to each member no less than one calendar
month before the proposed date of the meeting. The date and venue of the meeting shall
be fixed by the Management Committee.
Business to be considered by the AGM, including nominations for the posts must be
received in writing no later than three weeks before the AGM. All such nominations shall
be sent to all centres two weeks prior to the AGM. Items or nominations received later
than that date can only be considered by the AGM by approval of the Management
Committee.

k Changes to the Constitution

o Any other Competent Business
Extraordinary General Meeting
An Extraordinary General Meeting may be requested in writing by any twenty or more members
with voting rights. Such requests should be addressed to and received by the Secretary at least
three weeks prior to the proposed date of the meeting, duly subscribed to by the members
concerned and should state the nature of the business to be transacted. Only such business shall
be discussed at the Extraordinary General Meeting so called.

5 Amendment to Constitution
These rules shall be amended, rescinded or added to only at an Annual General Meeting or at an
Extraordinary General Meeting convened for the purpose. To become operative, a proposed
amendment shall be carried by a simple majority of the voting members present.
6 Management
The Club shall be managed by a Management Committee.
a All nominees for the Management Committee must give prior written approval for
their name to be put forward for office. The committee shall consist of:-
i Chairman
ii Secretary
iii Treasurer
vi Head Coach - Council Appointment
v Child Protection Officer
b Four committee members elected at the Annual General Meeting one from each
discipline.
The Management Committee shall have the power to co-opt:-
a Individuals to fill only vacancies caused by either resignation or non-election at
the Annual General Meeting
b Individuals assigned to specific tasks, to a maximum of three people.
c Glasgow City Council representatives
Individuals in b and c shall have no voting rights
The Management Committee shall be elected at the Annual General Meeting.
6.4 Each member of the Management Committee shall have one vote. In addition to his/her
vote as a member, the Chairperson, Vice-chairperson, or otherwise nominated acting
Chairperson shall have a casting vote to decide such matters as would otherwise remain
unresolved.
6.5 A quorum shall be 5 members, all of whom shall be voting members or the Management
Committee.

7 Finance
7.1 The financial year will run from 1 April to 31 March.
7.2 The Treasurer shall be responsible for the preparation of the monthly Reconciliation
statement, and preparation and submission of the annual accounts of the club.
7.3 The accounts shall be presented at the AGM, and audited by an independent professional
auditor elected at the AGM.
7.4 All cheques drawn against club funds shall be signed by two of three named Principle
Officers – The Treasurer, and Secretary, and one other Committee member.
7.5 All funds and property of the club shall be applied to the furtherance of the objective of
the club. No funds or other property of the club shall be paid or distributed among the
members of the club except as expenses properly receipted. At dissolution, disposal of
assets shall be in accordance of SGA rules.
7.6 The club should take out all necessary insurance to cover third party risk and liability for
all members of the club, coaches and volunteers.
8 Club Structure
8.1 The club is run by a committee of ten representatives elected from the membership.
8.2 The positions and responsibilities are as follows:
Chairperson Responsible for the overall running of the club and to chair
meetings.
Treasurer The club must be run as a business. The Treasurer is responsible
for the club’s finances.
Secretary The central figure of the club. Responsible for correspondence,
distribution of mail and record keeping.
Head Coach Responsible for co-ordinating an annual training programme.
8.3 In addition, there are 4 other committee members who have responsibility for activities
deemed necessary by the management committee.
