(hereinafter referred to as “RFQ” cum "RFP") document provided to the Bidders, by
Ghaziabad Nagar Nigam (hereinafter referred to as “GNN”) or any of their employees or
advisors, is provided to the Bidder(s) on the terms and conditions set out in this RFQ cum
RFP document and all other terms and conditions subject to which such information is
provided.
The purpose of this RFQ cum RFP document is to provide the Bidder(s) with information to
assist the formulation of their Bids. This RFQ cum RFP document does not purport to contain
all the information each Bidder may require. This RFQ cum RFP document may not be
appropriate for all persons, and it is not possible for GNN, their employees or advisors to
consider the business/investment objectives, financial situation and particular needs of each
Bidder who reads or uses this RFQ cum RFP document. Each Bidder should conduct its own
investigations and analysis and should check the accuracy, reliability and completeness of the
information contained in this RFQ cum RFP document and where necessary obtain
independent advice from appropriate sources. GNN, their employees and advisors make no
representation or warranty and shall incur no liability under any law, statute, rules or
regulations as to the accuracy, reliability or completeness of the RFQ cum RFP document.
GNN may, in their absolute discretion, but without being under any obligation to do so,
     update, amend or supplement the information contained in this RFQ cum RFP document.

Instructions to Bidders
1. Scope of Bid
1.1 Ghaziabad is one of the fastest growing cities around Delhi. It lies 20 Kilometers east
of Delhi on the Grand Trunk Road and has been the principal vision for the rapid
growth of the city..
Ghaziabad Nagar Nigam was formed on 1st September, 1994 prior to which the City
Board was responsible for the development activities in the city area (1976 to 1994)
and Nagar Palika from 1869 to 1910. There are a total of 49 Revenue Villages within
the municipal limits covering an area of 240 square kilometers.
1.2 The Ghaziabad Nagar Nigam (hereinafter referred to as the “Authority” or “GNN –

1.3 The Bids would be evaluated on the basis of the evaluation criteria set out in this
RFQ cum RFP document in order to identify the successful Bidder for the Project
(hereinafter referred to as “Successful Bidder”). The Successful Bidder would then
have to enter into an Agreement with GNN and perform the obligations as stipulated
therein, in respect of the Project.

2. Eligible Bidders
2.1 The Bidders eligible for participating in the qualification process shall be any one of
the following two categories:
Category 1: A architect cum consultant cum Financial support advisor cum Transaction Advisor registered
with Council of architect INDIA
Category2:A joint venture firm and a copy of the certificate of incorporation and memorandum of
association along with the Proposal has to be attached.
Category 3:A consortium firm (hereinafter referred to as
“Lead Member”) intends to associate with others, it could associate with
other Business Entity (hereinafter refered as “Other member”) with
whom a valid Memorandum of Understanding (MoU) formalizing such
an arrangement should be entered. This Lead Member and the Other
Member shall together be hereinafter referred to as "Consortium." The
Bid submitted by a Consortium should comply with the additional
requirements set out in Clause 3.
The term Bidder used hereinafter would therefore apply to both the above-mentioned
categories.
2.2 Any Entity, which has earlier been barred by GNN from participating in any project
being undertaken by GNN, would not be eligible to submit a Bid, either individually
or as member of consortium , if such bar subsists as on the Bid Due Date.
3. Additional Requirements for Bids submitted by a Consortium
3.1 Wherever required, the Bid shall contain the information required of each of the
members of the Consortium.
3.2 The number of members in the Consortium shall be limited to 3 (three).
3.3 The members of the Consortium shall furnish Power of Attorney duly signed by
authorised representative(s) of the members for the purpose of designating Lead
Member of consortium.
3.4 The Bid shall be signed by the duly authorised signatory of the Lead Member and
shall be legally binding on all the members of the Consortium.
3.5 The Consortium shall submit a MoU as part of its Bid. The MoU shall, inter alia,
include the following:
a. To convey the intent of all members of consortium to execute with the
GNN for the Project. The Lead Member shall enter into the Agreement
with GNN on behalf of the Consortium and subsequently carry out all the
responsibilities of the successful bidder in terms of the Agreement.
b. To Clearly set out the roles and responsibilities of each Member of the
Consortium for dong work as in TOR
c. Include a statement to the effect that the members of the Consortium shall
be liable jointly and severally for the implementation of the Project in
accordance with the terms of the Agreement.
A copy of the MoU should be submitted as part of the Bid. The MoU entered into
between the Members of the Consortium should be specific to the Project and should
contain the above requirements, failing which the Bid would be liable to be
considered non-responsive.
4. Number of Bids
no Bidder shall submit more then one (1) Bid for the Project, in response to this RFQ
cum RFP. Any Bidder who submits more than one Bid, either individually or as a
memeber of Consortium, for the Project will be disqualified and cause the
disqualification of such Consortium also.
5. Validity of Bid
The Bid shall remain valid for a period not less than 180 days from the Bid Due Date
(hereinafter referred to as “Bid Validity Period”). GNN reserves the right to reject any
Bid, which does not meet this requirement.
6. Bid Preparation Cost
The Bidder shall be responsible for all the costs associated with the preparation of its
Bid and its participation in the bidding process. GNN will not be responsible or in any
way be liable for such costs, regardless of the conduct or outcome of the Bid.

7. Bid Security
7.1 Each Bid shall be accompanied by Bid Security of Rs 10 Lakhs (Rupees ten lakhs
Only).
7.2 The Bid Security shall be in the form of a crossed demand draft drawn in favour of
the Commissioner, Ghaziabad Nagar Nigam on any scheduled bank and payable at
Ghaziabad.
7.3 The Bid Security of all unsuccessful Bidder would be returned within a period of
eight (8) weeks from the date of announcement of the Successful Bidder. The Bid
Security submitted by the Successful Bidder would be released upon furnishing of the
Performance Security, amounting Rs 50.00 Lac (Rupees fifty lakhs only) by way of an
irrevocable Bank Guarantee, issued by a scheduled bank located in India in favour of
Commissioner, Ghaziabad Nagar Nigam for due and punctual performance of the
obligations relating to the Project. Performance security should be valid for a period
of six months beyond the period of agreement to be executed between successful
bidder and GNN for the purpose of Project.
7.4 The Bid Security shall be forfeited in the following cases:
a. If the Bidder withdraws its Bid after its submission.
b. If the Successful Bidder fails to provide the Performance Security within the
stipulated time or any extension thereof provided by GNN; and
c. If any information or document furnished by the Bidder turns out to be
misleading or untrue in any material respect.
8. Format and Signing of Bid
8.1 The Bid and all related correspondence and documents should be written in the English
language. Supporting documents and printed literature furnished by the Bidder with the
Bid may be in any other language provided that they are accompanied with true
translations of it in the English language. Supporting materials, which are not translated
into English, may not be considered. For the purpose of interpretation and evaluation of
the Bid, the English language translation shall prevail.
8.2 The currency for the purpose of the Bid shall be the Indian Rupee (INR).
8.3 The Bidder would provide all the information as per this RFQ cum RFP. GNN would
evaluate only those Bids that are received in the required format and are complete in all
respects. Each Bid shall comprise the following:
A. Part I Submission
a. Covering letter on the letter head of firm declaring that the bidding has clearly read and understand the
RFQ and RFP and with all interest is intended to bid.
b.Details of the Bidder in the format set out in Appendix 1
c. a copy of the certificate of incorporation issued by the concerned
authority in case bidder is a company and a certificate by Bureau of
Energy Efficiency as to its empanelment.
d. Demand draft towards Bid Security.
e. Power of Attorney (Applicable both for Single
Business Entity and Consortium).
f. Power of Attorney set out in Appendix in standard format(only in case of Consortium).
g. Memorandum of Understanding entered between/ among Lead Member
and Other Member(s) (only in case of
Consortium).
h. Anti – Collusion Certificate as per Appendix 2
i. Technical Capacity and Financial Capacity in the format set out in
Appendix 3
j. Proof of Purchase of the RFP Document or demand draft for Rs. 10,000/-
(Rupees five thousand) only.
B. Part II Submission
a. Financial Bid in the format set out in Appendix 4
The Financial Bid shall be in the form of percentage of revenue share.
8.4 The Bidder shall seal the Part I and Part II of the Bid separately in two envelopes, duly
marking the envelopes as “PART I SUBMISSION” and “PART II SUBMISSION”.
These envelopes shall than be sealed in a single outer envelope.
8.5 The Bidder shall prepare one (1) original and one (1) copy of the Bid, clearly marked
“ORIGINAL” and “COPY” respectively. In the event of any discrepancy between the
original and the copy, the original shall prevail.
8.6 The Bid, both the original and the copy shall be typed or written in indelible ink and
each page shall be initialled by an authorised signatory of the Bidder, as applicable. All
the alterations, omissions, additions, or any other amendments made to the Bid shall
also be initialled by the person(s) signing the Bid.
9. Sealing and Marking of Bid
9.1 The Bidder shall seal the original and copy of the Bid in separate envelopes, duly
marking the envelopes as “ORIGINAL” and “COPY”. The envelopes shall then be
sealed in a single outer envelope.
9.2 Each of the envelopes, both outer and inner, must be superscribed with the following
information:
a. Name and Address of Bidder
b. Contact person and phone numbers
c. "Bid for the Project”: Bid for Selection and empanelment of Architect cum Consultant With
Financial Support Advisor cum Transaction Advisor .
9.3 If the envelope is not sealed and marked as instructed above, GNN assumes no
responsibility for the misplacement or premature opening of the contents of the Bid
submitted and such Bid, may, at the sole discretion of GNN, be rejected.

10. Bid Due Date
10.1 Bids should be submitted between 1500 hours IST 06.08.2012 ( Bid submission Due Date),
in the manner and form as detailed in this RFP. Bids submitted by either facsimile
transmission or telex will not be accepted.
10.2 GNN may, in exceptional circumstances, and at its sole discretion extend the above Bid Due Date by
issuing an
Addendum. Any Addendum thus issued will be sent in writing to all those who have
purchased the RFQ cum RFP document.
10.3 It is desirable that each Bidder submits its Bid afterbeing very much clear with TOR
10.4 It would be deemed that by submitting the Bid the Bidder has:
a. made a complete and careful examination of this RFQ cum RFP document
b. received all relevant information requested from GNN
c. made a complete and careful examination of the various aspects of the Project
including but not limited to:
(i) the Project Site
(ii) the conditions of the access roads and utilities in the vicinity of the some Project
Site may get known from executive engineer
(iii) conditions affecting transportation, access, disposal, handling and storage
of materials of proposed/anticipated site may be known from E.E. city zone
(iv) clearances required to be obtained by GNN for the Project, from E.E. city zone.
 (v) all other matters that might affect the Bidder's performance under the
terms of this RFQ cum RFP document.
10.5 GNN shall not be liable for any mistake or error on the part of the Bidder in respect of
the above.


11. Opening of Bids and Clarifications
11.1 GNN would open the Technical Bids on 07.08.2012 4.0 pm for the purpose of evaluation.
11.2 GNN reserves the right to reject any Bid not submitted on time and which does not
contain the information/documents as set out in this RFQ cum RFP document.
11.3 To facilitate evaluation of Bids, GNN may, at its sole discretion, seek clarifications in
writing from any Bidder regarding its Bid. The request for such clarification or
substantiation and the response shall be in writing or by facsimile. No material change
in the substance of the Bid would be permitted by way of such clarification/
substantiation.
11.4 Information relating to the examination, clarification, evaluation, and recommendation
of the Bid shall not be disclosed to any person not officially concerned with the
process. GNN will treat all information submitted as part of the Bid in confidence and
would require all those who have access to such material to treat the same in
confidence. GNN will not divulge any such information unless it is ordered to do so by
any authority pursuant to applicable law or order of a competent court or tribunal,
which requires its disclosure.
11.5 To clarify and discuss issues with respect to the Project and the RFQ cum RFP, GNN

11.6 Bidders may submit a list of queries
, if any, to the Project requirements and/or the Agreement. Bidders must
formulate their queries and forward the same to GNN Nirman Vibhag. GNN may,
in its sole discretion or based on inputs provided by Bidders, amend the RFQ cum RFP.
11.7 Bidders may note that GNN will not entertain any deviations to the RFQ cum RFP at
the time of submission of the Bid or thereafter. The Bid to be submitted by the Bidders
would have to be unconditional and unqualified and the Bidders would be deemed to
have accepted the terms and conditions of the RFQ cum RFP in addition to the general condition of contract
of GNN with all its contents
including the Agreement. Any conditional Bid shall be regarded as non-responsive and
would be liable for rejection.

12.1 Bid Evaluation : Part I Submission
12.1.1 The Part I Submission of the Bid would first be checked for responsiveness with the
requirements of the RFQ cum RFP.
The Bid would be considered to be responsive if it meets the following conditions:
a. it is received on the Bid Due Date.
b. it is signed, sealed and marked as stipulated .
c. it contains all the information and documents as requested in the RFQ cum
RFP.

d. it contains information in formats specified in this RFQ cum RFP.
e. it mentions the Bid Validity Period as set out in Clause 5.
f. it is accompanied with valid Bid Security
g. it is accompanied by a receipt towards purchase of RFQ cum RFP or a DD of
Rs. 10,000/- towards the cost of RFQ cum RFP.
h. it provides information in reasonable detail. (“Reasonable Detail” means that,
but for minor deviations, the information can be reviewed and evaluated by
GNN without communication with the Bidder). GNN reserves the right to
determine whether the information has been provided in reasonable detail or
not.
i. there are no inconsistencies between the Bid and the supporting documents.
A Bid that is substantially responsive is one that conforms to the preceding
requirements without material deviation or reservation. A material deviation or
reservation is one
a. which affects in any substantial way, the scope, quality, or performance of the
Project, or
b. which limits in any substantial way, inconsistent with the RFQ cum RFP,
GNN‟s rights or the Bidder‟s obligations under the Agreement, or
c. which would affect unfairly the competitive position of other Bidders
presenting substantially responsive Bids.
12.1.2 In case the Bid is found to be responsive, Part I Submission would be evaluated in
      accordance with the criteria for qualification of Bidders .

Technical Bid & (B) Price Bid for empanelment/enlistment of Architect-Consultant, Financial
advisor cum transaction advisor for its proposed project, like Housing, group housing, Constriction
of multi story apartment, commercial project, other activity project, like sport complex auditorium
etc, infrastructure project etc., likely to come in near future on Nagar Nigam Land and L.M.C.
lands to perform the work as per scope of work mentioned in tender forms, from experience, well
qualified, financially Sound and reputed Architect -Cum-Consultant firm/ Institution. The Tender

Tender of Reference(TOR)-        Selection and empanelment of
Architect cum Consultant With Financial Support Advisor cum
Transaction Advisor
        Ghaziabad Nagar Nigam (GNN) envisages development of various projects
in Ghaziabad. The proposed project are like Housing, group housing, Construction of multi story
apartment, commercial project, office, infrastructure projects and other activity project like sport
complex, auditorium etc. GNN invites sealed Bid in Two Bid System from Architect cum
Consultancy cum Financial Advisor cum Transaction Advisor Firms (Consultant) for these
projects likely to be developed on GNN Lands and LMC Lands .ajoint Venture firm constituted
according to law and as per guide lines and direction of Govt. of India and Got. Of U.P. A
Consortium firm can also apply of lead member having stake 51%.constituated as per guidelines
and direction of Govt. of India and Govt. of U.P.

1.SCOPE OF WORK, ROLES & RESPOSIBILITIES FOR ARCHITECT CUM
 CUNSULTANT

I. CONCEPTUAL STAGE:

The Consultant shall:
   (a) Prepare Site survey plan showing existing site features, services along with their invert
       level in case of Sewer, Drain and Water line and facilities available, general layout of the
       existing buildings if any on site with Keyplan.
   (b) Preliminary sketch and designs with drawings, giving details of useful areas, services area,
      circulation area and total plinth area along with cost estimate to provide information
      in respect of magnitude of work and its components, services and cost of all such items
      involved.


II. PRELIMINARY DESIGN AND DRAWING STAGE:

   The Consultant shall:
   (a) Prepare preliminary layout plans and design details, showing all necessary design elements
   and layout of the proposal.
   (b) Preliminary planning of all internal and external utility services likes water supply,
   sewerage, storm water drainage. electrical, fire-fighting, interior decoration (if required),
   street/compound lighting landscaping, development plans showing roads, paths, parks, paved
   areas, drains, culverts, compound walls, external lighting indicating scope, specifications and
   costs separately of such sub-heads.
   (c) Preparation of elevation images and perspective views showing the external & internal
   details of the proposed building complex.
   (d) Obtain the approval of the Ghaziabad Nagar Nigam (a) (b) & (c) above and to all
   computations of all structural designs and all services designs which shall be in accordance
with the latest IS Codes of practice and /or the codes of practice applicable in the ares, Town,
City where the work is located.
(e) Such detailed computations of all designs shall be made available to the Ghaziabad Nagar
Nigam in duplicate along with drawings for any check the Ghaziabad Nagar Nigam may like to
exercise for scrutiny before sanction of detailed estimates and call of tenders.
(f) The Consultant shall indicate the names of his consultants of various services and structural
designs, their organization, qualifications and experience at this stage.
(g) Obtain the approval of competent authority/statutory body to all Architectural structural
and civil/ additional work designs, drawing and plans etc. if necessary according to local Acts,
laws, Regulation etc, and make any changes desired by such authorities.
(h) Technical assessment of the project, getting done exploration work for deciding safe
bearing capacity, depth& type of foundation work through specialized firm (the cost of field
and laboratory work will de directly paid by the Ghaziabad Nagar Nigam ).
(I) The constant shall advise and suggest the different mode for project funding /source for the
scheme like joint venture PPP and self financing and own finance scheme and will also assist
in getting sanction and release from funding source if required by GNN.
III. WORKING DRAWING STAGE:-
The preparation of working and detailed drawings with details incorporating services and
schedule of quantities will be involved in this stage. This will include:-

(a) Preparation of working detailed architectural and structural drawings and detailed estimate
and specifications for all items of the above works including internal and external utility
services, along with details of quantities, analysis of rates and details of structural design.
(b) Obtaining approval of the Ghaziabad Nagar Nigam to above and modify them if considered
necessary by Ghaziabad Nagar Nigam.
(c) Obtaining approval of local authorities, if necessary and make any changes required.
(d) Direct and co-ordinate the Architectural Engineering and surveying work and prepare (with
help of surveyors and other consultants, as necessary), complete working details, schedules,
specifications and bill of quantities to describe the whole prefect adequately for the purposes of
taking Ghaziabad Nagar Nigam's approval and placing the main and other subsidiary contracts.
(e) Prepare prequalification documents for selection of agencies, prepare according to the
approved form of Ghaziabad Nagar Nigam contract documents of various trades for calling
tenders with articles of agreement, specifications, conditions of contract, special conditions,
bill of quantities including analysis of rates based on market rates, time and progress chart, and
obtain approval of the Ghaziabad Nagar Nigam to such final document. Ghaziabad Nagar
Nigam invite the tenders and Consultant shall supply adequate number of drawings required to
be attached to the tender to clarify the item (s) in the bill of quantities in the tender.
(f) Preparation and submission of model of the work to a suitable scale as and when required
by the Ghaziabad Nagar Nigam . The cost of the model and any computer 3D modeling or
walkthrough's for the purpose of presentation shall be approved and borne by the consultant .

IV. CONSTRUCTION STAGE:-
(a) Scrutiny of the tenders in consultation with concerned authorities and submission of
recommendation on the tenders based on proper analysis of rates, market rates of materials and
lab our for major items, evaluation of commercial and other conditions stipulated by tenders.
(b) Advising Ghaziabad Nagar Nigam and contractor sufficiently in advance to enable him to
get permits, quota certificates, licenses and foreign exchange, if required.
(c) Supply the contractor with drawings, specifications and details which may be required for
proper execution of the work.
(d) Obtain Ghaziabad Nagar Nigam's prior approval for and substitution, omission, addition or
deviation in design or cost or the working drawings or schedule and specifications or item of
work from the approved scheme/contract by working out financial benefit, if any.
     (e) Periodic supervision of the work by the consultants to ensure that the work is executed as
     per drawings, designs and specifications and to certify the same.

     V. COMPLETE PROJECT DELIVERABLES:-
     1. Architectural Plans, structural drawings, preparation of DPR
     2. Bid documents for selection of Contractor.
     3. Selection of successful bidder and awarding of contract.
     4.Obtaining necessary clearance, sanction and approval from GNN and other Statutory body
     for starting project.
     5. Financial plan and revenue models on identified sites with providing services in securing
     finance if required
     6. Construction supervision, quality and progress monitoring and evaluation
     3. PAYMENT OF REMUNERATION:
     (A) The consultant fees : The Ghaziabad Nagar Nigam agree to pay fee to the Consultant for
     the professional services to be rendered by him in way and stages as herein described at
     B(1,2,3a,3b,4,5,6,7,8) the following fees

     Note- The above mentioned fee will exclude project statutory charges/ levies payable for
       statuary services and non refundable deposits, which will be paid by Ghaziabad Nagar
       Nigam directly on demand/against receipt.

(B)conThe consultant fee in 3(a) will be paid in installments as specified below:

          Providing Site Plans for project Area Identification.
          Providing Clearances of Government Depts, revenue maps, land use plans, change of
           land use etc as required
          Resolve the owner - ship issues if any.
          Advertise Tender
          Approve Tender Document architectural and detailed design plans or get the plans
           approved from the concerned agency, development options.
          Select and appoint Contractors.
       

5) LIABILITIES OF CONSULTANT:

a. Consultant ant its employees shall, in performing the work, exercise the degree of skil care and
diligence consistency with customarily accepted good practices and procedures of the time and
location and for type of services performed.
b. in the event of any dispute arising between the parties during the consultancy the same shall be
referred to the Arbitrator who shall settle the same through conciliation and mutual agreement and
amicable settlement. The decision of the Arbitrator shall be binding on both the parties.
c. Each party shall have the right to change the place to which notice shall be sent or delivered by
similar notice sent or delivered in like manner to the other party provided the change of address is
intimated to the other party 15 days in advance prior to the said event.


6) PAYMENT ON RESCINDEMENT OF CONTRACT ASSIGNMENT:

   If this Agreement after its award or during the course of the Project is rescinded partially or
   fully due to no fault of the Consultant or due to any reason except the default on the part of the
   Consultant as defined in the agreement as well as force majeure Employer will pay the loss of
   profit on the unfinished and un-paid element of consultancy as mutually agreed.


7) FORCE MAJEURE

    The expression force majeure shall mean any circumstances beyond the control of any party
    which prevents or impedes the due performance of the agreement.
1. War, whether declared or not hostilities.
2. Riots or civil commotions.
3. Natural physical disaster such as flood, fire earthquake etc.
4. Strikes, lockout or industrial actions.
5. Lockout/Temporary disruptions of the existing office space as a result of Government
notification or any order/directive.
8) INDEMNIFICATION:

Consultant shall indemnify and save harmless Employer from claims, actions and judgments
arising out of bodily injury, death or damage to properly of third parties to the extent caused by the
negligence of arising out of the Contract of services shall in no event exceed the total amount of
compensation paid to Consultant hereunder.

9) CHANGES

This Agreement shall not be modified except by Witten agreement signed by both parties.
Employer shall have the right to make changes within the general scope of Services upon
execution of a mutually accepted change o9rder if Employer terminates the Agreement prior to
completion, Employer shall pay Consultant all amounts due to consultant up to the effective date
of termination. Terminations shall be in writing.

10) MONITORING OF THE CONSULTANTS WORK/PERFORMANCE

The Employer will constantly monitor the Consultant's work as per given scope of work in this
retard.


11) CONFIDENTIALITY

During the term o9f this agreement, the Consultant shall treat as confidential all
facts/data/proprietary or confidential information or Ghaziabad Nagar Nigam working details
obtained as a result of this agreement and shall not disclose such facts/data/information to any
person without the Ghaziabad Nagar Nigam prior written consent.

12) OWNERSHIP OF MATERIAL

All studies reports or other material, graphics, software or otherwise prepared by the Consultants
for the Employer under the Agreement shall belong and remain the property of Employer the
Consultant may retain a copy of such documents and software by shall not use them for purpose
unrelated to this contract without prior written approval of the Employer vice versa.

13) Consultant shall be liable to visit and inspect the project site frequently to satisfy the jobs are
going on as per the DPR requirements and for making further recommendations as required for the
period of three years after handing over of project.


14) TAXES
The Consultant shall be liable and responsible for payment of income Tax and all other taxes
which may be levied on the fees/payments received from the Employer under the terms of this
contract and shall keep the Employer harmless against any claim/liabilities and outgoing in this
behalf. The Service Tax shall be inclusive in the consultancy fees.

14) AGREEMENT Consultant to be entered into agreement on shall come into force on the date
of signing of agreement and payment of advance as hereinabove mentioned. Required stamp paper
on format prescribed by Ghaziabad Nagar Nigam and this agreement.

1. INTRODUCTION:
      Nagar Nigam Ghaziabad is one of the municipal corporation in Uttar Pradesh which is
formed on 31th August 1994 and also Certified by ISO: 9001, 14001, 18001. Due to closed
proximity to Delhi, Ghaziabad Nagar Nigam desires to develop the followings projects in
Ghaziabad city.

 Development of various projects in Ghaziabad like Housing, group housing, Construction of multi
story apartment, commercial project, infrastructure project and other activity project like sport
complex, auditorium etc.

2. Criteria for prequalification
         Should have successfully provided Architectural cum consultant services as envisaged
            in the scope of work for at least two projects of two different nature out of the projects
            mentioned in TOR, each of minimum project cost of Rs.25 Cr or one of value
            Rs.40/Cr , involving teams of desired consultants. Certified copy has to be attached
            along with brief detail of executed project with delivered drawings.

           Should have a team of at least three qualified Architects, one Urban Designer, one
            Conservation Architect and team of Financial advisor with Transaction advisor. Detail
            have to be attached.
     2.1. Required Qualifications with Supporting documents-
        The team members should have been involved in the design of commercial, sports
         complex ,auditorium and residential complex.
        Strong Academic and research background.
        Exposure to developed nations and modern contexts.
        Experience in doing urban regeneration projects in India.
        Experience in providing financial support ,suggesting finance pattern/mode and obtaining
         financial sanction      from ADB/WB/NCRBoard/Hudco/Banks/other sources for
         national and international projects.
        Experience in providing services as Transaction Advisor for the projects at least one
         project of value more than Rs.50.00Cr
3. Scope of Work
3.1. Conceptual Master Plan and Urban Design
   Taking Client's instructions and preparation of design brief.
   Site Evaluation, Site analysis and constraints study, analysis of architectural character social
      issues.
   Study to develop alternative designs, Feasibility Study.

4. Project Phasing & Schedule of Services
       The Architect shall, after taking instructions from the Client, render the services in stages as
given below:

Stage 1: Concept Design
    Ascertain Client's requirements, examine site constraints & potential land prepare a design
       brief for Client's approval.
    Progress report on site evaluation and analysis and impact of existing and/or proposed
       development on its immediate environments.
    Prepare drawings and documents to enable the Client to get detailed survey and soil
       investigation at the site of the project.
    Prepare conceptual designs with reference to requirements given and prepare rough
       estimate on area basis.

stage 2: Preliminary Design and Drawings
Revised conceptual designs with required changes and prepare the preliminary drawings, sketches,
study models etc. as per discussed with clients for approval along with preliminary estimate on
area basis.
Stage 3: Drawings for Client's Statutory Approvals
Prepare drawings necessary for Client's statutory approvals and ensure compliance with orders,
standards, and legislation as applicable and assist the Client in obtaining the statutory approval
thereof, if required.

Stage 4: Working Drawings and Tender Documents
Prepare working drawings, specifications and schedule of quantities sufficient to prepare estimate
of costs and tender documents including code of practice covering aspects like mode of
measurement, method of payments, quality control procedures on materials & works and other
conditions of contract.

Stage 5: Appointment of Contractors
Provide advice to float the tender, receive, evaluation, preparation of comparative statement and
advice Client on appointment of contractors.

Stage 6: Construction
    Prepare and issue the working drawings and details for proper execution works.
    Approve samples of various elements and components.
    Check and approve shop drawings submitted by contractor/vendors.
    Periodical visit of site at regular intervals mutually agreed upon, to inspect and evaluate the
       works and wherever necessary clarify any decision, offer interpretation of the
       drawings/specifications, attend meetings to ensure that the project proceeds generally in
       accordance with the conditions of contract.
    Providing site visit report to client and advice on actions, if required.
    In order to ensure that the work at site proceeds in accordance with the approved drawings
       &contract document and to maintain the quality control, the day-to -day supervision will be
       carried-out by a Resident Construction Manager who shall work under the guidance and
       direction of the Architect, and shall be paid by the client as mutually agreed.
    Issue Certificate of Virtual Completion of works

   Stage 7: Completion
        Final certification of bills.
        Prepare and submit the completion reports and drawings for the project as required and
           assist the Client in obtaining "Completion/Occupancy Certificate" from statutory
           authorities, wherever required.
        Issue two sets of 'as built' drawings including services and structures.

5. Procedure for Selection
The Appointment of Consultant will be done under two bid/envelope system.

All firms who satisfy the prequalification criteria stated above, may submit their proposal in two
envelopes clearly stated on that Envelope -1 : Technical Bid and Envelope -2 : Price bid and
sealed in one main cover.

5.1 Technical Bid
    The Envelope -1 will contain the Technical Proposal including the following:
      General information in Standard format given at Annexure-1
      A short concept note outlining the approach to designing.
      A portfolio of the work done by the firm.
      A refundable performance security of Rs.50Lac in shape of Bank Guarantee pledged to
        GNN
      Earnest money in the shape of FDR/NSC/CASH of amount Rs.10/lac
      A document showing annual turnover of more than Rs 1/Cr
      Documents supporting experience and project done by consultant at least two project for
        one each of two different type project mentioned in TOR of minimum value Rs.25/Cr.
        Or one of value more than Rs.40/Cr Annexure-3
      The Bidder shall have a net worth of more than Rs. 5 Cr in the last three Financial Year
        preceding Bid due date
      Registration documents and license certificate issued by Council of Architecture, India.

5.2 Price Bid
     Envelope -2 : Price Bid shall contain the commercial offer as per Annexure -4, and only
       those firms whose technical bid is acceptable to the Employer, shall be opened. The final
       selection and decision regarding the agency to be appointed shall be made based on their
       Technical and Price Bibs.

6. Professional Fee :
     For all of the services mentioned a fee expressed as percentage of the actual construction
       cost should be quoted.
     Until actual construction costs are known, the latest sanctioned budgeted cost shall be taken
       for calculation of fee.
     It should be noted that only cost of items of work for which the Architect has assumed
       design responsibility shall be included in the calculation of fee.
     Service tax levied at prevailing rate shall be to the account of the Client. Any additional
       government levies that are imposed by law after the date of this proposal shall also be to
       the account of the Client.

7. Execution of Assignment
     The Architect shall keep the Client informed about the work in his office.
     The Architect shall be responsible for the direction and integration of the consultant work.
       The consultant, however, shall be fully responsible for the calculations the detailed design
       and periodic inspection and evaluation of the work entrusted to them. The Architect shall,
       if requested, make available the design calculations.
     The Architect will advise the Client on the Time Schedule prepared by the contractors for
       the completion of work, if required
     The Architect shall supply to the Client free of cost three hard copies & one soft copy in
       the format as desired by client of all drawings and documents. Any copies in addition to
       above may be charged for separately as per actual expenses incurred.
     The Architect shall exercise all responsible skill, care and diligence in the discharge of his
       duties and shall exercise such general superintendence and inspection as may be necessary
       to ensure that works are being executed in accordance with the Conditions of Contract,

. Schedule of Payment
        For master Planning and Urban design Services, Comprehensive Architectural Design
    Services including structural electrical sanitary, plumbing and landscape, the Architect shall be
    paid professional fee in the following stages consistent with the work done plus other charges
    and reimbursable expenses as agreed upon.

     9. Time Schedule
     The Architect shall, in consultation with the client, prepare a Time schedule in respect of

     The Validity of offer will be Three months from the date of opening of the tender by the ctient.

     11. Termination of Agreement
     The Agreement may be terminated at any time by either party by giving a written notice of two
     months to the other party. in the event of the termination of the agreement by the Employer, the
     Architect shall not be entitled to any compensation or damages by reason of such termination
     but only to the fee for the services actually rendered. in the event of termination of contract by
     the Architect the security Deposit shat not be refunded.

     12.Transfer of interests
     So long as the Agreement subsists, neither the Employer nor the Architect shall assign, sublet
     or transfer their interest in this Agreement, without the written consent of the other.
13. lnterpretation:
ln case of any ambiguity or difficulty in the interpretation of the conditions of Engagement and
scale of charges, the interpretation of chief Architect, Government of Uttar Pradesh shall be
final and binding on the Architect and the Client.


Additional Services/ Payment:
   The scope of work presented in the proposal is the essence of this work, and shall be
       termed as the Basic Services. Significant changes in the scope of work shall be
       considered as additional Services and may be billed separately.

      Possible causes of additional services are major changes to previously approved plans,
       areas, or costs, requests for services other than those described above, significant delays
       to the project schedule which require repetition of work already performed, and
       expansion of the project scope.
      No additional services shall be carried out without the prior approval of the client.
      Any professional services to be rendered by the Architect at the instance of the client
       after the agreed project completion period shall be compensated for on mutually agreed
       terms.
      No change shall be made in the approve drawings and specifications at site without the
       mutual consent of the client and the Architect.
      All payments shall be made within 3Odays of receipt of the bill.
      lf the project is prematurely terminated, fee shall be paid to the Architect based on the
       percentage level of completion of each phase of the project. In such a case, the designs
       developed by the Architect shall not be subsequently used without consent.
      lf the project is placed on 1'hold" for any period exceeding six months, then work that
       needs to be repeated shall be taken in to consideration when adjusting for any payments
       already made.
