                                       CONTRACT SPECIFICATIONS

   6.   Description of the contract

        This Contract includes design and construction of municipal Waste Water Treatment Plant
        (WWTP), in Prilep meeting the requirements of Annex I of the UWWT Directive (91/271/EEC)
        for 95.000 PE, in accordance with FIDIC conditions of contract (Yellow Book - First Edition
        1999, Conditions of Contract for Plant and Design-Build). Works include design, civil works,
        mechanical works, electrical works, automation works, training of staff and commissioning.

                                           TERMS OF PARTICIPATION

   8.   Eligibility and rules of origin

        Participation is open to all legal persons participating either individually or in a grouping
        (consortium) of tenderers which are established in a Member State of the European Union or in a
        country or territory of the regions covered and/or authorised by the specific instruments
        applicable to the programme under which the contract is financed (see also heading 22 below).
        All works, supplies and services under this contract must originate in one or more of these
        countries. Participation is also open to international organisations. The participation of natural
        persons is directly governed by the specific instruments applicable to the programme under which
        the contract is financed.

   9.   Grounds for exclusion

        Tenderers must submit a signed declaration, included in the Tender Form for a Works Contract,
        to the effect that they are not in any of the situations listed in point 2.3.3 of the Practical Guide
        to contract procedures for EU external actions.

   10. Number of tenders

        Tenderers may submit only one tender per lot. Tenders for parts of a lot will not be considered.
        Tenderers may not submit a tender for a variant solution in addition to their tender for the works
        required in the tender dossier.

   11. Tender guarantee

        Tenderers must provide a tender guarantee of 200,000 Euros when submitting their tender. This
        guarantee will be released to unsuccessful tenderers once the tender procedure has been
        completed and to the successful tenderer(s) upon signature of the contract by all parties.

   12. Performance guarantee

        The successful tenderer will be asked to provide a performance guarantee of 10% of the amount
        of the contract at the signing of the contract. This guarantee must be provided together with the
        return of the countersigned contract no later than 30 days after the tenderer receives the contract
        signed by the Contracting Authority. If the selected tenderer fails to provide such a guarantee
        within this period, the contract will be void and a new contract may be drawn up and sent to the
        tenderer which has submitted the next cheapest compliant tender.

   13. Information meeting and/or site visit
        Participation in the clarification meeting and attendence to the site visit is mandatory. All costs of
        attending must be met by the tenderers.
        A site visit will be held on 12 June 2012 at 11:00 hrs local time at the following address:

        A clarification meeting will be held on 12 June 2012 at 14:00 hrs local time at the following
        address:

        The minutes of the clarification meeting will be submitted to all tenderers. As proof of
        participation on the clarification meeting the tenderers will receive a certificate of attendance.

        The Contracting Authority shall not organise individual visits during the tender period.

   14. Tender validity

        Tenders must remain valid for a period of 90 days after the deadline for submission of tenders.

   15. Period of implementation of tasks

        The period of execution of the works Contract will be 24 months (two years) calculated from the
        commencement date for Works and a Defect Liability period of 12 months (one year).



                                     SELECTION AND AWARD CRITERIA

   16. Selection criteria

            In order to be considered eligible for the award of the contract, tenderers must provide
            evidence that they meet the selection criteria. This evidence must be provided by tenderers in
            the form of the information and documents as requested in Clause 12 of the Instruction to
            Tenderers and in whatever additional form tenderers may wish to utilise.
        In case of a tender submitted by a consortium, unless specified, these selection criteria will be
        applied to the consortium as a whole.

        The selection criteria for each tenderer are as follows:
       The tenderer must be a registered firm or natural person legally capable of carrying out the
        specified works;
       The Tenderer shall have a professional license, certificate (or right), in accordance with the laws
        of the country in which he is established, or equivalent, for the execution of the Construction
        Works;
       The joint venture/consortium as a whole must satisfy the minimum qualifications required below
        as well as in case of a consortium the consortium leader shall meet at least 50% of the
        requirement listed below:

        Economic and financial capacity of candidate:

       average turnover for the last three years (2008, 2009, 2010) must be at least 5 Millions Euro;
       access to credit and other financial facilities sufficient to cover the required cash-flow for the
        duration of the contract. In any case, the amount of credit available must exceed the equivalent of
        2,5 Millions Euro. The credit amount in Euro must be provided by recognized banks and must be
        designated specifically for the project;
       profitability (positive profit and loss account) demonstrated by audited financial statements for
        the last 3 closed financial years (closed between 2008 and 2010).

        Technical and professional capacity of candidate:

        The Tenderer shall present evidences on:
       successful completion by the tenderer of at least two contracts governed by the FIDIC 1999
        Conditions of Contract (Yellow Book), or governed by the PRAG, or by the national
        procurement rules of the EU Member states, or by the national procurement rules of the Member

        states of the European Economic Area, for the construction of municipal Waste Water Treatment
        Plants for minimum 95,000 population equivalent, meeting the requirements of the Annex I of the
        UWWT Directive (91/271/EEC), over the last 5 years prior to the submission deadline with its
        own resources. The tenderer shall in this tender provide the certificate of final acceptance signed
        by the supervisor / employer / contracting authority of the project concerned;
       successful completion by the tenderer of at least two contracts comprising the design of WWTP
        for minimum 95,000 population equivalent each, based on biological treatment, meeting the
        requirements of the Annex I of the UWWT Directive (91/271/EEC), over the last 5 years prior to
        the submission deadline. The tenderer shall in this tender provide the certificate of final
        acceptance signed by the supervisor / employer / contracting authority of the project concerned;
       the tenderer shall have capability to carry out at least 70% of the contract works with its own
        resources, which means that it must have the equipment, materials, human and financial resources
        necessary to enable it to carry out that percentage of the contract;

    17. Award criteria

        The sole award criterion will be the price. The contract will be awarded to the compliant tender
        with the lowest whole life costs (the whole life cost is equal to the investment cost + fourteen
        guaranteed yearly operational costs).

    18. How to obtain the tender dossier

        The tender dossier could be obtained in the premises of the Central Financing and Contracting

        on a CD_ROM upon payment of 700 Euros for the tender, which excludes courier delivery.
        The amount paid for the tender dossier is not refundable.

        700 Euros for the tender to the bank account mentioned below, the tenderers can receive the
        tender dossier from the Contracting Authority.

        Purpose of payment: receipt of tender dossier for the tender for Construction of Waste Water

        The Contracting Authority will send the tender dossier by courier if a company is located outside
        Skopje. Contracting Authority does not accept any responsibility for late delivery of the tender
        dossier by the courier service. Payment for the courier service will be done by the recipient.

        Tenders must be submitted using the standard tender form included in the tender dossier, whose
        format and instructions must be strictly observed.
