AGREEMENT TO APPOINT SOLE SELLING AGENT

THIS AGREEMENT is made this _______________ day of ___________ 20___.



BETWEEN:



________________________________________________ (name of Business), a company

registered in India, under the Companies Act, 1956 and having its registered office at

________________________________________ (address), India, hereinafter referred to as

the “Manufacturer” (which expression shall unless repugnant to the context include

the Manufacturer's permitted successors and assigns), of the one part



and



_____________________________________________ (name of Selling Agent), a

company incorporated under the laws of ___________________________ and having

its Registered Office at _____________________________ (address), _______________

(country) hereinafter referred to as “Selling Agent” (which expression shall, unless

repugnant to the context include the Selling Agent's permitted successors and

assigns), of the other part.



WHEREAS the Manufacturer is engaged in manufacture, sale and distribution of _______________ (“the

Products”) in India, and is desirous of appointing a sole selling agent for the sale of such Products;



AND WHEREAS the Selling Agent is desirous of obtaining the appointment as the Manufacturer’s

exclusive selling agent for the Products, and has agreed to perform the duties as such.



NOW THEREFORE THIS AGREEMENT WITNESSES as follows:



1. The Manufacturer hereby appoints the Selling Agent as the sole and exclusive selling agent for

the Products within the area comprising ________________________________________________ (the

“Territory”).



2. This appointment is made subject to the condition that the appointment shall cease to be valid if

it is not approved by the by the Board of Directors of the Manufacturer in the first general meeting held

after the date of this appointment, in accordance with section 294 (2) of the Companies Act, 1956.



3. The appointment made herein shall continue for a period of five (5) years from the date of this

Agreement. It may, however, be extended for one or more further periods of five (5) years each, in

accordance with section 294 (1) of the Companies Act, 1956.
