Unilateral Non-Disclosure Agreement Unilateral Confidentiality and Non-Disclosure Agreement This Unilateral Nondisclosure Agreement (the “Agreement”) is made and entered into on this date______________ (the “Effective Date”) by and between ______________________ (Discloser) and ___________________ (Recipient). It is understood and agreed that the Discloser and the Recipient would like to exchange certain valuable information that is confidential. To protect this information and in consideration of the Agreement to exchange this information, the parties agree as follows: 1. The Confidential Information to be disclosed by Discloser under this Agreement (“Confidential Information”) can be described as follows. Confidential Information means any information disclosed to Recipient by the Discloser, either directly or indirectly in writing, orally or by inspection of tangible objects, including business plans, all types of customer data including names and lists, designs, documents, any and all financial data, market information, marketing plans, research, software, source code, trade secrets and any other information designated as “confidential”. This information also includes information disclosed to third parties. In addition, Confidential Information shall also include other information which is (a) disclosed by Discloser in writing and marked as confidential at the time of disclosure; and/or (b) disclosed by Discloser in any other manner and identified as confidential at the time of disclosure and is also summarized and designated as confidential in a written memorandum delivered to Recipient within (30) days of the disclosure. 2. Recipient shall use the Confidential Information only for the purpose of evaluating potential business and investment relationships with Discloser. 3. Discloser warrants that he/she has the right to make the disclosures under this Agreement. 4. Recipient agrees that it shall use Discloser’s Confidential Information solely for the purpose of evaluating an opportunity. Recipient shall limit disclosure of Confidential Information within its own organization to its directors, officers, partners and/or employees having a need to know and shall not disclose Confidential Information to any third party without the prior written consent of Discloser.
