Transport Agreement

TNT Post Parcel Service Ltd, with its registered office at Manchester, hereinafter called “TNT
Post Parcels”, duly represented for the present purposes by Mr. Bob van Ierland,

and

the sender, hereinafter called ‘’customer’’ has selected TNT Post Parcel Service Ltd. as its
preferred supplier and will act accordingly hereafter,

have agreed as follows:

1. This transport agreement will come into effect on the date when the customer approved the
   terms & conditions and the content of this contract document and will remain in effect until
      st
   31 of December 2013. The agreement will be automatically renewed thereafter for
   consecutive periods of twelve (12) months at a time, unless terminated by either party with
   effect from the end the agreed period concerned, subject to prior written notice of three (3)
   months.

2. The transport agreement can be dissolved in any of the following cases:
            if the payment obligations are not met;
            if one of the parties is declared insolvent;
            if one of the parties does not act in accordance with the provisions of this
            agreement, including its appendices.

3. The latest version of the General Conditions for the Transport of Goods shall apply to this
   transport agreement, which forms an Appendix to this transport agreement. By signing this
   agreement, the customer confirms that it has taken due notice of these conditions and
   accepts the contents thereof.

4. TNT Post Parcels reserves the right to amend the conditions during the term of the
   agreement. If TNT Post Parcels decides to make such amendments, it will make them known
   in writing at least 30 days before they take effect.

5. The maximum liability for TNT Post Parcels is in all cases restricted to the limit specified in
   Article 23 of the Convention on the Contract for the International Carriage of Goods by Road
   (CMR) referred to in the General Conditions for the Transport of Goods. The maximum
   liability for securities, precious metals, telephone top-up cards, plastic money, admission
   tickets and costs arising from telephone calls made through a subscription is in all cases
   restricted to the limits as outlined in Appendix 1.

6. The customer and TNT Post Parcels agree that they will accept an electronic signature, or a
   copy thereof printed on paper, as proof of delivery.

7. Unless otherwise agreed, the rates listed in this agreement are not based on parcels
   containing high-value electronic products such as television screens, mobile phones,
   decoders, laptops, etc.

8. Rates will be amended on an annual basis. One major reference for rate amendments is the
   yearly RPI index. In the event that, during the term of the agreement, price movements differ
   significantly from the RPI index. TNT Post Parcels reserves the right to pass on increased
   costs to the customer (i.e. diesel, customs duties, Maut). The customer will be informed in
   writing at least 30 days before the new rates take effect.

9. The rates stated in this transport agreement are confidential and apply exclusively to the
   customer. The customer will not disclose these rates to third parties. The rate agreements
   between TNT Post Parcels and the customer are for the customer only and may not be
   disclosed to third parties or used for the acquisition of existing TNT Post Parcels customers.

10. The latest version of the General Conditions for the Transport of Goods shall apply to this
    transport agreement, which forms an Appendix to this transport agreement. By signing this
    agreement, the customer confirms that it has taken due notice of these conditions and
    accepts the contents thereof.

11. Domestic parcels (delivery within the UK) is not permitted under this contract.

12. TNT Post Parcels reserves the right to transfer the rights and obligations arising from the
    agreement to another PostNL N.V. group subsidiary.

13. The following appendix forms an integral part of this transport agreement:
   Appendix 1: General Conditions for the Transport of Goods (latest version), hereinafter called “GCTG”.

General


Notification of damage
TNT Post Parcels will assume that the agreement has been performed according to the specified
service level, unless it receives notification within 30 days of the tendering date that the
consignment has not been received, that it has been damaged or delayed, or that other aspects
of the agreement have not been performed as specified.

Labelling
All parcels must carry a dispatch label produced using the software application Parcelware. The
dispatch label must bear a barcode, with full correct addresses, including postcodes of the
sender and addressee. An electronic pre-alert will automatically be sent to TNT Post Parcels for
all parcels. Consignments sent with an electronic pre-alert receive preferential handling in the
sorting process.

•   Signature on delivery is included
•   If the addressee is absent on delivery, a note will be left stating when and where the parcel
    can be collected. Depending on the country of destination, 1 to 3 delivery attempts will be
    made and the parcel will be returned after 1 to 3 weeks if these attempts prove unsuccessful.
•   In certain countries, if the addressee is absent EPS parcels will be delivered to a
    neighbouring address so that consumers receive their parcels as soon as possible. The
    person who accepts this parcel at the neighbouring address must sign for receipt. A note will
    be left for the addressee if the parcel is handed to a neighbour.
•   Parcels that are undeliverable (e.g. because the address is incorrect) will be returned to the
    sender.
•   Parcels cannot be sent to PO Box addresses/poste restante. Except for parcels destined for
    The Netherlands.
•   The return address must be in the United Kingdom
•   State the telephone number (if known) of the addressee on the dispatch label.
•   Parcels must be properly packaged and no hazardous goods will be accepted including (but
    not limited to) explosives; compressed gases; flammable liquids and solids; oxidising,
    corrosive and toxic liquids; radio active materials.

Import duty and tolls
Import duties and tolls will be borne by the sender or the recipient. TNT Post Parcels reserves the
right to charge on any additional costs incurred at customs.

Insurance
In the event of loss or damage, the value of the goods will be reimbursed up to a maximum of
£300 per EPS parcel. The amount of the compensation will be based on the purchase price
stated on the invoice, excluding VAT. Liability does not apply to: securities, precious metals and
stones, jewellery telephone top-up cards, plastic money, admission tickets and costs arising from
phone calls made through a subscription. The period of liability of the carrier starts from the
moment the parcels undergo the first scan at the sorting centre in the UK.


Global Pack parcels – Rest of World

Specifications for parcels
• Maximum weight per parcel: 10kg
• The maximum size for each side of the parcel is:
        o longest side: 50cm
        o shortest side: 30cm
        o other side: 30cm
• Multiple parcel rates do not apply (rate per parcel)

Rates for parcel consignments
The rates for the distribution of Global Pack parcels are determined per tender:

1. the total number of parcels per destination multiplied by the rate per parcel for that destination;
2. the total weight per destination multiplied by the rate per kilogram for that destination.
The invoice amount is the sum of points 1 and 2 plus any applicable surcharges.

Customs
The sender is at all times responsible for the contents of the parcel and any accompanying
customs documents. TNT Post Parcels can advise the sender on this matter.

Insurance

£100 per parcel. The amount of the compensation will be based on the purchase price stated on
the invoice, excluding VAT. The period of liability of the carrier starts from the moment the
parcels undergo the first scan at the sorting centre in the UK.

Rates
Billing and payment conditions
Services provided under the agreement will be billed retrospectively each month using the
customer number. Credit terms are strictly 30 days. Rates are excluding VAT unless stated
otherwise. The customer agrees that the payment process can also be conducted by using the
payment method Direct Debit.

Duty and tolls                                     Duty and tolls as effect of government regulations will be borne by
                                                   the sender or the receiver. TNT Post Parcels reserves the right to
                                                   charge on any additional costs incurred at customs. If mail is sent
                                                   abroad from the Netherlands, import duties and tolls will generally
                                                   be charged on to the receiver.

Surcharge for parcels sent without a pre-alert
In the event that more than 1% of the parcels in consignments tendered on a monthly basis are
not included in the pre-alert, this surcharge will be payable for each parcel not included in the
pre-alert.

Manual processing
A parcel is classed as machinable if it can be processed by the sorting machine without further
intervention and without risk to persons, machinery or the contents of the parcel. Any parcels that
do not meet this requirement must be processed manually. Exceptions (items that are
machinable) are monitors and televisions. Manual processing may delay the transit time by one
day. Please find the criteria used for manual processing on page 9.

Surcharge for not complying with handover conditions
This applies only to tendered parcels that do not bear a dispatch label with a barcode generated
by the TNT Post Parcels pre-alert application. The rate for parcels sent without a pre-alert does
not apply in this case.

Surcharge for unreadable barcodes
TNT Post Parcels needs to take extra measures for parcels with barcodes that cannot be
properly scanned. Accordingly, this surcharge will be applied for parcels with barcodes that
cannot be read such as ones that are faint or improperly printed (e.g. lines merging), or where the
barcode label is crumpled or covered in whole or on part by another label for example.

RPI index

Rate amendments are based on the following:

1. RPI price increase. The annual rate amendment will be based on the yearly RPI price
increase. The RPI price increase is the difference in the RPI index less mortgages on the
anniversary date of the price increase, applied as a percentage increase.

2. Fuel increase. The fuel increase element can be applied by giving a minimum of 30 days
notice of the intention to apply a fuel increase, and is adjusted on +/- 10% of the movement of the
base fuel cost, on the fuel element of the price. An increase in fuel prices of more than 10%
instigates a price review.

•   Any Government action affecting the duty on fuel and vehicle excise licences or market
    influences causing fuel prices to increase by more than 10% from the commencement of the
    Agreement shall require the parties to review the rate charged under this agreement.
•   This review will extract the fuel price indices (diesel) as reported by the DTI and apply a
    change to 25% of the rate.
•   For the avoidance of doubt the price index at the start of the Agreement is the date when the
    customer approved the General Conditions for the Transport of Goods (latest version) and
    the content of this contract document.
•   The customer will be informed in writing at least 30 days before the new rates take effect.
