  1. INVITATION TO BIDDER

Sub: Invitation to bid for Designing, making layouts, execution and supervision of
     temporary structures and related infrastructure and services on turnkey basis for
     Swarnim Chess Mahotsav scheduled on 24th December 2010 to be held at MOTERA
     STADIUM, AHMEDABAD.

Dear Sir/(s),

Sealed and super scribed Bids are invited from Contractors/Event Contractors or firms having
experience of minimum 5 years in handling exhibitions and having permanent qualified Architects
and Civil Engineers for Government of Gujarat’s Swarnim Chess Mahotsav scheduled on 24th
December 2010 to be held at MOTERA STADIUM, AHMEDABAD.

The scope includes Designing, Execution of works and Event Management at the site, including
exterior and interior decoration, development of site, infrastructure, services, general ambience etc.
The base planning and layout for the proposed work is attached herewith in Volume-III and Event
Contractor who will be assigned this work shall be developing this theme further in consultation
with Sports Authority of Gujarat, Govt. of Gujarat and Consultant appointed by Sports Authority
of Gujarat. The cost of works under the scope is approximately estimated at 250 Lacs.

PROJECT BRIEF: Indicating basic requirements
Structures: Inaugural Stage, Stages for players, Food stalls with separate washing & Sitting
facilities, Media & Admin Lounge (A.C.), Players Sitting, Temporary Toilet blocks, First Aid
counters (3 mtr. X 3 mtr. each), Security cabins (3 mtr. X 3 mtr. each), General Entry, VVIP &
VIP Entry, Welcome Arches and symbolic gates and Shamiana for VIP security personnel.

Infrastructure: Pathway and ramps, Approach Roads for VIP and Area Grading, Parking Area,
Boundary wall, barricading (Single side/Double side covered), Cloth Wall, MS-GI railing/Chain-
link Fencing for entire venue, Signages, backlits, flex, Floor covering of venue, Water supply and
drainage, Electrification & General PA System for entire venue.

Ambience: Theme decoration to be proposed by the Bidder including development of open area
for display/Exhibition, Flower decoration, potted plants and Landscaping & Flags and banners

Services: Photography & Videography, Housekeeping (with tools, equipment, consumables etc.),
Fire-fighting, extinguishers and Insecticides.

Others: Any additional work, structures, facilities proposed by the bidder over and above items
specified earlier in the scope of work, Computer with Printer and Fax Machine

Miscellaneous civil work: Providing and Making foundation for transformers as per TPL
requirement, Colour work for pavilion and Cleaning, renovating and upgradation of existing toilets
of the stadium as per Sports Authority of Gujarat's requirement, with necessary plumbing and
sanitation along with fixtures and fastenings of commercial standards.

Note: Motera Stadium shall be available from 1st December 2010 for execution of the works.
Necessary arrangements for fabrication yard, godowns, and storage space for required installation
works will be managed by the bidder at no additional cost within or outside the venue.

1.1   Tender document, will be available for sale up to 29/11/2010 on working days between
      11.00 AM to 4.00 PM at the office of Sports Authority of Gujarat at the following address to
      the interested Bidders on payment of ` 15,000/- (Rupees Fifteen Thousand only) (non-
      refundable) by Cash or Demand Draft payable to the following office, drawn on any
      Nationalized Indian Bank having its office at Gandhinagar. The bidders who choose to
      download tender from web site www.sycd.gov.in shall pay tender fee at the time of
      submission of tender in form of Cash/DD.

1.3    Bids are invited under a single stage – Two envelope bidding procedure. Bidders are
       requested to submit simultaneously, one sealed envelope containing earnest money deposit,
       and second sealed cover having both sealed technical bid and financial bids including
       bidder’s technical proposals containing work methods, approach            to construction,
       construction program – detailed schedule of works etc. along with the Price Bid separately.

1.4    Qualification requirements specifying financial capacity, technical, minimum acceptable
       levels with regards to Bidders experience in relevant Events and other related factors such as
       work on hand, other commitments on that time frame and litigation history as given and
       described will be evaluated first and those qualification criteria will be considered for further
       evaluation. Technical Proposal, which is not considered substantially responsive, will be
       rejected. The short listed bidders may be required to make a presentation of the concept.

      Based on Presentation and Technical Evaluation Price bids shall be opened for
      further evaluation in the presence of the Bidders who choose to attend the opening.

1.5   The employer shall not be responsible for any costs or expenses incurred by the bidders in
      connection with the preparation and delivery of bids, including costs and expenses related to
      visits to the sites, preparation and making of presentation, etc.

1.6   Bids must be delivered at the above stated address (mentioned in point 1.1) by RPAD/Speed
      Post/Courier only, not later than 29/11/2010 up to 5:00 PM. Hand Delivery will not be
      accepted. Bids must be accompanied by Earnest Money Deposit of ` 2,50,000/- (Rupees
      Two Lacs Fifty Thousand only). Deposits shall be in a form of Demand draft drawn on any
      Nationalized Bank or equivalent payable at Gandhinagar, drawn in favour of The Secretary,
      Sports Authority of Gujarat, Gandhinagar. Technical Proposal not containing the EMD will
      be out-rightly rejected. Loose papers/Spiral bound shall not be accepted and outright
      rejected. Hard bound copy only shall be accepted.

1.7   Financial Proposal of shortlisted bidders after presentation will be opened in the presence of
      bidder’s representatives after the meeting or at time fixed by Nodal Agency.

1.8   Technical Bids will be opened in the presence of bidder’s representatives who choose to
      attend, at the above address at 5.00 PM on 29/11/2010.

1.9   All Bidders participating as a Limited Company, Firm or a Joint Venture will have to attach
      a valid Power of Attorney in the name of the person who signs the bid. Bidders will also
      nominate and authorize the person/s who will attend various meetings such as opening of
      Technical and Financial Bids. Persons other than such nominated and authorized persons
      shall not be permitted to attend and participating tender events. For joint ventures and
      consortiums a legal document of Memorandum of Understanding shall be attached. In case
      of Joint Venture all the partners jointly & severally responsible for the project.

2. FORM OF TENDER

2.1 Philosophy
The tender is item rate tender with few items lump sum within. The Tender process is aimed at
selecting suitable Event Contractors only. The work will be awarded to a responsive bidder whom
the Evaluation Committee finds suitable after elaborate screening process and presentation-if
required.

2.2 CONTRACT DATA
Important contract data is summarized as under;

A.    INTRODUCTION

      Sports Authority of Gujarat is a nodal office promoting investments in the state of Gujarat,
      on behalf of Government of Gujarat invites bids for Conceptualizing, Designing, Planning
      & making layouts, Execution and Supervision of Temporary structures and related
      Infrastructure and Services on Turn-key basis for Swarnim Chess Mahotsav to be held at
      Motera Stadium, Ahmedabad in accordance with the requirements specified in the Bid
      Document.

3.1. SOURCE OF FUNDS

     The fund for the event shall be provided by the Government of Gujarat and Sports Authority
     of Gujarat.

3.2. EVENT DESCRIPTION AND SCOPE OF WORK

     Government of Gujarat is overwhelmed to celebrate 50 years of completion of Gujarat
     State’s establishment. This event is also a part of the celebration.
     The Government of Gujarat decided to play 20000 players at a time at one place, which shall
     be a world record.
     The following are the requirements of the event:
     Stage, mike, sofa-chairs, table, announcer, photography, videography, lighting, sound
     system, printing, posters, banners, transportation, mineral water, refreshment, security, etc.

     Some important issues to be taken care of are:
     Sitting arrangements for Honorable CM and VVIP/VIP Persons, sitting arrangements for
     media and invitees, parking facility for all of mentioned above.

     THE WORK COVERS:
       The Event Contractor shall, after taking instructions from Sports Authority of Gujarat,
       render the following services, namely:
       The specifications and design of the stage for inaugural area and other structures will be
       same as that provided & the same may require to be modified to suit the situation and as per
       the direction of Client/Consultant.
       • To erect the structures considering season, forces and codes with safety of public being
            a prime concern
      Execution of related Temporary structures like Inaugural stage, and VVIP Lounge, Admin &
      Media Lounge, Food stalls with wash area, Toilet units, Infrastructure like parking facilities
      etc, Security Cabin, First Aid Counter, Gates, Decorative elements, necessary services and
      utilities etc. as asked by Client/Consultant.
       • The scope of the works also includes the arrangement of erection / fabrication / making
            of structures / facades as per proposed design at bidder’s expenses at the
            place/venue/site
       • Execute the work with due respect to aesthetics, safety, theme consistent with best of
            industry practices within given time and approved budget.
       • Manage the event including housekeeping like maintaining toilets, drinking water
            facility, water supply for other works, electricity supply, cleanliness, garbage disposal,
            security arrangements, air conditioning up keeping of the structures etc.
       • Preparation of required documents and certificates to obtain approvals from
            Government/Sports Authority of Gujarat /Torrent Power/R & B Dept. Govt. of Gujarat

          other agencies and overall coordination and follow-up with agencies for getting
          approvals, certificates.
      •   Preparing drawing necessary for submission to statutory bodies for sanction. The Event
          Contractor shall arrange/liaison for all necessary approvals like for electricity, fire
          fighting, police department, loud speakers etc. and shall abide by all statutory rules and
          regulations as may be applicable, However Sports Authority of Gujarat shall assist the
          Event Contractor for obtaining statutory and other approvals. In case any fees are to be
          paid in connection with the said approval, the same shall be borne by the Event
          Contractor.
      •   Event Contractor shall finalise and arrange for necessary agencies independently with
          sufficient manpower so as to complete the work as per schedule.
      •   Event Contractor shall depute adequate staff for supervision of the work under
          execution. Event Contractor shall depute one ‘Works Manager’ and one ‘Coordinator’
          for the efficient handling of the project and to ensure that the project proceeds in
          accordance with conditions of contract and time schedule.
      •   Event Contractor to deploy Architect, Structural Designer, Civil Engineer, Electrical
          Engineer, Clerical staff, Consulting engineers and other professional persons required to
          be consulted by Sports Authority of Gujarat for the purpose of the event.
      •   The supervision work at site will be done constantly by the qualified staff employed by
          Event Contractor and no extra payment on such recruitment of staff will be charged or
          payable by the Client.
      •   Event Contractor will provide regular supervision and inspection as may be necessary
          to ensure that works are being executed in accordance with the designed concept,
          working drawing and specification.
      •   Event Contractor shall undertake to complete their professional services by the date
          hereafter, in accordance with the instruction by Sports Authority of Gujarat or the
          agency nominated by Sports Authority of Gujarat or Project Consultant. Event
          Contractor shall furnish the schedule of implementation to Sports Authority of Gujarat
          or the agency nominated by Sports Authority of Gujarat or Project Consultant so that
          systematic and timely monitoring of the project can be done.
      •   The Event Contractor shall clear the site on possession and hand over back the site once
          the event is over in to pre-event condition within seven days of the completion of event.
      •   Sports Authority of Gujarat advertisement with attached terms & conditions, original
          letter of offer of Event Contractor, initial presentation, subsequent discussions and
          addendum to the same becomes part & parcel of the Contract.
      •   Event Contractor should comply and obtain all statutory approvals, Licensed electrical
          Contractor, clearances & License from Labour department as required by Law.
      •   The quantity and cost of the items may vary based on approval of planning, theme and
          concept.
      •   The scope also covers application of insecticides and use of fly catching machine to
          keep the venue hygienic.

3.3. EVENT IMPLEMENTATION PERIOD

    The Event Contractor can start mobilizing his resources earliest by 1st week of December
    2010 for timely implementation of event. However, if due to any unforeseen reasons if the
    site is not available, Event Contractor shall be capable to execute the work in a shorter

      period. No additional payment shall be made on this account. Police Shamiana, First aid
      Center, and temporary Toilet Blocks shall be commissioned functionally Five days ahead of
      the inaugural. Site clearance, leveling, grading and related development shall commence
      latest by 1st week of December 2010. The Event Execution is planned to be implemented in a
      period of twenty (20) calendar days including holidays.

3.4. EVENT IMPLEMENTING AGENCY

      The “Sports Authority of Gujarat” which has been set up as a Government Organisation
      (herein after known as “Employer” or Sports Authority of Gujarat shall be the Event-
      implementing agency/Owner/Employer/Client. Sports Authority of Gujarat shall appoint
      Consultant for monitoring and third party inspections. The observations and instruction
      issued by the Consultants shall be binding to Event Contractor.

3.5. BIDDER RESPONSIBILITIES ON SELECTION AND CONTRACT AWARD AND
      EXECUTION

      The bidder shall visit and study the site situation, interact with employer, check-up the
      various elements of the works proposed, review the soil characteristics and SBC data
      available with the employer then make his own judgment regarding his scope in the tender.
      He shall also study the price schedule mode and system of payment and other related
      conditions, technical specifications, etc. before finalizing bid.

      The employer assures all participants for the contract that adequate financial resources are
      available to cover the financial requirements and funds are available to meet the
      disbursement needs of the event contracts in accordance with the provisions of tender
      documents.

      The bidder shall provide a detailed staffing schedule proposed by him to cover all categories
      of staff with their duties & duty places, responsibilities, qualification, experience and abide
      with minimum wages fixed by Statutory Bodies for salaries (at various stages) etc. The
      indicated staff shall be regularly reviewed and checked at site during execution. Non
      adherence shall not be permitted.

3.6. The “Event” is to be implemented within the time schedule as specified earlier in Guidance
     to Bidders, which is inclusive of holidays from the date of Work Order.
3.7. All bids are to be completed and returned to the Employer in accordance with these
     Instructions to Bidders.

3.8. Throughout these bid documents the term “Bid” and “Tender” and their derivatives
     (Bidder/tenderer, Bid/tendered,” “bidding/tendering, etc.) are synonymous, the word
     “month” means a calendar month and the word “year” means a calendar year.

3.9. Obtaining and maintaining all statutory permission required to be obtained from Central,
     State or Local statutory authorities for the day-to-day activities related to the execution of the
     works shall be the responsibility of the Event Contractor. The employer shall provide the
     required authorization and assistance to obtain approvals. The documentation and other
     requirement for obtaining such approvals shall have to be done by the Event Contractor at his
     own expenses.

3.10. ONE BID PER BIDDER

      Each bidder shall submit only one bid. A bidder who submits or participates in more than
      one Bid (other than as a subcontractor or in case of alternatives that have been permitted or
      requested) will cause all the proposals with the Bidder’s participation to be disqualified.


3.11. RESPONSIBILITY OF THE BIDDER

3.11.1. The bidder shall be fully responsible for site review and event of the Works conforming to
        relevant Indian or International standards as per scope of work and base specifications
        furnished in this Bid Document. The Event Contractor shall be responsible for execution of
        works related to proposed design, execution of the Event including Procurement,
        Construction, Complete Event Management, Coordination, Testing and Commissioning.

3.11.2. The bidder shall utilize optimally the land available for installation/construction of various
        facilities/components of the Event and cost all components and allied works of the Event.
        The details of the costing shall form part of the proposal. The bidder shall provide a
        detailed methodology of event, installation & commissioning, operation and maintenance.

3.11.3. The bidder shall take into consideration all aspects of the Event at the time of bidding,
        namely, though not restricted to:

         •   Execution and Event organization by construction of temporary structures as per scope
         •   Procurement of requisite materials and manpower
         •   Civil Works including site grading, development, toilets and other services
         •   Installation, testing and commissioning of all services under the scope.
         •   Quality control
         •   Environmental and social safeguards
         •   Security and risk coverage

   (a)       The bidder has to bear in mind that if selected for the award of contract he shall have to
             ensure that in any case no damage is caused to the environment while executing the
             Event.

   (b)       The bidder if selected, as Event Contractor shall ensure that while excavating operation
             for execution of various works, habitat animals are not disturbed.

   (c)       Necessary barricading and other necessary safety measures shall be the responsibility of
             the Event Contractor. Any loss of human/cattle or damages or so, shall be the
             responsibility of the Event Contractor including any liability and/or compensation to be
             paid towards the life lost damages so caused.

   (d)       All infrastructure works covered in the contract shall be so managed and executed that
             they maintain safe distance from the public roads and other existing structures, services
             and sensitive areas like forest, sanctuaries, historical places, national monuments,
             schools, hostels and residential areas.

   (e)       Cutting of trees shall not be permitted.

   (f)       Once the Event is completed, the debris and other waste material shall be removed and
             shifted to safe place, as directed.

   (g)       The workmanship shall be of high order and quality so as to prevent accidents and
             damaging the environment and surroundings.

   (h)     No Damage in case shall be caused to the existing structure. The selected contractor
           shall be held responsible in occurrence of any such incident and will be responsible for
           the cost of required rectifications.

   (i)     Site shall be returned to the Employer as it was in the original condition and completely
           free of any garbage and temporary structures.

3.11.4. The bidder shall bear all costs associated with the preparation and submission of its bid, and
        the Employer in no case is responsible or liable for these costs, regardless of the outcome of
        the bidding.
3.11.5. The successful bidder shall make his own arrangements for all the materials, power and
        water required for all purposes in connection with the construction and implementation of
        the Event. If possible the employer shall help for obtaining such facilities at an appropriate
        cost, which will be recovered, from the Event Contractor in a suitable way.

3.12. DATA / ASSISTANCE / FACILITIES TO BE MADE AVAILABLE BY SPORTS
      AUTHORITY OF GUJARAT
3.12.1. The Employer or its authorized officer shall enter in to agreements with the successful
        bidder on the basis of the Contract finalized at the bidding stage. The bidder has to quote
        for all the works relevant to the Scope of the Works, without any exceptions.

3.12.2. The Employer shall provide access to the successful bidder throughout the period of the
        agreement, for reference to all available records, maps, drawings, reports and other
        technical data in its possession to assist the successful bidder in the execution of the work.
        If required Employer can provide necessary data.

3.12.3. The major statutory permissions pertaining to services and structures relating to the Event
        shall be responsibility of the Event Contractor. The Employer and its identified officers
        shall provide all help and assistance.

3.13. ELIGIBLE BIDDERS

3.13.1. After the bids have been received as per terms and conditions, the bids, which do not
        contain prescribed amount of EMD, their tender papers shall be returned back unopened for
        which no objection shall be entertained. Those bids, which fulfill the criteria, shall be
        opened.
3.13.2. All recipients of the bid documents for the purposes of submitting a bid shall treat the
        contents of this document as private and confidential.
3.13.3. Employer reserves the right to alter the mode of selection, accept or reject any or all bids
        without assigning any reason thereof.

3.14. ELIGIBLE PLANT, MATERIALS, EQUIPMENT AND SERVICES

3.14.1. For the purpose of these Bid documents, the word “works” means civil, mechanical,
        interior electrical works, plants, materials and equipment to be hired, procured, tested,
        supplied and installed, field tested, commissioned together with the other services to be
        carried out by the Event Contractor, within the scope and ambit of the Contract.

3.14.2. All engineering processes, plants, materials and other resources required for the execution
        of this Contract shall be of Indian Origin to the extent possible. Imports if any shall be at
        the risk and the cost of the Event Contractor.

3.14.3. For purpose of this clause, “origin” means the place where the plants and materials or
        components parts thereof are mined, grown, or produced.

3.15. QUALIFICATION OF THE BIDDER

3.15.1. To be qualified for award of Contract, bidder shall have to fulfill following requirements:-

          a. The Bidder should have all the necessary registrations approved by State
             Government or Central Government or approved by Corporate Sectors.
          b. The bidder should have a minimum experience of five years for organizing the
             similar nature of works as stated in scope of works.
          c. The bidder should have achieved in at least two financial years of last five financial
             years, a minimum annual financial turnover (in equivalent temporary works only) of
             ` 300 lacs
          d. The bidder should have satisfactory handled at least one similar nature of event of a
             value of ` 200 lacs in any particular year at a single place in last three years.
          e. The agency should have handled at least one similar nature of work on an open
             ground.
          f. The bidder turns out to be a substantially responsive bidder as a result of evaluation
             of Technical Bid.
          g. Bidder’s price bid shall be evaluated, accepted with or without negotiations and
             decided by the Employer for award of contract.
          h. The successful bidder shall submit a power of attorney authorizing the signatory of
             the bid to sign and execute the contract.
          i. The bidder shall have to provide PAN card and Service Tax Number.
          j. The bidder shall provide a valid EMD acceptable to Employer.

3.15.2. The bidder shall also submit his methodology and work plan, in the form of a well-
        conceived Bar chart along with the Event specific organizational chart.

3.15.3. The bidders shall furnish along with his bid CVs (Bio-data) of the key personnel associated
        for this Event for the execution of the works, duly signed by the concerned person.

3.16. BIDDER AS SUB-CONTRACTOR
      A bidder shall not be a sub-contractor of another bidder at the bidding stage.

3.17. JOINT VENTURE

3.17.1. In the event that the successful bidder is a consortium/joint venture formed of maximum
        two companies, Lead partner/prime Event Contractor in whose name the bid was issued
        shall be fully and solely responsible for the performance of contract and all works designed
        and executed under the contract.
3.17.2. Bids submitted by a consortium or joint venture of maximum two firms, as partners shall
        comply with the following requirements:

        a. The consortium as a whole must be a sound entity both technically and financially.
        b. All the members of the Consortium must satisfy the qualification criteria set forth
           herein. The bid shall contain a statement of the members of the consortium and shall
           provide all information necessary to satisfy Sports Authority of Gujarat that the
           members of the Consortium fulfill the qualifying criteria.
        c. The Bids shall contain original copy of the Memorandum of Understanding (MOU) on
           100Rs. Non-Judicial Stamp paper (or as applicable) between the consortium members

              clearly identifying the lead partner, scope and responsibility and financial part of each
              member in the performance of the contract, and shall be supported by documentary
              evidence required to establish the expertise and competence of each member(s) in the
              responsibilities allotted.
         d.   There shall be no change in the consortium’s proposed shareholding structure as
              mentioned in the submitted MOA till the completion of the project.
         e.   The lead partner of the consortium shall be nominated as being in-charge to represent
              the Consortium in all dealings with the Sports Authority of Gujarat and for
              providing any information or clarification sought from the Consortium, and this
              authorization shall be evident in legally executed Power of Attorney signed by legally
              authorized signatories of all the consortium firms so as to enable such representative
              member(s) to be in-charge and to act on behalf of and to bind the other members.
         f.   The Bid shall be signed by all the consortium firms by their authorized person. The
              lead partner shall be authorized to incur liabilities and receive instructions for and on
              behalf of any and all member(s) of the Consortium and all dealings including billing
              and payments, shall be done exclusively with the leader of the consortium.
         g.   It should be expressly understood that the Consortium composition and basis of
              agreement once furnished shall not be permitted to alter after submission of the Bid.
         h.   Only firms or joint ventures that have been qualified under this procedure will be
              eligible. A firm may apply for qualification both individually and as part of a joint
              venture. However, a qualified firm or a member of a qualified joint venture may
              participate as a tenderer in only one tender, either individually or as a partner in a joint
              venture, for the contract. Submission or participation by a tenderer in more than one
              tender for a contract (other than alternatives which have been permitted on requested)
              will result in the disqualification of all tenders for that contract in which the party is
              involved.
         i.   All members of the Consortium shall be liable, jointly and severally, for the execution
              of the project in accordance with the terms of the MOA and
              Contract agreement.
         j.   Any individual bidder or member of a consortium cannot be member in another
              consortium and participate in this tender.
         k.   All correspondence or communications will be done by the Lead partner (or
              authorized representative of Lead partner) of consortium.
         l.   Bidder submitting their bid shall not be under liquidation, court receivership or similar
              proceeding.

 3.18. CLIENTS RIGHT

3.18.1. Sports Authority of Gujarat reserve its right to call for clarifications/original of the
        supporting document for verification, as deemed fit and also to cross check for any details
        as furnished by the Bidder(s) from past-executed projects/clients/consultants etc. Bidder(s)
        shall have no objection whatsoever in this regard.

3.18.2. Sports Authority of Gujarat reserve- right for acceptability of the Bidder's Bank.

3.18.3. All the details/documents submitted along with Bid and which have been considered for
        evaluation and the minimum commitments from Bidder shall remain valid and in case of
        successful Bidder, such commitments may form part of Contract Document.

 3.19. ASSURANCE

     The successful bidder shall be required to give satisfactory assurance of its ability and
     intention to complete the works pursuant to give the Contract, within the time set forth
     therein and according to the terms, conditions and specifications of contract.

 3.20. SITE VISIT

3.20.1. Bidder is advised to depute a suitable team to visit the site to fully understand the job and
        ascertain the difficulties that may be encountered during execution of works and for
        obtaining all information for himself on his own responsibility that may be necessary for
        preparing the bid and entering into Contract. The site visits shall be entirely at bidder’s own
        expense.

3.20.2. For the purpose of the visit the interested bidder may contact any of the officials at the
        address given. Shri R.G. Trivedi, The Secretary, Sports Authority of Gujarat, Block No -
        14, 3rd floor, Dr. Jivaraj Mehta bhavan, Gandhinagar - 382 010.

3.20.3. The bidders and any of his personnel or agents shall be granted permission by the Employer
        to enter upon his premises and lands for the purpose of such inspection, additional surveys
        and investigation if he proposes to do etc. but only upon the explicit condition that the
        bidder, his personnel or agents, shall release and indemnify the Employer and his Personnel
        and agents from and against all liability in respect thereof and shall be responsible for
        personal injury (whether fatal or otherwise), loss of or damage to property and any other
        loss, damage, costs and expenses however caused, which but for the exercise of such
        permission would not have arisen.

3.20.4. Contractor and Contractor’s agents and representatives should have visited, inspected and
        should be familiar with the Site, its physical condition, roads, access rights, utilities,
        topographical conditions and air quality conditions, except for unusual or unknown surface
        or subsurface conditions, or unusual or unknown soil conditions, and should have
        performed all reasonable investigations necessary to determine that the Site is suitable for
        the construction and installation of the Facility, and should be familiar with the local and
        other conditions which may be material to Contractor’s performance of its obligations.

 3.21. COST OF BIDDING

       The bidder shall bear all costs associated with the preparation and submission of his bid and
       the Employer will in no case be responsible or liable for those costs, regardless of the
       conduct or outcome of the bidding process.

B.     THE BIDDING DOCUMENTS

       The details of work, bidding procedure, contract terms are prescribed in the bidding
       documents. The Bidding documents include the following volumes, together with any
       Amendments/Addenda there to which may be issued in accordance with this Clause.

      All the pro forma attached with the document shall be filled in by the interested bidder.

3.22. The bidder shall return original hard copy after putting his signature on the due date as
      per the instructions given elsewhere in this document.

3.23. The bidder is expected to examine carefully the Bidding Documents, including all
      instructions, forms, terms, conditions, Annexure, Appendix etc. as given in Bid document.
      There shall be a presumption on the part of the Employer, that the bidder has readout all the
      documents in the entirety and the Tender offer has been made and presented accordingly.

3.24. For completing all forms, schedules, etc., the bidders shall use only the forms etc. provided
      in the bidding documents. Bids submitted in any other format or Xerox copy of the
      employers bidding documents shall be rejected forthright without assigning any reasons.

3.25. PRE-BID MEETING

3.25.1. A prospective bidder requiring any clarification of the bidding documents may notify the
        Employer in writing, by Mail or by fax (hereinafter, the term "fax" is deemed to include
        electronic transmission such as facsimile, cable and telex) at the Employer's address
        indicated in the Invitation for Bid. The Employer will respond to any request for
        clarification which he receives. Copies of the Employer's response will be forwarded to all
        recipients of the Bid documents, including a description of the enquiry but without
        identifying its source.

3.25.2. Pre-bid meeting shall be convened on 25/11/2010, 12.00 Noon in the Conference Hall,
        SPORTS AUTHORITY OF GUJARAT, Block No - 14, 3rd Floor, Dr. Jivaraj Mehta
        Bhavan, Gandhinagar - 382010. Evaluation criteria and method for Presentation and
        Price-Bid will be discussed in this meeting. It will be essential for the Bidders to attend
        the Pre-Bid Meeting so as to understand and clarify any issues related to Tender and
        related works.

3.25.3. Any modification of the bid document, which may become necessary as a result of the bid
        queries, will be made by the Employer exclusively through the issue of an Addendum
        pursuant to relevant clause.

3.25.4. The purpose of the meeting shall be to clarify issues and to answer questions on any matter
        that may have been raised by the prospective bidders in writing and received by the
        Employers office.

3.26. AMENDMENT OF BIDDING DOCUMENTS

3.26.1. At any time prior to the deadline for submission of bids, the Employer may, for any reason,
        whether at its own initiative or in response to a clarification requested by a prospective
        bidder, modify the Bidding Documents by amendment/addendum. These shall be issued in
        three copies.

3.26.2. The amendment/addendum shall be part of the Bidding Documents pursuant to relevant
        Clause and shall be sent by the Employer in writing by mail or by fax followed by copies
        by mail to all bidders who have received the Bidding Documents, and shall be binding on
        them. Prospective bidders shall promptly acknowledge receipt thereof to the employer by
        Fax.

3.26.3. The bidders shall duly sign and return the amendments/addenda along with their Bids,
        which shall form part of their Bids and there after shall become an integral part of the
        contract.

3.26.4. In order to afford prospective bidders reasonable time in which to take the
        amendment/addenda into account in preparing their bids, the Employer may, at its
        discretion, extends the deadline for the submission of bids.

C.     PREPARATION OF BIDS
3.27. LANGUAGE OF BID

     The bid prepared by the bidder and all correspondence and documents relating to the bid
     exchanged by the bidder and the Employer shall be written in the English language.
     Supporting documents and printed literature furnished by the bidder may be written in
     another language, provided these are accompanied by a translation of its pertinent passages
     in English. Failure to comply with this condition may disqualify a bid. For purposes of
     interpretation of the bid, the English translation shall govern.


3.28. DOCUMENTS COMPRISING THE BID

3.28.1. The bid prepared by the bidder shall comprise the following documents:

       (a)    Proposal document
       (b)    One signed copy–(original) along with an undertaking that terms, conditions and
              other parameters are not altered by the bidder.
       (c)    Both the volumes duly completed (i.e. Data Sheets, Appendix to Bid, duly filled-in),
              stamped and signed on each page.

3.29. The Bidder shall submit with its bid the following attachments:

       (a)    Earnest Money Deposit: Furnished in accordance with relevant clause of Contract
              data.

       (b)    Power of Attorney: a power of Attorney authorized by a Notary Public, indicating
              that the person(s) signing the bid has the authority to sign the bid and thus that the
              bid is binding upon the bidder during the full period of its validity in accordance
              with relevant clause.

       (c)    Bidder’s Eligibility and Qualifications:
              (i) Details of any significant changes in the bidder’s management or financial
                   position since furnishing information when applying for (Failure to disclose
                   such changes, if revealed later, may render the Tender liable to be treated as
                   “Non-responsive” at the Event Contractor’s risk and cost.)
              (ii) Bids submitted by consortium members including lead partner in a consortium
                   not exceeding Two (2) shall comply with the following requirements:

              •   The bid shall be signed by the authorized signatory so as to be legally binding
                  on all partners.

              •   The bidder in whose name the bid documents are issued shall be responsible for
                  performance of the contract and shall be deemed to have been designated as
                  leader or the Lead Event Contractor. This authorization shall be evidenced by
                  submitting with the bid a power of attorney signed by legal authorized
                  signatories.

              •   The leader shall be authorized to incur liabilities and receive instructions for and
                  on behalf of any and all partners of the joint venture or consortium and the
                  entire execution of the contract, including payment, shall be done exclusively
                  with the leader/prime Event Contractor.

               •   All partners of the joint venture or consortium shall be liable jointly and
                   severally for the execution of the contract in accordance with the contract terms.

               •   A copy of the agreement entered into the joint venture or consortium partners
                   during submission of PQ BID shall be part and parcel of the bid.

               •   A firm can be partner in only one joint venture or consortium. The bids
                   submitted by the joint venture or consortium including the same firm as partner
                   will be rejected.

3.30. BID VALIDITY

3.30.1. The bid shall remain valid for a period not less than thirty (30) days as specified under
        relevant clause of Contract data after the deadline for submission of bid.

3.31. EARNEST MONEY DEPOSIT

3.31.1. Earnest Money Deposit shall be of ` 2,50,000/- (Rupees Two Lacs Fifty Thousand only).

3.31.2. The EMD shall be in the form of a Demand draft payable at Gandhinagar from any
        Nationalized Indian Bank, drawn in favor of The Secretary, Sports Authority of Gujarat,
        Gandhinagar.

3.31.3. Any bid not secured in accordance with Clauses 2.2.10, 2.2.11 and 2.2.12 shall be rejected
        by the Employer as non-responsive, pursuant to relevant clause.

3.31.4. When contract for the work is finalized with a successful bidder, the EMD of the remaining
        unsuccessful bidders shall be returned not later than thirty (30) days from the date of issue
        of work order to the successful bidder.

3.32. SECURITY DEPOSIT

3.32.1. The selected bidder shall deposit 2.5% of the agreed project amount in the form of DD
        from any Nationalized Bank (in favour of Industrial Extension Bureau) at the time of
        issuance LOI as a security deposit within 3 days. The Security Deposit shall be valid up to
        30 days after completion of the event.
     The Bid security maybe fortified
            1. If the bidder withdraws the Bid after its opening during the period of Bid validity
            2. If the Bidder does not accept the correction of the bid price
            3. In the case of a successful bidder, if the bidder fails within the specified time limit
               to
                    a. Sign the agreement
                    b. Furnish the required performance securities

3.33. PERFORMANCE SECURITY

3.33.1. The Performance Security equal to 10% of the contract price shall be provided by the
        Contractor to the Employer at the time of signing of Agreement and shall be issued as per
        the given format and shall be issued from any Nationalized Bank. The Performance
        Security shall be valid till or until a date 30 days after completion of the event.

3.33.2. Without limitation to the provisions of the preceding paragraph, whenever the EMPLOYER
        determines an addition to the Contract Price as a result of a change in cost and/or legislation

       or as a result of a variation amounting to more than 25 percent of the Contract Price, the
       Contractor, at the Employer’s written request, shall promptly increase the value of the
       performance security by an equal percentage.

3.33.3. In case of Joint Venture (JV), the bank guarantee towards performance security shall be
        provided by all partners in proportion to their participation in the project as defined in the
        JV agreement, along with the proof issued by the said bank in this regard. The local
        partner(s) alone shall NOT be allowed to deposit the Bank Guarantee of foreign partner(s)
        of the Joint Venture.

3.33.4. The performance security shall be valid up to 30 days after completion of the event.

3.34. FORMAT AND SIGNING OF BID

3.34.1. The Bidder shall prepare and submit Volume-I to III and Volume-IV in original hard copy.

3.34.2. The bid shall be typed or written in indelible ink and shall be signed and dated by the
        bidder or a person or persons duly authorized to sign on behalf of the bidder with his valid
        stamp or seal. Such authorization shall be indicated by written Power of Attorney
        accompanying the bid. The person or persons signing the bid shall initial all pages of the
        bid where entries or amendments have been made. The name and position held by each
        person signing must be typed or printed below the signature.

3.34.3. The bid shall contain no alterations, interlineations, erasures or overwriting except those as
        necessary to correct errors made by the bidder, in case of occurrence such corrections shall
        initialed by the person or persons signing the bid.

3.34.4. The bid shall be filled only by the firms (s) in whose name(s) the Bid documents have been
        issued. No bidder shall participate in the bid of another for the contract in any relation
        whatsoever.

3.34.5. If the bid is made by a limited company or a limited corporation, it shall be signed by a
        duly authorized person holding a Power of Attorney for signing the bid in which case a
        certified copy of the power of attorney shall accompany the Bid.

3.34.6. If the Bid is submitted by a joint venture / consortium, the same shall be signed in
        accordance with relevant clause above.

3.34.7. All pages of the bid, except for unimpeded printed literature, shall be initiated by the
        person(s) signing the bid.

3.34.8. All witnesses and sureties shall be persons of status and probity and their full names,
        occupations and addresses shall be stated below their signatures.

3.34.9. All signatures in the Bidding Documents shall be dated.

D.     SUBMISSION OF BIDS

3.35. SEALING AND MARKING OF BIDS.

      The Bid shall be marked and sealed in single envelope with name of work as follows:
      Tender for ‘SWARNIM CHESS MAHOTSAV 2010’
      Containing Technical Bid, Price Bid and EMD for Swarnim Chess Mahotsav 2010.

3.35.1. The above envelopes shall be sealed with wax.

3.35.2. The envelopes shall be addressed and submitted to the office as follows:

3.35.3. No bid shall be accepted unless it is properly sealed and marked as instructed above.
        Bidders shall not be allowed to fill in or seal their Bids at the Employer’s office.

3.35.4. If the packet and the envelope are not sealed with wax and marked as instructed above, the
        Employer shall assume no responsibility for the misplacement or premature opening of the
        bid submitted. A Bid opened prematurely due to this cause shall be rejected by the
        Employer and returned to the Bidder

3.35.5. Telegraphic bids or bids through fax shall be treated defective, invalid and rejected. Only
        detailed complete bids in the form indicted in relevant clause above received prior to the
        closing time and date of the bids shall be taken as valid.

3.36. DEADLINE FOR SUBMISSION OF BIDS

3.36.1. The bids must be received by the Employer at the address as specified in relevant clause not
        later than the time and date as specified under the Contract data.

3.36.2. The Employer may, at its discretion, extend the deadline for the submission of bids by
        amending the Bidding Documents in accordance with relevant clause, in which case all
        rights and obligations of the Employer and bidders previously subject to the original
        deadline shall thereafter be subject to the deadline as extended.

3.37. LATE BIDS

3.37.1. Any bid received by the Employer after the deadline of submission of bids prescribed in
        clause 2.2.15 will be returned unopened to the bidder

3.38. MODIFICATION AND WITHDRAWAL OF BIDS

3.38.1. The bidder may modify or withdraw its bid after the bid submission, provided that written
        notice of the modification or withdrawal is received by the Employer prior to the deadline
        prescribed for submission of bids.

3.38.2. No bid shall be modified subsequent to the deadline for submission of bids.

3.38.3. Withdrawal or Modification of a bid between dead line for submission of bids and the
        expiration of the original period of bid validity specified in bid form may result in forfeiture
        of the EMD.

E. BID OPENING AND EVALUATION

3.39. OPENING OF THE TECHNICAL BIDS BY EMPLOYER

3.39.1. First of all envelope containing earnest money of ` 2,50,000/- (Rupees Two Lacs Fifty
        Thousand only) in a separate form of DD drawn on any nationalized bank in favour of
        The Secretary, Sports Authority of Gujarat, Gandhinagar, shall be opened.

3.39.2. If envelope doesn’t contain above DD, the offer shall not be considered valid and shall
        stand rejected and other envelopes shall not be opened and shall be sent back to the address
        mentioned in the bid envelope.

3.39.3. The Employer will open Bids of all the bidders in the presence of Bidders representatives
        who choose to attend the opening in the office of;

3.39.4. The time and date as specified under relevant clause of the Contract data at the same
        address.

3.39.5. Bidder’s representatives shall sign a register as proof of their attendance. In the event of the
        specified date of Bid opening being declared a holiday for the Employer, the Bids shall be
        opened at the appointed time and location on the next working day, or otherwise intimated.

3.39.6. The bidder shall nominate only two representatives to attend the Bid opening on his behalf.
        Name, Authenticated Passport size photographs, designation and relationship with the
        bidder of such nominated persons along with their attested signatures should be given along
        with the Bid. No person other than nominated persons shall be permitted to attend Bid
        opening.

3.39.7. Bidders’ name, Bid modifications or withdrawals, the presence or absence of requisite
        EMD and other such details as the Employer, at its discretion, may consider appropriate,
        will be announced at the opening.

3.39.8. Bid (and modifications sent pursuant to relevant clause) that are not opened and read out at
        Bid opening will not be considered for further evaluation, regardless of the circumstances.

3.39.9. The Employer will prepare minutes of the Bid opening for his own records.

3.40. PRELIMINARY EXAMINATION

3.40.1. Initially only technical data shall be evaluated.
3.40.2. The Employer shall then examine the bids to determine whether they are complete and
        satisfy the requirements of the Instructions to Bidders, whether required sureties have been
        furnished, whether the documents have been properly signed, and whether the bids are
        generally in order.

3.40.3. Prior to the detailed evaluation, pursuant to relevant clause, the Employer shall determine
        the substantial responsiveness of each bid to the Bidding Documents. A substantially
        responsive bid is one, which conforms to the terms, conditions, and specifications of the
        Bidding Documents without material deviation or reservation. A material deviation or
        reservation is one which affects in any substantial way the scope, quality or performance of
        the Works, or which limits in any substantial way, inconsistent with the Bidding
        Documents, the Employer’s rights or the Bidder’s obligations under the Contract, and the
        rectification of which deviation or reservation would affect unfairly the competitive
        position of other bidders presenting substantially responsive Bids.

3.40.4. A bid determined as substantially non responsive shall be rejected by the Employer and
        cannot subsequently be made responsive by the bidder by correction of the nonconformity.

3.40.5. Employer may waive at his discretion any minor informality or non-conformity or
        irregularity in a Bid, which does not constitute a material deviation, provide such waiver,
        does not prejudice or affect the relative ranking of any Bidder. It may be noted that the
        employer reserves the right to take final decision about responsiveness of the bidder and
        decision cannot be challenged by the bidder.

3.40.6. The Bidder, whose Technical Bids are received and opened, shall be further short listed
        after undertaking detailed exercise.

3.40.7. At the end of technical evaluation and the Bids shall be classified as technically responsive
        and technically non-responsive. Technically responsive bids may or may not be pre-
        qualified, as will depend on the marks scored by the bidder. A Bidder may be qualified
        /rejected for the technologies offered.

       Additionally employer may ask selected qualified bidders to present the proposed theme.

3.41. TECHNICAL EVALUATION

3.41.1. The Employer will carry out a detailed evaluation of the bids previously determined to be
        substantially responsive in order to determine whether the technical aspects are in
        accordance with the requirements set forth in the Bid Documents. The data called for the
        detailed evaluation is given in relevant clause in order to reach such a determination, the
        Employer will examine and compare the technical aspects of the Bids on the basis of the
        information supplied by the Bidders, taking into account the following factors;

       a.   Overall completeness and compliance with the Employer’s requirements; deviations
            from the Employer’s Requirements to the Bid and those deviations not so identified;
            suitability of the works offered in relation to the environmental and climatic conditions
            prevailing at the Site; and quality, function and operation of any process control
            concept included in the Bid. That does not meet minimum acceptable standards of
            completeness; consistency and detail will be rejected for non-responsiveness.

       b.   Achievement of specified performance criteria by the works.

       c.   Any other relevant factors, if any, listed in the Bid Data Sheet, or that the Employer
            deems necessary or prudent to take into consideration.

       d.   Additionally employer may ask selected bidders to present the proposed theme.

3.42. CONTACTING THE EMPLOYER

3.42.1. Subject to this clause, no bidder shall contact the Employer on any matter relating to its bid,
        from the time of the bid opening to the time the Contract is awarded.

3.42.2. Any effort by a bidder to influence the Employer in the Employer’s decisions in respect of
        bid evaluation or Contract award shall result in the rejection of that bidder’s bid.

3.43. EMPLOYER’S RIGHT TO ACCEPT ANY BID AND TO REJECT ANY / ALL BIDS

The Employer reserves the right to accept or reject any bid and to annul the bidding process and
reject all bids at any time prior to award of contract, without thereby incurring any liability to the
affected bidder or bidders or any obligation to inform the affected bidder or bidders of the grounds
for the Employer’s action. Employer also reserves the right to modify the selection criteria without
informing the bidders

3.44. EVALUATION OF THE PRESENTATION

3.44.1. After the evaluation of all the bids received, the eligible bidders will be intimated about the
        presentation meet one day prior to the date finalized through email or telephonic message
        where the bidders are expected to make presentation on the concept, proposed design and
        overall execution of the project.

3.44.2. The evaluation will be QCBS (Quality Cost Based System) Evaluation.

3.44.3. The eligible bidders will have to make a presentation at Sports Authority of Gujarat office
        on the concept and design before the Committee constituted by Government of Gujarat for
        a final selection. Eligible bidders will be informed about the date and time by E-mail or by
        Telephonic communication.

3.44.4. The Committee will select the agency by giving 60% weightage on the Quality of
        Concept and Design presented before it and 40% weightage to the Price Bid. External
        and internal designs shall be generated for all major structures and players sitting
        arrangement. Detailing of signage’s, welcome arches, and symbolic gates is also necessary.

3.44.5. The bidder shall come with his laptop and a CD for presentation.

3.44.6. Comparison of Price Proposal shall be done by the formula as under;
             Sf = 100 x Fm/F
             Where: Sf is the financial score of the Price Proposal being evaluated
             Fm is the TP of the lowest priced Price Proposal
             F is the TP of the Price Proposal under consideration

       The lowest Price Proposal will receive the maximum score of 100 marks, however it
       will be given weightage of 40 % as per clause 3.44.4

3.44.7. Based on this exercise, one bidder will be finally selected and the Committee if required
        will further negotiate and finalize the price.

3.45. OPENING OF PRICE PROPOSALS

3.45.1. The bidder’s names, the Bid Prices, the total amount of each bid, and discounts and such
        other details as the Employer may consider appropriate, will be announced and recorded by
        the Employer at the opening. The bidder’s representatives will be required to sign this
        record.

3.45.2. The Employer shall prepare minutes of the bid opening, including the information disclosed
        to those present in accordance with this Sub-Clause.

3.46. PROCESS TO BE CONFIDENTIAL

3.46.1. Information relating to the examination, clarification, evaluation and comparison of bids
        and recommendation for the award of a contract shall not be disclosed to bidders or any
        other persons not officially concerned with such process until the award to the successful
        bidder has been announced. Any effort by a bidder to influence the Employer’s, processing
        of bidders or award decisions may result in the rejection of the bidder’s bid.

3.47. CLARIFICATION OF PRICE PROPOSALS AND CONTACTING THE EMPLOYER

3.47.1. To assist in the examination, evaluation and comparison of price proposals, the Employer
        may, at its discretion, ask any bidder for clarification of their bids including break-up of
        prices/rates. The request for clarification and the response shall be in writing or by cable,
        but no change in the price or substance of the bid shall be sought, offered or permitted
        except as required to confirm the correction of arithmetic errors discovered by the
        Employer in the evaluation of the bids in accordance with relevant clause.

3.47.2. However, as a result of clarifications obtained on their technical data, if the Employer
        desires to modify any of the stipulation/condition, he will write to all the bidders with a
        request to submit their price tags for such changes in a separate sealed envelope; which
        shall be opened and evaluated along with their original financial statements.

3.47.3. Subject to this clause, no bidder shall contact the Employer on any matter relating to its bid
        from the time of opening of price proposals to the time the contract is awarded. If the
        bidder wishes to bring additional information to the notice of the Employer, it should do so
        in writing.

3.47.4. Any effort by the bidder to influence the Employer in the employer’s evaluation of price
        proposals, bid comparison or contract award decisions may result in the rejection of the
        bidder’s bid.

3.48. EMPLOYER’S RIGHT TO ACCEPT ANY BID AND TO REJECT ANY / ALL BIDS

3.48.1. The Employer reserves the right to accept or reject any bid and to annul the bidding process
        and reject all bids at any time prior to award of contract, without thereby incurring any
        liability to the affected bidder or bidders or any obligation to inform the affected bidder or
        bidders of the grounds for the Employer’s action. Employer also reserves the right to
        modify the selection criteria without informing the bidders.

3.48.2. The tender is likely to be rejected if on opening it is found that:
    a. The bidder has not strictly followed the procedure laid down for submission of tender.
    b. Any page or pasted slips are missing.
    c. The bidder has not signed the tender.
    d. The bidder has specified any additional condition.

    e. The bidder has not attached the addendum to the main tender form as stated in Tender
       Conditions.
    f. In case the technical proposal of bidder who has quoted lowest price and who has satisfied
       other criteria is not conforming to the stipulations made, the bidder without revising the
       cost shall modify the same to conform to the stipulations. If the bidder refuses to modify
       this then the tender shall be treated as non responsive and rejected.
    g. The bidder has quoted financial offer anywhere other than specified in Financial Bid.

3.49. EXAMINATION OF             PRICE      PROPOSALS         AND      DETERMINATION            OF
      RESPONSIVENESS

3.49.1. The Employer will examine the bids to determine whether they are complete, whether the
        documents have been properly signed, whether the required EMD is included, whether the
        bids are substantially responsive to the requirements of the bidding documents; and whether
        the bids provide any clarification and/or substantiation that the employer may require
        pursuant to relevant clause.

3.49.2. A substantially responsive bid is one which conforms to all the terms, conditions and
        requirements of the bidding documents, without material deviation or reservation and
        includes the amendments and changes, if any, requested by the employer during the
        evaluation of the bidder’s technical proposal. A material deviation or reservation is one a)
        which affects in any substantial way the scope, quality, or performance of the Works; b)
        which limits in any substantial way, inconsistent with the Bidding documents, the
        Employer’s right or the Bidder’s obligations under the Contract; or c) whose rectification
        would affect unfairly the competitive position of other Bidders presenting substantially
        responsive bids.

3.49.3. If a bid is not substantially responsive, it will be rejected by Employer, and may not
        subsequently be made responsive by correction or withdrawal of the nonconforming
        deviation or reservations.

3.50. CORRECTION OF ERRORS

3.50.1. Bids determined to be substantially responsive will be checked by the employer for any
        arithmetic errors. Arithmetic errors will be rectified on the following basis:

If there is discrepancy between total bid amount and summary of total cost of all components/parts,
then the following will be procedure.
     a) Where there is discrepancy between the rates in figures and in words, whichever is less
        shall govern.
     b) In case of discrepancy between amount and multiplication of quantity and rate, the amount
        arrived after multiplying the quantity and rate shall be considered final.
     c) If the total amount of bid quoted is less than actual summation of cost of all the
        components/parts as the case may be, then the total quoted amount shall govern and
        difference between the actual summation and amount quoted shall be considered as a
        discount.
     d) If total amount of bid is more than actual summation of cost of all components/parts as the
        case may be, then the individual cost of the components/parts shall govern and total amount
        shall be reduced to actual summation and it shall be considered as mistake in totaling.

    However, the decision of Sports Authority of Gujarat in this regard shall be final and
binding.
3.50.2. The amount stated in the Form of bid for Price Proposal will be adjusted by the Employer
        in accordance with the above procedure for the correction or errors and, shall be considered

       as binding upon the bidder. If the bidder does not accept the corrected amount of bid, its bid
       will be rejected, and the EMD may be forfeited in accordance with relevant clause.

3.51. COMPARISON OF PRICE PROPOSALS

3.51.1. The Employer will evaluate and compare only the bids determined to be substantially
        responsive in accordance with relevant clause.

3.51.2. The Employer’s evaluation of a bid will take into account, in addition to the bid prices
        indicated in the Schedule of Prices, the following costs and factors that will be added to
        each Bidder’s bid price in the evaluation using pricing information available to the
        Employer, in the manner and to the extent of the requirement of the Employer.

     (a) The additional price, if any, reflected in the price proposal. If the price stated is not
         realistic the bid is liable to be rejected.
     (b) Compliance with the time schedule called for in the Appendix to Price Proposal and
         evidenced as needed in a milestone schedule provided in the bid;
     (c) The functional guarantees of the facilities offered against the specified performance
         criteria of the plant and equipment; and
     (d) The extra cost of work, services, facilities etc., required to be provided by the Employer
         of third parties.

3.51.3. If a discount has been offered in any Price Proposal, such discount will be applied pro-rata
        against each item, the Sports Authority of Gujarat reserves the right to reject, at its sole
        discretion, any or all evaluated Price Proposals and if necessary, will call for submission of
        new Price Proposals. In order to allow comparison on a common basis, each Price Proposal
        will be carefully scrutinized in accordance with the procedure outlined in Clauses 3.51.1 to
        3.51.2 and total price (TP) will be determined. The score for each Price Proposal is
        inversely proportional to its TP and will be computed as follows:
       Sf = 100 x Fm/F
       Where:
       Sf is the financial score of the Price Proposal being evaluated
       Fm is the TP of the lowest priced Price Proposal
       F   is the TP of the Price Proposal under consideration

       The lowest evaluated Price Proposal will receive the maximum score of 100 marks

F. AWARD OF CONTRACT

3.52. AWARD CRITERIA

3.52.1. Following completion of evaluation of Concept & Design and Price Proposals, final
        ranking of the Proposals will be determined. This will be done by applying a weightage
        of 0.60 (or 60 percent) and 0.40 (or 40 percent) respectively to the Concept & Design
        and Financial score of each evaluated qualifying Technical and Financial Proposal
        and then computing the relevant combined total score for each bidder. Price Bids of
        both the events will be jointly evaluated. Eligible bidders shall have to secure minimum
        60% marks for qualification in concept presentation.

3.53. EMPLOYER’S RIGHT TO ACCEPT ANY BID AND TO REJECT ANY / ALL BIDS

3.53.1. The Employer reserves the right to accept or reject any bid and to annul the bidding process
        and reject all bids at any time prior to award of contract, without thereby incurring any
        liability to the affected bidder or bidders or any obligation to inform the affected bidder or
        bidders of the grounds for the Employer’s action. Employer also reserves the right to
        modify the selection criteria without informing the bidders.

3.54. NOTIFICATION OF AWARD

3.54.1. Prior to the expiry of the period of bid validity, the Employer shall notify the successful
        bidder in writing by registered letter, (hereinafter called “Letter of Acceptance”) or by fax
        to be confirmed by the original letter by registered mail by the Employer. This letter (herein
        after and in the conditions of contract called “Letter of Acceptance”) shall name the sum
        which the Employer will pay the Contractor in consideration of execution, completion and
        maintenance of the works by the contractor as prescribed by the contract (hereinafter and in
        the conditions of the contract termed “ the contract price”)

3.54.2. The Work Order reaching the selected bidder shall conclude the contract and time of
        performance shall start running from the date of issue of Work Order.

3.55. SIGNING OF CONTRACT

3.55.1. At the time of notification of award, the Employer shall send to the successful bidder, the
        Contract Agreement provided in these Bidding Documents, incorporating all agreements
        between the parties.

3.55.2. Within Two (02) days of receipt of the Contract Agreement, the successful bidder shall sign
        and date the Contract Agreement and return it to the Employer. Extension of the time
        contained in this clause shall be at the sole discretion of the employer. Failure on the part of
        Event Contractor to sign the contract agreement within the prescribed time shall empower
        the employer to cancel the Letter of Acceptance and take appropriate action against the
        contract including forfeiture of the ‘EMD” and security deposit and black listing of the
        bidder.

3.55.3. The person to sign the Contract Agreement shall be the person as described in relevant
        clause.

3.55.4. It shall be incumbent upon the successful bidder to pay stamp duty on the Contract and all
        other legal charges for preparation of the Contract Agreement, as ruling on the date of
        execution of the Contract as specified in the Conditions of Contract.

3.56. SECURITY DEPOSIT

3.56.1. The selected bidder shall deposit 2.5% of the agreed amount in the form of DD on issuance
        of LOI as a security deposit which shall be released after the successful completion of the
        Event.

3.57. PERFORMANCE SECURITY

3.57.1. The selected bidder shall submit Performance Security equal to 10% of the contract price
        to the Employer at the time of signing of Agreement and shall be issued as per the given
        format and shall be issued from any Nationalized Bank.

3.58. CORRUPT OR FRAUDULENT PRACTICES

3.58.1. The Employer requires that borrowers (including beneficiaries) as well as
        bidders/suppliers/contractors contract observe the highest standard of ethics during their
        procurement and execution of such contracts. In pursuance of this policy, the Employer :
        a) Defines for the purpose of this provision, the terms set forth below as follows:
            i. “Corrupt practice” means the offering, giving, receiving or soliciting of anything of
               value to influence the action of a public official in the procurement process or in
               contract execution.
           ii. “fraudulent practice” means a misrepresentation of facts in order to influence a
               procurement process of the execution of a contract to the detriment of the Borrower,
               and includes collusive practice among Bidders [prior to or after bid submission]
               designed to establish bid prices at artificial non-competitive levels and to deprive
               the Borrower of the benefits of free and open competition.”
        b) Will reject a proposal for award if it determines that the Bidder recommend for award
           has engaged in corrupt or fraudulent practices in completing for the contract in
           question.
        c) Will declare a firm ineligible, either indefinitely or for a stated period of time, to be
           awarded a contract if it at any time determines that the firm has engaged in corrupt or
           fraudulent practices in competing for, or in executing a contract.

4     GENERAL CONDITIONS OF CONTRACT

4.1. DEFINITIONS
In this Agreement the following words and expressions shall have the meanings hereby assigned to
them, except where the context otherwise requires:
       1. “Contract” means the Contract Agreement, these Conditions of Contract (Parts I, II, III
          and IV) the Employer’s Requirements, the Bid, the Event Contractor’s Proposal, the
          Schedules, the Letter of acceptance, the Contract Agreement (if completed) and such
          further documents as may be expressly incorporated in the Letter of Acceptance or
          Contract Agreement (if completed).
       2. “Event Contractor’s Equipment” shall mean all equipment, instruments, tools,
          machinery and other appliances and things of whatsoever nature required for the
          fulfillment of the Contract or of the Event Contractor’s Obligations, but not including
          those items which are intended to form, or which form part of the Facility.
       3. “Event Contractor's Obligations” shall mean the obligation to execute the Event in its
          entirety and shall, without limitation, include the Event Contractor’s Operation and
          Maintenance including defect liability.

       4. “Defects Liability Period” shall mean the Defects Liability Period of up to the event
          commencing on and from Date of inauguration of Event during which the Event
          Contractor shall undertake the responsibilities, and have the liability for the facility.
       5. “Facility” shall mean the entire system to be designed and constructed in accordance
          with the provisions hereof, including pathways, toilets, structures, ramps, pits, pipes,
          fencing, lighting, testing and analysis equipment, tools, safety equipment, plant
          machinery, supplies, instruments and inventory incorporated therein, as well as all open
          areas within the site, and including any additions, modifications, alterations,
          replacement and repairs as may be made thereto from time to time and items executed
          under this contract.
       6. “Governmental Authority" shall mean any Indian entity, authority or body exercising
          executive, legislative, judicial, regulatory or administrative functions, including,
          without limitation, any government authority, agency, department, board, commission
          or instrumentality of Indian or any political subdivision thereof, court, tribunal,
          arbitrator or self-regulatory organization.
       7. “Law” shall mean and include all the provisions of all Indian statutes, regulations,
          ordinances, codes, official or other standards, administrative or other rules, zoning and
          other plans and restrictions, building and other permits, judgments awards and decrees
          of, or agreements with any Governmental, semi-Governmental or quasi-Governmental
          Authority as currently in effect or as may be in effect from time to time and /or as may
          be amended or supplemented from time to time.
       8. “Performance Guarantees” shall mean the List of Guarantees offered/provided by the
          Event Contractor in its Bidder Submission pursuant of the Bid Documents.
       9. “Site” shall mean that specific area specified in the Bid Documents and shall include
          any other places as may be specifically designated by the Employer from time to time
          as forming part of the Site.

       10. “Project Consultant” shall mean the agency appointed by the Govt. of Gujarat or its
           body to assist in preparing conceptual layout, tender preparation, evaluation of the
           agency, third party inspection and quality assurance, bill certification, and contractual
           matters related to appointing the event contractor for venue preparation for the Event.

4.2. CONTRACT AGREEMENTS
      This contract shall come in full force and effect from the date of issue of Letter of
      Acceptance by the employer. The costs of stamp duties and similar changes (if any) imposed
      by law in connection with entry into the Contract Agreement shall be borne by the Event
      Contractor.

4.3. EMPLOYER’S USE OF EVENT CONTRACTOR’S DOCUMENTS
      The Event Contractor’s Documents and other Design Documents made by (or on behalf of)
      the contract can be used, copied or communicated to a third party by (or on behalf of) the
      employer for purposes not other than those permitted under this sub-clause.

4.4. DETAILS TO BE CONFIDENTIAL
      “The Event Contractor shall treat the details of the Contract as private and confidential,
      except to the extent necessary to carry out his obligations under it. The Event Contractor
      shall not publish, permit to be published, or disclose any particulars of the Contract in any
      trade or technical paper or elsewhere without the previous consent in writing of the
      Employer and at the Employer’s sole discretion.”

4.5. MANAGEMENT MEETINGS
      Either the Employer’s Representative or the Event Contractor’s Representative may require
      the other to attend a management meeting. The business of each management meeting shall
      be to review the anticipated arrangement for future work and to resolve any matters raised in
      accordance with this Sub-Clause. The Employer’s Representative shall record the business
      of management meetings and provide copies of this record to those attending the meeting
      and to the Employer. The responsibility of the parties for any actions to be taken shall be
      included in such record and shall, if not agreed in accordance with the Contract, be decided
      by the Employer's Representative.
      The Event Contractor's Representative shall notify the Employer's Representative / Project
      Consultant at the earliest opportunity of specific likely future events or circumstances, which
      may adversely affect the work, increase the Contract Price or delay the execution of the
      Works. The Employer's Representative may require the Event Contractor to submit an
      estimate of the anticipated effect of the future event or circumstances, and/or a proposal. The
      Event Contractor shall submit such estimate and/or proposal as soon as practicable. The
      Event Contractor’s Representative shall co-operate with the Employer's Representative in
      making and considering proposals to mitigate the effect of any such event or circumstances,
      and in carrying out instructions of the Employer's Representative.

4.6. UNFORESEEABLE DIFFICULTIES
      Preliminary data/survey data generated by the Employer is available for the guidance of the
      bidder. However, the Employer does not take any responsibility of its correctness. The
      bidder shall carry out independent additional investigations and surveys to collect the data
      required to design and construction of above/below ground (sub-soil) structures/facilities if
      he considers necessary for his own satisfaction at his own cost without any liability
      whatsoever on the employer. The bidder shall make provision in his bid for any unforeseen
      sub-soil condition encountered at the time of execution of the Works separately and it shall
      be loaded during his price evaluation.

4.7. EVENT CONTRACTOR'S EQUIPMENT
      Event Contractor's Equipment which are intended for permanent use as a part of works under
      the contract and for temporary use during the construction period, initially owned by the
      Event Contractor (either directly or indirectly) shall be deemed to be the property of the
      Employer with effect from its time of arrival on the site. The vesting of such property in the
      Employer shall not:

       (a) Affect the responsibility or liability of the Employer,

       (b) Prejudice the right of the Event Contractor to the sole use of such Event Contractor's
           Equipment for the purpose of the Works, or

       (c) Affect the Event Contractor's responsibility to operate and maintain the same under the
           provisions of the Contract.

      The property in each of the equipments of temporary use during execution shall be deemed
      to revest in the Event Contractor with effect from the time he is entitled to remove it from
      the Site, or when the Employer's Representative issues the Final Completion Certificate for
      the Works, whichever occurs first.

4.8. ELECTRICITY, WATER AND GAS
      The Event Contractor shall make his own arrangement of electrical power - water - gas and
      any other services required by the Event Contractor for Execution of "Work". The Employer
      shall make available free of cost to the Event Contractor the Power, required for the
      Operation and Maintenance of the works except welding facilities. For welding works Event
      Contractor shall have to make his own arrangement. However, such power shall be supplied
      only to the maximum extent of the requirement of power indicated by the Event Contractor
      in his bid. Any additional power required, cost of such additional power should be recovered
      from the Event Contractor's bills.

4.9. EVENT CONTRACTOR'S DOCUMENT
      Construction shall not commence until the Event Contractor receives the employer's
      representative's approval of the construction documents, which are relevant to the design,
      and construction of such part.

4.10. STAFF AND LABOUR
      Event Contractor's Superintendence

      A reasonable proportion of the Event Contractor's superintending staff shall have a working
      knowledge of Gujarati and/or Hindi language, or the Event Contractor shall have sufficient
      competent interpreters available on Site during all working hours.

4.11. MEASURES AGAINST INSECT AND PEST NUISANCE
      "The Event Contractor shall at all times take the necessary precautions to protect all staff and
      labour employed on the Site from insect and pest nuisance, and to reduce the dangers to
      health and the general nuisance occasioned by die same. The Event Contractor shall provide
      his staff and labour with suitable prophylactics for the prevention of malaria and take steps
      to prevent the formation of stagnant pools of water. The Event Contractor shall comply with
      all the regulations of the local health authorities and shall arrange to spray thoroughly with
      approved insecticide all buildings erected on the Site. Such treatment shall be carried out at
      least once or as instructed by such authorities". The Event Contractor shall install repellant at
      site as required.

4.12. EPIDEMICS
      In the event of any outbreak of illness of an epidemic nature, the Event Contractor shall
      comply with and carry out such regulations, orders and requirements as may be the
      Government, or the local medical or sanitary authorities, for the purpose of dealing with and
      overcoming the same

4.13. BURIAL OR CREMATION OF THE DEAD

      The Event Contractor shall make all necessary arrangements for the transport, to any place
      as required for burial / cremation of any of his expatriate employees or members of their
      families who may die in the Country. The Event Contractor shall also be responsible, to the
      extent required by local regulations, for making any arrangements with regard to burial /
      cremation of any of his local employees who may die while engaged upon the Works.

4.14. ALCOHOLIC LIQUOR OR DRUGS
      The Event Contractor shall not, otherwise than in accordance with the statutes, ordinances
      and government regulations or orders for the time being in force, impart, sell, give, barter or
      otherwise dispose of any alcoholic liquor or drugs, or permit or suffer any such importation.,
      sale, gift, barter or disposal by his Subcontractors, agents, staff or labour.

4.15. ARMS AND AMMUNITION
      The Event Contractor shall not have, barter or otherwise dispose of to any person or persons,
      any arms or ammunition of any kind or permit or suffer the same as aforesaid.

4.16. RIGHT TO VARY
      The Consultant will make any variation of the form, quality or quantity of the works relating
      to any item of a component according to site conditions or any part thereof that may, in his
      opinion, be necessary and for that purpose, or if for any other reason it shall, in his opinion,
      be appropriate, he shall have the authority to instruct the Event Contractor to do and the
      Event Contractor shall do any of the following:

      a)    Increase or decrease the quantity of any work included in the Contract.

      b)    Omit any such work (but not if the omitted work is to be carried out by the Employer
            or by another Event Contractor), before the end of stipulated time limit of the contract.

      c)    Change the character or quality or kind of any such work.

      d)    Change the levels, lines, position and dimensions of any part of the works,

      e)    Execute additional work of any kind necessary for the completion of the works, or

      f)    Change any specified sequence or timing of construction of any part of the works.

   No such variation shall in any way vitiate or invalidate the contract, provided that where the
   issue of an instruction to vary the works is necessitated by some default of or breach of contract
   by the Event Contractor or for which he is responsible, any additional cost attributable to such
   default shall be borne by the Event Contractor.

   The Event Contractor shall not make any such variation without informing the Owner and
   Consultant

   Provided that no instruction shall be required for increase or decrease in the quantity of any
   work where such increase or decrease is not the result of an instruction given under this clause,
   but is the result of the quantities exceeding or being less than those stated in the Bill of
   Quantities. The payment to such variations, modifications and deletions shall be governed
   according to the payment modality as outlined in the mode of payment schedule as deemed
   decide by the owner and no objection either in written or oral shall be accepted.

4.17. VARIATIONS, MODIFICATIONS ETC.

4.17.1. Quantity of items may vary according to requirements of the program; same basis of
        pricing shall be applicable. In case of variation to an extent of +10% of original work, no
        extra payment shall be made.

4.17.2. If the additional or altered work includes any class of work for which no rate is specified in
        the schedule contract, then such class of work shall be carried out:
      (a)      At the rate derived from the item within the contract which is comparable to the one
               involving additional or altered class of work; where there are more than one
               comparable items, the item of the contract which is nearest in comparison with regard
               to class or classes of the work involved shall be selected and the decision of the
               Employer as to the nearest comparable item shall be final and binding on the Event
               Contractor.

      (b)     If the rate cannot be derived in accordance with (a) above, such class of works shall
              be carried out at the market rate. The detail cost break up shall be provided by the
              Event Contractor for such items. The contracting authority will decide the rate in
              consultation with Professional advisor based on rate analysis to be submitted by
              Event contractor.

      (c)     If it is not possible to arrive at the rate from (a) and (b) above, such class of work
              shall be carried out at the rate decided by the competent authorities on the basis of
              detailed rate analysis after hearing the Event Contractor before a Committee formed
              by Sports Authority of Gujarat stationed at the same place or the nearest place, as
              may be appointed by Sports Authority of Gujarat.

      (d)     Contractor shall not execute the extra/additional work without prior written approval
              of the Employer/Consultant/Committee Member of the Event. Any extra item if
              executed must have written consent of the concerned decision maker and to be
              submitted with detail cost analysis.

      (e)     The Contractor shall keep all the joint records of measurement duly signed by the
              Employer/Professional Advisor/Committee Member with proper justification as and
              when require. No extra cost or rate shall be considered if Contractor is unable to
              justify the extra or additional work. If required the measurements shall be supported
              by Total Station Survey. The contractor shall provide CD of Video recording of the
              entire event under the Contractor’s scope work to the Employer and Consultant.

4.18. INSURANCE

      The insurance liability under this clause shall cover full reinstatement cost including the
      costs of demolition and professional fees and profit.

      The Insurance cover under this clause shall be as under and policy shall be taken at entire
      cost of the Event Contractor during the construction period.
           Loss of human life-Rs. Three Lacs
           Permanent Disability of human beings - Rs. One Lac
           Human Body Injury not resulting into permanent disability - Rs. Ten Thousand
      Besides this, any damage occurred to Sports Authority of Gujarat/Consultant/Govt.
      Officers or Event Contractor’s personnel, equipment, assets etc. shall be liability of Event
      Contractor.
      (All insurance taken by bidder should name Sports Authority of Gujarat as beneficiary)

4.19. ARBITRATION
      (a)  If a dispute of any kind whatsoever arises between the Employer and the Event
           Contractor in connection with, or arising out of, the Contract or the execution of the
           Works or after their completion and whether before or after the repudiation or other
           termination of the Contract, including any disagreement by either party with any
           action, inaction, opinion, instruction, determination, certificate or valuation of the
           Engineer, the matter in dispute shall be settled by arbitration in accordance with the
           Indian Arbitration and Conciliation Act, 1996 or any statutory amendment thereof.

      (b)    Neither party shall be limited in the proceedings before such arbitrators to the
             evidence or arguments already put before the Engineer or the Company, as the case
             may be, for the purpose of obtaining its/his said Recommendations/decision. No such
             Recommendation/decision shall disqualify the Engineer or any of the members of the
             Company, as the case may be, from being called as a witness and giving evidence
             before the arbitrators or any matter whatsoever relevant to the dispute.

      (c)    The reference to arbitration may proceed notwithstanding that the Works shall not
             then be or be alleged to be completed, provided always that the obligations of the
             Employer, the Engineer and the Event Contractor shall not be altered by reason of the
             arbitration being conducted during the progress of the works. Neither party shall be
             entitled to suspend the works, payments to the Event Contractor shall be continued to
             be made as provided by the Contract.

      (d)    Arbitration proceedings shall be held at Gandhinagar and the language of the
             arbitration proceedings and that of all documents and communications between the
             parties shall be English.

      (e)    The decision of the majority of arbitrators shall be final and binding upon both
             parties. The expenses of the arbitrators as determined by the arbitrators shall be
             shared equally by the Employer and the Event Contractor. However, the expenses
             incurred by each party in connection with the preparation, presentation, etc., of its
             case prior to, during and after the arbitration proceedings shall be borne by each party
             itself.
      (f)    All arbitration awards shall be in writing and shall state the reasons for the award.

4.20. FORCE MAJEURE
   Force Majeure shall mean such an Event or Circumstance or combination of Events and
   Circumstances which are beyond the reasonable control of the Affected Party and which the
   affected party could not have prevented by Good Industry Practice or by the exercise of
   reasonable skills and care for the purpose of discharging its obligations under the Contract. The
   Force Majeure will tend to have material adverse effect on the performance of- such affected
   party.

   Following shall be the events and circumstances of Force Majeure:
       Act of War (whether declared or undeclared), invasion, armed conflict or act of foreign
   enemy, blockade, revolution, riots, insurrection, civil commotion, act of terrorism, or sabotage.
   The expropriation or Compulsory acquisition or seizure of the assets of The Agency by any
   Governmental Instrumentality, provided that this clause shall not apply where such Act
   constitutes a remedy or sanction lawfully exercised as a result of a breach by the Agency of any
   Indian law or Indian Directive but excluding any change in law.
      Act of God epidemic, lightning earthquake, cyclone, whirlwind, flood, tempest, storm,
   drought, lack of water or other unusual or extreme adverse weather or environmental

   conditions, action of the elements, meteorites, fire or explosion to the extent generated from the
   source external to the Agency or his assets due to reasons other than, those caused by
   negligence of the Parties, chemical or radioactive contamination or ionizing radiation.
       Procedure for Calling Force Majeure: The affected party shall notify to the other party in
   writing of the occurrence of the Force Majeure as soon as reasonably practicable, and in any
   event within 24 hours (Twenty Four hours) after the Affected Party knew, or ought reasonably
   to have known, of its occurrence and that the Force Majeure would be likely to have a material
   impact on the performance of its obligations under the Contract.
       The notice shall include full particulars of the nature of Force Majeure event, the effect it is
   likely to have on the Affected Party's performance of its obligations and the measures which
   the Affected Party is taking, or proposes to LA-e, to alleviate the impact of the Force Majeure
   Event and restore the performance of its obligations. When the affected Party is able to resume
   performance of its obligations under this Contract, it shall promptly give the other party written
   notice to that effect provided that in no event shall the suspension of performance be of greater
   scope and of longer duration than is necessitated by Force Majeure.
       The rights and obligations of the Affected Party shall be suspended to the extent they are
   affected by the Force Majeure. Sports Authority of Gujarat shall not be liable to make any
   payments to the Agency for it being affected on account of Force Majeure. Sports Authority
   of Gujarat reserves the right to terminate the contract if the Force Majeure continues for more
   than 15 (Fifteen) days at a stretch.
4.21. CONTRACT INTERPRETATION AND DISPUTES SETTLEMENT
       The Amicable Settlement of Disputes of the General Conditions of Contract shall apply.
4.22. ASSIGNMENT
       The Event Contractor will not be entitled to sub-contract any part of his obligation to any
   third party without prior approval of the Employer.
4.23. COMPLETION OF THE CONTRACT
       On the date of Contract Completion or if the Contract is terminated, all the installations,
   works and equipment placed under the Event Contractor’s responsibility shall be handed over
   to the Employer, at no cost, in good working order, except for normal wear and tear. The
   Employer may perform any inspections, tests or expert appraisals he shall consider necessary
   with a view to checking that the property is in good working order.
4.24. LIQUIDATED DAMAGES

        The completion period of the entire work shall be as per the dates specified for the Event;
   this shall be deemed to be the essence of the contract. The time limit specified above and as
   approved in writing by Sports Authority of Gujarat, shall be strictly adhered to and followed.
   Liquidated Damages will be applicable, on the entire value of the contract. In case of delay in
   completion of a specific job beyond the date of completion given by the Event Contractor and
   accepted by Sports Authority of Gujarat, unless extended by Sports Authority of Gujarat
   in writing, penalty would be applicable at the rate of 25% of the contract value for delay of
   each day taken by the Event Contractor, subject to maximum of 50% of the contract value.

      In case of delay to deliver the work within stipulated program, Sports Authority of
  Gujarat reserves the right to terminate the contract and get all the jobs or the delayed job
  completed through another Event Contractor of its choice. Any extra expenditure that Sports
  Authority of Gujarat will have to incur for completion of the balance job/s through another
  Event Contractor on account of higher rates quoted by the Event Contractor will be recovered
  from the Event Contractor’s account, Security deposit. Moreover, Sports Authority of
  Gujarat shall be entitled to all other legal proceedings as may be required for shortfalls in
  recovery.

4.25. BANK GUARANTEE

       The Event Contractor shall furnish to Sports Authority of Gujarat an irrevocable bank
  guarantee of a Nationalized Bank and in the format acceptable to Sports Authority of Gujarat
  for all the advance payments. No payment, as mentioned in ‘Stages of Payment’ for work done
  of any kind shall be released until such guarantee is furnished.

      The amount of bank guarantee shall be 25% value of the payment under consideration and
  the guarantee shall remain valid and in force up to two months after the completion date of
  Event i.e. two months from 24th December.

       In the event of the extension of the period of work as per the contract, or increase in the
  value of the work as provided for in General Conditions, the Contractor shall, at its own cost,
  extend the validity period and / or increase the value of its guarantee accordingly as may be
  called upon by Sports Authority of Gujarat. This provision shall be applicable to every
  guarantee furnished by the Contractor under the various provisions of the Contract.

5. SPECIAL CONDITIONS OF CONTRACT
5.1. Event Contractor shall do all necessary concept planning, layout, designs for structures,
     plumbing, electrical, interiors, working drawings etc. for execution of project and for
     structural soundness of the works. Certificate of authorized structural engineer pertaining
     entire scope of works and related structures shall have to be furnished by 1st week of
     December 2010.

5.2. Looking at the nature of work, in order to bring in innovation in to the Event, Event Contractor
     is permitted to propose additional work or enlarge the existing specifications. For all the
     works conceived by the Event Contractor shall have to get approved by Sports Authority of
     Gujarat and detailed specifications for the same shall have to be provided by the Event
     Contractor.

5.3. Event Contractor shall not, without the written sanction of Sports Authority of Gujarat,
     make any deviation in the approved plans, details, specifications, etc.

5.4. Sports Authority of Gujarat shall communicate all changes, decisions, etc. in writing in as
     short time as possible.

5.5. Event Contractor shall not assign sub-let or transfer their interest in this agreement without
     written consent of Sports Authority of Gujarat. Though he may outsource the particular
     task.

5.6. The bidder shall submit a soft copy of the presentation to Sports Authority of Gujarat.

5.7. The successful bidder has to submit hard and soft copy of all drawings and specifications in a
     software version as specified by Employer. Any deviation from the specifications as indicated
     by the bidder/consultant shall be liable for deductions from the value of item of work.

5.8. Drawing, plans and specification are the property and ownership of Sports Authority of
     Gujarat, irrespective of whether the work for which they are made has been executed or not.

5.9. If the Event Contractor fails to deliver required work as per agreed schedule or quality, Sports
      Authority of Gujarat can appoint other Agencies, Contractors and actual payment made to
      these agencies shall be debited to the Event Contractor.

5.10. The event services are considered as on hire basis and any services charged as full supply
     basis shall become property of Sports Authority of Gujarat, and Bidder shall quote for such
     items accordingly.

5.11. The scope is likely to increase or decrease, depending upon the requirements the Event
     Contractor shall accommodate all such changes without prejudice to the condition of this
     contract and within time frame. In case of increase or decrease in area of the structures to an
     extent of + or – 10%, no rate revision shall be considered but if the variation is beyond that,
     rates shall be pro rata increased or decreased taking into account the prevailing market rates.

5.12. The Event Contractor shall make all necessary arrangements for water and electricity
     including potable drinking water for visitors, service persons and staff from outside source.

5.13. The Event Contractor shall have to do liaison, bear the cost of arranging Fire Fighters
     through concern authorities, actual cost shall be reimbursed based on receipt of payments
     made and a 5% management charge shall be paid to the Event Contractor.

5.14. The water connection at one point shall be made available to Event Contractor, he shall
     arrange for distribution of water to toilets and other areas as per layout, however in case of
     any failure of source the Event Contractor shall have to make arrangement of water from
     outside without any extra cost to Sports Authority of Gujarat. In case of non availability of
     water from the main source the Event Contractor shall manage it on his own means.

5.15. The sewerage shall have to be connected to nearest available drain/sewer manhole.

5.16. Cost of all the works necessary to carry out or successful organization of event including
     deploying necessary manpower, equipment, facilities, structures, services etc. but not
     exclusively mentioned in bills of quantity and specifications, shall have to be carried out by
     the Event Contractor and the cost of same deemed to be inclusive in the rate of items quoted
     by Event Contractor. No reimbursement or extra item in this regard shall be permitted.

5.17. Event Contractor shall be responsible for housekeeping of the entire venue including any
     other facility or event provided by any other agency appointed by Sports Authority of
     Gujarat.

5.18. Where explicit specifications are not available the work shall be executed as per the
     instruction of Managing Director, Sports Authority of Gujarat. Additionally Sports
     Authority of Gujarat may appoint Centre for Research, Development & Consultancy
     (CRDC), CEPT as a third party Consultant to monitor the work. The instructions by such
     Consultant shall be binding to the Event Contractor.

5.19. VIP and VVIP security related arrangements including barricading but not restricted to shall
     have to be worked out by the Event Contractor with the Police and relevant department, the
     cost of such arrangements shall deemed to have been included in the quote by the bidder.

5.20. Event Contractor shall take necessary safety measures to work where required. Event
     Contractor shall maintain first aid kit for emergency.

5.21. For all the works Event Contractor shall ensure proper rigid railings with spacing of
     members/openings not exceeding 150 mm, preferably chain-link fencing.

5.22. The Event Contractor shall arrange and make liaison with Torrent Power for power. Event
     Contractor shall provide for generator back-up for the Event for critical functions and
     services. The Event Contractor shall have to do liaison, bear the cost of arranging Torrent
     Power connection. No additional charge will be given to the event contractor for liasoning
     work with Torrent Power. Sports Authority of Gujarat will release the payment as Advance
     to the Contractor against Deposit & Service Line charges as estimate of Torrent Power
     submitted by the Contractor. The following charges will be reimbursed.

       Torrent Power installation charges/ Charges towards the Electrical inspector
       Charges for Operation Staff deputed by Torrent Power for the installation
       Energy Charges as per Torrent Power

5.23. The Event Contractor shall provide all the structures as stated in layout attached along with
     the document. Layout states the type of structures that are to be accommodated in a particular
     segment of the project. Designing and accommodation of structures are to be done
     accordingly.

5.24. The Inaugural Stage Area in Stadium shall be used for Valedictory function / Concluding
     session also.

5.25. If there is any ambiguity or contradictory found/observed in the tender document between
     technical bid and financial bid, the bidder shall bring it to the notice of the
     Employer/Consultant appointed by the Employer prior to pre-bid meeting.

5.26. Necessary water supply and other services if required for the event will have to be arranged
     by Event Contractor.

5.27. Selected Event Contractor or joint venture (Architect) will not execute any other works /
     events/ pavilions to be executed within the venue during the period of execution of stated
     work. He / they shall not bear any responsibility of executing any structures on the venue
     outside the scope of this bid.

5.28. The event contractor shall apply fire resistant coating which shall be non-allergic, odorless,
     non-toxic, VOC free, non-carcinogenic, and earth friendly clear fire retardant of ‘Flame
     Resist’ or equivalent as approved by the Committee members/ Sports Authority of Gujarat
     /Consultants on all internal and external structures wherever applicable including stage and as
     and where specified by Consultants/Client.

5.29. Quality and finishing of all structures will be reviewed after final execution of work. Any
     deviations or non compliance from approved designs are bound for deductions.

5.30. Stipulated time frame for completion of necessary structures is to be implemented. In case of
     any deviations a penalty will be imposed upon as per the directions of Committee members/
     Sports Authority of Gujarat /Consultants.

5.31. Necessary arrangements for fabrication yard, godowns, and storage space for required
     installation works will be managed by the bidder at no additional cost within or outside the
     venue.

5.32. Stipulated Tender requirements indicated/mentioned in the terms in bids related especially to
     personnel, and assets are to be complied. Non-compliance with such conditions/non-
     compliance to project schedules resulting into delays of works/ inferior quality of execution of
     works/non-compliance to any services can lead to penalty as finalized by the constituted
     Committee for the project.

6. PAYMENT TERMS
6.1. PAYMENT OF PROFESSIONAL FEES
        Sports Authority of Gujarat hereby agrees to pay the amount of consideration of the
contract including its professional services to Event Contractor which is amount of the work order.
The amount of work is inclusive of design fees, execution, hiring, transportation, conveyance,
handling, loading, unloading, fabricating, erecting, installation, dismantling, commissioning,
supervising, overheads, services, other infrastructure, housekeeping, taxes including sales tax,
service tax, excise, full insurance for any risk prior to & during the event etc. The service tax shall
not be paid extra over agreed project cost. The above costs are subject to review as executed on
completion of the work. Besides its own supervision, Sports Authority of Gujarat may appoint a
Third Party Consultant (TPC), for auditing of quality and costs of the event and the final payment
shall be made to Event Contractor after considering TPC’s report covering quality and costs of
executed work. Event Contractor shall provide all the finer details of the work executed and
manpower deployed in order to assess the work.

6.2. MODE OF PAYMENT
       Each of the services in the scope of works of Event Contractor shall be paid in the
following stages consistent with the work done plus reimbursable expenses as agreed upon, the
payments made to the Event Contractor are on account and shall be adjusted against the final
amount payable.

6.3. STAGES OF PAYMENT:
       All the payments made till stage-5 as indicated below shall be treated as advance payment
which shall be given only against irrevocable bank guarantee of 25% value of the payment under
consideration from Nationalized bank and as per approved format. On completion of the project
the balance amount, if any, shall be released after TPC’s detail cost & quality report, after duly
considering actual services rendered by Event Contractor and subject to timely availability of such
services with desired quality.

     REIMBURSABLE EXPENSES:
     All the expenses, taxes, fees etc. towards the Event shall be borne by Event Contractor.

     However all the actual amount paid towards Torrent Power installation charges, Charges
     for Operation Staff deputed by Torrent Power for the installation, and Energy Charges as
     per Torrent Power shall be reimbursed to the Event Contractor. No additional charge will
     be given to the event contractor for liasoning work with Torrent Power.

     The expenses towards obtaining fire services as applicable shall be reimbursable as
     specified in para 5.14 above.

     No other expenses incurred by the Event Contractor shall be entitled for reimbursement.

7. QUALIFICATION CRITERIA AND EVALUATION PROCEDURE
     The bids received under these single stage two envelope procedures shall be assessed and
     evaluated based on the qualification criteria and evaluation procedure prescribed hereunder:

     ASSESSMENT OF BIDS

     Bid applications should normally be assessed using a two-stage process:

     Stage 1      -   Preliminary screening

     Stage 2      -   Detailed assessment

     Stage 3      -   Final assessment based on presentation and opening of price bid

      The Committee will select the agency by giving 60% weightage on the Quality of Concept
      and Design presented before it and 40% weightage to the Price Bid.

7.1. PRELIMINARY SCREENING

     Screening Criteria: Preliminary screening should typically establish whether an application
     meets the following criteria:

         Is application submitted by the applicant a responsive application?

         Is the applicant commercially acceptable?

     Over and above the bidder being responsive, he will be subject to the following criteria for
     initial screening. Detail screening of those bids will be taken up which satisfies the initial
     screening criteria.

     i. The bidder should have achieved in at least two financial years of last five financial years,
         a minimum annual financial Turnover (in equivalent temporary works only) of ` 300 lacs
     ii. The bidder should have satisfactory handled at least one Similar nature of event (as per
         applicable price bid) of a value of ` 200 lacs in any particular year at a single place in
         last Three years.
    iii. The agency should have handled at least one similar nature of work.
    iv. For Consortium (max. two partners), all the partners should collectively satisfy the
         above criteria, however all the consortium partners shall be having background related to
         the scope of work of this assignment.

7.2. DETAILED ASSESSMENT

     The criteria to be assessed during detailed assessment comprise establishing whether the
     applicant has adequate:

        Technical capability including organizational capacity, relevant experience.
        Financial capacity.

7.2.1. FINANCIAL CAPACITY
7.2.1.1. Definitions

              “Financial Statements” consist of profit-and-loss statements, balance sheet, and if
              available, cash flow statements (also called “Sources and Applications of funds”
              statements).

              “Annual Turnover”: Turnover of last five years (in equivalent type of works only)
              will be considered for evaluation. Income from “contractual receipts” only will be
              taken onto consideration. The income such as Interest income, trading income will not
              be considered.

7.2.1.2.      Documentation to be used and referred:

       All applicants have to submit audited annual reports/financial reports of last three years.
       (If Audited Annual Report is not available, Un-audited Annual Reports shall be accepted
       subject to duly authentication of Company Secretary of the Annual Reports). Firms that do
       not publish financial statements, such as partnerships, submit specially prepared
       statements. A qualified external auditor should certify such statements. Annual reports
       shall include the auditor's certification. Cash flow statements shall be submitted as a part
       of the post qualification data and technical bid. The ‘Event Contractor’ shall also submit
       copy of the returns of Service Tax for last three years.


7.2.2. TECHNICAL QUALIFICATIONS

       Technical qualifications include all factors determining an applicant's technical abilities
       other than experience.
       (a) Event Management
       Two aspects of Event management are assessed separately:

              Event Organization and Management: The responsibilities for execution, logistics,
              contract administration and delegation of authority are identified in the proposal for
              event management and if the relationship between these activities is clearly defined and
              arranged in a logical pattern, a satisfactory rating is awarded. Attach Organization
              Chart at HO level and at field level proposed for the event, Bar Chart and Activity
              Schedule for the proposed work in the event.

           (b) Key Technical Personnel
               Key personnel include the Event Contractor, Principal Architect & Principal Designer
               and Works Manager. Two criteria are used:

              Competence and Qualifications of Key Technical Personnel: The competence and
              qualifications including the past working experience of all the key technical personnel
              except the Event Contractor are examined, and a composite rating is awarded for this
              factor.

              Competence and Qualifications of the Event Contractor: The Event Contractor is
              the key person on the site and plays a very important role in the management and
              execution of the works. The caliber, qualifications, competence, and past experience of
              the Event Contractor are examined separately, and a composite rating is given for this
              factor.

           Works Manager: Works Manager should be Engineer (with Graduate, preferably Post
           Graduate Management degree)
              o with minimum 10 years total experience
              o minimum 5 years experience in relevant field especially in event exhibition
              o At least 2 years experience in similar position.

           Architect: Qualified architect with minimum 10 years of relevant experience.
           Designer: Qualified designer with minimum 10 years of relevant experience.
           Other Key personnel: All other technical key personnel, Architect/ interior designer/
           Engineers proposed for the event should have minimum experience of 3 years in
           relevant field.
       (c) Assets including Plant, Equipment and Structures
           Plant, equipments and structures proposed for the Event shall be of preferably Event
           Contractors own but in case, he does not own required plant and equipment and desires
           to obtain from other agencies, then he shall produce proof of firm tie-up with
           individual, firm or company which is the owner of that particular plant and
           equipment by a legal agreement and a firm commitment by them to release the
           same plant and equipment for this particular Event along with sufficient proof of
           ownership of the incumbents.

7.2.3. QUALIFICATION AND EXPERIENCE OF TECHNICAL PERSONNEL
       Bidders are required to furnish details of specialists Engineers/Technical persons in various
       fields having respective experience in their discipline giving their CV. This shall be
       furnished for the following disciplines:
       i) Architectural Design
       ii) Engineering in Civil, Structural, Mechanical, Electrical, Air Conditioning &
           Instrumentation etc.
       iii) Project Management with special emphasis on project planning/scheduling and
            monitoring. (Preferably Technical + MBA)
       iv) Event Management & House-Keeping.
           Site supervision Team in all Disciplines.

7.2.4. EXPERIENCE

Factors used in evaluating experience of the bidder in last five years are as follows:

(a)    Experience as Main Event Contractor/ Lead Partner in Event Exhibition or related
       works.
       This factor shall be assessed on the basis of number of contracts of similar nature and
       magnitude of experience as Main Event Contractor or Lead Partner / in a Consortium
       carried out in last three years in Event Exhibition or similar type of work.
       Note:
       The bidder/bidders should have minimum experience of conducting one single event of
       similar nature in last 3 years for organizing the exhibitions and events of not less than ` 200
       Lacs. as mentioned in 7.1
       For experience in the completed work, the bidders shall have to produce completion
       certificate obtained from the respective employer under whom a particular work is
       completed in the attached model format invariably. In case of failure in the part of bidder

         in producing such certificate, no mark shall be awarded for such works and possibly
         negative mark shall be awarded as decided by the Employer.

(b)      For the above or other contracts executed a minimum experience in the following key
         activities:

         i) Temporary Structures & Exhibitions works [A.C] on an open ground.
         ii) Related Electrical, Mechanical and Air Conditioning Works, PHE and FPS works
         iii) Infrastructure Work and Ambience
         iv) Civil & Structural works
         v) Landscape works
         vi) House Keeping

7.3. SPECIAL NOTES

      (A) Evaluation of Consortium:

      The financial capacities of each member of the consortium in terms of Annual Turnover shall
      be grouped together in proportion to the financial stake of the members of the consortium as
      specified in the consortium agreement. The data so grouped will be the data that will be
      considered for evaluation of the financial capability of the consortium.

      To assess the technical capability of a consortium the data relating to the technical capabilities
      including past experience of consortium member will be grouped together.

      Consortium shall comply with the following minimum requirements:

      a. The consortium shall be between a maximum of 2 members including the prime bidder or
      the leader of the consortium.

      b. The consortium as a part of the consortium agreement shall declare and nominate the leader
      of consortium who will be deemed to be prime bidder.

      c. The consortium agreement shall clearly and unambiguously specify the roles, duties and
      responsibilities of each of the consortium members including their financial stakes.

      d. The consortium agreement shall be notarized and attached with the technical bid and shall
      not be modified and amended without prior approval of the employer during the entire period
      of contract performance.


7.4. OTHER FACTORS

        The Quality, Environment and Safety policy of the company shall be used for evaluation.

7.5. SCORING SYSTEM

7.5.1. Weightage and Scores

       (c)    Also provide technical proposal with detail technical specifications, item wise break

       (d)    Name proposed as Technical Key personnel should not be changed or replaced
              during execution of the Event without prior permission of Employer.

7.5.3. Overall selection
               The qualified bidders may be asked to make a detailed presentation. The evaluation
       committee shall decide the most capable Bidder based on the technical evaluation of papers
       and the design concept. The financial bids shall be opened for the qualified bidders.
       Contract will be negotiated with the best-qualified-evaluated bidder. However Evaluation
       Committee and the Employer, Sports Authority of Gujarat reserves the right to vary
       qualifying requirement without intimation to the bidders. Weightage factors will be
       considered for the overall concept on which discussion will be done in the Pre-Bid
       Meeting.

     faithfully and diligently carry out the necessary remedial steps to the full satisfaction of the
     Advisor of the Sports Authority of Gujarat. The opinion of the Advisor as to whether full
     and complete remedial steps, to the full satisfaction the Advisor of the Sports Authority of
     Gujarat have been taken or not, will be that of the Sports Authority of Gujarat. For the
     purpose, of arriving at such decision as aforesaid it will be open to the Advisor of the
     Sports Authority of Gujarat in case he so desires, to delegate this power to subordinate
     like the Engineer-in-Charge to take appreciate decision and the decisions referred to above
     will be deemed to be properly taken and as if taken by the Advisor of the Sports Authority
     of Gujarat. In the eventually of M/s.______________ not taking remedial action to the
     almost satisfaction of the Advisor of Sports Authority of Gujarat the Sports Authority
     of Gujarat will be entitled to get the work done itself or from other sources. On the

        of the Sports Authority of Gujarat and our obligation irrespective of any dispute of
        differences that may arise between us and M/s. _____________________________ of

        works. The Performance Guarantee will come into effect from such completion date. In
        case however, the contract of several parts it will be opened to the Advisor to indicate
        separate completion dates for separate part and to simultaneously indicate a breakup of the
        contract value equivalent to the separate part. In which case the PERFORMANCE
        GUARNATEE to extent of the different completion dates. It is expressly understood that
        the considering this period of applicable duration, the date by which the Sports Authority
        of Gujarat, intimate the Bank about the losses, damages or problems as the case may be,
        shall be considered as long as such intimation is within a period of 30 days from the
        completion date. We the ___________________ Bank will be liable, irrespective of
        whether the remedial actions or lack thereof has taken place after the period of the 30 days.
   5.   We _________________________________ Bank agree that the PERFORMANCE
        GUARANTEE which is continuing guarantee will be binding, and enforceable against us
        irrespective of any difference / disputes between the Sports Authority of Gujarat and

   6.   In case any disputes arise as to the interpretation or implementation of this

        Advisor of Sports Authority of Gujarat whose decision in the matter will be final.

In case any resource to any court of law is necessitated, the appropriate Civil Court in the
Ahmedabad along will have Jurisdiction.

9. Civil, Exhibition, Infrastructure Services, etc.
9.1. The quality of design, workmanship and service shall be the best for consistent with an
    International Event.
9.2. The stages shall have to be erected on firm base. The pathways connecting platforms shall be
    decorated, carpet covered within this scope. Aisle must always be kept clear for the visitors.
9.3. Non-AC structures shall have proper ventilation.
9.4. CPWD specification shall be followed unless specified otherwise, for civil, infrastructure and
    all semi-permanent works. Necessary foundation works to be executed for all temporary
    structures as per structural requirements/recommendations.
9.5. All the material shall be conforming to IS codes or as approved by Sports Authority of
    Gujarat/Professional Advisor.
9.6. Wall paneling system, roof covers, paint and other materials used in VVIP & VIP Lounges,
    Admin Lounge, Media Lounge and Sports Authority of Gujarat Office, Food stalls with wash
    area, Toilet blocks, Infrastructure like parking facilities etc, Security Cabin, First Aid Counter,
    Gates, Decorative elements, necessary services and utilities etc. of the Event shall be of fire
    retarding and resisting nature.
9.7. Decayed or cracked wood shall not be used.
9.8. Defective, cracked materials shall not be used.
9.9. All structures shall be firmly grounded and stable against wind force, live load and dead loads.
9.10. The shells / portals / hangers shall be engineered structures erected under competent
     engineering supervision.
9.11. Structures shall be designed and executed considering adverse weather conditions.
9.12. Joinery and supports should be properly engineered, firm and with good finish.
9.13. If there is any special structure design, Event Contractor should provide all details like plan,
     elevation and structural drawing and if required design calculations.
9.14. Colour shall be finished well before to avoid the odour smell and eyes burn.
9.15. Where the word states waterproof, it shall be fully waterproof with surrounding walls and
     ceiling.
9.16. Octonorm panel if used shall be clean, should be in plumb and properly fixed without swing
     or sway. The contractor shall not willfully or otherwise damage, defile, alter, change or
     deface in any manner whatsoever, the walls of the stalls, its foundation, etc. nor shall support,
     suspend, hang, or in any improper way fix any weight articles, etc., other tan with express
     approval of the client/Professional Advisor.
9.17. Carpet should be clean and joint shall be covered with colour matching tape.
9.18. False ceiling should be in level and joints shall be clean. It shall be painted with appropriate
     colour.

9.19. Stage backdrop shall be in plumb, alignment properly braced so as to resist the wind loads.
9.20. Wooden staging/decking shall be in proper level. Maximum permissible undulations shall be
     5 mm in an area of 3m X 3m. Plywood joint shall be in level and carpet fixing should be
     proper.
9.21. Signage height and letter size should be visible.
9.22. Event Contractor shall have to clear the entire site after the completion of the event.
9.23. Parking should be properly leveled, barricaded for VIP and General public, manned during
     the event and functional. Area shall be lightly watered as required.
9.24. Water flow and pressure should be uniform during the event.
9.25. Toilets shall be provided with necessary P-traps, Floor traps, Gully traps chamber with cover.
9.26. VIP & VVIP toilets shall have good quality fixtures, fittings, tiles.
9.27. Emergency exit and fire precaution shall be taken care of.
9.28. Flowers shall be fresh.
9.29. Plants shall be fresh, well groomed.
9.30. All the furniture should be firm, comfortable and as per functional requirements.
9.31. Circulation within the Venue should be easy, should not create blockage.
9.32. There must be smooth entry and exit to the structure. The movement within the Venue shall
     be barrier free and friendly to physically challenged people.
9.33. Barricading shall be in proper alignment and free from any protruding objects.
9.34. Necessary safety railings/nets shall be provided through out the site and necessary safety
     measures shall be taken to ensure the safe working conditions during the installation and
     subsequent to installation during Event.
9.35. Contractor shall not permit any member of his staff to cook, wash himself, his clothes or
     utensils anywhere inside the exhibition area.
9.36. Stall owner, volunteers, staff members shall bear proper identity cards issued by the
     contractor and shall produce the same whenever demanded by the security deputed in the
     venue any time during construction, exhibition and demolition period.
9.37. All empty cartons and crates must be labeled and removed from the exhibition grounds.
9.38. No overnight parking of trucks or tempos is permitted at the exhibition area / property during
     move-ins, show hours and move-outs.
9.39. Open drains & Channels shall be covered properly so as to provide easy movement of
     pedestrian. Wherever necessary foot over bridge shall be provided. They shall be so designed
     to take required load.

10. Mechanical, Electrical

10.1. All electrical materials to be used like wires, cables, switchgears, fuse switch units, metal
       clad switches, Insulation tap, lugs, cable glands etc. should be with I.S.I. mark.
10.2. In any case, CPWD electrical specifications for material and workmanship should be
       followed as a minimum requirement.
10.3. Where explicit specifications are not available, the work shall be executed as per the
       instruction of Chief General Manager (IB), Sports Authority of Gujarat or Sports Authority
       of Gujarat’s Consultant.
10.4. The Contractor or his sub contractor must have Electrical License from Govt. body
10.5. The electrical work should be done in presence of electrical supervisor (approved by
       Government) of the Electrical License Holder Contractor.

10.6. ELECTRICAL POWER SOURCE
       Electrical Power should be taken from the Torrent Power Ltd.,/State Electricity Board and
       DG sets should be used as100% stand by power source.
       All approvals regarding temporary power connection and electrical installations from the
       concerned authorities are in the scope of event contractor. Sports Authority of Gujarat will
       reimburse all official expenses incurred for such approvals and load sanction to the event
       contractor against receipt.


10.7. DG SETS
       DG sets are to be provided as 100% standby power source.
       Contractor shall have to submit local pollution control board approval certificate for DG
       Set.
       DG sets must be in good condition having proper working AVR.
       DG sets must be with Acoustic enclosure i.e. silent generators.
       DG sets must not be older than seven years at the time of operations.
       DG sets should be provided along with fuel arrangement.
       Each DG set should be provided with separate body and neutral earth pits.


10.8. CHANGEOVER SWITCHES
       Changeover switches should be properly rated.
       DG sets are to be provided as 100% standby power source.


10.9. LIGHTING
       Each structure should have proper illumination. Within the structure, minimum lux level
       should be 300. In lounge, minimum lux level should be 400. In general ground area,
       minimum lux level should be 75.
       Outdoor lighting fixtures should be water proof and is better to use with I.P.55 enclosure.
       General Lighting should be done with outdoor type 500W or 1000W Halogen fixtures.
       At area like entrance where more illumination is required, Metal Halide type fixtures are
       preferable.

       Erection of Halogen fixtures should be done on H frame type towers or wooden towers of
       30 ft height for 10-30 halogens or on small poles like “panjas” or “Chhatris” for 5-10
       halogens or on wooden ballis for 1-2 halogens.
       Horns or speakers can be erected on the same tower of Halogen.
       Each big tower should have individual power distribution board with TPN MCB along with
       ELCB.
       All indoor lighting fixtures should be properly fixed in line, level and with proper support.
       Each plug points should have properly connected earth wire.
       Each plug should be properly fixed.


10.10. MAINS WIRING AND CABLING

       Mains of halogen should be taken from nearest power distribution board.
       Size of mains should be adequate according to the circuit load.
       Joints in MAINS wiring should be insulated with ISI insulation tap. These joints should not
       be in contact with cloth curtains or such inflammable materials.
       All cable or wire joints should be in proper manner.
       Wiring along with cloth should be done within conduit.
       All cables must be armoured cables. Use of insulation damaged cables should be avoided.
       Minor cuts on cable insulation should be properly insulated with insulation tape.
       All cables must be laid under ground with proper depth.
       All cables should be properly glanded and terminated with proper size of lugs.
       The Mains shall be with ISI marked PVC insulated wire with aluminum / copper conductor
       as specified. The size of phase and neutral shall be same, while the size of earth conductor
       shall be as specified in the item. The number and size of conductor shall be as specified in
       the item. All wires shall be single core multi-strand PVC insulated as per IS: 634 and shall
       be 660 V/1100V grade. All wires shall be as per colour code viz. Red for R phase, Yellow
       for Y phase, Blue for B phase, Black for neutral, Green for earth conductor.
       Necessary connections to control switchgear, MCB Dist. board, plug etc. shall be made
       firmly as per requirement and as instructed by in-charge-electrical engineer.

10.11. POINT WIRING IN STRUCTURES (LIGHT, BELL, FAN & PLUG)

       The point wiring shall be confirmed to IS: 5908 - 1970. A point shall consist of the branch
       wiring from the branch distribution board (switch board) together with a switch as required,
       as far as and including the ceiling rose or socket-outlet or suitable termination. A three-pin
       socket-outlet point shall include, in addition, the connecting wire or cable from the earth
       pin to the earth stud of the branch distribution board.
       The installation shall generally be carried out in conformity with the requirements of the
       Indian Electricity Act, 1910, as amended up to date and the Indian Electricity Rules, 1956.
       The point wiring shall be carried out in under mentioned manner :
          a) Supply, installation, fixing of conduits               with    necessary    accessories,
             junction/inspection/switch/outlet boxes.
        b) Supplying and drawing of wires of required size including insulated earth continuity
           wire.

           c) Supply, installation and connection of Modular switches, sockets, switch plates, fan
              regulators etc. as specified.
           d) The point shall be complete with branch wiring from the first switch board to the
              outlet point through other loop. Switch boards if necessary in a circuit, conduit with
              accessories, junction, inspection boxes, control switch, socket outlet boxes, ceiling
              roses, connector etc.
       Unless otherwise mentioned, the system of wiring shall consist of single core 650/1100 volt
       grade PVC insulated wire with Aluminum/copper conductor laid through exposed surface
       mounted/concealed in wall and ceiling rigid PVC pipe/rigid steel conduits/PVC oval
       conduit/PVC casing-N-Capping/trunking etc. as specified.
       The rigid PVC pipe shall confirm to IS: 9537 with minimum wall thickness of 1.5mm. The
       corresponding accessories shall confirm to IS: 3419. The minimum diameter of pipe shall
       be 20 mm.
       The wiring shall be as per colour code viz. Red for R phase, Yellow for Y phase, Blue for B
       phase, Black for neutral, Green for earth, Grey for control, white for bell point and all off
       wires shall be same as phase wire. The wiring shall be done in a looping manner. All
       looping shall be made only in switch boards.
       The switches and socket outlets shall be Modular type with silver-coated contacts with ISI
       marked IS: 3854.
       The Conduit run on surfaces shall be supported on metallic 1.2mm thick saddles/heavy duty
       PVC saddles which in turn shall securely screwed to wall or ceiling. Saddles shall be at
       intervals of not more than 500 mm. Fixing screws shall be with round or cheese head and of
       rust-proof materials. No cross-over of conduits shall be allowed. Unless it is unavoidable.
       The entire conduit installation shall be clean and neat in appearance.
       The Maximum load of each circuit shall not exceed 800 watts and maximum points of each
       circuit shall not exceed 10 points. Where wiring passes through wall, care shall be taken to
       see that wire pass very freely through protective pipe [rigid steel conduit / rigid pvc pipe /
       porcelain tube and that the wires pass through without any twist or cross in wires, or either
       ends of holes.

10.12. FANS – CEILING, PEDESTAL, EXHAUST.
       All ceiling fans, pedestal fans or exhaust fans should run hum free.
       Proper care should be taken for fixing of ceiling fan down rod.
       Colour of all fans in the same structure should be same.

10.13. A / C
       Window type Air Conditioning machine of approved make comprising of hermetically
       sealed compressor, condensing & evaporating unit, fan/blower motor, thermostat, relay etc
       suitable for 1 ,1.5, 2 Ton capacity.
       Split air conditioning unit of approved make consisting of condensing unit with fan motor,
       hermetically sealed compressor with accessories etc. duly connected separately erected
       evaporating unit and blower motor with its accessories by means of proper insulated copper
       tubing suitable for 1.5 to 4 Ton capacity.
       Preferably chilling plant to be used for whole exhibition area. And temperature should be
       maintained between 23 to 26 degree centigrade even if out site temperature is high.

10.14. SEPARATE POWER DISTRIBUTION BOARD
       Each structure should have separate power distribution board (TPN switch).

       Each power distribution board should be mounted on wooden block board and should be
       raised from ground. This entire structure should be properly fixed to ground.
       There should not be any connection outside Distribution board. Every neutral wire should
       be properly connected to neutral strip.
       All panels and PDBs should have proper barricading with help of insulating sheets viz.
       fiber, Bakelite and FR PVC material housing.
       All panel and distribution board should have separate earthing.
       All switchgear used must be properly rated.
       All fuse used must be properly rated. Rewiring of damaged fuses is not allowed.
       All power DB should be properly earthed.

10.15. EARTHING
       Each Power Distribution board should have pipe earthing
       All metallic structures of the venue should be properly earthed.
       The earthing of an installation shall confirm to I.E. Electricity Rules, IS-3043, latest edition
       and I.E.E. The copper earth plates should be tinned before installation. The earth plates of
       Cast iron, having size of 30 x 30 x 0.35 cms in separate pit. Specially prepared 2.5 mtr deep
       with necessary to real moist earth surface. The earth pit should be provided with 38 MM
       dia GI Pipe 2 mtr long. Alternative layers of salt and coke shall be provided surrounding
       the plate.
       The pits shall be filled when the plates are in position and in presence of Engineer in
       Charge. The earthing resistance of each earth plate should be measured by resistance
       meggar in the presence of Engineer in Charge.
       The general and technical specification given in the tender booklet shall be considered as a
       part of agreement. The material shall be approved as per relevant IS specification and shall
       be approved by the Electrical Engineer in charge before executing the work.

10.16. SOUND & P.A. SYSTEM
       Contractor should arrange sound system as per various requirements like speeches, stage
       performance and general announcement, etc.
       Sound system to be arranged as per various requirements like speeches, stage performance
       and general PA, etc. The system shall include all the required sound system like SRS,
       Dolby Surround Sound system, Front house Equalizer for choreographer, other sound
       equipment according to site requirement and instruction of choreographer, etc.
       General P.A. System should be used to distribute sound through entire venue.
       a) Amplifiers
          Proper nos of amplifiers each of 100 watt to 150 watt capacity having frequency
          response of 20Hz.to 20 KHZ and additional amplifier for standby connected in parallel.
       b) Microphones
          Proper nos of good quality of microphones with chromium plated stand to reproduce
          original sound complete with necessary microphone cables.
          Also provide:
          - Cordless microphone
          - Podium microphone
          - Caller microphone

       c) Speakers
          (1) Required Nos. of heavy duty best quality horns / speaker boxes of 40 watt. /60 watt.
              Approx. with necessary matching transformers duly erected on approx. 30' high
              existing towers. The direction of horns should be adjusted in such a way that sound is
              properly distributed throughout the ground without echoes.
          (2) Required Nos. of suitable capacity of horns/speaker boxes to be erected on approx.
              12' high existing wooden bellies between tower and rostrum.
       d) Wiring
          The Cores for the speakers should be of good quality copper stranded Cores of 2.5 sq.
          mm size duly covered with polythene pipe buried under ground where very necessary.
          The microphone cables should be of good quality complete with necessary sockets
          connected properly and soldered.
       f) Voltage Stabilizer
          Voltage stabilizer of proper range should be provided to protect amplifiers against
          fluctuation of supply voltage.
          The above system should be commissioned and tested 30 hours prior to the time of
          meeting hours as directed.
          Provision should be made for additional requirement of equalizers, additional echo
          system, cordless microphone, Amplifier, Mixer etc.
          each
       For public music system of specific requirement, rates & specification shall be required to
       be derived at the time suggested by the authority of use.
       Sound & PA system for individual structure should be in line with above specifications
       according to size required.
       Entire Sound & PA system should have accesses from admin lounge.

10.17. COMPUTERS / LAPTOP
       Computers / Laptops should have following latest configuration like

10.18. CCTV SYSTEM
       Contractor shall have to set up CCTV camera at prominent location as directed by Police
       department.
       Control of entire CCTV system shall be in Admin Lounge and also Local control at various
       locations suggested by client.

10.19. VOICE & COMMUNICATION SYSTEM
       Contractor shall have to set up of telephone/intercom system with telephone instruments for
       entire venue as per the direction of Sports Authority of Gujarat & Professional Advisor.
       It shall be provided in all the structures. Main control of entire intercom system shall be
       provided in Sports Authority of Gujarat / Sports Authority of Gujarat office.
       The scope includes temporary telecom connections from various service providers.
