What is Investment Banking?                                                                      Origination of Business

 Investment banking is the process of helping corporations:                    Initiate/maintain contact with clients
         Raising capital – equity, debt                                        Solve problems
         Mergers & Acquisitions – buying, selling, or splitting                Generate ideas
          companies / assets                                                    Produce client pitches/materials
                 Buy-side: Institutional investors who invest in securities
                  (private equity funds, hedge funds, insurance
                  companies, pension funds)
                 Sell-side: Creators of securities who sell these products
                  to the buy-side (IPOs, private placements)                                      Execution of Business
         Other advisory services – takeover defense, fairness opinions         Due diligence

                          including DCF, comparable transactions, and peer analysis
                         Financial Modeling: Run models for evaluation of credit quality and to assist in
                          structuring and underwriting the transaction
        Analysts         Marketing Presentations: Work closely with Associates and Vice Presidents to
                          prepare client, investor, and rating agency presentations
                         Team Support: Provide assistance to the entire team during the execution of a
                          transaction including writing transaction memos and drafting the prospectus
                         Monitoring: Conduct ongoing monitoring of completed transactions
                         Research: Gather project-specific research on industries and prospects
