Clause 1. Object and duration of the Competition

France Télécom (hereinafter referred to as the “Organiser”), SA with a capital of 10 595 541 532 Euros,
registered with the Paris Trade and Companies Register under number 380 129 866, with its
headquarters at 6 place Alleray, 75015 Paris, is organising a free competition, without obligation to
purchase, entitled « Supporters’ Cup » (hereinafter referred to as the “Competition”) that can be
accessed via the website www.supporterscup.orange.com (the “Site”).

Participation in the Competition implies full acceptance of these rules in their entirety (hereinafter
referred to as the “Rules”), the codes of ethics in force on the internet, as well as laws, regulations
(including tax regulations) and other legislation applicable to competitions in France.

Failure to comply with the terms of participation stated in these Rules shall result in the nullification of
the entry.


The Competition will be open from 1pm on Wednesday 29 February 2012 to 1pm on Wednesday 21
May 2012 (GMT).

Clause 2. Participation

Participation in the Competition is open to any natural person aged 18 or over (hereinafter referred to
as the “Participants”) with Internet access and a valid address in any one of the following countries:
   - 1/ Armenia
   - 2/ Austria
   - 3/ Spain
   - 4/ France: Metropolitan France, Corsica, Monaco
   - 5/ Luxembourg
   - 6/ Moldova
   - 7/ Poland
   - 8/ Romania
   - 9/ United Kingdom
   - 10/ Slovakia,
   - 11/ Switzerland.

Entry into the Competition is prohibited for company representatives and employees of the Organiser
and of any company under the control of, jointly controlled by, or that controls the Organiser (pursuant
to article L. 233-3 of the Commercial Code) and any person who has participated in or is participating
in the organisation of the Competition and their family members (parents and offspring).

The Organiser reserves the right to request that any Participant provide evidence of fulfilling these
conditions. Any person not fulfilling these conditions, or refusing to provide evidence that he/she fulfils
them, shall be excluded from the Competition and in the eventuality of winning shall not receive a prize.
Clause 3. Procedures for Participating in the Competition

3.1. Registration and team building
To participate in the Competition, Participants must access the site
www.supporterscup.orange.com

Participants must first provide a valid email address, name and surname, country of residence (from
among the list of the 11 countries in Clause 2 of these Rules) and either (i) a password or (ii) by using
the “Facebook connect” service to be identified through their Facebook account.

Following registration, Participants may access the site as many times as they wish by providing either
(i) their email/password combination or (ii) by using the same Facebook account via the “Facebook
connect” service.

To be eligible for a prize Participants must create a “team” or join an existing “team”. A team shall be
composed of between 1 and 11 Participants.

If a Participant decides to create a team, he/she must invite other people to join the team by sending
an electronic invitation. The country of residence provided during the registration process by the
Participant who creates the team automatically determines the country ranking system the team shall
participate in. The country must be the Participants’ real country of residence otherwise the team will
be disqualified.

To join a team, Participants must use the invitation sent by a member of the said team.

Participants can leave a team up to 4 times during the entire period and no later than 11.59pm (GMT)
on 22 April 2012 to join another team or create a new team. By doing so, they lose all their points
and join the new team with a score of 0 points.

3.2 Participation in the team and point-winning competition
After connecting to the site, Participants may participate in a number of different challenges in order to
win points. Such challenges (“Challenges”) are games that are presented on the site or by using
the ”Orange Supporters’ Cup” mobile application (the “Mobile Application”).

The first Challenge, and accompanying instructions as to how to win points, shall be revealed to
Participants on the Site on the opening day of the Competition.

All subsequent Challenges, and instructions as to how to win points, shall be revealed to Participants
on the Site one after the other up until 16 May 2012.

A Participant’s points are added to the points won by the other members of the team to make up a
team score.

Over and above the “Challenges”, teams are invited to create and publish a video on the web site.
The video must correspond to a theme that will be revealed to all Participants during the Competition
and must comply with a number of rules that will be communicated to Participants via the website.
The videos shall be moderated by the Organiser before they are posted on the website. The
Organiser shall moderate the videos sent by teams as quickly as possible, within a maximum of eight
(8) days from when they are sent. The Organiser reserves the right to refuse any video that it
considers not to be in accordance with the theme and the rules of the competition without having to
justify the decision to the Participants. Any video that does not respect either the theme or the rules
will be removed. The other videos shall be posted on the web site and visitors shall be invited to vote
for their favourite videos. Teams whose video receives votes are awarded bonus points that are
added to the team score.

Final team scores at 11am GMT on 16 May 2012 shall be used to calculate:
   - Team ranking per country – 11 lists
   - Overall team ranking for all countries.

At this point in time, Participants can no longer win points and the rankings are blocked.
The rankings make it possible to name:
  - The winners of the prizes described in Clause 4.1 of the present rules; and
  - The thirty (30) top European teams that qualify for the final (hereinafter referred to as
       “Qualifying teams”). The Qualifying teams are the thirty (30) teams with the highest number of
       points in the “overall team ranking for all countries” AND that have submitted a video that has
       been accepted and posted on the web site.

On 16 May, all participating members of the Qualifying teams shall receive notification by email of their
team’s ranking and instructions for the next stage of the Competition. The date, time or receipt of the
messages shall depend on the accuracy of the email addresses provided by Participants and the
quality of the Internet network and connection. The Organiser cannot be held liable in the event of
problems with email routing.

The next stage of the competition is as follows:
  - A Jury composed of selected members of the organising firm, whose identities shall be
      revealed during the competition, shall view the videos submitted by the 30 Qualifying teams.

   -   At 1pm (GMT) on 21 May 2012 at the latest, the Jury shall, after deliberation, nominate:
           o The winners of the first prize as described in Clause 4.2 of the present Rules
           o The winners of the second prize as described in Clause 4.2 of the present Rules

        The Jury shall not be asked to justify their decision but their main criteria for selection shall be
        the respect of the theme communicated to all Participants.

Participants of the winning teams shall receive an email notifying them of their prize.
Each winning Participant must respond to the email within forty eight (48) hours and follow the
instructions it includes to allow the Organiser to organise the prize-giving ceremony.
If ALL the members of a winning team fail to reply on time, all the Participants of the winning team
shall irrevocably lose their prize and shall not be entitled to any form of compensation.
The Organiser reserves the right to:
    - In exceptional circumstances, award the prize to Participants of the winning team who replied
         within the given period.
    - In exceptional circumstances, award the prize to another team, the members of which must
         respect the same procedures and reply to the email they receive within forty eight (48) hours.
    - Not put the prize back into the competition.


Receipt of the emails shall depend on the accuracy of the email addresses provided by Participants
and the quality of the Internet network and connection. The Organiser cannot be held liable in the
event of problems with email routing.
3.3 Participation in the instant win competition

When Participants are connected to the Site, take part in the Challenges (as defined in Clause 3.1)
and win points, they are automatically selected to take part in the Instant Win games.

For each prize, a geographic zone (one or more countries) shall be selected by the Organiser and a
time and date (date/hour/minute/second) shall be predetermined before the Start Date and logged with
Maître Florence HUGUET-JOANNOU, Huissier de Justice, 164, avenue Charles de Gaulle, 92200
NEUILLY SUR SEINE.

Prizes and their corresponding geographic zones are detailed in Clause 4.3 of the present document.

The winner of a prize shall be the Participant who is registered in the geographic zone that
corresponds to the prize and is the fastest to win at least 1 point after the predetermined Instant Win
time from any of the Challenges.

The winner shall be notified by email sent to the address provided during the registration in the
competition. The email shall include the procedure to follow to receive the prize. The winner must reply
within forty eight (48) hours from the time the email is sent and comply with the instructions it includes.
If the winner fails to respond within this time, he/she shall irrevocably lose the prize and shall not be
entitled to any form of compensation.
The prize shall then remain the property of the Organiser and shall not be put back into the
competition.
Reception of the emails shall depend on the exactness of the email addresses provided by
Participants and the quality of the Internet network and connection. The Organiser cannot be held
liable in the event of problems with email routing.
Clause 4. Prizes

The prize cannot be disputed and cannot be exchanged, transferred or substituted in any form
whatsoever.

No claims can be made regarding the decisions taken by the Organiser which will pronounce its
decisions in a sovereign manner, without recourse.

The prize will only be given to the winner if he/she complied with the Rules of Participation in this
Competition.

4.1 Team prizes for country ranking

At 11am (GMT) on 16 May the teams having scored the highest number of points in each of the 11
country rankings shall be declared the winners.

The participating members (maximum 11) of the winning team for “Armenia” each receive:
   - 1 Sony Sony Xperia™ S phone worth at least 300 Euros or a prize of a similar worth or more

The participating members (maximum 11) of the winning team for “Austria” each receive:
   - 1 Sony Ericson Xperia™ S phone worth at least 300 Euros or a prize of a similar worth or
        more

The participating members (maximum 11) of the winning team for “Spain” each receive:
   - 1 Sony Ericson Xperia™ S phone worth at least 300 Euros or a prize of a similar worth or

The participating members (maximum 11) of the winning team for “France” each receive:

The participating members (maximum 11) of the winning team for “Luxembourg” each receive:

The participating members (maximum 11) of the winning team for “Moldova” each receive:
   - 1 Sony Ericson Xperia™ S phone worth at least 300 Euros or a prize of a similar worth or

The participating members (maximum 11) of the winning team for “Poland” each receive:
   - 1 Sony Ericson Xperia™ S phone worth at least 300 Euros or a prize of a similar worth or
        more

The participating members (maximum 11) of the winning team for “Romania” each receive:
   - 1 Sony Ericson Xperia™ S phone worth at least 300 Euros or a prize of a similar worth or

The participating members (maximum 11) of the winning team for “United Kingdom” each receive:
   - 1 Sony Ericson Xperia™ S phone worth at least 300 Euros or a prize of a similar worth or

The participating members (maximum 11) of the winning team for “Slovakia” each receive:
   - 1 Sony Ericson Xperia™ S phone worth at least 300 Euros or a prize of a similar worth or
        more

The participating members (maximum 11) of the winning team for “Switzerland” each receive:
   - 1 Sony Ericson Xperia™ S phone worth at least 300 Euros or a prize of a similar worth or
        more

For a total of 121 prizes.
4.2 Prizes for teams selected by the Jury

1st Prize:
An all-inclusive VIP trip for all members of the winning team (11 maximum) to the final of the UEFA
EURO 2012™ in Kiev (Ukraine) on 1 July 2012, worth at least 20 000 Euros for 11 persons.
The trip includes:
     - The trip from the capital of the country of residence of each member of the winning team to
         KIEV. Arrival in KIEV on 30 June 2012, departure on 2 July 2012.
     - Hotel accommodation in Kiev for two nights (30 June/1 July)
     - All meals during the stay in Kiev
     - Tickets for the final.
Personal expenses are not included.

To benefit from their prize, all Participants must be aged 18 or over, hold a valid passport and visa, if
required, for their trip to Ukraine. Participants are personally responsible for ensuring they have the
necessary documents.

2nd Prize:
An all-inclusive VIP trip for the winners of the 2nd prize (11 maximum) to the opening match of the
UEFA EURO 2012™ in Warsaw (Poland) on 8 June 2012 worth at least 20 000 Euros for 11 persons.
The trip includes:
    - The trip from the capital of the country of residence of each member of the winning team to
         PARIS (France).
    - Return from Varsaw to the capital of the country of residence of each member of the winning
         team.
    - Trip Paris > Warsaw by VIP BUS (on night include)
    - Hotel accommodation in Warsaw.
    - All meals during the journey to Warsaw and also during the stay in Warsaw.
    - Tickets for the opening match.
Personal expenses are not included.

4.3 Instant win prizes

To benefit from the trips on offer, all Participants must be aged 18 or over, hold a valid passport and
visa, if required, to enter the Schengen area and Ukraine. Participants are personally responsible for
ensuring they have the necessary documents.

4.3.1 For the “Armenia + Austria + Spain + France + Luxembourg + Moldova + Poland +
Romania + United Kingdom + Slovakia + Switzerland” zone:

    -   5 official Adidas UEFA EURO2012™ footballs worth 50 Euros each
    -   25 “Orange” t-shirts worth 5 Euros each
    -   22 “Orange” cap worth 2,5 Euros each
    -   10 “Orange” Table Football set worth 1,5 Euros each
    -   15 “Orange” Drawstring Bag worth 1,5 Euros each

4.3.2 For “Armenia”

14th 2012 ; worth at least 2500 Euros.
The trip includes:

     - Transfers between airport/hotel and hotel/stadium

4.3.3 For “Austria”
1 trip for two people to watch Greece/Russia in Poland (Warsaw National Stadium) ; Saturday, June

4.3.4 For “Spain”

4.3.5 For “France”

4.3.6 For “Luxembourg”

4.3.8 For “Poland”

4.3.9 For “Romania”

4.3.10 For “United Kingdom”
1 trip for two people to watch England-Ukraine in Ukraine (Donetsk Donbass Arena) ; Tuesday, June
19th 2012 ; worth at least 2500 Euros.
The trip includes:
     - Return flights between London-Donetsk
     - Transfers between airport/hotel and hotel/stadium
     - Twin-room hotel accommodation
     - Tickets for the match

4.3.11 For “Slovakia”
1 trip for two people to watch Czech Republic/Poland in Poland (Wroclaw Municipal Stadium) ;
Saturday, June 16th 2012 ; worth at least 2500 Euros.
The trip includes:
     - Return flights between Vienne-Wroclaw
     - Transfers between airport/hotel and hotel/stadium
     - Twin-room hotel accommodation
     - Tickets for the match

4.3.12 For “Switzerland”
1 trip for two people to watch France/England in Ukraine (Donetsk Donbass Arena) ; Monday, June
11th 2012 ; worth at least 2500 Euros.
The trip includes:
     - Return flights between Zurich-Donetsk
     - Transfers between airport/hotel and hotel/stadium
     - Twin-room hotel accommodation
     - Tickets for the match


Clause 5. Advertising

The Organiser reserves the right to organise any promotional activity or advertising and promotional
event related to this Competition.

As such, the winner agrees, by participating in this Competition, to his/her image being reproduced,
captured, filmed, photographed, and recorded by the Organiser for no consideration, for public
distribution for the entire duration of the Competition and for a period of one (1) year after the
Competition comes to a close and, to this end, grants all relevant permissions to the Organiser.

Accordingly, the winner covers the Organiser against any remedy and/or legal action that may be
instituted by a natural person or legal entity who believes they have any rights whatsoever to assert
over the use of their image and is likely to oppose its distribution.

It is understood that such use is conceded to the Organiser for no consideration and that this use does
not give rise to any compensation for the winner other than the prize won.
Clause 6. Request for reimbursement of connection charges

Reimbursement of the connection charges incurred participating in the Competition shall be limited to
one entry per day throughout the entire duration of the Competition. The connection charges will be
reimbursed for a maximum of 10 minutes of connection and a maximum amount of 1€.

Participants who do not pay connection fees related to the amount of usage (those with an “unlimited”
subscription, etc.) both for connections to mobile internet and for connections to fixed internet are not
entitled to a refund.

Reimbursement will be limited to one refund per Participant and on the condition that the Participant
has complied with the conditions for participation in the Competition. The request must be made not
later than 30 August 2012 (the postmark will constitute proof of posting).

In order to be reimbursed, Participants must legibly indicate their name, surname, email address and
postal address (the email address must be the same as the one used during registration in the
Competition) and, without fail, they must enclose their bank account details and a photocopy of the bill
(mobile or internet subscription) as proof. The amount of the reimbursement will be calculated on the
basis of 10 minutes of connection time.

The name of the person requesting the reimbursement must be the same as the name indicated on
the bill. Any request that is incomplete, illegible, sent to any address other than the one mentioned
above or received later than 30 August 2012 – the postmark will constitute proof of posting – shall be
considered void.

Reimbursements will be made by bank transfer within 90 (ninety) days of receipt of requests, after
verifying their validity. Otherwise, the Organiser reserves the right not to refund the internet connection
charges to an unidentified person.

For requests made by regular post, the costs incurred by the Participant when requesting
reimbursement shall be reimbursed on the basis of the cost of a regular postage stamp (20 grams) at
the current rate in the country the request is sent from. The costs of photocopying the supporting
documents are reimbursed on the basis of 10 Euro cents per sheet, upon being expressly mentioned
in the request for reimbursement of connection fees.

Clause 7. Liability

Participation in this Competition implies full acceptance of these Rules in their entirety. Any inaccurate
or untruthful statements or any fraud will result in the disqualification of the Participant. The Organiser
shall settle any dispute relating to the Competition and its Rules in a sovereign manner.

No reply shall be given to any telephone or written request concerning the interpretation or application
of these Rules, the mechanisms and procedures of the Competition or the list of winners.

Participants are obliged to comply with the codes of ethics in force on the internet and the provisions
of the Rules.

Indeed, participation implies knowledge and acceptance of the characteristics and limitations of the
internet and Mobile Application, particularly with regard to technical performance, response times for
searching, querying or transferring information, the risks of interruption and, more generally speaking,
the risks inherent to any connection or transfer on the internet, the lack of protection of certain data
against potential embezzlement and the risks of contamination by viruses that may be circulating on
the network.

It is stated that the Organiser cannot be held liable for any direct or indirect damage resulting from
interruption, malfunction of any kind, for whatever reason, or for any direct or indirect damage that may
result, in any way, from connection to the Site or from the use of the Mobile Application. All
Participants are responsible for taking all appropriate measures to protect their own data and/or
software stored on their computing equipment against all attacks.

They are solely liable for use of the Site and of the Mobile Application, as well as their participation in
the Competition.

The Organiser is not liable if the postal or electronic contact details supplied do not match those of the
winner, if they are erroneous or if winner cannot be contacted. In this case, it is not the Organiser’s
responsibility to conduct further research to locate the winner, who will consequently not receive either
their prize or any compensation or damages.

The Organiser shall not be held liable in the case of misdirected email or delays, losses, damages,
illegibility of stamps caused by the postal services, or carriers that intervened during delivery.

The Organiser reserves the right, for any reason whatsoever, to extend or cancel this Competition, in
accordance with clause 8 hereof. In particular this includes cancellation of all or part of the
Competition if it becomes apparent that fraud has occurred in any form whatsoever, including by
computer as part of participation in the Competition or the determining of winners. In this situation the
Organiser reserves the right not to award prizes to the defrauders and/or bring legal action against the
perpetrators of the fraud in the courts having jurisdiction.

In case of breach of the Rules by a Participant, the Organiser reserves the right to exclude as of right
any entry by said Participant, without said Participant being able to make any claim whatsoever, and
without the Organiser being under any obligation to have contacted said Participant in advance.
It is expressly understood that each Participant covers the Organiser against any legal recourse
brought by a third party claiming non-compliance by the Participant with one or more of the above-
mentioned rules.
The Organiser accepts no responsibility for any incident (damage, theft, loss) that may arise during the
delivery, use or enjoyment of the prize won.
If the prize is not claimed within forty eight (48) hours of the sending of the notification by email, the
winner shall lose the prize.
The Organiser accepts no responsibility after the prize has been handed over to the winner.
The Organiser reserves the right to institute legal proceedings against anyone who has defrauded or
attempted to do so. However, the Organiser cannot incur any liability whatsoever vis-à-vis the
Participants due to any fraud that may be committed by anyone other than the Organiser itself and/or
the Organiser’s agents and employees.

Clause 8. Cases of force majeure, right of extension, amendment

The Organiser shall not be liable if the Competition is modified, shortened or cancelled for reasons of
force majeure or reasons that are beyond its control.
It reserves the right, in all cases, to extend the participation period and to postpone any date
announced.
Participants will be notified of any changes by email.
The Rules may be amended at any time by the Organiser in the form of an amendment. In this case,
the amendment shall be lodged in the Office of Esq. Florence HUGUET-JOANNOU, Bailiff, 164,
avenue Charles de Gaulle, 92200 NEUILLY SUR SEINE and shall enter into force when it is posted
online. All Participants shall be deemed to have accepted the amendment simply by virtue of their
participation in the Competition from the date of entry into force of the amendment. Any Participant
refusing to accept the modification(s) must cease to participate in the Competition.
Clause 9. Data Protection

The Participants are informed that personal data about them that has been submitted to the Organiser
is computer processed for the sole purpose of managing the Competition.

Therefore, each Participant hereby expressly consents and authorises the Organiser, which is
responsible for processing the data that has been submitted to it, to store this data and to use it solely
for the purposes of the Competition, or, in the case of personal data comprised in the contributions
referred to in Clause 10, to use for the purposes described in Clause 10 Any personal data submitted
to the Organiser will be deleted at the end of the Competition or, in the case of personal data
comprised in the contributions referred to in Clause 10, at the end of its use for the purposes
described in Clause 10.
For the duration of the Competition, in accordance with the provisions of the Data Protection Act of 6
January 1978, any person who has provided personal data to the Organiser, on proving their identity,
has a right to access, modify, correct and delete the data held about him/her.

For all requests, write to:

Participants are informed and agree that by using Facebook connect and Twitter connect services to
participate in this Competition no personal data is transmitted to the Organiser.


Clause 10. Intellectual Property

In accordance with the laws governing literary and artistic property rights, the reproduction, display or
use of all or part of the elements that make up the Site, the Mobile application and Competition are
strictly prohibited.

The Participant authorises the Organiser, for the entire duration of the Competition and for a period of
one (1) year after the Competition comes to a close, to distribute, reproduce and display his/her
contributions. Thus the Participant authorises the Organiser to:

  -    reproduce and display the contributions by broadcasting them on websites (including social
  networks and video sharing platforms), television stations, cinemas for public broadcasts, closed
  circuit broadcasts and all internal uses, conventions, public and press relations, trade fairs,
  promotional festivals, etc.

  -           reproduce and display all or part of a contribution, including an excerpt, by broadcasting it on
  any medium for the sole purpose of presentation or promotion.

Consequently, the Participant shall be personally responsible for all claims and/or proceedings
regardless of form, purpose or nature that may be brought against France Telecom in connection with
the contributions or the obligations imposed by these Regulations.

Clause 11. Applicable law/Determining jurisdiction

The Rules are exclusively governed by French law. Any matters concerning the application or
interpretation of the Rules, any unforeseen issues that may arise, or any disputes that arise as a result
of the Competition governed by these rules or directly or indirectly related thereto, shall be settled in
accordance with French legislation.

Any disputes between the parties relating to these Rules shall be settled amicably or, failing that,
settled by the courts of Paris.
Clause 12. Lodging and consultation of the Rules

The Rules are posted online on the Site www.supporterscup.orange.com as well as on the Mobile
Application. It is possible to view and print the Rules.

The Rules are lodged with Esq. Florence HUGUET-JOANNOU, Bailiff, 164, avenue Charles de Gaulle,
92200 NEUILLY SUR SEINE

Postal costs related to a request for the Rules shall be reimbursed in the form of a postage stamp or
bank transfer at the current postage rate (less than 20 grams) to anyone who requests it.

The Rules can be requested in writing from the following address:

All requests must include the name, surname, and full postal address and bank details of the person
