									                           JOB DESCRIPTION – LEGAL ASSISTANT



Principle Accountabilities:

Transactional Related
 Maintain critical dates database in Access and distribute weekly.
 Review contracts, leases and other project documents for critical dates and track.
 Prepare and maintain closing checklist for various transactions, including purchase, sale,
      partnerships and financing.
 Prepare routine contract amendments, notices and closing instructions.
 Coordinate due diligence deliveries to third parties, including web-based electronic systems.
 Assemble/proof closing documents.
 Coordinate execution and delivery of closing documentation.
 Prepare/update closing binders, including tables of content for Central Files.


Filing Related
 Prepare and maintain electronic files in Laserfiche for Central Files and the Legal
       Department and some hard copy files, including transaction closing binders, leasing
       binders, owner association binders, development binders, contract binders, parking
       agreement binders and insurance binders.

Project Related
 Prepare/coordinate basic form documents, such as consulting agreements.
 Prepare/file UCC-1’s and UCC-3’s in connection with tenant leases.
 Review insurance certificates and update Insurance Table in Access.
 Assist with any questions regarding license requirements/changes – research each state
       regulatory law as needed.
 Coordinate license agreement requests, approvals and execution.
 Assist Transactions Managers and Paralegals as needed on projects.
