1.0 PROJECT INFORMATION
1.1 Background
The University is requesting Proposals to provide design services for the renovation of
the existing building to meet current and future IT demands for an existing Data Center
(the “Project”).
1.2 Project Description
Renovation of existing building to meet current and future IT demands for an existing
Data Center. The existing infrastructure is 26+ years old, and has reached the end of
useful life. A sample of items that need to be replaced in this facility include: UPS and
Power Distribution System, Battery Backup for Data Center, Entire Building Electrical
System (Primary & Secondary), Building & Data Center Generator Set and Automatic
Transfer Switches, Mechanical Cooling System for Data Center, Fire Detection and
Protection of the entire building, and major general construction as needed to expand the
existing electrical and mechanical system to occupy what was previously office space.
Design shall be planned, so the construction can be concurrent with operation of the Data
Center. Power outages to the Data Center must be limited to short duration (hours), few
in number, and only as necessary to complete the project.
A predesign (feasibility study) to replace the existing Uninterruptable Power Supply
(UPS) was completed December 14, 2009 and is attached. The intent of this project is to
complete a full building infrastructure Upgrade with a total project budget of $ 5,000,000.
Of the proposed options listed in the predesign study, the consideration to expand the
structure to include a 2nd floor addition is no longer being considered; therefore, all
renovations must be contained within the existing footprint of the building. Existing
office space is being vacated to make room for the expanded and future equipment needs
for the Data Center
The Basic Services for this project will include: Schematic Design Phase, Design
Development Phase, Construction Document Phase, Bidding / Negotiation Phase,
Construction Phase - Administration of Construction Contract
A complete schematic design package, including construction cost, will be required for
presentation and acceptance by the Capital Oversite Group (COG) and the Board of
Regents. The anticipated COG meeting is the second week of December 2012 and the
anticipated Board or Regents meeting is the second week of February 2013.

The Contract

However, please note the RFP Documents are subject to change. The University will
provide notice of any changes to the RFP as set forth in Section 3.8. Any information
provided to Respondents during the course of the RFP process, including the documents
enumerated in this Section 1.3, is provided only for your use in preparing your Proposal.
Respondents shall independently evaluate the information for their use in preparing the
Proposal and shall be solely responsible for their use or interpretation of the information.
1.4 Contract Sum
The selected Respondent will perform the Work for a Contract Sum that shall be a
Hourly Not-to-Exceed Fee that shall include all costs necessary to complete the Work in
accordance with the Contract, including Reimbursable Expenses itemized out as a
separate cost for the Project, Respondent’s overhead, and profit. The Respondent shall
state its proposed Contract Sum in Attachment E, as well as attach an Hourly-Rate
Schedule with their Proposal.
1.5 Critical Project Schedule Dates
The University requires the Construction Document Phase to be complete by no later
than August 4, 2013. The schedule required to meet this deadline must include all
University reviews required by this RFP or the then-current University Construction
Standards (available at www.cppm.umn.edu).
Construction is anticipated to occur starting June 3, 2013 and being substantially
completed by March 14, 2014.

2.2 Evaluation Criteria
2.2.1 The University will evaluate Proposals against the evaluation criteria for the degree to
which each Proposal meets the criteria as follows:

2.2.2 In order to be considered responsive, each Respondent must complete and submit all
required Attachments.
2.2.3 The University will evaluate and score each Proposal. The Respondent selected for
an award will be the one whose Proposal is responsive, responsible, and is the most
advantageous to the University, as determined by the University in its sole discretion.
2.2.4 Submission of a Proposal indicates the Respondent's acceptance of the evaluation
criteria.
2.3 RFP Cover Page and Checklist
The Respondent will prepare and submit the RFP Cover Page and Checklist. This
completed document should be the cover page of the Respondent’s Proposal. Failure to
answer the questions in the checklist or sign the cover page may result in disqualification.
2.4 Addenda Acknowledgement Report
The Respondent will prepare and submit the Addenda Acknowledgement Report. Failure
to complete may result in disqualification.
2.5 Proposal Form
The Respondent will prepare and submit a Proposal Form. The Proposal Form requires
information regarding a Respondent’s proposed team that will be used for the duration of
this Project. Failure to complete may result in disqualification.
2.6 Project Fee
The Respondent will prepare and submit information regarding their proposed Project
fee. Failure to complete may result in disqualification.
2.7 Targeted Business and Urban Community Development
Respondents will prepare and submit (if necessary), as part of their Proposal, University
Form 00658-C. Failure to complete may result in disqualification. The University will
evaluate completed forms as outlined in the Targeted Business and Urban Community
Development Guidelines (Form 00658-C2.) Failure to complete may result in
disqualification.
Respondent acknowledges that the University adopted a policy to establish and
implement Targeted Business, Urban Community Economic Development and Small
Business Programs (the “TGB Programs”), which is available at:
www1.umn.edu/regents/policies/administrative/TargetedBusiness.html.
Respondent hereby acknowledges that it has a copy of this policy. Respondent agrees that
as a material consideration for the University entering into the Contract, Respondent will

fulfill its commitments with regard to the TGB Programs set forth on University Form
00658-C and upon the University’s request provide substantiation of compliance. If a
potential awarded Respondent has not met the minimum requirements for successfully
passing this portion of the RFP, the University may work with the Respondent to help
them achieve this. However, the Respondent is not allowed to change their proposed fee
or schedule during this process.
2.8 Project Schedule
The Respondent will prepare and submit information regarding their proposed schedule
for the Project. The Respondent must take into account any critical dates identified in
section 1.5 when building their schedule. Failure to complete may result in
disqualification.
2.9 Project Work Plan
The Respondent will prepare and submit a Project Work Plan. The Project Work Plan
should emphasize the Respondent’s understanding of the Project requirements by
documenting their approach/methodology as it applies to the Project’s scope of work,
schedule, and budget. In addition, the Respondent should identify any constraints and
issues they see affecting the Project. Failure to complete may result in disqualification.
2.10 Respondent’s Team Qualification
The Respondent will prepare and submit information pertaining to their Team’s
Qualification which will identify the experience of the Respondents staff as well as the
Respondent’s design experience on comparable projects. The Respondent will further
identify which of their proposed team members have worked on the comparable projects.
All team members listed in this section should include their resume with this attachment.
A lack of prior experience and/or working together on comparable projects may hinder
your firms overall score. Failure to complete may result in disqualification.
2.11 Interviews
The University may shortlist (if necessary) the top rated Respondents. The shortlisted
Respondents may be required to participate in an interview period. The University may
interview all critical team members, including (but not limited to):

The Electrical Engineering Project Manager
The University may interview individuals separately or as a group. No other individuals
(from the Respondents) will be allowed to sit in or participate during the interviews
unless specifically requested by the University. The University may request additional
information prior to interviews.

All proposed team members must be available in person for interviews on the date
specified in this RFP. At the University’s discretion, substitutes, proxies, phone
interviews, or electronic interviews may be allowed. Individuals who fail to participate
in the interview may jeopardize the Respondent’s competitiveness.
3.0 INSTRUCTIONS TO RESPONDENTS AND RIGHTS RESERVED BY THE
UNIVERSITY
3.1 Vendor Registration Program
The University encourages that the Respondent register in the University’s Vendor
Registration Program for construction-related services. Instructions can be found on the
following website: http://www.uservices.umn.edu/purchasing/vendor_info.html
3.2 Proposal Submissions - Format and Content
Submit via e-mail one signed copy of your entire Proposal, with all attachments, in
Adobe® Portable Document Format (.pdf), to the University Contact set forth on page 1
of this RFP. The subject line of the e-mail shall include the words “Proposal Submission,
Project Number and Project Name” for this RFP.
3.3 Response Date and Time
3.3.1 To be considered for selection, the University Contact must receive Proposals no later
than the time and date of the submission deadline. The University assumes no
responsibility for Respondent delays due to technology or network issues.
3.3.2 The University will not accept Proposals received after the submission deadline.
Receipt by the University of a Proposal after the closing date and time as stated
herein shall not be construed as acceptance of the Proposal. The University will log
late Proposals as to date/time received. The University has no obligation to consider
or return late Proposals.
3.4 Use of Pencil; Alterations to Proposal
The University will reject Proposals made in pencil. The University will also reject
Proposals with alterations in cost figures used to determine price unless such alterations
are initialed in ink by the person responsible for or authorized to make decisions as to the
price quoted or other response made. Respondents shall provide proof of authorization to
the University upon request. The use of "white-out" is considered an alteration.
3.5 Duration of Offer
Proposals submitted in response to this RFP are irrevocable for 90 days following the
deadline for submission of Proposals. This period may be extended by written mutual
agreement between a Respondent and the University.

3.6 Public Information and Trade Secrets; Use of Proposals by the University
3.6.1 All materials submitted in response to this RFP are subject to the provisions of
Minnesota Statutes, Section 13.591, Subdivision 3(b).
3.6.2 After completion of the evaluation process, materials received will generally be
considered public information and the Proposal selected for Contract award will be
available for public inspection. By submission of a Proposal, Respondent releases the
University from any liability resulting from the University’s disclosure of such
materials and the information contained in them.
3.6.3 If Respondent believes it is submitting information in its Proposal that constitutes
“trade secret information" within the meaning of Minnesota Statutes, Section 13.37,
Respondent should clearly mark each page containing such information as "trade
secret" and submit such material in a separate envelope marked "confidential." This
envelope should also include an attorney’s opinion for each item, indicating the legal
basis for regarding it as trade secret information. Only legitimate trade secret
information within the meaning of Minnesota Statutes, Section 13.37, as determined
solely by the University, may be protected from disclosure.
3.6.4 By submitting a Proposal, Respondent also agrees to defend any legal or
administrative action seeking release of materials Respondent believes to be trade
secret information and to indemnify and hold harmless the University from any
judgments or damages awarded against any of them in favor of any party requesting
the materials, including any costs connected to that defense. If a request is made
under Minnesota Statutes, Chapter 13 for release of any materials submitted by
Respondent that Respondent deems to be trade secret information, the University will
notify Respondent of such a request, but the University will have no obligation to
commence or defend any action to prevent the disclosure of any materials, including
materials Respondent believes to be trade secret information or otherwise
confidential.
3.6.5 The University has the right to use the content of any Proposal received in response to
this RFP unless Respondent presents a positive statement of objection to such use in
the Proposal. In no event will such objection be considered valid with respect to the
use of ideas, which are not the proprietary or trade secret information of the
Respondent and so designated in the Proposal, or which were known to the University
before submission of such Proposal, or which properly became known to the
University thereafter through other sources.
3.7 Expenses
The University assumes no liability for payment of expenses incurred by Respondents in
preparing and submitting Proposals in response to this RFP.

3.8 University Right to Amend RFP
The University reserves the right to amend all or any portion of this RFP and its
requirements and RFP Documents. If the University modifies the RFP, the University
will issue an addenda. Any addenda to this RFP will be posted online with the RFP
Documents as stated in section 1.3. Respondents will be responsible for meeting the
requirements of all addenda and will be required to acknowledge receipt of all addenda
by completion of Attachment B of this RFP to the Proposal.
3.9 Additional Rights Reserved by University
The University reserves the right to:
Reject any and all Proposals received in response to this RFP.
Select for Contract negotiation, and award the Contract to, the Respondent whose
Proposal is the most advantageous to the University, as determined by the
University in the exercise of its sole discretion whether or not the Proposal is the
lowest cost Proposal.
Waive any irregularities or inconsistencies in Proposals received.
Consider and/or accept a written modification (requested by the University) of a
Proposal if the Proposal itself was submitted on time, and the modified Proposal
is more favorable to the University.
Approve or disapprove any sub-consultant proposed to be used by a Respondent.
Negotiate any aspect of a Proposal with any Respondent and negotiate with more
than one Respondent at the same time.
Terminate negotiations and prepare and release a new RFP, or take such other
action as the University deems appropriate if negotiations fail to result in a
Contract within a time acceptable to the University in its sole discretion.
Select more than one Respondent to perform various elements of the Project.
Clarify or seek from Respondents additional information on any Proposal.
Modify or eliminate the interview process.
Re-scope the Project.
3.10 Conflict of Interest
Any contractual relationship with any University personnel in the 12 months immediately
prior to the issuance of the RFP, any contact with University personnel regarding the
RFP, the Project, preparation of the Respondents Proposal, or evaluation of Proposals
submitted in response to this RFP, or any similar real or potential conflicts of interest,
may, in the sole discretion of the University, be grounds for rejection of the Respondent's
Proposal or termination of any Contract awarded.

3.11 Project Management Information System
The University may, at its sole option, direct the selected Respondent to use the
University’s internet-based Project Management Information System (“PMIS”). The
functionality of this software includes, but is not limited to, the processing of plan
reviews, purchase orders, change orders, Contract amendments, and payment.
4.0 CONTRACT FORM AND REQUIREMENTS
4.1 Form of Contract between the University and the Selected Respondent
The Contract between the selected Respondent and the University will be Owner and
Architect (Design) Agreement, AIA B101-2007, as modified by the University (available
at http://www.cppm.umn.edu/proposals.html), which is incorporated into this RFP (the
“Contract”). By submitting a Proposal, Respondent acknowledges and agrees that it
received, read, understands, and shall be bound by and comply with the Contract. No
exceptions or deviations to the Contract will be considered.
4.2 Sub-consulting
The selected Respondent may perform the Work through sub-consultants approved by the
University, provided the selected Respondent shall be responsible for the performance of
all of its sub-consultants. Use of any specific sub-consultants in the performance of the
Contract shall be subject to University consent. The selected Respondent must ensure
that any sub-consultants abide by all the terms and conditions of the Contract.
4.3 Laws and Regulations; Governing Law
The internal laws of the State of Minnesota, without giving effect to its conflict of laws
principles, shall govern the validity, construction and enforceability of this RFP, the
Proposal, and the Contract. All suits, actions, claims and causes of action relating to the
construction, validity, performance and enforcement of the RFP, the Proposal and the
Contract shall be in the courts of record of the State of Minnesota and venue shall be in
Hennepin County, Minnesota.
4.4 Liability and Insurance Requirements
4.4.1 The University requires that the proposed insurer for all required insurance be listed
by A.M. Best with a rating of A- VII or better.
4.4.2 The University requires that the Respondent maintain for the Project the insurance
coverage of the types and in the amounts set forth in Article 2 (Section §2.5) of the
Contract. If Respondent cannot obtain all of the required insurance, Respondent may
be disqualified from responding to the RFP.

4.5 Audits
The books, records, documents and accounting procedures and practices of any
Respondent the University selects for negotiation are subject to examination by the
University as set forth in the Contract.
4.6 Intellectual Property Indemnification
Respondents warrant that any information Respondent submits to the University in
connection with this RFP will not infringe or violate any patent, copyright, trade secret,
or any other intellectual property right of any third party. By submitting information to
the University, the Respondent agrees that, in the event any third party brings an
intellectual property infringement claim against the University, the Respondent, at its
expense, shall indemnify and defend the University against any loss, cost, expense, or
liability (including attorneys' fees) arising out of such claim, whether or not such claim is
successful against the University.
4.7 Project Evaluation
Upon completion of the Project, the Respondent may be evaluated by the University
based on their performance on the Project. This includes (but is not limited to): overall
quality, ability to manage cost and schedule, high customer satisfaction, and submission
of accurate documents. This rating may be used for competition on future projects. The
University’s evaluation of the Respondent shall be fair, based on facts, and non-abusive.

Professional Services Targeted Business Information
The University of Minnesota, Office for Business and Community Economic Development
(OBCED), supports the development of small, diverse businesses through varying programs.
This initiative focuses on businesses certifiably owned and operated by women, minorities, and
persons with disabilities. The scope of this Project should reach into the communities represented
by the University’s Targeted Business Program (TGB) and provide sustainable economic
opportunities for protected classes. The University’s goal is to have a minimum of 10%
Targeted Business or community involvement on this project.
During the performance of this Contract the Respondent is encouraged to support the University
of Minnesota’s inclusion initiatives by (1) utilizing a certified WMDBE firm to supply goods
and/or services for a portion of this Contract; (2) collaborate with OBCED to provide
scholarships and/or internships to protected class students; (3) support the University’s goal of
training and economic development by mentoring a TGB firm. In order to be considered a viable
Respondent for this Project, select one or more of the following options:
Option #1 (25 Points)
1. During the performance of this Contract the Respondent will PURCHASE GOODS FROM
AND/OR SUBCONTRACT WITH A TARGETED BUSINESS for a portion of this

Option #1 – Maximum Points Available: 25
Percent of Contract utilizing Targeted Businesses. Clearly defined the Target Business partnership for
subcontracting goods and/or services to a Targeted Business.

Notes for Option # 1: If you contract with a targeted business, you should automatically also qualify for
Option #3 which involves mentoring a targeted business. It is the University’s intention that providers
include targeted businesses in multiple facets of the project. In addition to buying goods and services,
including them on the project team, and hopefully, providing them with knowledge and skills to reach the
next level in their business. Option #3 merely addresses how the relationship will benefit both the mentor
and the mentee.
Option #2 – Maximum Points Available: 25
Identify Scholarships and/or Internships utilizing students from the University of Minnesota.
1. Respondent will utilize Interns on this project from the University of Minnesota to support
student development; or
2. Respondent will provide Scholarships to support University student development.
Notes for Option # 2: The Respondent may include an intern from ANY college within the University to
work on the project. The intent is to create a relationship for student development within the industry
which certainly can include the College of Design, Carlson School of Management, etc. The two colleges
mentioned in the questionnaire are merely suggestions. In addition, the respondent isn’t required to pay
money for scholarships. They can bring a student into their firm and cover the student’s internship
requirements to graduate. These can be paid or non-paid internships.
Option #3 – Maximum Points Available: 20
Respondent has established a relationship with a Targeted Business and clearly defined mentor/mentee
relationship including expected outcomes from collaborating on this project.
Notes for Option # 3: This option is for women and minorities with established businesses, not student
interns. If you already have a relationship with a WMBE firm, and that relationship will roll into this
Project, then it qualifies to meet the criteria of this question. If you are looking for a firm to partner with,
there is an A & E partnering program through MEDA and the contact person is Tim Kennedy at
tkennedy@meda.net. However, we are sure there are WMBE firms in the A&E professional organizations
that are looking for an opportunity to partner with a larger firm.

PROJECT SCHEDULE
1. Respondent must attach a suggested total Project schedule (including all design and
construction phases that are required for the Project). This should be a realistic schedule
that allows adequate time for University reviews/decision-making at all critical steps of
the Project. The schedule should provide a high level overview including all major
milestones. When preparing the schedule, assume the following:
a) University Project team reviews will occur as required by the current University
Standards Distribution Matrix, which can be found as Appendix X on the University
Capital Planning and Project Management web site at
www.cppm.umn.edu/standards.html. While progress on design can be made during
the review periods, reviewers have two weeks to provide responses.
b) For Projects greater than $500,000, the Facilities Committee of the Board of Regents
must review and approve schematic plans for the Project. The schedule shall include
one month for this process. Board of Regents yearly schedule can be found at:

2. State what events or issues could impede your ability to achieve the completion date (or
any other critical dates) stated in Section 1.5 of the RFP.
NOTE: The Respondent MUST use the authorization to proceed date stated in Section 2.1

work prior to this authorization to proceed date.

DESIGN EXPERIENCE
