              SPECIAL CONFERENCE CALL MEETING MINUTES

                                             March 30, 2005
CALL TO
ORDER          Marcia Jensen, Board Chair, called the conference call meeting to order at 9:05 a.m. Due and
               proper meeting notice was provided.

NEW BUSINESS   FINANCIAL

               Acceptance of Student Housing Bid

               Mike Gaudette, Dean of College Advancement, briefed the Board on the bids that were submitted
               by Essex Construction and Harmon Construction.

               Gaudette indicated that the bids came in about 16-19% higher (approximately $500,000)
               than expected and that there were several options to take to help defray the added costs. He
               stated that this afternoon he, Dean Meyer and President Kridelbaugh would be talking with
               Essex Construction (lowest bidder) about some project engineering that might be done. He
               pointed out that time constraints and liquidated damages, if the time frame was not met,
               were both cost drivers.

               President Kridelbaugh indicated that he would get back to the Board sometime after the
               discussion with Essex Construction.

               Harry Abel talked about the possibility of completing the project in four phases, which
               would open up the pool of available contractors by allowing smaller contractors to compete
               for the job. President Kridelbaugh stated that this would require four different bids and
               could in the long run end up costing more.

               No action was taken on this topic.

ADJOURNMENT    No further business was submitted for discussion and the conference call meeting was adjourned
               at 9:20 a.m.
