					                            Marketing Consultant Agreement

Agreement made on the (date), between (Name of Owner), a corporation organized and
existing under the laws of the state of (name of state), with its principal office located at
(street address, city, state, zip code), referred to herein the Owner and You, and (Name
of Consultant), a corporation organized and existing under the laws of the state of
(name of state), with its principal office located at (street address, city, state, zip code),
referred to herein as Consultant.
For and in consideration of the mutual covenants contained in this Agreement, and
other good and valuable consideration, the parties agree as follows:
1.     Consultation Services. Owner hereby employs Consultant to perform the
the services described in Exhibit A attached hereto and made a part hereof, in
accordance with the terms and conditions set forth in this Agreement.

2.     Term of Agreement. This Agreement will begin on (date) and will end on (date).

3.    Time Devoted by Consultant. It is anticipated the Consultant will spend
Approximately (number) (days or hours) in fulfilling its obligations under this Agreement.
The particular amount of time may vary from day to day or week to week. However,
the Consultant shall devote a minimum of (number) (days or hours) to duties in
accordance with this Agreement.

4.     Place Where Services Will Be Rendered. The Consultant will perform most
services in accordance with this Agreement at (street address, city, state, zip code). In
addition the Consultant will perform services on the telephone and at such other places
as designated by the Owner to perform these services in accordance with this
Agreement.

5.     Payment to Consultant. The Consultant will be paid at the rate of $_________
per (e.g., hour) for work performed in accordance with this Agreement, and provided
the efforts are successful. The Owner will pay the Consultant the amounts due as
indicated within (number) days of receiving an invoice from Consultant.

6.     Independent Contractor. Both the Owner and the Consultant agree that the
Consultant will act as an independent contractor in the performance of its duties under
this Agreement. Accordingly, the Consultant shall be responsible for payment of all
taxes including Federal, State and local taxes arising out of the Consultant's activities in
accordance with this Agreement, including by way of illustration but not limitation,
Federal and State income tax, Social Security tax, Unemployment Insurance taxes, and
any other taxes or business license fee as required.

7.      Confidential Information. The Consultant agrees that any information received
by the Consultant during any furtherance of the Consultant's obligations in accordance
with this Agreement, which concerns the personal, financial or other affairs of the
Owner will be treated by the Consultant in full confidence and will not be revealed to any
other persons, firms or organizations.

8.     Employment of Others. Both the Owner and Consultant may from time to time
request the arranging of services of others. All costs for those services will be paid by
the Owner but in no event shall the Consultant employ others without the prior
authorization of the Owner.

9.    Severability. The invalidity of any portion of this Agreement will not and shall not
be deemed to affect the validity of any other provision. If any provision of this

I received my B.B.A. from the University of Mississippi in 1973 and my J.D. from the University of Mississippi School of Law in 1976. I joined the firm of Wells Marble & Hurst in May 1976 as an Associate and became a Partner in 1979. While at Wells, I supervised all major real estate commercial loan transactions as well as major employment law cases. My practice also involved estate administration and general commercial law. I joined the faculty of Belhaven College, in Jackson, MS, in 1996 as Assistant Professor of Business Administration and College Attorney. While at Belhaven I taught Business Law and Business Ethics in the BBA and MBA programs; Judicial Process and Constitutional Law History for Political Science Department); and Sports Law for the Department of Sports Administration. I am now on the staff of US Legal Forms, Inc., and drafts forms, legal digests, and legal summaries. I am a LTC and was Staff Judge Advocate for the Mississippi State Guard from 2004-2008. I now serve as the Commanding Officer of the 220th MP BN at Camp McCain near Grenada, MS. I served on active duty during Hurricanes Dennis (July, 2005), Katrina (August, 2005) and Gustav in 2008. I played football at the University of Mississippi in 1969-1971 under Coach John Vaught.
