                                TERMS AND CONDITIONS

GENERAL POLICY
Irbit MotorWorks of America (IMWA) and Ural Parts of Michigan (UPM) only sell to state licensed Ural dealers
and Ural Service Centers. IMWA/UPM does not engage in retail sales and reserves the right to qualify any account
seeking to purchase motorcycles, parts and/or accessories. All orders must be submitted by the online ordering
system only. Phone, fax and email orders will not be processed. Dealers must use the online order form and fill it out
completely. If there are questions the dealer will be contacted before shipping. IMWA will make every effort to
ship your order within 2 business days.

PAYMENT
All questions regarding your parts account statement should be directed to the accounting department at IMWA.
Visa, MasterCard, and Discover are the preferred method of payment. ALL DEALERS AND SERVICE CENTERS
ARE NOW ON CREDIT CARD ONLY ACCOUNTS. A credit card must be on file for UPM to complete your
order.

SHIPPING CHARGES
All shipments are sent via UPS ground, any shipping upgrades need to be noted before submitting the online order
form. All shipping will be processed through the UPM UPS account and charges will be added to the invoice total.
All orders are subject to a $6 handling fee. Orders shipped by truck freight or require special packaging (i.e. crating,
etc.) will incur a $60 handling fee. Drop shipments will be handled on an as needed basis. Tracking numbers will be
provided with every shipment using the UPS shipment notification email.

BACKORDERS
If a product is ordered that is out of stock you will be contacted regarding any shortages on your order. IMWA/UPM
reserves the right to split shipments on all back orders, you will be notified when back ordered products are received
prior to shipping by IMWA/UPM. All back orders are filled “first come, first served” (oldest backorders are filled
first) and will not be cancelled unless requested by you. Quantities shipped may be less than the total quantity on
backorder due to limited availability from our suppliers.


RETURNS
All sales are final except for defects in manufacturing. DO NOT RETURN MERCHADISE without prior approval
from IMWA or UPM. Return merchandise must be in original packaging and in good working order. Except for
warranty returns, all return merchandise is subject to a restocking fee up to 20 percent. You may also be responsible
for return shipping charges unless
authorized by IMWA/UPM. All sales are final on closeout, sale-priced and discontinued items. No exceptions.

DAMAGES
All goods are carefully packaged and shipped. All damaged packages need to be reported to the shipping company
prior to contacting IMWA. We will make every effort to assist you with your claim.

MISSING PARTS
IMWA and UPM try very hard to make sure that all orders are correct and complete. In the event you discover an
item on the sales order that is missing from the shipment, please contact IMWA/UPM within 5 business days of
receipt so the shortage can be rectified. After 5 business days, IMWA /UPM will not be responsible for the missing
items.

PRICING
IMWA will make every effort to provide accurate dealer and MSRP pricing and will attempt to limit changes. You
will be updated of price changes whenever possible. IMWA and UPM reserves the right to change any advertised
price based on manufacture price increases. If you have any question regarding prices please consult IMWA or
