                                         INSTRUCTIONS FOR SUBMITTING PROPOSALS

To be considered, all proposals must be submitted in accordance with these instructions.

NOTE:     THE FOLLOWING ARE GENERAL INSTRUCTIONS FOR SUBMITTING PROPOSALS. ADDITIONAL AND/OR
          CONFLICTING INSTRUCTIONS OUTLINED IN THE GENERAL SPECIFICATIONS IN THIS REQUEST FOR
          PROPOSAL (RFP) MAY SUPERSEDE THESE INSTRUCTIONS.

A.        ISSUING OFFICE
          The Communications Director, Summit County Communications Center, issues this RFP for Summit County.

B.        PURPOSE
          This RFP is designed to provide prospective firms sufficient information to enable them to prepare and submit proposals
          for consideration by Summit County.

C.        SCOPE
          This RFP contains the instructions for submitting proposals, the information to be included in the response and any
          mandatory requirements that must be met to have the response be eligible for consideration.

D.        WHO SHOULD RESPOND
          Summit County is hereby soliciting and contacting prospective firms who are known to do business relevant to this RFP.
          All interested firms are invited to submit a proposal in accordance with the specifications, procedures, dates and times as
          set forth herein.

E.        INQUIRIES
          Prospective firms may make written or verbal inquiries concerning this RFP to obtain clarification of the proposal
          requirements. If specified, a pre-proposal conference or a mandatory pre-proposal conference may be scheduled to
          clarify information contained within the RFP. All interested firms will be invited to attend at the date and time specified.
          No inquiries will be accepted after five (5) calendar days before the RFP closing date.

F.        ADDENDUM OR SUPPLEMENT TO REQUEST FOR PROPOSAL
          In the event that it becomes necessary to revise any part of this RFP, an addendum will be provided to each firm who
          received the original RFP or, if applicable, only to those firms who attended a mandatory pre-proposal conference.

G.        PROPOSAL SUBMISSION
          Your proposal must be received on or before the date shown on the RFP. Firms mailing their proposals must allow
          sufficient delivery time to ensure receipt of their proposals in the Summit County Communications Center on or before the
          time and date specified. The proposal package should be delivered or mailed to:

          One (1) proposal clearly marked “ORIGINAL” and two (2) copies should be submitted in a sealed envelope(s) or
          container(s) with the name of the proposer’s firm clearly shown on the top left hand corner of each envelope. The
          following information must be clearly shown on the bottom left hand corner of each envelope:

                         “RFP NO.: 05-004, TECHNICAL SERVICES FOR DIGITAL VOICE RECORDER SYSTEM.”

          Note: Proposals should not be submitted by facsimile machine. Typically, proposals consist of several pages of required
          documentation. The Procurement Specialist opens the proposals at the specified time, tabulates their completeness and
          distributes them to members of the Evaluation Committee. Due to time schedules that have been preset with the
          committee members, it is suggested that the original proposal packages be delivered or mailed to be received as
          described above.

H.        LATE PROPOSALS
          Late proposals will not be accepted. It is the responsibility of all firms to ensure that the proposal arrives in the office of
          the Procurement & Contracts Department by, or prior to, the date and time specified in the RFP.

I.        REJECTION OF PROPOSALS
          Summit County reserves the right to reject any or all proposals received, to waive informalities and minor irregularities,
          and to accept any portion of a proposal deemed to be in the best interest of Summit County.

J.        PROPRIETARY INFORMATION
          Any restrictions on the use of data contained within a proposal must be clearly stated in the proposal itself. Proprietary
          information submitted in response to this RFP will be respected in accordance with applicable Summit County
          Procurement Regulations and Colorado law.

K.        MATERIAL OWNERSHIP
          All material submitted regarding the RFP becomes the property of Summit County and will be returned to the proposing
          firm at the County’s option. Summit County reserves the right to use any or all ideas presented in reply to this RFP,
          subject to limitations outlined in (J) Proprietary Information. Disqualification of a RFP does not eliminate this right.

L.    INCURRING COSTS
      Summit County is not liable for any cost incurred by a firm in developing its proposal unless stated otherwise in the RFP.
      Awarded vendor(s) may elect to extend the resulting contract or price agreement, pricing, terms and conditions to any
      Colorado political subdivision, but is not obligated to do so.

M.    RFP CLOSING DATE
      All proposals must be received by the date and time specified in the RFP. In the event of an emergency situation (i.e.,
      large snowstorm, tornado, etc.), which causes the Board of County Commissioners (BOCC) to close the Summit County
      offices, the Summit County Communications Center (SCCC) has the authority to reschedule the RFP closing date. All
      firms will be allowed to resubmit their proposals prior to the new date and time specified.

N.    INSURANCE
      The successful firm will be required to provide any or all of the following insurance coverage at its own expense and
      maintain such coverage for the duration of the contract:

      1.   Standard Workers’ Compensation and Employer’s Liability Insurance, including occupational disease, covering all
           employees engaged in the performance of work at the site.

      2.   Comprehensive General Public Liability and Property Damage Insurance:

                NOTE: THE COUNTY SHALL BE NAMED AS ADDITIONAL OR CO-INSURED ON THE INSURANCE
                CERTIFICATE.

      If Workers’ Compensation insurance is carried by the State Compensation Insurance Fund, evidence of such coverage
      shall be submitted on a certificate form or, if the insurance is by private carrier, evidence shall be on certificate of
      insurance. Evidence of coverage shall be submitted to the Summit County Communications Center.

      3.   Professional Liability (if applicable) must be commensurate with risks of services provided under the resulting award
           of contract.

      4.   Errors and Omissions, which must be commensurate with risks of services provided under the resulting award of
           contract.

O.    CONFLICT OF INTEREST
      Failure to disclose a conflict of interest is a misdemeanor criminal offense under Colorado Law. Such conflict may arise if
      any public official exercises any substantial discretionary function in connection with a government contract, purchase,
      payment or other pecuniary transaction without necessary disclosures as defined by Colorado Revised Statutes (C.R.S.)
      Section 18-8-308 as amended.

P.    EVALUATION PROCESS
      1. Committee
         An Evaluation Committee comprised of personnel from various Summit County departments will evaluate all
         proposals received in a timely manner for completeness and the firm’s stated ability to meet all specifications as
         outlined in the RFP.

      2.   Disqualification
           Failure by a firm to provide all information requested in the RFP may result in disqualification of the proposal.

      3.   General Evaluation Criteria
           Examples of evaluation criteria by which each firm’s submitted proposal will be evaluated are as follows:

           a.   Fee Schedule, including reimbursements
           b.   Technical content of the proposal, methodology, understanding of, and approach to the project
           c.   Previous background and experience of the firm relevant to this RFP
           d.   Workload
           e.   Consultants proposed for this project
           f.   Experience of staff assigned to this project
           g.   Estimated time required for completion of the project
           h.   Location of offices
           i.   References, including contact names and phone numbers
           j.   Past experience with vendors

          k. Willingness of the firms to accept and negotiate under the conditions of the Summit County contract as
                  submitted within this RFP.

             Information submitted by the vendor should be in the order as outlined in the RFP Requirements and must clearly
             address each item. Each item listed in the RFP Requirements will be given a numeric weight and will be evaluated
             and scored independently by each Evaluation Committee member.

             Short List
             The Evaluation Committee may short-list the firms whose proposals are considered to be in the best interest of the
             County. Those firms may be scheduled for an interview with the committee.

             Negotiations
             The contract terms and conditions will be reviewed, discussed, negotiated and finalized for recommendation for
             approval by the Attorney’s office, County Manager and BOCC.

             In the event a contract cannot be negotiated with the first firm selected, the Evaluation Committee will select a
             second firm to repeat the negotiation process, and a third firm, if necessary.

             Recommendation
             The objective of the Evaluation Committee will be to recommend the firm whose proposal is most responsive to
             Summit County’s requirements while staying within the funds budgeted. The specifications within this RFP represent
             the minimum performance necessary for response by any interested firm.

             Upon recommendation by the Evaluation Committee and the Department Head, the contract will be presented to the
             BOCC at a scheduled public agenda meeting for approval. All required signatures, as well as approval by the
             Budget Office, must be obtained prior to submittal for approval.

             All contractual documentation will become public information, according to C.R.S., Title 24, Article 72, for public
             (open) records, upon recommendation to the BOCC.

Q.      AWARD
        A Notice of Award will be issued to the successful bidder. Any final documentation necessary to complete the contract
        requirements will be requested at that time (i.e., Performance Bond, original Certificates of Insurance) and the firm will be
        given ten (10) days from date of the Notice of Award to acknowledge and comply with these requirements. Final
        negotiation of the contract must occur within ten (10) days of Summit County’s issuance of a Notice of Award.

        Failure to comply with the requirements of the Notice of Award may result in the termination of the award. The contents of
        the proposal by the successful firm will become a part of the contractual obligation if a Notice of Award action ensues.
        Failure by the successful firm to accept the obligations specified in a purchase order, contract or similar acquisition
        instrument shall result in cancellation of the award and loss of any Bid Security. Such firm may be restricted from future
        solicitations for a minimum period of one (1) year.

        Once all required documentation is received, a fully executed copy of the contract will be sent to the successful firm.

1. INTRODUCTION & PROJECT APPROACH
   1.1. PURPOSE
      Summit County Communications Center here forward referred to as SCCC is planning to
      replace an existing Digital Voice Recording System software package by 1 October
      2005. This software package will need to provide functionality to support a 911
      emergency communications center for both phone and radio recording. SCCC, which is
      managing this project, is releasing this RFP to solicit proposals for the procurement of a
      fully functional recording solution.
   1.2. PHYSICAL LOCATION
      The SCCC is located at 0227 CR 1003, County Shops Road in Frisco, CO, and will be
      the primary site of the project.


2. RESPONSES
   2.1. SCCC will receive responses to this RFP until 5:00pm, September 7th, 2005. Notice of
       award will take place after September 14th, 2005 with contract initiation slated to begin
       after October 1st 2005.
   2.2. Failure to provide adequate information to enable SCCC to evaluate your company,
       proposed subcontractors, proposed systems, and system features, will be considered
       unresponsive, and may result in the elimination of your entire response from
       consideration.
   2.3. SCCC will not rely solely on descriptive literature or product brochures. Each statement
       should contain a written response from the Bidder. Statements such as: Understood,
       Comply, or Not Comply should set off each response. Ambiguous responses such as,
       “Will provide more information on contract award” will be deemed unresponsive and
       may result in the elimination of the Vendor’s offering.


3. PROJECT DESCRIPTION
   3.1. General Overview
      The contractor shall be responsible for providing a complete digital voice recording
      solution. In addition this system should provide functionality for recording playback,
      record retrieval, scenario recreation and quality assurance.

4. ARCHITECTURE
   4.1. The system should have a distributed, fault-tolerant architecture such that a single
       component failure shall not result in the loss of any data from either client workstation or
       server.

   4.2. The system shall be built upon an industry standard database architecture utilizing an
       ODBC compliant structure with preference given to Microsoft SQL Server Enterprise®
       edition or MySQL.

   4.3. All databases and interface software shall use and be tested with Windows XP Pro®
       and 2000 Pro® for client workstations.

   4.4. The system should use either a Windows Server or Linux operating system for the
       server.

   4.5. All client to server communication must be able to work within an Active Directory
       environment.

   4.6. The system shall log any access to any records with a fixed time date stamp, user name
       or ID and preferably IP address of access.

   4.7. The database architecture should be designed to work in a cluster environment if this
       option is desired now or in future implementation.

   4.8. The system must be able to use a 100-t network and a TCP/IP protocol stack for client
       to server communications, no other communications standards will be evaluated.

   4.9. All software provided shall be tested for compliance with major anti-virus protection
       programs namely Network Associates VirusScan® Enterprise. Any compatibility issues
       shall be clearly annotated in the response.

   4.10. The system shall provide some means of automated backup and truncating of old
       records for archiving purposes with minimal user interaction.

   4.11. All servers shall have the ability to operate redundantly either by a cluster server
       configuration and or independent server paths. All components shall have redundancy
       with RAID ability built in (power supplies, RAM, hard drives etc.) with an ability to
       backup to DVD-Ram or high capacity tape drive. All servers shall be of high quality
       design from a reliable vendor (e.g. IBM, HP, Dell).

   4.12. The system as an option should be able to use two-factor authentication for logon and
       the second form should be biometric.

5. CAPACITY
   5.1. The system should be able to provide for a minimum of 32 channels of recording.
   5.2. The system should be able to maintain at least six (6) months or 12000 channel hours
       of recordings on local disks without accessing any archive media with at least 16 kbps
       of recording quality.
   5.3. The system should be able to interface with a storage area network (SANS) from Left
       Hand Technologies to provide for higher capacity long term archiving if it is so desired.


6. COMPATIBILITY
   6.1. The system must be able to integrated with a Plant Vesta Pallas phone system in order
       to retrieve ANI/ALI stamps and outgoing DTMF code.
   6.2. System must have been tested for C2 compliance as defined by the U.S. Department of
       Defense providing "discretionary" (need to know) protection through the inclusion of
       audit capabilities for accountability.


7. SYSTEM
   7.1. The system shall have live monitoring capabilities.
   7.2. The system as a preference should have the ability to create an authentication hash
       value based upon the original recording to ensure that it has not been tampered with.
   7.3. System must be capable of simultaneously playing back audio from one to four
       channels to the front panel speaker without affecting system's normal recording
       capacity.
   7.4. System must be able to play back multiple recordings on multiple PC's simultaneously.
   7.5. The system must be equipped with centralized media management for tracking archive
       media. If a call has been archived the system must automatically let the user know on
       which media number the call can be located.
   7.6. The system should have the ability to attach a WAV or MP3 file to an e-mail through a
       simple procedure from voice logging software environment, by means of clicking on the
       icon with that function.
   7.7. System must have remote monitoring capability from any designated PC or one or more
       designated dispatch positions on the network.
   7.8. "Monitoring" functionality shall include warning signals for levels of media indicating at a
       minimum the following signals: nearly full, full, media write error, no media. Such
       warning should be of a visual and audio nature.

   7.9. System must be capable of being accessed from remote PCs for voice playback by a
       minimum of four remote PCs without causing any interference with the standard
       recording features.
   7.10. System must be able to play back recalled voice recordings from either hard disk or
       removable media.
   7.11. The system must display which channels are recording, which are not recording and
       which channels have been idle for a user settable period of time as protection against
       line failure.
   7.12. The system and media will provide for over-record and over-write protection such that
       data will not be accidentally over written. The user should be able to program for a
       specified protected media retention period. When such a retention period is chosen.
       Previously recorded media that has not yet expired cannot be subject to formatting and
       reuse until the expiration of the retention period.
   7.13. System must be able to perform an automatic daily backup of the call record database
       without having to shutdown the log or stop recording.
   7.14. System must ensure continuous recording of all calls in event that there is an archiving
       error, by means of utilizing all of the system’s hard drive space and, if configured or
       allowed, using free space on the user's network, and generally ensuring ample time to
       correct the archiving error.
   7.15. The system must provide user specific access rights down to the channel level.
   7.16. It is preferable that workstation licensing be concurrent licensing allowing end user to
       install client software on an unlimited number of workstations at no additional charge
       per workstation.


8. INSTALLATION
   8.1. It is preferable to SCCC that our technicians perform the installation in-house. If
       training is required in order to do this please specify the length and costs for this
       training.
   8.2. If the system is to be installed by outside contractors please specify who will be involved
       and give a short resume of the lead installer. This installation must not interfere with
       ongoing business of SCCC.

9. SYSTEM DOCUMENTATION / MANUALS
   9.1. The vendor shall furnish four (4) complete bound system manuals upon completion of
       the system installation along with one electronic copy. This manual should include the
       following:
      9.1.1. A complete instructions manual for all equipment in the system shall be provided.

      9.1.2. Instructions for the determination of trouble reporting, including all trouble report
            telephone numbers and personnel contact information shall be provided with the
            system.

      9.1.3. Complete instructions for system administration, system and client installation and
            end user training should be provided.

      9.1.4. A complete schematics and parts list for all equipment in the system.

      9.1.5. A complete description of the nature and scope of training functions for SCCC
            personnel and managers must be provided.



10. TRAINING
   10.1. Training will commence on or soon after October 1st, 2005 and must be completed by
       November 1st, 2005.

   10.2. Name the person who will be responsible overall for training. Include a brief resume of
       all training personnel who will be involved in this project.

   10.3. Describe the proposed training of personnel. Include personnel by classification to be
       trained, the number to be trained at any given time, duration of the program, location of
       training, curricula, training materials available, number and frequency of sessions, and
       number and level of instructors. Describe each proposed training course. Provide a
       sample of user’s guide.

   10.4. Describe your training program for up to four system administrators and maintenance
       personnel and follow up training.

   10.5. Explain if there is any cost associated with training and why, but do not state actual
       costs in this response. Any training costs must be addressed in the cost package.


11. ONGOING SERVICE
   11.1. A complete description of the Service Contract must be included with this bid and cost
       must be included in the cost package.

   11.2. Version upgrades must be described detailing what will and will not be included in the
       service package. Specifically, please describe the difference if any between service
       pack and “dot” upgrades vs. full version number upgrades.

   11.3. Describe the costs for additional training of personnel, and availability of ongoing
       training.

   11.4. All service shall be performed with the system fully operational. The system shall not
       be rendered inoperable for the purpose of routine maintenance, system software
       upgrades or hardware additions.


12. MINIMUM QUALIFICATIONS & SUBMITTAL REQUIREMENTS
   12.1. Persons interested in performing technical services for this project shall make their
       response to this RFP in standard presentation. Proposals should include consultants and
       anticipated sub-consultants to be part of the technical team and shall include information
       pertinent to these consultants and sub-consultants.

   12.2. The prime contractor shall name a project manager who will be responsible for all
       aspects of the project. This person will be available to SCCC at all times during the
       course of the project.

   12.3. The contractor shall have a minimum of 5 year(s) experience dealing with software
       development for communication centers and in the installation and service of digital
       voice logging systems.

   12.4. Responses must include a complete resume of the service and installation agency
       proposed. It shall detail the company’s experience in the installation and maintenance
       of the bidder’s product, listing no less than 5 references.

   12.5. Bidders must list in their proposal the names, addresses and telephone numbers of
       each subcontractor the bidder intends to employ in the installation and ongoing
       maintenance of the equipment. A complete resume of this service and installation
       agency shall be included to establish the competency of the subcontractor.

   12.6. SCCC reserves the right to reject any subcontractors. Should a subcontractor be
       rejected, the bidder will be required to provide an acceptable alternate. Failure to
       provide acceptable subcontractors shall be cause for rejection of the bid.

   12.7. Project team organization must be detailed in the proposal.

   12.8. Include plans for programming the project with SCCC, including any anticipated required
       special consultants.

   12.9. Provide information on the location of technical team offices; physical and mailing
       addresses, phone and fax numbers, email address, and web site address.

   12.10. Describe the plan that will be implemented to properly support the project. The following
       information should be included:

      12.10.1. Provide Guaranteed Not To Exceed installation fees for project as described in the
            “Description of Project”.

      12.10.2. Past experience with the concurrent installation of operational voice recording
            solutions.

      12.10.3. Explanation of all warranties for the system.


13. PROPOSAL
   13.1. Please include, at a minimum, the following information in your proposal for technical
       services in the following sections and format:

          SECTION.1. Letter of introduction and overview of abilities outlined in proposal.

          SECTION.2. Cost proposal, and estimate of general conditions costs per month and
                 ongoing maintenance costs.

          SECTION.3. Response to conditions of this RFP.

          SECTION.4. Ability of professional personnel and qualifications of project team,
                 including resumes and qualifications of all team members and identification of
                 lead engineer.

          SECTION.5. Experience in related projects and voice logging recorders installation
                 processes.

          SECTION.6. Client references with pertinent project affiliated names and phone
                 numbers.

          SECTION.7. Project Descriptions.

          SECTION.8. Size and capacity of projects.

          SECTION.9. Any other information that your firm deems pertinent to the County in
                 evaluating your qualifications for this project.

          SECTION.10. Identification of current and anticipated workloads during this project.

          SECTION.11. Total project expenditures.
