									                  INDEPENDENT CONTRACTOR AGREEMENT


THIS AGREEMENT IS MADE the ______ day of _________________ year

WHEREAS:

(A) The owner resides or operates a business at _________________________________
______________ (the “Site”) and wishes to have a certain services performed at the Site.

(B) The Contractor agrees to perform these services under the terms and conditions set
forth in this agreement.


NOW IT IS HEREBY AGREED as follows:

1- Description of work: In return for the payment agreed hereunder the Contractor will

3- Relationship of the Parties: This agreement creates an independent contractor-owner
relationship. The Owner is interested only in the results to be achieved. The Contractor is
solely responsible for the conduct and control of the work. The contractor is not an agent
or employee of the Owner for any purpose. Employees of the Contractor are not entitled
to any benefits that the Owner provides to the Owner’s employees. This is not an
exclusive agreement. Both parties are free to contract with others parties for similar
services.
4- Liability: The Contractor assumes all risk connected with work to be performed. The
Contractor also accepts all responsibility for the condition of tools and equipment used in
the performance of this agreement and will carry for the duration of this agreement public
liability insurance in an amount acceptable to the Owner. The Contractor agrees to
indemnify the Owner for any and all liability or loss arising from the performance of this
agreement.

5- Duration: Either party may cancel this agreement with _______________ days`
written notice to the other party; otherwise, the contract shall remain in force for a term
of _____________________ from the date hereof.
